B.PaymentbyCityshallreleaseCityfromanyfurtherobligationforpaymenttoContractor, forservicesperformedorexpensesincurredasofthedateoftheinvoice.Paymentshall notbeconsideredacceptanceorapprovalofanyworkorwaiverofanydefectstherein. C.Contractorshall makepayments promptly, as due, to allpersons supplying labor or materialsfortheprosecutionofthiswork. D.ContractorshallnotpermitanylienorclaimtobefiledorprosecutedagainsttheCityon anyaccountofanylaborormaterialfurnished. F.IfContractorfails,neglectsorrefusestomakepromptpaymentofanyclaimforlaboror servicesfurnishedtoContractororasubcontractorbyanypersonassuchclaimbecomes due,Citymaypaysuchclaimandchargetheamountofthepaymentagainstfundsdueor tobecomeduetheContractor.Thepaymentoftheclaiminthismannershallnotrelieve Contractorortheirsuretyfromobligationwithrespecttoanyunpaidclaims. G.Contractorshallpayemployeesatleasttimeandahalfpayforallovertimeworkedin excessof40hoursinanyoneworkweekexceptforindividualsunderthecontractwho areexcludedunderORS653.010to653.261orunder29USCsections201to209from receivingovertime. H.Contractor shall promptly, as due, make payment to any person, co-partnership, associationorcorporation,furnishingmedical,surgical,hospitalcareorotherneededcare andattentionincidenttosicknessorinjurytotheemployeesofContractororallsums which Contractor agrees to pay for such services and all moneys and sums which Contractorcollectedordeductedfromthewagesofemployeespursuanttoanylaw, contractoragreementforthepurposeofprovidingorpayingforsuchservice. I.TheCitycertifiesthatsufficientfundsareavailableandauthorizedforexpendituretofinance costsofthiscontractduringthecurrentfiscalyear.Appropriationsforfuturefiscalyears shallbesubjecttobudgetapprovalbytheCityCouncil. 4.ASSIGNMENT/DELEGATION NeitherpartyshallassignortransferanyinterestinordutyunderthisAgreementwithoutthe writtenconsentoftheotherandanyattemptedassignmentortransferwithoutthewritten consentoftheotherpartyshallbeinvalid. 5.SUBMITTINGBILLSANDMAKINGPAYMENTS Allnoticesandbillsshallbemadeinwritingandmaybegivenbypersonaldelivery,mailorfax. Paymentsmaybemadebypersonaldelivery,mail,orelectronictransfer.Thefollowingaddresses shallbeusedtotransmitnotices,bills,payments,andotherinformation: CITYOFTIGARDWARE-EVERPAVEMENTMAINTENANCECO Attn:JeffPeck Attn:DennisWare Address: 13125SWHallBlvd. Tigard,OR97223 Address: 13493SW75 thPl TigardOR97223 Phone:(503)718-2466 Phone:(503)620-2225 Email:jeffp@tigard-or.gov Email:dworz@comcast.net 6.TERMINATION Thereshallbenopenaltyforearlytermination.IfCityterminatesthecontractpursuanttothis paragraph,itshallpayContractorforservicesrenderedproratedtothedateoftermination. 3|P a g e GSATemplate–Revised9/24/2015 7.ACCESSTORECORDS Cityshallhaveaccesstosuchbooks,documents,papersandrecordsofContractorasaredirectly pertinent to this Agreement for the purpose of making audit, examination, excerpts and transcripts. 8.FORCEMAJEURE NeitherCitynorContractorshallbeconsideredindefaultbecauseofanydelaysincompletion andresponsibilitieshereunderduetocausesbeyondthecontrolandwithoutfaultornegligence onthepartofthepartiessodisenabled,includingbutnotrestrictedto,naturaldisaster,war,civil unrest,volcano,earthquake,fire,flood,epidemic,quarantinerestriction,area-widestrike,freight embargo,unusuallysevereweatherordelayofsubcontractororsuppliesduetosuchcause; providedthatthepartiessodisenabledshallwithinten(10)daysfromthebeginningofsuchdelay, notifytheotherpartyinwritingofthecauseofdelayanditsprobableextent.Suchnotification shallnotbethebasisforaclaimforadditionalcompensation.Eachpartyshall,however,make allreasonableeffortstoremoveoreliminatesuchacauseofdelayordefaultandshall,upon cessationofthecause,diligentlypursueperformanceofitsobligationundertheAgreement. 9.NON-DISCRIMINATION Contractoragreestocomplywithallapplicablerequirementsoffederalandstatecivilrightsand rehabilitationstatues,rules,andregulations.ContractoralsoshallcomplywiththeAmericans with Disabilities Act of 1990, ORS 659A.142, and all regulations and administrative rules establishedpursuanttothoselaws. 10.INDEMNITY Contractoragreestoandshalldefend,indemnifyandholdharmlessCity,City'sofficers, employees,agentsandrepresentativesfromandagainstallliability,claims,costs,demands, judgments,penalties,andcausesofactionofanykindorcharacter,orothercostsorexpenses incidentaltotheinvestigationanddefensethereof,ofwhatevernature,resultingfromor arisingoutoftheactivitiesoftheContractororitssubcontractors,agents,oremployeesin performanceofthiscontract,except,however,thattheforegoingshallnotapplytoliability thatarisesoutoftheCity's,itsofficers,employees,agentsandrepresentativessolenegligence. Ifanyaspectofthisindemnityshallbefoundtobeillegalorinvalidforanyreasonwhatsoever, suchillegalityorinvalidityshallnotaffecttheremainderofthisindemnification. 11.INSURANCE ContractorshallmaintaininsuranceacceptabletoCityinfullforceandeffectthroughouttheterm ofthiscontract.SuchinsuranceshallcoverrisksarisingdirectlyorindirectlyoutofContractor's activitiesorworkhereunder. ThepolicyorpoliciesofinsurancemaintainedbytheContractorshallprovideatleastthe followinglimitsandcoverages: 4|P a g e GSATemplate–Revised9/24/2015 A.CommercialGeneralLiabilityInsurance Contractorshallobtain,atcontractor’sexpense,andkeepineffectduringthetermofthis contract,ComprehensiveGeneralLiabilityInsurancecoveringBodilyInjuryandProperty Damageonan“occurrence”form(CG20101185orequivalent).Thiscoverageshall includeContractualLiabilityinsurancefortheindemnityprovidedunderthiscontract. Thefollowinginsurancewillbecarried: Coverage Limit GeneralAggregate 2,000,000 Products-CompletedOperationsAggregate 1,000,000 Personal&AdvertisingInjury 1,000,000 EachOccurrence 1,000,000 FireDamage(anyonefire) 50,000 B.CommercialAutomobileInsurance Contractorshallalsoobtain,atcontractor’sexpense,andkeepineffectduringthetermof thecontract,CommercialAutomobileLiabilitycoverageincludingcoverageforallowned, hired,andnon-ownedvehiclesonan“occurrence”form.TheCombinedSingleLimitper occurrenceshallnotbelessthan$2,000,000. IfContractorusesapersonally-ownedvehicleforbusinessuseunderthiscontract,the Contractorshallobtain,atContractor’sexpense,andkeepineffectduringthetermofthe contract,businessautomobileliabilitycoverageforallownedvehiclesonan“occurrence” form.TheCombinedSingleLimitperoccurrenceshallnotbelessthan$2,000,000. C.Workers’CompensationInsurance Thecontractor,itsSubcontractors,ifany,andallemployersprovidingwork,labor,or materialsunderthisContractthataresubjectemployersundertheOregonWorkers' CompensationLawshallcomplywithORS656.017,whichrequiresthemtoprovide workers'compensationcoveragethatsatisfiesOregonlawforalltheirsubjectworkers. Out-of-stateemployersmustprovideOregonworkers'compensationcoveragefortheir workerswhoworkatasinglelocationwithinOregonformorethan30daysinacalendar year.Contractorswhoperformworkwithouttheassistanceorlaborofanyemployee need not obtain workers’ compensation coverage. All non-exempt employers shall provideEmployer'sLiabilityInsurancewithcoveragelimitsofnotlessthan$1,000,000 eachaccident. D.AdditionalInsuredProvision All policies aforementioned, other than Workers’ Compensation and Professional Liability, shall include the City its officers, employees, agents and representatives as additionalinsuredswithrespecttothiscontract. E.InsuranceCarrierRating CoveragesprovidedbytheContractormustbeunderwrittenbyaninsurancecompany deemedacceptablebytheCity.Allpoliciesofinsurancemustbewrittenbycompanies 5|P a g e GSATemplate–Revised9/24/2015 havinganA.M.Bestratingof"A-VII"orbetter,orequivalent.TheCityreservestheright torejectalloranyinsurancecarrier(s)withanunacceptablefinancialrating. F.Self-Insurance TheCityunderstandsthatsomeContractorsmayself-insureforbusinessrisksandthe Citywillconsiderwhethersuchself-insuranceisacceptableifitmeetstheminimum insurancerequirementsforthetypeofcoveragerequired.IftheContractorisself-insured forcommercialgeneralliabilityorautomobileliabilityinsurancetheContractormust provideevidenceofsuchself-insurance.TheContractormustprovideaCertificateof InsuranceshowingevidenceofthecoverageamountsonaformacceptabletotheCity. TheCityreservestherightinitssolediscretiontodeterminewhetherself-insuranceis adequate. G.CertificatesofInsurance Asevidenceoftheinsurancecoveragerequiredbythecontract,theContractorshall furnishaCertificateofInsurancetotheCity.Nocontractshallbeeffectiveuntilthe requiredCertificatesofInsurancehavebeenreceivedandapprovedbytheCity.The certificatewillspecifyanddocumentallprovisionswithinthiscontractandincludeacopy ofAdditionalInsuredEndorsement.Arenewalcertificatewillbesenttothebelow addresspriortocoverageexpiration. H.IndependentContractorStatus Theserviceorservicestoberenderedunderthiscontractarethoseofanindependent contractor.Contractorisnotanofficer,employeeoragentoftheCityasthosetermsare usedinORS30.265. I.PrimaryCoverageClarification ThepartiesagreethatContractor’scoverageshallbeprimarytotheextentpermittedbylaw. ThepartiesfurtheragreethatotherinsurancemaintainedbytheCityisexcessandnot contributoryinsurancewiththeinsurancerequiredinthissection. J.Cross-LiabilityClause Across-liabilityclauseorseparationofinsuredsclausewillbeincludedinallgeneralliability, professionalliability,pollutionanderrorsandomissionspoliciesrequiredbythiscontract. AcertificateinformsatisfactorytotheCitycertifyingtotheissuanceofsuchinsurancewillbe forwardedto: CityofTigard Attn:ContractsandPurchasingOffice 13125SWHallBlvd. Tigard,Oregon97223 AtthediscretionoftheCity,acopyofeachinsurancepolicy,certifiedasatruecopybyan authorizedrepresentativeoftheissuinginsurancecompanymayberequiredtobeforwardedto theaboveaddress. 6|P a g e GSATemplate–Revised9/24/2015 Suchpoliciesorcertificatesmustbedeliveredpriortocommencementofthework.The procuring of such required insurance shall not be construed to limit contractor’s liability hereunder.Notwithstandingsaidinsurance,Contractorshallbeobligatedforthetotalamount ofanydamage,injury,orlosscausedbynegligenceorneglectconnectedwiththiscontract. 12.ATTORNEY'SFEES Incasesuitoractionisinstitutedtoenforcetheprovisionsofthiscontract,thepartiesagreethat thelosingpartyshallpaysuchsumasthecourtmayadjudgereasonableattorneyfeesandcourt costs,includingwitnessfees(expertandnon-expert),attorney'sfeesandcourtcostsonappeal. 13.COMPLIANCEWITHSTATEANDFEDERALLAWS/RULES Contractorshallcomplywithallapplicablefederal,stateandlocallaws,rulesandregulations, including,butnotlimitedto,therequirementsconcerningworkinghours,overtime,medical care,workerscompensationinsurance,healthcarepayments,paymentstoemployeesand subcontractorsandincometaxwithholdingcontainedinORSChapters279A,279B,and 279C,theprovisionsofwhichareherebymadeapartofthisagreement. 14.CHOICEOFLAW,VENUE TheprovisionsofthisAgreementaregovernedbyOregonLaw.VenuewillbetheStateof OregonCircuitCourtinWashingtonCountyortheUSDistrictCourtforOregon,Portland. 15.CITYOFTIGARDBUSINESSLICENSE Contractorshallobtain,priortotheexecutionofanyperformanceunderthisAgreement,aCity ofTigardBusinessLicense.TheTigardBusinessLicenseisbasedonacalendaryearwitha December31stexpirationdate.NewbusinessesoperatinginTigardafterJune30thofthecurrent yearwillpayapro-ratedfeethoughtheendofthecalendaryear. 16.CONFLICTBETWEENTERMS Itisfurtherexpresslyagreedbyandbetweenthepartiesheretothatshouldtherebeanyconflict betweenthetermsofthisinstrumentintheproposalofthecontract,thisinstrumentshallcontrol andnothinghereinshallbeconsideredasanacceptanceofthetermsofproposalconflicting herewith. 17.SEVERABILITY IntheeventanyprovisionorportionofthisAgreementisheldtobeunenforceableorinvalidby anycourtofcompetentjurisdiction,thevalidityoftheremainingtermsandprovisionsshallnot beaffectedtotheextentthatitdidnotmateriallyaffecttheintentofthepartieswhentheyentered intotheagreement. 18.REPRESENTATIONSANDWARRANTIES ContractorrepresentsandwarrantstotheCitythat: A.ContractorhasthepowerandauthoritytoenterintoandperformthisAgreement. B.This Agreement, when executed and delivered, is a valid and binding obligation of Contractor,enforceableinaccordancewithitsterms. C.Contractor(tothebestofContractor’sknowledge,afterdueinquiry),foraperiodofno 7|P a g e GSATemplate–Revised9/24/2015 fewerthansixcalendaryears(orsincethefirm’sinceptioniflessthanthat)precedingthe effectivedateofthisAgreement,faithfullyhascompliedwith: 1)Alltaxlawsofthisstate,includingbutnotlimitedtoORS305.620andORSchapters 316,317,and318; 2)Anytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedto Contractor, to Contractor’s property, operations, receipts, or income, or to Contractor’sperformanceoforcompensationforanyworkperformedbyContractor; 3)Anytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedto Contractor,ortogoods,services,orproperty,whethertangibleorintangible,provided byContractor;and 4)Anyrules,regulations,charterprovisions,orordinancesthatimplementedorenforced anyoftheforegoingtaxlawsorprovisions. D.AnyintellectualpropertyrightsorsuchdeliveredtotheCityunderthisAgreement,and Contractor’sservicesrenderedintheperformanceofContractor’sobligationsunderthis Agreement,shallbeprovidedtotheCityfreeandclearofanyandallrestrictionsonor conditionsofuse,transfer,modification,orassignment,andshallbefreeandclearofany andallliens,claims,mortgages,securityinterests,liabilities,charges,andencumbrancesof anykind. 19.COMPLIANCEWITHTAXLAWS A.Contractormust,throughoutthedurationofthisAgreementandanyextensions,comply withalltaxlawsofthisstateandallapplicabletaxlawsofanypoliticalsubdivisionofthe StateofOregon.ForthepurposesofthisSection,“taxlaws”includesalltheprovisions describedinsubsection25.C.1)through4)ofthisAgreement. B.AnyviolationofsubsectionAofthissectionshallconstituteamaterialbreachofthis Agreement.Further,anyviolationofContractor’swarranty,insubsection25.Cofthis Agreement,thattheContractorhascompliedwiththetaxlawsoftheStateofOregonand theapplicabletaxlawsofanypoliticalsubdivisionofthisstatealsoshallconstituteamaterial breachofthisAgreement.AnyviolationshallentitletheCitytoterminatethisAgreement, topursueandrecoveranyandalldamagesthatarisefromthebreachandtheterminationof thisAgreement,andtopursueanyoralloftheremediesavailableunderthisAgreement,at law,orinequity,includingbutnotlimitedto: 1)TerminationofthisAgreement,inwholeorinpart; 2)Exerciseoftherightofsetoff,andwithholdingofamountsotherwisedueandowing toContractor,inanamountequaltoState’ssetoffright,withoutpenalty;and 3)Initiationofanactionorproceedingfordamages,specificperformance,declaratory orinjunctiverelief.TheCityshallbeentitledtorecoveranyandalldamagessuffered astheresultofContractor'sbreachofthisAgreement,includingbutnotlimitedto direct,indirect,incidentalandconsequentialdamages,costsofcure,andcostsincurred insecuringareplacementContractor. 6-8-2020 9|P a g e GSATemplate–Revised9/24/2015 EXHIBITA SCOPEOFSERVICES SealandStripparkinglotlocatedat12345SWMainSt.ParkinglotisownedbytheCityofTigard.
