This Agreement is made and entered into by and between the City of Tigard,an Oregon municipal corporation
("City") ,and MORPHE, a cosmetics store located at: 9577 SW Washington Square Road; Space B07 in Tigard,
Oregon ("MORPHE"),hereinafter collectively referred to as the "Parties."
RECITALS
WHEREAS,MORPHE is a retail establishment located within the City of Tigard;
WHEREAS,MORPHE is hosting a grand opening event featuring a celebrity guest on April 27,2019
(the "Event");
WHEREAS, MORPHE has requested in-store security services of the Tigard Police Department
during the Event;
WHEREAS,MORPHE has agreed to pay the City for these in-store services;
WHEREAS,the City recognizes that the Tigard Police Department would be obligated to respond to
a crime in progress;
WHEREAS,the Parties recognize that assigning Tigard Police Officers to MORPHE at this time may
deter crime related to the Event.
AGREEMENT
NOW THEREFORE,in consideration of the mutual covenants and agreements contained herein,it
is agreed by and between the Parties as follows:
1. Financial obligations. The City has agreed to provide the dedicated assignment of five (5.0) Tigard
police officers at the overtime rate of$80.00 per hour and one (1.0) police supervisor at the overtime
rate of$105.00 per hour. These rates will be charged regardless of which officers or supervisor are
assigned. The number of officers assigned and the terms and conditions of the assignment are in the
attached Scope of Work,incorporated herein by reference.
2. Terms of Agreement. This Agreement is effective upon execution of both Parties and terminates on
April 28, 2019.
3. MORPHE Obligations. MORPHE agrees to:
3.1 Conduct a pre-event meeting with City to discuss all aspects of officer involvement during the
Event.
3.2 Timely address any questions about the scope of work to the appropriate Tigard Police
Department supervisor, but in no event later than 2 hours prior to the Event.
3.3 Not direct the movements of the assigned Tigard police officers. MORPHE recognizes that
the Tigard Police Officers are not subject to the direction or control of MORPHE.

3.4 Provide Tigard police officers appropriate break periods in accordance with the Tigard Police
Officer Association's current collective bargaining agreement. For the officers working the
8:OOAM to 4:OOPM shift this will mean one 30 minute lunch break and two 15 minute resting
breaks. For officers working the 9:30AM to 4:OOPM shift this will mean one 30 minute lunch
break and one 15 minute resting break.
3.5 Pay the City of Tigard within thirty (30) days after receipt of the overtime invoice. The check
should be made out to "City of Tigard" and mailed to Tigard Police Department; 13125 SW
Hall Blvd;Tigard, OR 97223. Attn: Business Manager.
4. City Obligations. City agrees to:
4.1 Conduct a pre-event meeting with MORPHE to discuss all aspects of officer involvement
during the Event.
4.2 Provide five (5.0) Tigard police officers and one (1.0) police supervisor to be assigned to the
Event, as described in the Scope of Work.
4.3 Control the movement of each officer during the Event. Each Tigard officer detailed to the
event will remain under the supervision and control of a Tigard watch commander at all times.
4.4 Provide an invoice to MOPRHE within thirty (30) days after the event for the overtime
expenses associated with staffing the Event. Payment is due within 30 days after receipt of the
invoice and will be based on the established hourly rate.
5. Liability and Indemnity. MORPHE agrees to indemnify and hold harmless the City, and its officers,
employees, and agents, from and against all claims, demands and causes of actions and suits of any
kind or nature for personal injury,death or damage to property on account of or arising out of services
performed, the omissions of services, or in any way resulting from the negligent or wrongful acts or
omissions MORPHE and its officers, employees and agents. In addition, MORPHE is solely
responsible for any contract claims,delay damages or similar items arising from or caused by the action
or inaction of the City under this Agreement.
6. Insurance. MOPRHE will purchase and maintain the following types of insurance:
General liability insurance covering personal injury,property damage,and bodily injury with automatic
coverage for premises and operation and product liability shall be a minimum of $1,000,000 per
occurrence. The policy must be endorsed with contractual liability coverage. City,its elected officials,
officers, agents, and employees shall be named as an additional insured.
7. Termination. Unless both parties extend this agreement via signed amendment as outlined in section
8, the Agreement will expire on April 28, 2019. City may terminate this Agreement, and withhold
financial support, at any time if City reasonably determines MORPHE has failed to comply with any
provision of this Agreement and is therefore in default.
8. Modification of Agreement. No waiver, consent,modification or change of terms of this Agreement
shall be binding unless in writing and signed by both signatories or their designees.
9. Severability. If any one or more of the provisions contained in this Agreement is invalid, illegal or

unenforceable in any respect, the validity, legality and enforceability of the remaining provisions of
the Agreement will not be affected or impaired in any way.
10. Counterparts;Facsimile Execution. This Agreement may be executed in counterparts, each of which,
when taken together, shall constitute fully executed originals. Facsimile or e-mail signatures shall
operate as original signatures with respect to this Agreement.

SCOPE OF WORK
The Tigard Police Department will assign a total of five (5.0) police officers and one (1.0) police
supervisor in two overlapping shifts to provide security services to MORPHE located at 9577 SW
Washington Square Road (Space B07) in the City of Tigard, Oregon for a special store opening
event.
The officers will report to the location and will provide a combination or interior and exterior store
patrols as directed in advance by his or her Tigard Police Supervisor. These directed patrols will take
place during the hours of 8:OOAM to 4:OOPM (0800 to 1600) on Saturday April 27, 2019. In addition,
one of the officers will be assigned to escort MORPHE's celebrity guest from their arrival time of
approximately 11:15AM and through the duration of their appearance at the event.
The officers will provide visual deterrent to any potential crime as well as act in a security function
In the event of an attempted crime, assigned officers will follow all the same Tigard Police
Department protocols that he or she would in the course of their regular patrols.
