WHEREAS' the Tigard City Council initiated this vacation request pursuant to Section 15.08.048 of the Tigard Municipal Code; and WHEREAS, the reason and purpose for this vacation is to return the street right—of—way to the property owner to allow for an upgrade to the parking area currently in existence; and WHEREAS, the vacation in recommended by the Planning Commission and the City Engineer; and WHEREAS, in accordance with ORS 271. 100' and TMC Section 15.08.110' the Council fixed a time and place for the public hearing and the Recorder published notice and posted notice in the area to be vacated; and WHEREAS, notice has been mailed to all property owners abutting said vacation area and all owners in the affected area, as described in ORS 271 .080; and WHEREAS, the Council, having held a hearing on October 18^ 1986' finds the public interest will not be prejudiced by the vacation an provided by ORS ( 271. 120 and TMC Section 15.08. 180; and \ WHEREAS, the Council finds that it is in the public interest to approve the request to vacate the street right—of—way area because the public interest will not be prejudiced; and WHEREAS, the Council finds that the following conditions are necessary to vacate said land: 1 . Property owners adjoining the area to be vacated shall provide the City Recorder with a mutual access and maintenance agreement. This agreement shall include a legal description and map of the access area. The complete agreement shall be recorded with Washington County upon approval of the City Attorney and Engineering Division. The adjoining owners may propose an alternative to mutual access, however, any alternative must meet the approval of the Development Services Division (Building, Planning, and Engineering) , 2. That an easement for public utility purposes be retained over the following portions of the area to be vacated: a. The northeasterly twenty feet extending from 8W Pacific Highway to SW Main Street. M traffic circulation plan shall he submitted by the adjoining property owners and approved by the Engineering Division. Said Plan shall address ingress and egress on S. W. Main Street and possibly on S. W. Commercial Street if State Highway right-of-way behind existing buildings in to he utilized. 4. A permit from the State Highway Division, if their right-of-way is utilized' shall be required. A copy shall be provided to the Engineering Division. 5. Existing parking in area shall not be reduced without approval of the City Council. 6. The vacation shall not be effective until the effective date of this ordinance; Conditions 1^ 2, 3 and 4 above are complied with; and a certified copy of this ordinance has been recorded with the Washington County Clerk, Assessor, and Surveyor. THE CITY OF TIQARU ORDAINS AS FOLLOWS: Section 1: The Tigard City Council hereby orders the vacation of that portion of SW Pine Street (adjacent to SW Main Street) as described on the attached Exhibit °A" and shown on the attached Exhibit "8"^ and by this reference made parts hereof. Section 2:/ ` The Tigard City Council further orders that the vacation be subject to the following conditions: 1 . Each party conveys to the other and his heirs, assigns and successors in interest, for his or their use, in common with all others entitled to use the same, a perpetual easement over the parcel to be vacated by the City of Tigard referred to above, for ingress to and egress from such respective Parcel, and for the passage of motor vehicles and motor vehicle parking for, tenants, visitors, licensees and employees, passage and accommodation of pedestrians, and for the doing of such other things as are authorized and required to be done on said parking areas pursuant to this agreement. Each such party further reserves to itself the right to grant such easements over the parking area of its respective parcel, for the purposes enumerated above, to such parties as may, from time to time, be entitled thereto. 2• Each party reserves the riot to limit, control, or restrict parking on the half of the parcel to be vacated that is adjacent to their property, and to eject or cause the ejection from the parking area of the parcel, any person or persons not authorized, empowered or privileged to use the parking area of such parcel. Notwithstanding the foregoing, each party reserves the right to close off the parking area for such reasonable period or periods of time as may be legally necessary to prevent the acquisition of prescriptive rights by anyone; provided however, that prior to closing off any party shall give written notice to each other party of its intention to do so, and shall coordinate such closing with all other parties so that no unreasonable interference with the operation of the respective projects shall occur. Notwithstanding the reservation herein provided for, and the riot to grant easements, it is expressly understood and agreed that such reservation and the right to grant easements is limited to nonexclusive use of the surface. 3. Each easement granted p=uant to the provisions hereof is expressly for the benefit of the parcel of the grantee thereof, and the parcel so benefited shall be the dominant estate and the parcel upon which such easement is located shall be the servient estate, but where only a portion thereof is bound and burdened, or benefited by a particular easement, only that portion so bound and burdened, or benefited, as the case may be, shall be deemed to be the servient or dcminant tex►ement, as the case may be. Any easement granted pursuant to the provisions of this Agement may be' abandoned or P terminated by execution of an agreement so abandoning or terminating the 2 same, by the owners of the dominant arra serviant estates. Fasements granted herein shall be appurtenant to the subject parcels. 4. It is further understood and agreed that the parties will each assume and agree to pay one-half of the cost of maintaining the parking lot, driveways and adjoining landscaping, in good repair, and in accordance with any statute, ordinance or regulation issued by any governmental authority. In addition, each of the parties will exact a comunittment from any purchaser, assignee, or other successor in interest, to fulfill the obligations of this agreement. 5. Each of the parties agrees to indemnify the other against all liability for injury to himself or damage to his property when such injury or damage shall result from, arise out of,'or be attributable to any maintenance or repair undertaken pursuant to this agreement. 6. Each of the parties shall maintain liability insurance which, at a minimum, meets the standard in the industry for the particular types of uses for which the properties are used. The insurance policies shall name the owner of the adjoining parcel as an additional insured in correction with the use of the easement. 7. In the event that either party shall have to enforce the terms of this agreement, that party shall be entitled to be reimbursed for all costs, including reasonable attorneys fees, incurred by that party in the enforcement of this contract, whether or not the matter is brought to court. Additionally, in the event a suit or action is filed to enforce this agreement the prevailing party shall be reimbursed by the other party for all costs and expenses incurred in connection with the suit or action, including without limitation reasonable attorney fees at the trial level and on appeal. Each party conveys to the other and his heirs, assigns and successors in interest, for his or their use, in mon with all others entitled to use the same, a perpetual easement over the parcel to be vacated by the City of Tigard referred to above, for ingress to and egress from such respective parcel, and for the passage of motor vehicles and motor vehicle parking for, tenants, visitors, licensees and employees, passage and accommodation of pedestrians, and for the doing of such other things as are authorized and required to be done on said parking areas pursuant to this agreement. Each such party further reserves to itself the right to grant such easements over the parking area of its respective parol, for the purposes enumerated above, to such parties as may, fron time to time, be entitled thereto. 2. Each party reserves the right to limit control, or restrict parki_na on the half of the parcel to be vacated that is adiacent to their property and to eject or cause the ejection from the parking area of the parcel, any person or persons not authorized, empowered or privileged to use the parking area of such parcel. Notwithstanding the foregoing, each party reserves the right to close off the parking area for such reasonable period or periods of time as may be legally necessary to prevent the acquisition of prescriptive rights by anyone; provided however, that prior to closing off any party shall give written notice to each other party of its intention to do so, and shall coordinate such closing with all other parties so that no unreasonable interference with the operation of the respective projects shall occur. Notwithstanding the reservation herein provided for, and the right to grant easements, it is expressly understood and agreed that such reservation and the right to grant easements is limited to nonexclusive use of the surface. 3. Each easement granted pursuant to the provisions hereof is expressly for the benefit of the parcel of the grantee thereof, and the parcel so benefited shall be the dominant estate and the parcel upon which such easement is located shall be the servient estate, but where only a portion thereof is bound and burdened, or benefited by a particular easement, only that portion so bound and burdened, or benefited, as the case may be, shall be deemed to be the servient or dominant tenement, as the case may be. Any easement granted pursuant to the provisions of this Agreement may be abandoned or terminated by execution of an agreement so abandoning or terminating the same, by the owners of the dominant and serviant estates. Easements granted 2 herein shall be appurtenant to the subject parcels. 4. It is further understood and agreed that the parties will each assume and agree to pay one-half of the cost of maintaining the parking lot, driveways and adjoining landscaping, in good repair, and in accordance with any statute, ordinance or regulation issued by any governmental authority. In addition, each of the parties will exact a oammittment from am , assignee, or other successor in interest to fulfill the obligations of this agreement. 5. Each of the parties agrees to indemnify the other against all liability for injury to himself or damage to his property when such injury or damage shall result from, arise out of, or be attributable to any maintenance or repair undertaken pursuant to this agreement. 6. Each of the parties shall maintain liability insurance which, at a minimum, meets the standard in the industry for the particular types of uses for which the properties are used. The insurance policies shall name the owner of the adjoining parcel as an additional insured in conection with the use of the easement. 7. In the event that either party shall have to enforce the terms of this agreement, that party shall be entitled to be reimbursed for all costs, including reasonable attorneys fees, incurred by that party in the enforcement of this contract, whether or not the matter is brought to court. Additionally, in the event a suit or action is filed to enforce this agreement the prevailing party shall be reimbursed by the other party for all costs and uses incurred in connection with the suit or action, including without limitation reasonable attorney fees at the trial level and on appeal. He noted opposition to the vacation since his business access was on Electric Street. a Mr. Donald D. Fisher, MD, stated he also has business access from Electric Street and opposed the vacation request. o Dennis Thompson, Tigard Arco, stated he did not want a vacation of the street but simply wished maintenance be done in the area. o Pine Street — No one appeared to speak . e. Acting Recorder set out conditions recommended by staff and encouraged vacation of the parcels . He noted that access and utility interests could be maintained even though the area is vacated through easements. f. Public Hearings Closed g. As you know, this vacation was approved, by ordinance, on October 13, 1986 subject to six conditions. Once those conditions have been met, the ordinance will be recorded at Washington County and the property returned to private ownership. The Engineering Division has completed reviewing the traffic circulation plan which you submitted on September 29, 1987 to satisfy condition No. 3 (see enclosed copy). Given the existing access conditions on the other side of SW Main Street and your proposed one-way circulation pattern, it is necessary for us to require that the middle driveway access be closed. This would involve replacing the existing driveway apron with a standard curb and sidewalk. Also, a street right-of-way permit for the reconstruction would be required. Please contact John Hagman, in Engineering, for details concerning the permit. You also may want to reconsider your parking layout with the driveway closure. More spaces may be available. Please submit remaining materials to me so I can expedite any approvals. I also would be glad to discuss any questions or concerns you have with the conditions of approval. A traffic circulation plan shall be submitted by the adjoining property owners and approved by the Engineering Division. Said Plan shall address ingress and egress on S.W. Main Street and possibly on S .W. Commercial Street if State Highway right-of- way behind existing buildings is to be utilized. 4 . A permit from the State Highway Division, if their right-of-way is utilized, shall be required. A copy shall be provided to the Engineering Division.
