NOW, THEREFORE, in consideration of the foregoing premise and the covenants and agreements to be kept and performed by the petitioner and petitioners surety, IT IS HEREBY AGREED AS FOI_I-OWS: 1 . In the event that such action be brought, the Petitioner and the Petitioner' s surety shall be required to promise and agree to pay, in addition to the amounts accruing and allowable, such sum as the court shall adjudge reasonable as attorney's fees and cost incurred by the City, both in the Trial Court and Appellate Court, if any, or the City may at its option bring proceedings to enforce against the Petitioner and/or Petitioner' s surety, specific performance of the contract and compliance with the standards adopted by the City of Tigard, and in any event, in a like manner, the City shall be entitled to recover such sums as the court may adjudge reasonable for the City attorney's fees and cost, both in the Trial Court and and Appellate Court, if any . 4 . A surcharge to connect directly or indirectly (strike inapplicable word) to an existing public mainline sanitary sewer which was installed without cost to the Petitioner. At such time as all public improvements have been completed in accordance with the City' s requirements, Petitioner shall submit the aforesaid "certificate of installation conformance" to the City to notify the City of readiness for conditional acceptance inspection and, then, upon notification by the Department of Community Development that the requirements of the City have been met, the Petitioner will submit to the City a good and sufficient guarantee bond, if not already provided with the performance bond, form approved by the City, to provide for correction of any incomplete work or any defective work or maintenance becoming apparent or arising within one (1) year after conditional acceptance of the public improvements by the City . 9. Upon receipt of certification from the Department of Community Development that all requirements have been met, and a one year Guarantee Bond, the City agrees to conditionally accept the public improvements subject to the requirement of completion of all work and correction of deficiencies, and maintenance, for a period of one year. 10. Petitioner agrees to correct any defective work and to perform any maintenance, upon notification by the city, arising during the period as hereinabove set. forth. 11 . At such time as all public improvements have been completed in accordance with the City' s requirements, Petitioner shall notify the City of readiness for final inspection and upon certification by the Department of Community Development that all requirements of the City have been met, the City agrees to accept said improvements, for operation and maintenance responsibility, and release the Petitioner' s guarantee bond . 12. That Petitioner, in consideration of City approval of the application to construct public mainline sewer within the boundaries of easements held by or to be held by the City, does hereby covenant and agree to save, hold harmless and indemnify the City, its officers, agents and employees, for and from all claims, demands, damages, and each and every other obligation that can or could arise from the neglect of Petitioner•, his officers, agents, contractors and employees, or from trespass upon property outside of the easement area, including attorney' s fees and costs, if any, necessarily incurred by the City in defending against such claims, with the intent and purpose that the City shall be made whole with respect to any amounts it may be required to pay or be held liable for in connection with exercise of real or assumed privileges afforded Petitioner for sewer construction purposes . 13 . The parties hereto adopt the form of performance bond, cony whereof is hereto attached and by reference made a part hereof, and Petitioner agrees to cause to have said bond executed and filed with the City concurrently with the execution of this agreement at or prior to thi time this agreement is executed on behalf of the City. Blvd. There does not appear to be any ditches, culverts or other facilities to remove run—off from Durham Road or the undeveloped areas to the north. As this area develops and run—off towards Durham Road increases, the lack of storm drainage could result in increased flooding along the road. It would be helpful if you could inform us of any planned improvements to Durham Road that might consider the drainage in this area. I understand that the currently proposed pavemert widening project does not include storm drainage improvements. Any direction you could provide us about drainage in this area would be appreciated. TO s loan commitment is specifically for construction purposes for sanitary and storm sewers. All such imprc-ements a:e to be completed in conformity with City a�;proved construction plans and the Sanitary & Storm Sewer agreement thoreinregard. We have agreed that disbursements of the $37,080.00 will be made in accord with the following schedule upon completion of each; or all, items, but not including the held-back described below: I ITEM AMOUNT Sanitary Sewer & appurtances $14,050.00 ' Storm Sewer & appurtances $23,030.00 We have entered into a "Sanitary & Storm Sewer Agreement" whereby we have agreed to install all improvements in accordance with the requirements of the City of Tigard and we are hereby authorizing you to hold the above-stated funds to pay them to us only when the following has been adhered to: That the City of Tigard had provided certification acknowledging completion of any or all work pursuant to the above itemized schedule of improvements. Pursuant to the above schedule, 10% of the commitment funds (i.e. , $3,708.00) will be held back through the normal o.1e year guarantee period or until final City acceptance of the project takes place or until the City is provided with a separate maintenance bond, effective for said one year period from the date of City tentative acceptance of the work, to assure continued freedom from defects, and maintenance, during the guarantee period. Concurrent witt the final release of these funds, establishment proceedings will be inst-ituied. Page 2 Letter of Commitment It is under3tood and approved by all parties of concern to this letter of commitment that the City of Tigard shall have first claim and priority to the sum of $37,080.00, less disbursements approved by the City of Tigard, in the event of any defects or failurea to correct such in the construction of the required improvements. It is further understood and agreed that the aforesaid priority of claim is paramount to all parties including the lending institution making the lo.:n and that the lending institution has convenanted and agreed that the sum of $37,080.00 less disbursements approved by the City of Tigard shall be held available to Batisfy any aforementioned claim by the City notwithstanding default on loan by borrowing party or termination of loan by lending institution.
