Purchaser agrees that it will not allow water from the Site to be drained into the storm sewer easement in a greater proportion than its prorata share of the total amount of water flowing into the storm sewer line from the Site combined with water flowing into the storm sewar line from Seller ' s property located to the west of the Site . In computing the prorata share of water which Purchaser shall be allowed to drain from the Site into the storm sewer line , the prorata share shall be that percentage of the total water draining into the storm sewer line from the Site and Seller ' s property located to the west which is equal to the percentage ratio that the square footage of the Site bears to the total square footage of the Site combined with the square footage of Seller ' s property located to the west of the Site. The legal description of Seller ' s property located to the west of the Site is attached hereto as Exhibit D . III . PURCHASE PRICE. Should Purcha.;er have made necessary applications for site approval and same have not been approved during said 120 day period , then upon payment of the additional $2 , 000 . 00 earnest money referred in paragraph III above , Purchaser shall be granted an additional time , not to exceed 60 days , as necessary to secure such approval . Seller agrees to cooperate with Purr_hac`r in applying for and securing any approvals required by governmental authorities In addition to the general requirements of applicable governmental authorities , the Site must comply with the following additional requirements : 1 . That there are no building setback lines on the Site which will interfere with the construction , placement and operation of the Center on the Site; 2 . That the Site is not under any Federal , state , municipal or county flood control restrictions , or other government restrictions which would prevent or hinder the planned development of said property by Purchaser; 3 . That the Site contain no easements or rights-of-way which would interfere with the construction and operation of the Center on same; 4 . That the utilities , including power , telephone , water , sewer and gas carving said property be available at a property line of. the Site , be dedicated to and accepted for maintenance by a public entity or authority, and be of a capacity , location and elevation to service the Center when 6 - REAL, ESTATE PURCHASE CONTRr.CT AND RECEIPT FOR DEPOSIT constructed without off-site costs to Purchaser; 5 . That soil and subsoil condil.ions be suitable for construction of the Center . Purchaser agrees to perform all tests necessary, and shall remove this contingency, within 60 days of the date of this Agreement; 6 . That the Site contains the approximate dimensions and frontage on a dedicated street or easement as provided in paragraph 2 above; 7. Subject to Purchaser being able to secure a building permit as well as any other required approvals by governmental , health, zo,iing , fire and building departments , and further being able tr secure any required consents or approvals •fr. om develope.-s , associations or other public or private entities . In the event governmental regulations require platting (including parcel map , short plat , lot line adjustment or any similar resubdivision) of Site before building permit may be issued, same shall be accomplished at Purchaser ' s expense. 8 . Shared Drive . Seller has reserved to itself a strip of property to the north of the Site and adjacent to the Site, 35 feet in width , for an access road to the parcel located to the west of the premises which is owned by Seller. Such strip of property shall hereinafter be referred to as "Shared Drive" . Seller shall grant and convey to Purchaser an easement to use the first 120 feet of the Shared Drive, commencing from the boundary of the Site and S.W. Hall Boulevard. In consideration of the granting of the easement to use the easternmost 120 feet of the 7 - REAL ESTATE PURCHASE CONTRi,CT AND RECEIPT FOR DEPOSIT Shared Drive, Purchaser agrees to bulldoze, grade and pave the easternmost 120 feet of the Shared Drive, to bulldoze, grade and gravel the remaining portion of the Shared Drive running adjacent to the Site , having a length of 180 feet, more or less . (a) Cost of Construction. Purchaser :shall pay for construction of the Shared Dive from S . W. Hall Boulevard westerly 120 feet, more or less , as shown on Exhibit E, as "Drive to be Constructed by Kinder-Care" . In addition, Purchaser shall pay for the bulldozing, grading and gravelling for the extension of the Shared Drive from the end of Kinder-Care ' s paved easement approximately 180 feet to a point adjacent to the west line! of the Site. Purchaser shall not be required to pave the wes•-ern 180 feet of the Shared Drive. (b) Access . The 35 foot wide Shared Drive located adjacent to the Site to the north may be used by owners of the property described on Exhibit D to access such property to S.W. Hall Boulevard. The parking on Kinder-Care site is exclusive to Kinder-Care and will not be subject to any shared parking easement. (c) Maintenance . Purchaser shall maintain the Shared Drive in such condition as to allow vehicular traffic to travel on the Shared Drive. All costs of maintanerce shall be at Purchaser ' s expense so long as the parcel to the west which is benefited by the Shared Drive contains no more than two single family residences . In the event the parcel to the west is 8 - REAL ESTATE PURCHASE CONTRACT AND RECEIPT FOR DEPOSIT developed to increase the vehicular burden on the Shared Drive, then from such time forward the cost of maintaining that portion of the drive constructed to the west of that point 120 feet co the west of S .W. Hall Boulevard shall be shared prorata to the amount of s�:uare footage in ;each parcel (including the parcel being sold hereby) that has access to S .W. Hall Boulevard threucrh said Shared Drive. Purchaser is to secure at its expense an owner ' s title insurance commitment on the Site in the amount of the purchase price on ALTA 1970 Form B issued by Safeco Title Insurance Company, which is inslirable at said company 's standard rates , same to contain only the following contingencies of title and survey: (a) Lien of current ad valorem taxes . (b) Easements and restrictions of record affecting the Site none of which interfere with the use of said Site as a child care center. There shall be attached to the commitment copies of any instruments which are the subject of an exception in Schedule B (c) The commitment must contain no exception as to survey except recordation of final plat or resubdivision. (d) The commitment must include as part of the 9 - REAL ESTATE PURCHASE CONTRACT AND RECEIPT FOR DEPOSIT insured premises the Shared Drive easement, of dimensions 35 feet in width and 120 feet in length adjacent to S.W. Hall Boulevard. 2 . The commitment shall be for a period of not less than six (6) months . 3 . Purchaser shall have a period of twenty (20) days after receipt of said owner ' s title insurance commitment to examine same and to give Safeco Title Insurance Company and Seller written notice of any defects . Seller shall have an additional period of thirty (30) days in which to correct the defects , and if same be not corrected within said period to Purchaser ' s reasonable sc:tisfaction, then Purchaser shall have the election of : (a) Accepting the Site with such legal defects . (b) Postponing closing hereunder for not more than thirty (30) days until such defects are corrected , or (c) Declining to accept the Site with such legal defects . (d) Purchaser ' s election will be exercised by written notice to Seller, mailed within seven (7) calendar 'days from the end of the period provided above for correction by Seller of such legal defects . Closing is to be held in the City of Portland, State of Oregon, or such other time and place as Purchaser and Seller may agree to . Upon closing , the parties agree to perform the fcl ,owing : A. Seller shall deliver to Purchaser a Warranty Deed conveying the Site to Pur("haler free and clear of all liens , claims and encumbrances , and free and clear of any encroachments , easements , restrictions or right-of-ways except such as reserved herein , which would interfere with the use of that Site as a child care center . B. Seller shall -',eliver to Purchaser an easement for the eastern 120 feet of the Shared Drive. C . Purchaser shall deliver to Seller the executed Perpetual Sanitary Sewer Easement, a copy of which is attached hereto as Exhibit C. D. Purchaser and Seller agree to execute a suitable construction and maintenance agreement referred to in paragraph IV (A) 8 . (d) . E. Purchaser shall pay to Escrow Agent the balance of the purchase price upon closing by good and sufficient funds , and should Purchaser elect not to utilize the certificate of deposit recited in paragraph III .A herein , Purchaser shall also pay to Escrow Agent an amount equal to said certificate or certificates of deposit ; in which event , the certificate of 12 - REAL ESTATE PURCHASE CONTRACT AND RECEIPT FOR DEPOSIT 1■1 deposit will be returned to Purchaser. F . Escrow Agent will pay those claims necessary to carry out the terms of the owner ' s title insurance commitment and this agreement. G. Purchaser and Seller agree to execute any and all other instruments reasonably necessary to consummate the closing. H. CLOSING COSTS. I . SELLER ' S CLOSING COSTS . Seller shall pay Seller ' s attorney fee , cost of recording deed , cost of any certificate of governmentdi authorities evidencing that the Site complies with zoning and use requirements , cost of recording plat, parcel map, short plat, lot line adjustment or any similar resubdivision , if required , and any other costs required to be paid by Seller in this Agreement. 2 . PURCHASER' S CLOSING COSTS . Purchaser shall pay Pul:,haser ' s attirnev fee , cost of boundary su,:•,ey, oo.ner ' s title insurance premium, any license fees to appropriate governmental agencies for building permits or operation of the Center and cost of soil tests . 3 . COST OF CLOSING ESCROW. The cost of closir, escrow, if any, will be split by Seller and Purchaser . 4 . PRORATION . All taxes shall be prorated on closing. 5 . LIENS AND ASSESSMENT'S. Seller shall pay any unpaid liens or assessments against the Site. VI . POST CLOSING RESPONSIBILITIES. Escrow Agent will 13 - REAL ESTATE PURCHASE CONTRACT AND RECEIPT FOR DEPOSIT cause to be recorded the Warranty Deed, and the original Warranty Deed and owner ' s title insurance policy in the amount of the purchase price will be forwarded to Purchaser as soon as reasonably possible. VII . POSSESSION. Possession shall be delivered to Purchaser on close of escrow. VIII . DEFAULT. A. DEFAULT BY SELLER.. In the event Seller defaults in or fails to perform any part of this Agreement , then the Purchaser may, at its option, declare this Agreement null and void and demand return of its earnest money, or proceed by action at law or equity to enforce this Agreement. B . DEFAULT BY PURCHASER. . In the event Seller has performed all of its obligations under this Agreement and all of the conditions as to Site , survey and title have been satisfied and Purchaser fails cr refuses to perform its obligations , then in that event Seller shall , at its sole remedy, declare the Agreement terminated and the earnest money forfeited as liquilated damages , in which event the Agreement shall be of rye fu- th-er force and effect , and each party will bear its own expenses to date of such termination. Seller shall have no right to bring suit for specific performance. C. NOTICE UPON Dt, AULT. Before either party shall be entitled to declare this Agreement in default , it shall put the other party on five (5) days written notice of the nature of the 14 - REAL ESTATE PURCHASE CONTRACT AND RECEIPT FOR DEPOSIT s � claimed default. IX. USE OF ESCROW AGENT. A . DELIVERY OF EARNEST MONEY. The earnest money deposit in the amount of FIVE THOUSAND AND NO/100THS ($5 ,000 . 00) DOLLARS, provided for in paragraph III A. herein, shall be held by Safeco Title Insurance Company as Escrow Agent , pursuant to Esc-ow Instructions marked Exhibit 1 and included herein by reference. B. CLOSING ESCROW. Purchaser shall have the right to wire funds or to deliver a certified or cashier ' s check in the amount due by Purchaser on closing , to tht tit_e insLrance ccjmpany, or other agent selected by Purchaser, with instructions to record and deliver the funds to the appropriate party upon satisfaction of all the contingencies of the Agreement and owner ' s title insurance commitment. This Agreement shall be binding upon and inure to the benefit of the Seller and Purchaser and their respective heirs , executors , administrators , legal representatives , successors and assigns . However , this contract is personal to the Purchaser and may not be assigned by the Purchaser without Seller ' s prior written consent . This Agreement constitutes the sole and entire agreement between the parties hereto , and no modification hereof shall be binding unless set forth in writing, sig,ied by Seller and Purchaser. XIII . APPLICABLE LAW. This Agreement shall be construed pursuant to the laws of the State of Oregon. XIV. REQUIRED TIME FOR ACCEPTANCE BY PORCHASER. This constitutes an offer to sell the described property .
