USA has agreed to the acceptance of wastes from the sewer service areas of both cities if within the basin served by facilities operated by LISA. NOW, THEREFORE, Portland and Tigard agree that: 1. Tigard will accept into its sewer system for transpor- tation to the Fanno Creek Interceptor maintained by USA, all sanitary wastes originating within the arra outliL.ed on Exhibit "A," attached to and made part of this Agreement. Exceptions to Exhibit "A" will be permitted, if reauested by Portland and approved by TiUard. Tigard agrees to accept ownership and mainten- ance of that portion of the existing sewer consL.•.'cted under Multnomah County permit and extending from the upper end of Tigard's sewer line to the point of dis- charge by Portland as shown on Exhibit "B" also attached and rlrv`, - a part of this Agreement. Portland' s obliga- tier wf+.h respect to Tigard's sewer system shall he limited to the sewer line shown on Exhibit "B." -7- 2. Portland will collect all charges for sewer services from Portland properties and pay USA directly for all USA charges applicable to Portland property served b,� Tigard under the terms and conditions of this Agreement. 3. User Charges. Portlai.a will pay a monthly transportation charge for the conveyance of all sewage from Portland properties through Tigard to the Fanno Creek interceptor. The initial rate shall be $65.95 per ouarter based on the following assumptions and calculations: Portland's Service Area 84. 12 acres Fast, dwelling units or equivalents (D.U. 's)* 257 units Tignrc;'s Service Area 565.8 acres Est. b.U. 's* 2360 „nits Portland's share of sewer costs 257 _ - 0.0982 257 + 2360 1980 value of transporting sewers $379,172 Actual sewer maintenance cost ($379, 172 @ $4/1000) _ $1,517/year Plus administrative overhead at 10% 151. $1,668 *AL full development• -3- Initial user rate (1668 X .0982) 4 quarters = $40.95 Fulling cost @ $25/quarter $25.00 $65.95 quarterly Equivalent dwelling units shall be determined as given in USA Resolution and Order 70-12, as amended. This rate shall be adjusted annually as provided in paragraph 5. 4. Connection Charges. Portland shall pay a connection ' charge to Tigard for each new dwelling unit or equival- ent connection to the Tigara Sewer System. The initial rate shall be determined as shown below: 1980 Capital Cost - $350,988 = $135/unit 2617 D.U. 's (rounded to next higher dollar) No connection charges shall be paid for D.U. ' s connected and using the Tigard sewer system prior to the execution of this Agreement. 5. Rate Adjustments. The user raarge rate shall be adjusted yearly by multiplying the ratio of the "Engineering News Record" Wage Rates Index (average of skilled and common) for January of the current year divided by the average -4- for January of the previous year times the quarterly user charge for the pr^vious year. The connecCion charge rate shall be adjusted yearly by multiplying the rate for the previous year by the ratio of the current year's January ENR ConstrucLion Cost Index with the January Index for the previous year. These rates shall also be adjusted to reflect changes in the maximum number of D.U. 's due to density or service area changes. This adjustment shall be achieved by recalculating the rate as developed in paragraphs 3 and 4 and then applying the corrections with the appropriate Index. as given above. New rates shall be effective January 1. of each year. 6. Reporting new connection and billing. Within 10 days after the beginning of each calendar quarter, Portland agrees to report all new connections to Tigard. The Report will indicate the address of each new connection, the numbers of residential and commercial units determined as provided in paragraph 3 and the total numbers of residential and commercial units connected to date. 7. Reconstruction of damaged sewer lines. In the event of damage to any of Tigard's sewer used for the purpose 5-• intended in paragraph 1, requiring replacement or recon- struction of all or any portion of its length at a cost of $15,000 or more and whenever such damage is caused by earthquake, earth slide, flood or other acts of providence, acts of war, insurrection, sabotage, riot or other acts of a third person, Portland agrees to pay its share of the cost based on the share as specified in paragraph 3 as adjusted. 8. Relief of overloaded sewer lines. At such time as any of the sewer lines described in paragraph 1 become over- loaded or are about to become overloaded due to growth or development of the area, Tigard agrees to provide the additional capacity as needed. Portland agrees to pay its share of the cost to provide the additional capacity. Portland's share shall be determined in accordance with paragraph 3 of this Agreement. 9. Both Portland ::end Tigard agree to comply with and enforce the provisions of Sections G and 7 of the "Rules and Regulations Governing the Use of the Sewer System for Unified Sewerage Agency of Washington County, Oregon," adopted June 2, 1970 and effective July 1, 1970 -6- Agency Resolutions and Order 70-12 as amended with respect to property served by Cities under contract with Unified Sewerage Agency. 10. This agreement shall remain in force for twenty (20) years from the date first above written. At the end of the above period and each succeeding ten-year period, this agreement shall be automatically self.-renewed for an additional ten (10) year period until. cither party shall have notified the other in writing of its decision not to renew. Notice by either party of its desire to term- inate the agreement shall be given five (5) years or more before the then effective expiration date. However, regardless of termination of this agreement, Portland shall continue to pay all charges as specified while its sewage is being discharged to Tigard's sewer system. if Tigard desires to terminate service to Portland, a portion of any connection charges or other construction costs paid by Portland a- required in paragraphs 4, 7, and 8 shall be refunded to Portland. The amounts to be re- turned shall be the full amount paid by Portland, reduced by 1/30 for each year of service provided by Tigard to that dwelling unit (or equivalent) . -7- IN WITNESS WHEREOF, The City of Portland, by and through its Commissioner of Public Works and City Auditor and the City of. The said temporary easement shall terminate upon completion of construction. The Grantor reserves unto itself, its successors end assigns, the right to use and enjoy said above-described permanent easement for all purposes which may not interfere or be inconsistent with the use or caintenance by the Agency of the sewer legated within said permanent easement. It is understood that there are presently poles, towers and wires upon, adjacent and across the premises subject to the easec,ent above described and Grantee takes this easement subject to such use. It 1s understood and agreed that no additional structure shall be erected upon said easement by the Grantor without the written consent of' the Board of County Commissioners of Multnomah County, Uregun, as the governi'Lg body of the AC;eacv. All brush, trees and stumps which may be cut down or uprooted as a result of the construction of said sewer shall be either removed or burned by the Agency within a reasonable time after the compLetion of said construction. In laying, constructing and maintaining said newer, the Agency shall at all times preserve and protect Grantor's existing structures. The Agency assumes all risks of loss tc its property and injury to its employees and those persons haldinZ under it. The Agency shall reimburse the Grantor for all damage to Grantor's property resulting from, directly or Indirectly, the laying, construction and maintenance ,f the sewer above described. The A6ency shall indemnify and hold harmless the Grantor for all claims for injury or damage In any way connected with or resulting from the Agency's use and occupancy of the premises subject to the above easement. The Grantor re erves the right to raise the elevation of its proper*y, including the right-of-way conveyed by this instrument, by the placing of said, soil or other suitable material thereon. The sewer provided for herein may be covered by the sand, soil or other suitable material not to exceed 20 feet over pipeline. Manhole and outlet siphons o: said sewer shall be raised to new ground level at Grantor's expense. The determination of tare weights of each hauling vehicle and the determination of the weight of each loaded vehicle shall/be to the nearest 10 pounds . A "Ton" is understood to be 2 ,000 pounds avoirdupois . Include "Crushed Aggregates" in the description of items in the new fourth paragraph. Article 1.9 . 5. Alteration in Details of Construction. Insert the following as the third parLgraph : If the work involved is measured on an "All Required" basis and bid on a lump sum basis , the adjustment of the lump sum for the increases or the decreases will. be based on a theoretical unit price determined by dividing the Contractor's lump sum bid price by the estimated quantity of the item as shown in the Special Pro-•isions . 4 SUPPLEMENT (Cont'd. ) Article: 1.9 . 7. Payment for Force Account Work . Delete the entire Article and substitute the followinq : When extra work is ordered by the Director to be done on a force account basis , work so done and accepted will be paid for in the following manner: (1) Labor - For all labor, including equipment operators , and for foremen in direct charge of the specific operations, while erigaged directly upon force account work , the Contractor will be paid : (a) The actual. wages paid to said laborers and foremen when such wages are paid at rates not exceeding those for comparable labor currently employed on the project, or recognized current prevailing rates in the locality of the project. (b) The actual. cost of industrial accident insurance , unemployment compensation contributions and social security for old age assistance contributions incurr-el or required under statutory law and these Standard Specifications. (c) The actual amount paid to, or in behalf of, workmen by reason of subsistence and travel allowances , health and welfare benefits , pension fu.id benefits or other benefits , when such amounts are required by collac;ive bargaining agreement or other. employment c�onzr•act generally applicable to the classes of labor employed on the work. (2) Materials - For all materials actually used in the work , in accordance with the instructions of the Director, except such as are to be furnished and paid for under rental rates applicable in connection with the use of equipment as hereinafter provided, the Contractor will be paid the actual cost thereof to the purchaser, whether Contractor, Subcontractor or other forces , from the supplier t ;ieof, including transportation costs to the job site; subject to the following conditions : (a) If a cash or trade discount is offered or i9 available to the purchaser, it shall be credited to the County, notwith- standing the fact that such discount may not have been taken. (b) 7f materials are procured other than by direct pur- chase from and direct billing by the supplier, the cost thereof shall be deemed to be the price paid to the actual supplier, less discounts , as determined by the Director. No markup other than actual handling costs will be permitted. S SUPPLEMENT (Cont'd. ) Arti_;;le 1.9 .7. Payment for Force Account Work (Cont 'd. ) (2) Materials (cont'd.) (c) If materials are obt?ined from a supply or source wholly or partly owned by the purchaser, the cost thereof shall not exceed the price paid by the purchaser for similar materials furnished from said source on contract items , or the current wholesale price for such materials delivered i.o the job site , whichever is lower. (d) If the cost of materials is determined by the [`rector to be excessive , then the cost of such materials shall be deemed to be the lowest current wholesale price at which such materials are available in the quantities concerned, delivered at the job site , less any discounts offered or available . ( 3) Equipment - For the use of equipment, the Contractor will be paid in accordance with the general provisions and conditions and at the rental rates set forth in -he Oregon State Highway Department 's current official published document covering rental of equipment used in force account work in effect at the time the equipment is in use. For the use of equipment not listed in said document, the rental rates shall be as agreed to in writing between the Contractor and the Director prior to use of said unlisted equipment . A current copy of the above publication is on file at the Departr."rt of Public Works office , 2115 S . E. Morrison Street , Portland, Oregon , 97214 and is also on file at pertinent area offices of the Associated General Contractors of America. (4) Special Services - Under agreement by the Director and Contractor, it may be determined that a certain item or service under force account work cannot be satisfactorily performed by the forces of the Contractor or his Subcontractors in which case such item or service may be performed by a specialist. Invoices for such item or service on the basis of the current market price thereof may be accepted without complete itemization of labor, material and equip- ment cost when such itemization is impracticable or not customary under the circumstances . Where the force account work necessitates faLrication or machining work by the Contractor away from the joh site , charges for such work may, by agreement , be accepted as a specialist billing. The specialist invoices shall show credit for cash or trade discounts offered or available the same as applies to other force account work , but shall not include percentage or other markup to cove the Contractor's overhead charge or profit. 6 SUPPLEMENT (Cont'd. ) Article 1.9 .7. Payment for Force Account Work (Cont 'd.) (5) Percentage Allowances - To the actual costs enumerated and limited above , amounts equal to a percentage of such actual costs will be allowed and paid to the Contractor. These percentages will be as fellows : Under (1) Labor 20 percent Under (2) Materials 15 percent Under (3) Equipment 15 percent Under (4) Special Services 0 . t) percent The percentage allowances made to the Contractor in ac-iordance with the terms outlined above will be understood to be reimt,urse- ment and compensation for all superintendence, use of tools and small equipment, overhead expense , bond cost, insurance premiums , profits , indirect costs and losses of all kinds , and all other items of cost not specifically designated herein as items for which payment is to be made , whether the services , costs and other items involved are furnished or incurred by the Contractor, by the Subcontractor or by other forces . No other reimbursement, compensation or payment will be made for any such services , costs or other items . Should any percentage allowance or other corresponding allow- ance be made by the Contractor to a Subcontractor or to others , in connection with force account work , such allowance shall be at the sole expense of the Contractor and the Contractor will not be reimbursed or otherwise compensated for the same by the County. 7 SU'PPLLNLEN`i' (Cont'd. ) Article 1.9 . 10. "Monthly Estimates" . Delete the first and second paragraphs and substitute the following: At a regular period each month, the Director shall make an estimate of the amount of work done since! the previous estimate and compute the value thereof and shall file a certificate of the amount due the Contractor under the Contract with the Board of County Com- missioners for their approval. Partial payment shall be allowed and made on Contracts, based upon estimates prepared and certified to by the Director. An amount equal to not more than five percent of the Contract price of the work completed may be withheld as retainage. No such partial payment shall be construed as acceptance or approval of some of such work or waiver of arty defects therein. The County may reduce the amount of retainage on the Contract to less than five percent of the Contract price, if the resultinq retainage will be not less than 200 percen'-. of the estimated value of the work that has not been completed or if the Contractor deposits with the County, in lieu of the retainages , bonds and securities of equal value of a kind approved by the State Treasurer, including , but not limited to: (a) Bills , certificates , notes or bonds of the United States . (b) Otner obligationtj of the Onited States or its agencies . (c) Obligntions of any corporation wholly owned by the rederail Government. (d) Tndebtedness of the Federal National Nor.tgage Association. The. County shall pay to the Contractor, interest at the rate of one percent per month on the final payment due the Contractor. , Lnteres; to commence 30 days after the work under the Ccntract has 1)een completed and accepted anc, to run until. the date when the final paymtn , is tendered to the Contractor. The CC,)ntractor shall notify the Director in writing , when he 7onsiders the work complete and the Director shall , within 15 days after receiving the notice , make a written reply that the wer)- has been accepc.ed or state what work remains to be done under the terms of the Contract. Tf the Director does not, within the time allowed, notify the Contractor of worn yet to be performed, the interest provided by this subsection shall commence to run _10 days after the end of the 15-day period. 8 SUPPLEMENT (Cont'd. ) Article 1. 9.13. "Payment for Completed Work; Semi-Final Lstimate" . Delete the entire Article, the provisions of which are no longer applicable„ Article 2 , 1.9. Disposal of Materials and Platter. Delete the first and last paragraphs and insert; the following as the first and second paragraphs : Except as otherwise specified or directed, all trees, snags , logs , stumps , brush , boards , timbers , sticks and other refuse from the clearing operations shall be removed from the project or disposed of by a chipping operation. In the chipping opera-.ion the materials shall be reduced tc chips of one-half (1/2) inch maximum thickness and may be disposed of by uniform distribution on the ;urface of the cleared area or in some other manner satis- factory '­ the Director. The right of way and adjacent areas shall. be left with a neat and finished appearance. No accumulation of flammable material shall remain on or adjacent to the right of way, with the exception that trees too large for chipping may be cut in four ( 4) foot lengths and neatly stacked at the right of way line for the use of the adjacent property owners , when specified in the Special Provisions . Article 2. 1. 16. Measurement and Payment. Acid to the first paragraph; or "Clearing and Site Care" . Delete the last paragraph and substitute the following : The amounts to be allowed as partial payments under clearing and grubbing or clearing and site care shall not exceed the reas,an- able vale%� of the work actually performed, as estimated by the Director. 9 t SUPPLEMENT (Cont'd. ) Article 2. 3. 3. removing and Breaking Down Structures . Delete the first paragraph and insert the followinq : All cuts through portland cement concrete Pavement, walls , curbs , gutters, driveways, walks and similar structures , at loca- tions where the adjoining part of the structure is to be left in place, shall be made by the use of a mechanical. cutting device utilizing a revolving abrasive disk as the cutting medium. All cuts shall be clear., straight and vertical, made to lines desig- nated by the Director. If, in the opinion of the Director, the original cut does net provide the desired neat lines, successive cuts shall be made until the desired result is obtained. The additional cuts and additional concrete required as a result of undesirable cuts shall be furnished at the Contractor's expense. All cuts made and left exposed shall be as neat as practical and shall be finished by plasterinq the %exposed surface where ordered by the Director. Article 2. 28.4. Portland Cement. Add the following paragraph : The total alkali content of the cement used in any County project shall not exceed eight-tenths (0.8) percent. Article 2. 28.9. Classes and Proportions of Concrete Mixtur.ps . Add the following paragraph : All. concrete used in County construction shall Pass a minimum compressive strength test of three thousand ( 3,000) pounds per square inch, at twenty-eight (28) days , unless ol_he mise stated in the special provisions or ordered by the DirFctor. 10 W-K SUPPLL'MNT (Cont'd. ) Article 2. 28. 10. Quantity of Water and Consistency. Insert the following as the second paragraph : The maximum allowable slump for all concret►� used in County construction s all be Eour (4) inches , unless changed by special provisions or otherwise ordered by the Director. Article 2. 28. 13. Foundations . Insert the following as the third, fourth and fifth paragraphs : Any additional excavation required for the placement of the concrete is understood to be included in the unit price of the item and no additional payment will be made. In addition to the provisions of Article 2. 36 . 4. , embankment areas shall be compacted to conform with the density requirement set forth in Article 2.4. 18. , or shall be constructed with rand, as the Contractor may elect. Any area for concrete construction which has been excavated below the design subgrade shall either be filled with wet sand or have the concrete poured against the undisturbed surface, as the Contractor may elect. No payment shall be mage for the additional materials used in ei-.her of these methods . Article 2. 28. 16. Handling, Placing and Compacting Concrete. Quick Setting Concrete. Add this as a new Article: Quick setting concrete shall be provided when ordered by the Director. Normal use will be restricted to curbs, sidewalks , driveway ramps and driveways to allow earlier access than with the standard concrete mix. The concrete shall consist of six (6) sacks of cement per cubic yard with calcium chloride added at the rate of; one (1) pound per sack of cement when the temperature is above sixty (60) degrees Fahrenheit, or two (2) pounds per sack of cement when the temperature is sixty (60) degrees FAhrenheit or below. Article 2. 28.25. Measurement and Payment. Insert the following as the fourth paragraph : Payment for quick-setting concrete will be made in addition to the unix prices bid for the various item . The additional payment will be computed on the basis of; ter X10) cents per lineal foot of curb, thirty-three (33) cents per sc,uarc yard of six (6) inch driveway ramp, and twenty-three (23) cents per square yard of four (4) inch driveway or sidewalk. 12
