FRANKLIN FEDFRAL SAVINGS b LOAN ASSOC. hereinafter termed the "BANK" (Association). W I T N E S S E T H WHEREAS, the Principal has heretofore executed a Subdivision Compliance Agreement, with respect to the development, construction and improvement of a residFntial subdivision within the City known as Morning Hills II , a copy of said agreement together with a particular legal description of said lands being attached hereto and by reference made a part hereof: and WHEREAS, the Principal has proposed to the City that there by entrusted to the Bank the sum of $ 65,392.00 as a cash performance bond to assure the City that all requirements of said Subdivision Compliance Agreement shall be properly and timely performed and to assure that the costs thereof shall be timely paid and all requirements thereof met; and WHEREAS, the Bank has agreed to take title to and hold in a trust capacity the bum of $_ 65, 392.00 and hereby acknowledges custody thereof to be held pursuant to the terms and provisions of said Subdivision Compliance r_greement as hereto attached, and it is desired heret•y to set forth and define the conditions applicable to said cash bond. NOW, THEREFORE, if the Principal shall faithfully observe and timely comply with all requirements of said Subdivision Compliance Agreement and all ordinances and regulations applicable to said subdivision, and if the Principal shall well and truly perform all matters and things undertaken thereby and hereby to be performed and shall promptly make payment to all persons supplying labor or material for any prosecution of the work, and if the Principal shall not permit any lien or claim to be filed or prosecuted against the City on account of any labor or material furnished, and if. the Principal shall promptly pay all contributions or amounts due the State Industrial Accident Fund and the State Unemployment Compensation Fund, and shall promptly as due make payment to the person, co-partnership, association or corporation entitled thtreto of the monies mentioned in Chapters 279.320 and 279.510 O.R.S. and shall promptly comply with all withholding and patrntent requirements of Chapters 316. 162 to :116.212 O.R.S. with respect to the collection of taxes at. source, then upon full completion of all work and the furnishing of evidence satisfac _ory to the City that all requirements hereof lrav,f! been fulfilled, and if the Principal shall execute 9nd deliver to the City the Maintenance Bond described in said Subdivision Compliance Agreement, then the Bank shall. thereupon release to the Principal the said cash bond deposit: PROVIDED, however, that the obligations hereof shall not apply to any money Loaned or advanced to the Principal or to any subcontractor or other person in the N,�rfortance of any such work whether specifically provided for by contract or otherwise, IF, however, the Principal shall fail. to literally comply with all requirements of paid Subdivision Compliance Agreement and all the requirements hereof, or shall. in any particular perform the work in a defective manner, upon 10 days notice by the City to the Principal and such default or failure continuing thereafter, the City is hercl,y authorized to have said work performed or the requiremf_nts of the Subdivision Ccmpliance Agreement brought into conformity with the terms thereof and with the City's ordinances and regulations, and the City shall be, and it is hereby, authorized to charge the same against the entrusted cash deposit and the Bank agrees to pay therefrom all amounts certified by the CLty to be chargeable thereto. Nothing herein contained shall be construed to constitute acceptance by the City of any respons- ibility for maintenance of the improvements nor shall the City by reason thereof becom.- obligated to any person or property owner for any loss or damage arising by rea�cn of the manner in which said improvements were constructed. Further, the City be, and it is hereby, authorized in addition to the foregoing, in the event of such default on the part of the Principal to charge against said funds all costs incurred by the City including attorney's fees in exacting compliance ther:with or herewith, and the Bank agrees to disburse said funds for said purposes upon cr:rtification thereof by the City. One such development is the final phases of Morning Hill which impacts 135th and Walnut. Our records show this planned development was approved in April of 1978 by the City. Conditioning included the requirements for a half street improvement to County collector standards including an eight foot wide sidewalk along 135th frontage (Condition #1 ) , and a half street improvement to County collector standards with an eight foot sidewalk along Walnut Street frontage k'Condition #2) . In terms of meeting Growth Management standards , these requirements are not satisfactory. However, the development was approved prior to our present standards , therefore, the development is "grandfathered". The County does , however, request that the City obtain right-of-way dedication from the developer as required to construct the improvements m, ernplated in the proposed LID or as conditioned; get a waiver of the ri .,,ot to remonstrate against an LID to improve 135th alid Walnut and have thl developer enter into contractural agreement with the County to ensure conditions #1 and #2 are met before allowing development to proceed.
