COALITION OF COMMUNITIES OF COLOR SERVICE AGREEMENT
THIS AGREEMENT made and entered into this 1 day of April, 2016 by and between the City of
Tigard, a municipal corporation of the State of Oregon, hereinafter called City, and Coalition of
Communities of Color, hereinafter called Contractor.
RECITALS
WHEREAS, City has need for the services of a company or individual with a particular training,
ability, knowledge,and experience possessed by Contractor,and
WHEREAS, City has determined that Contractor is qualified and capable of performing the
professional services as City does hereinafter require,under those terms and conditions set forth:
THEREFORE,the Parties agree as follows:
SCOPE OF WORK
Contractor shall initiate services upon receipt of City's notice to proceed together with an executed
copy of this Agreement. Contractor agrees to complete work that is detailed in Exhibit A — Scope
of Work and by this reference made a part hereof.
EFFECTIVE DATE AND DURATION
This Agreement shall become effective upon signature by both parties and shall expire, unless
otherwise terminated or extended, on January 1, 2017. All work under this Agreement shall be
completed prior to the expiration of this Agreement.
COMPENSATION
City agrees to pay Contractor an amount not to exceed five thousand dollars and zero cents ($5,000)
for performance of those services described in this Agreement. Payment will be made based on
Contractor's invoice, subject to the approval of the City, and not more frequently than monthly.
Payment shall be payable within thirty(30) days from the date of the Contractor's invoice.

CONTRACTOR AS INDEPENDENT CONTRACTOR
Contractor acknowledges that for all purposes related to this Agreement, Contractor is and shall be
deemed to be an independent contractor as defined by ORS 670.600 and not an employee of City,shall
not be entitled to benefits of any kind to which an employee of City is entitled and shall be solely
responsible for all payments and taxes required by law. Furthermore, in the event that Contractor is
found by a court of law or any administrative agency to be an employee of City for any purpose, City
shall be entitled to offset compensation due, or to demand repayment of any amounts paid to
Contractor under the terms of this Agreement,to the full extent of any benefits or other remuneration
Contractor receives (from City or third party) as a result of said finding and to the full extent of any
payments that City is required to make (to Contractor or to a third party) as a result of said finding.
Contractor acknowledges that for all purposes related to this Agreement, Contractor is not an officer,
employee,or agent of the City as those terms are used in ORS 30.265.
CITY OF TIGARD BUSINESS LICENSE
Contractor shall obtain, prior to the execution of any performance under this Agreement, a City of
Tigard Business License. The Tigard Business License is based on a calendar year with a December 31'
expiration date. New businesses operating in Tigard after June 30" of the current year will pay a pro-
rated fee though the end of the calendar year.
INDEMNIFICATION
City has relied upon the experience, ability, and. training of Contractor as a material inducement to
enter into this Agreement. Contractor warrants that all its work will be performed in accordance with
generally accepted professional practices and standards as well as the requirements of applicable federal,
state and local laws, it being understood that acceptance of a Contractor's work by City shall not
operate as a waiver or release.
Contractor agrees to indemnify and defend the City, its officers, employees,agents and representatives
and hold them harmless from any and all liability, causes of action, claims, losses, damages,judgments
or other costs or expenses including attorney's fees and witness costs (at both trial and appeal level,
whether or not a trial or appeal ever takes place including any hearing before federal or state
administrative agencies) that may be asserted by any person or entity which in any way arise from,
during or in connection with the performance of the work described in this contract, except liability
arising out of the sole negligence of the City and its employees. Such indemnification shall also cover
claims brought against the City under state or federal worker's compensation laws. If any aspect of this
indemnity shall be found to be illegal or invalid for any reason whatsoever,such illegality or invalidity
shall not affect the validity of the remainder of this indemnification.
INSURANCE
Contractor shall maintain insurance acceptable to City in full force and effect throughout the term of
this contract. Such insurance shall cover risks arising directly or indirectly out of Contractor's activities
or work hereunder.
The policy or policies of insurance maintained by the Contractor shall provide at least the following
limits and coverages:

A. Commercial General Liability Insurance
Contractor shall obtain, at contractor's expense, and keep in effect during the term of this
contract, Comprehensive General Liability Insurance covering Bodily Injury and Property
Damage on an "occurrence" form (CG 2010 1185 or equivalent). This coverage shall include
Contractual Liability insurance for the indemnity provided under this contract. The following
insurance will be carried:

B. Commercial Automobile Insurance
Contractor shall also obtain, at contractor's expense, and keep in effect during the term of the
contract, Commercial Automobile Liability coverage including coverage for all owned, hired, and
non-owned vehicles on an"occurrence"form.The Combined Single Limit per occurrence shall not
be less than$1,000,000.
If Contractor uses a personally-owned vehicle for business use under this contract, the Contractor
shall obtain, at Contractor's expense, and keep in effect during the term of the contract, business
automobile liability coverage for all owned vehicles on an "occurrence" form. The Combined
Single Limit per occurrence shall not be less than$1,000,000.
C. Workers' Compensation Insurance
The contractor, its Subcontractors, if any,and all employers providing work, labor, or materials
under this Contract that are subject employers under the Oregon Workers' Compensation Law
shall comply with ORS 656.017, which requires them to provide workers' compensation
coverage that satisfies Oregon law for all their subject workers. Out-of-state employers must
provide Oregon workers' compensation coverage for their workers who work at a single
location within Oregon for more than 30 days in a calendar year. Contractors who perform
work without the assistance or labor of any employee need not obtain workers' compensation
coverage. All non-exempt employers shall provide Employer's Liability Insurance with coverage
limits of not less than$1,000,000 each accident.
D. Additional Insured Provision
All policies aforementioned, other than Workers' Compensation and Professional Liability,shall
include the City its officers, employees, agents and representatives as additional insureds with
respect to this contract.
E. Insurance Carrier Rating
Coverages provided by the Contractor must be underwritten by an insurance company deemed
acceptable by the City. All policies of insurance must be written by companies having an A.M.

Best rating of "A-VII" or better, or equivalent. The City reserves the right to reject all or any
insurance carrier(s) with an unacceptable financial rating.
F. Certificates of Insurance
As evidence of the insurance coverage required by the contract, the Contractor shall furnish a
Certificate of Insurance to the City. No contract shall be effective until the required Certificates
of Insurance have been received and approved by the City. The certificate will specify and
document all provisions within this contract and include a copy of Additional Insured
Endorsement. A renewal certificate will be sent to the below address prior to coverage
expiration.
G. Independent Contractor Status
The service or services to be rendered under this contract are those of an independent contractor.
Contractor is not an officer,employee or agent of the City as those terms are used in ORS 30.265.
H. Primary Coverage Clarification
The parties agree that Contractor's coverage shall be primary to the extent permitted by law. The
parties further agree that other insurance maintained by the City is excess and not contributory
insurance with the insurance required in this section.
A certificate in form satisfactory to the City certifying to the issuance of such insurance will be
forwarded to:

At the discretion of the City, a copy of each insurance policy, certified as a true copy by an authorized
representative of the issuing insurance company may be required to be forwarded to the above address.
Such policies or certificates must be delivered prior to commencement of the work. The procuring of
such required insurance shall not be construed to limit contractor's liability hereunder.
Notwithstanding said insurance, Contractor shall be obligated for the total amount of any damage,
injury,or loss caused by negligence or neglect connected with this contract.
TERMINATION
The Parties agree that any decision by either party to terminate this Agreement before either before
the work is completed or the 1 day- of May, 2017 shall be accompanied by thirty (30) days written
notice to the other party prior to the date termination would take effect. There shall be no penalty
for early termination. If City terminates the contract pursuant to this paragraph, it shall pay
Contractor for services rendered prorated to the date of termination.
AGREEMENT MODIFICATIONS
Modifications to this Agreement are valid only if made in writing and signed by all Parties.

OWNERSHIP OF WORK PRODUCT
City shall be the owner of and shall be entitled to possession of any and all work products of
Contractor which result from this Agreement, including any computations, plans, correspondence or
pertinent data and information gathered by or computed by Contractor prior to termination of this
Agreement by Contractor or upon completion of the work pursuant to this Agreement.
GOVERNING LAW
Contractor shall comply with all applicable federal, state and local laws; and rules and regulations on
non-discrimination in employment because of race, color, ancestry, national origin, religion, sex,
marital status, age, medical condition or disability. The provisions of this Agreement shall be
construed in accordance with the provisions of the laws of the State of Oregon. All provisions required
by ORS Chapters 279A,279B, and 279C to be included in a contract of this type are incorporated into
this Agreement as though fully set forth herein. Any action or suits involving any question arising
under this Agreement must be brought in the appropriate court of the State of Oregon.
CONDITIONS OF SUPPLYING A PUBLIC AGENCY
Where applicable, Contractor must make payment promptly as due to persons supplying Contractor
labor or materials for the execution of the work provided by this order. Contractor must pay all
contributions or amounts due from Contractor to the Industrial Accident Fund incurred in the
performance of this order. Contractor shall not permit any lien or claim to be filed or prosecuted against
Buyer or any subdivision of City on account of any labor or material to be furnished. Contractor further
agrees to pay to the Department of Revenue all sums withheld from employees pursuant to ORS 316.167.
COMPLETE AGREEMENT
This Agreement and attached exhibit constitutes the entire Agreement between the parties. No waiver,
consent, modification, or change of terms of this Agreement shall bind either party unless in writing
and signed by both parties. Such waiver, consent, modification, or change if made, shall be effective
only in specific instances and for the specific purpose given.
There are no understandings, agreements, or representations, oral or written, not specified herein
regarding this Agreement. Contractor, by the signature of its authorized representative, hereby
acknowledges that they have read this Agreement, understands it and agrees to be bound by its terms
and conditions.
IN WITNESS WHEREOF, City has caused this Agreement to be executed by its duly authorized
undersigned officer and Contractor has executed this Agreement on the date hereinabove first written.

Communities of Color in Washington County
Research Proposal
Summary
The Coalition of Communities of Color proposes a one-year project in partnership with local community-based
organizations to implement a community-based participatory research project into the lived realities of
communities of color in Washington County,Oregon. The project will
• Build knowledge about communities of color in Washington County;
• Develop community and build social capital in Washington County;and
• Increase the regional capacity of the Coalition of Communities of Color to be a resource to Washington
County.
Organizational Description
The mission of the Coalition of Communities of Color(CCC)is to address the socioeconomic disparities,
institutional racism,and inequity of services experienced by our families,children and communities;and to
organize our communities for collective action resulting in social change to obtain self-determination,wellness,
justice and prosperity. Formed in 2001,the CCC is an alliance of 20 culturally-specific community based
organizations with representation from six communities of color:African,African American,Asian and Pacific
Islander, Latino, Native American and Slavic.'
The CCC supports a collective racial justice effort to improve outcomes in education and community and
economic development. We utilize the following strategies to advance our focus areas:policy analysis and
advocacy,culturally-appropriate data and research, leadership development in communities of color, and racial
justice movement building.
The CCC has a successful track record of collectively advancing racial justice in Multnomah County including our
common understanding of racial inequities and shared vision for change;our coordination of activities and
strategies across member organizations; our ability to function on the basis of differentiated approaches to
advance collective agendas arising from our founding principles of cultural-specificity and cross-cultural
collective action;our experience working across sectors to advance racial equity;our consensus-based decision
making and open communications;and our more than decade-long experience building intentional relationships
across communities and organizations of color.
This project takes advantage of the CCC's stature as one of the region's foremost providers of culturally-
appropriate data and research. The CCC spent years on a community-based participatory research about the
lived realities of communities of color in Multnomah County, The CCC also partnered with Portland State
University to create the Center to Advance Racial Equity to implement community-initiated research projects
with the potential to improve outcomes for communities of color.
I CCC member organizations include the following:Africa House,Asian Pacific American Network of Oregon,Center for
Intercultural Organizing, Hacienda CDC,Immigrant and Refugee Community Organization,KairosPDX, Latino Network,
Milagro,Native American Youth&Family Center, Portland African American Leadership Forum,Portland Community
Reinvestment Initiatives,Portland Indian Leaders'Roundtable,Portland Youth&Elders'Council,Self Enhancement Inc.,
Slavic Community Center,Slavic Network of Oregon,Urban League of Portland,Verde and VOZ.

Project Decision-Making
A Steering Committee will guide the project's design and implementation. The Steering Committee will be
comprised of local jurisdictions, local organizations,funders,and CCC members. The Steering Committee is
responsible for developing the scope of the research and collectively creating any recommendations that travel
with the research. The Steering Committee structure ensures local partners are working together to inform the
narrative of communities of color in Washington County.
Project Strategies&Activities
Since the release of our groundbreaking research on Multnomah County in 2010,the CCC has received
numerous requests to conduct research in Washington County. The time is ripe to expand the CCC's research
work to document the lived realities of communities of color in Washington County. Washington County's
demographics are rapidly changing,primarily through increased numbers of communities of color and
immigrants and refugees.
The CCC proposes a one-year project to implement a community-based participatory research project into the
lived realities of communities of color in Washington County,Oregon.Project strategies and activities are
described below.
• Strengthen the region's community-based research capacity. The CCC will hire and onboard a researcher
knowledgeable about community-based participatory research, We will deepen the current research
partnership between the CCC and PSU. We will build relationships between the CCC and additional
higher education institutions in the region with graduate and PhD programs. We will create a network
of local researchers available to implement community-initiated research projects.
• Perform an environmental scan of Washington County. The CCC will perform a scan that identifies
organizations and leaders in the County that represent and/or organize communities of color;identifies
organizations and leaders in the County that work on CCC priority areas including education and
community and economic development;and assesses and analyzes current CCC connections with
Washington County including clients,constituents and activities.
• Build and strengthen relationships in Washington County. Based on the findings of the environmental
scan,the CCC will identify community-based organizations and leaders in the County to intentionally
reach out to and engage. We will partner with community-based organizations in the County who will
provide expertise and advice throughout the project's implementation.
• Collect and analyze quantitative and qualitative data about communities of color. The CCC will utilize
quantitative data from such sources as the U.S.Census,American Community Survey,and state and
local administrative datasets. Customized data runs will be used for communities invisible in traditional
databases. We will incorporate qualitative data through hosting culturally-specific focus groups and
using culturally-specific surveys.
• Incorporate community-based verification processes. After the CCC collects and analyzes the
quantitative and qualitative data on communities of color in Washington County,we will identify and

bring together community leaders representing specific communities of color to review the findings,
provide community feedback and, ultimately,verify the data and analysis. Leaders within Washington
County will be the final approvers of the research report.
• Communicate and disseminate the research findings. The CCC and local partners will release and widely
distribute the research report on communities of color in Washington County. Initial dissemination will
focus on policy makers in the County. We will also host train-the-trainer workshops to train community
members to present and discuss the research findings.
• Implement community-initiated research projects. In addition to releasing the overall report on
communities of color in Washington County,the CCC will support the implementation of five smaller
community-initiated research projects during the same time period. These research projects will come
from community-based organizations in Washington County or other community-based organizations
with research agendas that relate to Washington County,

Project Outcomes
The CCC is optimistic about the outcomes of a project to report on the lived realities of communities of color in
Washington County, A robust evaluation was conducted on our research in Multnomah County and we utilize
that evaluation in proposing these outcomes,

County's diverse communities into focus and help make visible less visible communities of color. The
culturally-specific findings will uplift community-specific assets and needs. The research will help make
racial equity a priority for the County and will help make Washington County's diverse communities a
priority for the region.
• Develop community and build social capital in Washington County. The project will support
communities of color in Washington County by heightening leadership roles for people of color in the
County,building consensus and solidarity among communities of color,and broadening the overall
community seeking to improve outcomes for communities of color in the County. We will broaden the
current advocacy lens to prioritize seeing the dial move on documented indicators. Finally,the project
will bring additional resources into Washington County by providing the data and research needed for
grant proposals and for funders to target their investments.
• increase the regional capacity of the Coalition of Communities of Color to be a resource to Washington
County. The project will strengthen the CCUs ability to support communities of color in Washington
County,and greatly increase our relationships with organizations and leaders across the County. We will
expand the reach of our Leadership Development Initiative to intentionally outreach to established and
emerging leaders of color in the County. The CCC anticipates expanding our membership to include
culturally-specific community based organizations located in Washington County.
Conclusion
The Coalition of Communities of Color looks forward to implementing this project on the lived realities of
communities of color in Washington County. We welcome partners who want to ensure that this project is
successful.
