Intergovernmental Water Board Meeting Minutes November 9, 2005 Members Present: Bill Scheiderich, Patrick Carroll, Dick Winn, Janet Zeider (TWD Alternate) Members Absent: Tom Woodruff and Beverly Froude Staff Present: Brian Rager and Twila Willson Visitors: Henrietta Cochrun 1. Call to Order, Roll Call and Introductions The meeting was called to order at 5:31 p.m. by Commissioner Bill Scheiderich. 2. Approval of Minutes— October 12, 2005 Commissioner Janet Zeider motioned to accept the minutes, Commissioner Dick Winn seconded the motion and the vote was unanimous to accept the minutes as presented. 3. WCCCA Tower Lease Agreement at Canterbury Site— Brian Rager Staff distributed a copy of a memo from Dennis Koellermeier dated November 3, 2005, regarding the lease which would allow WCCCA to put the communications tower on the Canterbury site. The board requested provisions be added for the city to use the tower for their own uses. Commissioner Carroll motioned to recommend approval by the City Council, Commissioner Zeider seconded the motion, and the board voted unanimously to approve the motion. 4. Long Term Water Supply Update— Brian Rager At last check, the Sherwood election results indicated 52% in favor of going to the Willamette River as their water source. May 23, 2006, is the date for a decision to be made with the Portland contract. Tigard's contract with Portland expires in 2007. There is a need to continue working on the Lake Oswego proposal so that it will compare apples to apples, similar to the other options. Intergovernmental Water Board November 9,2005 DRAFT 1 Mr. Koellermeier wants to report on Tigard's options with Portland, JWC, Lake Oswego, and Willamette River with similar comparisons and with the hopes of making eliminations of some of the options. The board requested that Dennis Koellermeier make arrangements for the Integrated Utilities Group (IUG) to make a presentation to the IWB. 5. Informational Items— Brian Rager Tigard has had a vacancy of the Water Supervisor since Rich Sattler left. Today management made their final hiring negotiations. Staff is looking forward to John Goodrich coming on board November 28th. The person filling this position needed specific certifications to meet the state requirements, which John Goodrich has. This supervisor will oversee the water quality, water conservation, backflow, and supply portion of the water division. 6. Public Comments - None 7. Non Agenda Items Commissioner Dick Winn reported on an issue with the Joint Water Commission (JWC). Apparently a member of the Tualatin Valley Wildlife Refuge Association has found out that there is a problem with the 40 foot dam raise. The Wildlife Association wants the wetlands to flood; they are opposed to the added 20 foot raise over the original proposed 20 foot dam raise, which would not allow the flooding to take place. The board requested that Dennis Koellermeier prepare a report for a future meeting to update the board on the JWC dam issue. 8. Call to Order, Roll Call and Introductions Commissioner Scheiderich called the meeting to order at 5:33 p.m. 2. Approval of Minutes—July 13, 2005 The minutes indicated the meeting was called to order at 7:31 p.m., when, in fact, it should read as follows: "Commissioner Bill Scheiderich called the meeting to order at 5:31 p.m. Sidney Sherwood, Alternate representative from the City of Tigard was in attendance. Commissioner Tom Woodruff arrived late (5:33 p.m.)" Commissioner Dick Winn motioned to approve the minutes as corrected, Councilor Sidney Sherwood seconded the motion and the board voted unanimous to accept the minutes as corrected. 3. Long Term Water Supply Update—Brian Rager Portland - Copies of the most recent Portland contract were distributed for review by the board members. The peak price for water would be $.88 ccf and the non peak price would be about one-fourth that amount. May 22, 2006, is the final date that Portland has set for a decision from the involved wholesale buyers. The City of Sherwood and Tualatin Valley Water District (TVWD) will be going to a vote of their citizens for the Willamette River as a water source. TVWD is looking at the Willamette River as a primary water source. Joint Water Commission (JWC)—The environmental study is still pending. May 2006 will be the time to make a decision about continuing with the JWC. Lake Oswego — Staff from both Tigard and Lake Oswego are still working together on negotiations and preparing common apples to apples statistics and information for Intergovernmental Water Board October 12,2005 DRAFT 1 comparison. An intergovernmental agreement (IGA) draft is anticipated for consideration in May 2006. Willamette River—There are still some citizens against the Willamette River, but they are not as vocal as in the past. Look on the webpage for information: www.willametteriver.org Commissioner Scheiderich was concerned about the draft agreement between Tigard and Lake Oswego getting too far along before the board had a chance to review the IGA. He said he would like to see early draft information so that problems do not occur. 4. Informational Items— Brian Rager Staff distributed informational items, which included newspaper articles. Also distributed was the water purchase statistic information for the months of September and October. Aquifer Storage and Recovery (ASR)—The state requires us to retain 5% water at the end of withdrawal; the hydro geologist suggests pumping some of the groundwater and replacing it with storage water. Water demand has dropped, but Tigard still has the Portland requirements to meet as well as the JWC agreement, so staff is not sure if that approach would be possible. ASR water is drinkable when injected and is again chlorinated when it is extracted. There is a back flushing process performed every two weeks. CIP Contract on Bull Mountain. —The project has not started yet, but is to be completed by the end of January or first part of February 2006. Pipe is now on site. A below ground detention system is being installed for backflow purposes. Telemetry System - Telemetry system upgrades have been approved through Tigard City Council. The JWC has already performed their upgrade and Tigard is piggy backing on that work. Portland Engineering, Inc., has been awarded the contact for the system upgrade which will include a whole new system replacing the current system, software, etc., and rolling over the information from the old system into the new system. The new system is a radio frequency system, whereas the old system is a phone processed system. The JWC is up and running with their new system with some as-builts and other minor items that need to be cleaned up, but basically they are using the new system. Software and components are off the shelf items so it should not be difficult to replace anything. The Tigard Water District building will house the new telemetry system and will have a back-up generator in case of power outages. Property acquisition updates—Staff is working with property owners and the City attorney and will be going to the Council soon with that proposal. The property being looked at would be suitable for a pocket park over the reservoir. The reservoir would have a hatch to access for monitoring and cleaning. Access would be through a private driveway with an agreement through the property owner. Intergovernmental Water Board October 12,2005 DRAFT 2 The north side of Bull Mountain calls for a 550 ft. reservoir also. Staff has also been working with a property owner in that area who is interested in negotiating with the City. WCCCA Tower at Canterbury Site — Tigard will have a draft lease for review soon. The board discussed that they thought the City should have access to the tower for use and requested that provision be included in the agreement. The technical issues would be reviewed as to whether a larger power output could be used with the WCCCA permits. 5. Public Comments - None 6. Non Agenda Items Commissioner Scheiderich was curious about using auditorium as a homeless shelter during cold winter months. Councilor Sherwood said there has been some talk in the county for an emergency cold weather plan but they were working with churches now, rather than using the auditorium as an option. Brian Rager brought to the attention of the board an issue with Gage Industries on Hunziker. • The site had a water leak in the fire line which was detected the end of 2003 • Staff tried contacting Gage Industries repeatedly, without results • Contacted was eventually made with Deering Management Group who is the property management company for the property site • Sent letters requesting they comply by making repairs • Sent a bill for $9,000+ for lost water • Management company said that Tigard was contacting the wrong person for a long period of time • As soon as they received the notice, they started working on locating and making the repairs • Over $11,000 was spent for the detection alone • Fixing the damage cost even more • Management company is asking the city to forgive the lost water costs The board discussed the issue and ultimately requested that the management group put their request in writing and present it to the board at a future meeting. Mr. Rager said he would also research the City's efforts to make contact with the customer. 7. Next Meeting - Wednesday, November 9, 2005, 5:30 p.m. — Water Auditorium 8. "V-#ZT z2 2,12 C` MEMORANDUM TO: Intergovernmantal Water Board (IWB) Members FROM: Dennis Koellermeier, Public Works Directort�. RE: WCCCA Lease DATE: November 3, 2005 Background Washington County Consolidated Communications Agency (WCCCA) has conducted extensive emergency communication coverage evaluations in response to complaints from emergency service providers in the County. Specifically, terrain creates coverage shadows in the Tigard/Durham area and the solution is additional Tower/repeater locations to fill these gaps. WCCCA has concluded that an ideal site for such a facility would be on the property known as the Canterbury property. WCCCA made a presentation to the IWB which authorized WCCCA to proceed through the land use process. That process has been completed, land use has approved the facility, and now a lease document needs to be executed. Key issues in the lease Authority: As staff reviewed the lease, a question was raised as to who should be the Lessor in that the property is located in the City of Tigard, portions of it are operated as a part of the water system, but the ownership is shown as the Tigard Water District. Staff reviewed this issue with the City attorney, which resulted in a memo being prepared and presented to the Tigard Water District (TWD) board on October 24, 2005. At that meeting the TWD board authorized the IWB and City Council to execute the lease. A copy of the staff memo presented to the TWD is attached. Compensation: Because this is one public agency leasing a site to another public agency, staff believes it is appropriate to set the lease terms as a token amount. The beneficiaries of this facility will be the public in the vicinity of the tower, which is the same as the customers of the IWB. The Lessee, WCCCA, will be responsible for insurance, annual operating costs, etc., so no annual costs to the IWB are anticipated. Section 18 of the lease has been added at the request of staff and contains language developed by Clean Water Services' (CWS) legal advisors for a similar lease. This section provides control over sub-leasing space on the tower to commercial applications, where market driven lease rates would apply. In short, the City would receive the lease revenue generated by a sub-lease. Recommendation and Next Steps Staff recommends the IWB recommend, by motion, to the Tigard City Council execution of the lease, as modified, including the addition of Section 18 and the change of the Lessor to be the City of Tigard. Staff will then submit the lease agreement as a consent agenda item to the Tigard City Council. ' Forn�tted COMMUNICATIONS FACILITY SITE LEASE THIS Lease agreement entered this day of October 2005 by and between Tigard Water District (Lessor), and Washington County Consolidated Communications Agency, an ORS 190 Organization,Beaverton, Oregon(Lessee). WHEREAS Lessor is the owner of certain real property located in Washington County, State of Oregon, at 10310 SW Canterbury Lane Tigard,Oregon and hereinafter referred to as the Property,and; WHEREAS Lessee desires to Lease an approximate 1,500 square foot portion of the property more particularly shown on Exhibit "A-1-3" attached hereto (herein referred to as the Site) for the purpose of erecting and operating thereon a radio communication tower,building,fencing and associated facilities(herein referred to as the Communications Facility), and; WHEREAS Lessor desires to lease the Site to Lessee upon the terms and conditions hereinafter set forth,and; NOW THEREFORE in consideration of the mutual promises contained herein agree as follows. 1. Leased Rights: Lessor does hereby lease to Lessee the Site together with a nonexclusive easement for the right-of-way of ingress and egress to and from the Site from the nearest adjacent roadway, with the right to use existing roads(the Easement). In addition, Lessee shall have the temporary right to use such portion of the Property along or adjacent to the Site only for so long as may be necessary for the construction, maintenance, repair, alteration, removal or replacement, as applicable, of the Communications Facility so long as such temporary use, as determined in the exclusive discretion of Lessor, does not unreasonably interfere with Lessor's use of the property. 2. Authority: Lessor covenants and warrants, that Lessor has the title to the Property and that Lessor has the right and authority to enter into this Lease. Lessee shall not have priority over or interfere with existing uses on the Property. Lessor makes no warranties or guaranties with regard to the Property,and specifically does not guarantee,warrantee or in any other way covenant and agree that there shall be no interference of Lessee's proposed used of the Site from the use on the Property as of the date of the Lease. Lessee has made its own investigation of the Property and is relying solely upon such investigation, and not upon any written or verbal representations of Lessor or any of its agents, employees or representatives, with regard to the status of the Property and its fitness for Lessee's intended use. 3. lease Term: The primary term of this Lease shall commence on the date Lessee executes this Lease and terminate on the ten (10) year anniversary of such date, provided, that extensions to the term of the Lease may be granted as hereinafter set forth. Lessee may terminate the Lease upon not less than ninety(90)days written notice to Lessor. If Lessee should provide such notice, Lessee shall not be entitled to any refund of fees previously paid. Lessor may not terminate the Lease except by consent of lessee and by written notice to Lessee given not more than one year nor less than one hundred and eighty (180) days prior to the expiration of the initial ten-year term or the expiration of subsequent five year terms as applicable. 4. Lease Renewal: If this Lease has not been terminated prior to the expiration of the initial term or any subsequent term agreed upon by the parties as hereinafter provided,Lessee may give written notice to Lessor not later than ninety (90) days prior to the expiration date of a term requesting an opportunity to negotiate with Lessor for an additional term of not less than five (5)years. Any such additional lease term shall be on such terms and conditions as the parties shall then agree. Page 1 5 Consideration: 5.1 Lease Fees: As consideration for the use of the Site, Lessee shall pay Lessor a fee in the amount of $1.00 per year Rent shall be paid in advance on or before the first day of each year. 5.2 Damages to the Property: Lessee shall repair or pay to Lessor the cost of repair for any damage done to the Property, including the land and improvements of Lessor and improvements to or personal property located on the Property owned by any person or entity, caused by, arising from or related to Lessee's use of the Property. Lessee agrees to indemnify and hold harmless the Lessor from any claims, damages harm or loss of whatever kind or nature arising from or related to Lessee's use of the Property. Lessee's duty to indemnify Lessor includes the duty to defend Lessor, at Lessee's cost,from such claims damages, harm or loss, by legal counsel reasonably acceptable to Lessor. The provisions of this Section 5.2 shall survive the termination of this Lease. 6. Use and Alteration: The Site shall be used and occupied by Lessee for the construction and operation of a Communications Facility and activities incident, related or similar thereto, including, without limitation, maintenance, repair or removal of and additions or alterations to the Communications Facility,subject to the limitations of use set forth in this Lease. 7. Ownership of Communications Facility: The Communications Facility and any alterations or additions thereto which may be constructed by Lessee on the Site shall be owned by Lessee and shall be removed by Lessee upon termination of this Lease, and any damage to the Property caused by or incurred as a result of such removal shall be repaired or paid for by Lessee in accordance with the provisions of Section 5.2 hereof.. In the event that Lessee does not remove the Communications Facility within thirty (30) days of the termination of this Lease, Lessor shall give Lessee thirty (30) days written notice to remove the Communications Facility. At the end of the thirty (30) day notice period, if Lessee has still failed to remove the Communications Facility and any buildings and improvements which may be erected on the Site and all appurtenances thereto they shall be removed by Lessor, and Lessee shall pay all costs of removal including all attorney fees incurred by Lessor. The provisions of this Section 7 shall survive any termination of this Lease. 8. Repair and Maintenance: Lessee shall, during the term of this Lease, at its own cost and expense, keep and maintain the Site, grounds, Communications Facility and any buildings and improvements which may be erected on the Site and all appurtenances thereto in good order and repair and shall allow no nuisances to exist or be maintained. Lessor shall not be obligated to make any repairs, replacements, or renewals of any kind, nature or description whatsoever to the Site of the Communications Facility or any appurtenances thereto. 9. Notices: All notices, requests, demands or other communications provided for or permitted or required by this Lease shall be deemed given and received upon the earlier of actual delivery in writing to the following address or three (3)days after such shall be deposited in the United States Mail, postage paid by registered or certified mail,return receipt requested,addressed as follows: LESSOR: Tigard Water District PO Box 82125 Portland,OR 97282 Attn: Manager LESSEE: WCCCA PO Box 6375 Beaverton,OR 97007 Attn: Director Page 2 10. Damage and Destruction: If the whole of the Site or the Communications Facility or such portion [hereof as will make the Site or the Communications Facility unsuitable for Lessee's business is damaged or destroyed by events not caused by Lessee, then in either of such events, this Lease shall terminate upon written notice of such termination given by Lessee. If any portion of the Site is damaged or destroyed by events not caused by Lessee, and the Lease is not terminated under the provisions of the immediately preceding sentence,then the fees of the remaining portion of the Site shall be equitably reduced. 11. Condemnation: If the whole of the Site or such portion thereof as will make the Site unsuitable for Lessee's business is condemned for any public use or purpose by any legally constituted authority, then in either of such events, at Lessee's option, this Lease shall terminate as of the time when possession is taken by such public authority, and the fees of the Site shall be abated. If any portion of the Site is condemned for any public use or purpose by any legally constituted authority, and this Lease is not terminated under the provisions of the immediately preceding sentence, then the fees on the remaining portion of the Site shall be equitably reduced. Lessee agrees that Lessor shall be entitled to all compensation paid for condemnation of all or any part of the Site excluding the compensation paid for all or any portion of the Communications Facility. 12. Lessee's Right to Cure: Lessor's Remedies: In the event Lessee defaults in performance, or observation of any of the covenants,obligations or conditions,other than payment which is governed by Section 5, on its part to be performed or observed under this Lease, Lessor shall, before exercising any right or remedy provided herein or by law, give Lessee written notice of the default which shall be cured by Lessee within thirty(30)days. If the default is one which,due to its nature, cannot reasonably be cured within thirty(30)days,Lessee shall be deemed to have cured the default if Lessee has commenced the actions necessary to effect a cure within said thirty (30)day period, and thereafter diligently proceeds with all actions necessary to effect a complete cure. If at the expiration of the applicable period,cure has not occurred, Lessor may exercise any available right or remedy,including termination of this Lease. 13. Lessor's Right to Cure: Lessee's Remedies. In the event the Lessor defaults in performance or observation of any of the covenants, obligations or conditions on its part to be performed or observed under this Lease,Lessee shall,before exercising any right or remedy provided herein or by law, give Lessor thirty(30)days written notice of the default or such longer period of time as may be reasonably required to cure a default which, due to its nature, cannot reasonably be cured within thirty(30)days, if during said thirty(30)day period, Lessor commences efforts designed to affect a cure and thereafter diligently pursues such efforts. If at the expiration of said period, cure has not occurred, Lessee may, so long as the default remains uncured, in the place and stead of Lessor, make the payment or accomplish the performance or observance with respect to which Lessor is in default, and in the event Lessee does so, all sums necessarily expended and costs and expenses reasonably incurred by Lessee in connection therewith shall be payable by Lessor to Lessee upon demand. 14. Restrictive Covenants. During the term of this Lease, Lessor shall not use the Property in any manner which would adversely affect the operation of the Communications Facility or use the Site or erect or place thereon any structure, vegetation or other condition which would obstruct the transmission of radio frequencies to or from the Communications Facility or otherwise interfere with operation of the Communications Facility or use of the Site. Lessee's sole remedy for a breach by Lessor of this covenant shall be the right to terminate the Lease. Upon written notice to Lessor specifying proposed actions, and subject to prior written approval by Lessor which may be conditioned, granted or withheld in the exclusive discretion of Lessor, Lessee may, at its own expense, control or remove natural vegetative growth on the Site. Lessee shall be liable for all damages, whether to the land or improvements of Lessor or any other, which may be caused by erosion created by the removal of any vegetation. The provisions of this paragraph shall apply to all officers, directors, subsidiaries or affiliates of Lessee or Lessor, if applicable, and shall be binding upon the successors and assigns of Lessor and Lessee. Page 3 15. Hazardous Materials. Lessee shall not cause or permit any hazardous material to be brought upon, kept or used in or about the Site or the Property by Lessee, its agents, employees, contractors or invitees without the prior written consent of Lessor,which shall not be unreasonably withheld as long as Lessee demonstrates to Lessor's reasonable satisfaction that such hazardous material is necessary or useful to the Lessee's business and will be used, kept, and stored in a manner that complies with all laws regulating any such hazardous material so brought upon or used or kept in or about the Site or the Property. Lessor hereby acknowledges and approves that Lessee has the right to conduct its business of operating a communications site and thus will utilize batteries as power backup, diesel fuel to power its generator, and equipment which may contain or be considered hazardous materials which Lessee shall comply with all laws related thereto. As used in this paragraph, the term "hazardous material" means any hazardous or toxic substance, material, or waste, including but not limited to, those substances, materials, and wastes listed in the United States Department of Transportation Hazardous Materials Table(49 CFR 172.101)or by the United States Environmental Protection Agency as a hazardous substance (40 CFR Part 302) and amendments thereto, petroleum products, or such other substances, materials, and wastes that are or become regulated under applicable local,state or federal law. 16. Insurances. Such self- insurance coverage shall cover all risks arising directly or indirectly out of Lessee's activities on or any condition of the Leased Land. Said coverage shall provide for Lessor to be named as an additional insured. The parties agree that said liability and property damage insurance requirements shall be reviewed periodically and maintained at levels acceptable to Lessor. In connection with the above, Lessee shall maintain in force during the performance of this Lease agreement,at its expense,Workmen's Compensation Insurance or equivalent insurance. 21. Taxes and Assessments. Lessee agrees to pay to Lessor when billed, all lawful assessments and charges which Lessor is required to pay because of Lessee's use of the Site, including any real property or personal property tax or fire protection assessments which Lessor shall receive and be required to pay as a result of Lessee's use and operations from or upon the Site. This obligation shall include all real property or personal property tax or fire protection assessments attributable to the improvements themselves and the increase in the value of land occasioned by such improvements. The failure of the Lessee to pay any and all of these taxes upon demand by Lessor shall be grounds, upon the expiration of three(3)months from the date of demand,for the immediate and irrevocable expiration and reversion of this Lease and all rights granted hereunder. 22. Entire Agreement. This Lease constitutes the entire agreement between the parties hereto and cannot be varied except by the written agreement of the parties hereto. 23. Time. Time is of the essence of this Lease. 24. Governing Law. This Lease and all rights and liabilities of the parties hereunder shall be construed and governed by the laws of the State of Oregon. 25. Successors in Interest. This Lease shall be binding upon and inure to the benefit of the successors and assigns of the parties hereto. 26. Arbitration. All disputes,controversies or claims arising out of or relating to this Lease shall be settled by expedited mandatory arbitration in accordance with the rules of the Arbitration Service of Portland, Inc. as are in effect as of the date of this Lease. The award rendered by the arbitrator(s) shall be final. Notice of the demand for arbitration shall be filed in writing with the other party and with the Arbitration Service of Portland,Inc. The arbitration shall take place in Portland,Oregon. The prevailing party,as determined by the arbitrator,shall be entitled to an award of reasonable attorney fees. All aspects of the arbitration shall be considered confidential and will not be disclosed without the prior written consent of both parties.
