CCDA Resolution No. 14-01 CITY OF TIGARD,OREGON CITY CENTER DEVELOPMENT AGENCY RESOLUTION NO.14- O I A RESOLUTION AUTHORIZING THE EXECUTIVE DIRECTOR OF THE CITY CENTER DEVELOPMENT AGENCY TO NEGOTIATE VOLUNTARY PROPERTY ACQUISITIONS SUBJECT TO CCDA BOARD OVERSIGHT AND CONDITIONS WHEREAS, ORS 457.170(3) authorizes the City Center Development Agency (CCDA) to acquire real property pursuant to its approved urban renewal plan;and WHEREAS, the City Center Urban Renewal Plan dated December 6, 2005 provides that real property acquisitions shall be done through voluntary negotiations with property owners;and WHEREAS, such acquisitions frequently require extensive negotiations involving relatively complex or technical terms and conditions of purchase and sale. At the same time, flexibility and timeliness often are essential to successful negotiation;and WHEREAS, it is critical that the Board of the CCDA, be kept fully informed regarding such negotiations and that the ultimate decision on whether to purchase the property be made after due consideration by the Board of the CCDA in a public meeting. NOW,THEREFORE,BE IT RESOLVED by the Board of the City Center Development Agency that: SECTION 1: The Executive Director of the City Center Development Agency hereby is authorized to negotiate and execute such documents as may be necessary to acquire real property,including but not limited to purchase and sale agreements,provided that: 1. Prior to executing a purchase and sale agreement or other similar document, the Executive Director has informed the Board of the CCDA of the status of the negotiations,including key terms and conditions pursuant to as provided in ORS 192.660(2)(e) or as otherwise provided by law, 2. The purchase and sale agreement executed by the Executive Director at a minimum contains an express contingency clause providing that the CCDA retains absolute discretion to determine whether the property is suitable for CCDA's intended use prior to closing, 3. The Director places the executed agreement on the agenda of the CCDA for review by the public and a formal Board of the CCDA decision in a public meeting prior to closing.
