SunRidge Builders ~ LICENSE AGREEMENT FOR UTLITIES AND STORM DRAINAGE THIS UTITLITIES AND STORM DRAINAGE LICENSE AGREEMENT ("Agreement") is made and effective this K'Oday of _, 2008 ("Effective Date"), by and between the CITY OF TIGARD, an Oregon municipal corporation ("Licensor"), and SunRidge Builders Inc, dba Brentwood Homes, ( "Licensee"). Licensor and Licensee are collectively referred to herein as the"Parties." RECITALS A. Licensor is the owner of record of that certain real property in the City of Tigard, Washington County, State of Oregon,more particularly described on "Exhibit A" attached hereto and incorporated herein by this reference ("Licensor's Property"). B. Licensee is the owner of record of that certain real property adjacent to Licensor's property located in the City of Tigard, Washington County, State of Oregon, and as more particularly described on "Exhibit B" attached hereto and incorporated herein by this reference ("Licensee's Property"). C. Licensor has agreed to allow Licensee to use Licensor's Property only as needed for the limited purpose of construction and location of water, sewer and storm drainage infrastructure (the "Infrastructure") to connect to Licensee's Property, which Property does not have access to water and sewer utilities and storm drainage otherwise. D. Licensor has identified areas of potential negative impact on Licensor's Property that include the park area and trees. Licensor wishes to protect such areas and further mitigate such impact by Licensee's construction of a public walking path. E. Licensor and Licensee agree that Licensee's Property needs to be annexed to Licensor's municipal boundaries in order to achieve the desired infrastructure construction and subsequent use of Licensee's Property; F. Upon satisfaction of the conditions precedent in this Agreement, Licensor shall subject as necessary Licensor's Property to this Agreement for the benefit of Licensee's Property. G. Subsequent to Licensee annexing Licensee's Property to the City of Tigard, and within thirty (30) days of Licensee's completion of construction of the Infrastructure and restoration of Licensor's Property described herein, permanent non-exclusive Easements for water, sewer, and storm drainage access and maintenance shall be established and recorded, and this License shall automatically terminate and have no further force or effect. License Agreement Page 1 of 6 L Licensee shall execute legally sufficient documents to evidence the termination of the License. H. For purposes of this Agreement, the term "License" is construed to mean the legal permission to perform the activities described herein subject to the terms and conditions described herein. Deviation from said activities shall be permitted only by written consent of both Parties. AGREEMENT NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. Grant of Exclusive Use of the License Area. Subject to Licensee's satisfaction of the Conditions Precedent set forth in Paragraph 8, Licensor does hereby grant to Licensee, its successors, heirs and assigns, exclusive use, over and across that portion of Licensor's Property as depicted on the attached and incorporated "Exhibit C" (the"License Areas") to be attached for location and construction of the Infrastructure the purpose of which is to connect to Licensee's Property. This utilities and storm drainage License for use of an area as yet to be specifically identified, is for the purpose of Licensor's and Licensee's determination of the most beneficial and appropriate route through Licensor's Property for construction of the Infrastructure, and for the actual construction of the Infrastructure. Licensor shall provide the final approval of the Infrastructure locations. 2. Licensor's Right to Convev and Exceptions. Licensor represents and warrants that it has the right to grant the License for the uses to be made of the License Area by Licensee as set forth in this Agreement, subject to all prior licenses and encumbrances of record as of the Effective Date. 3. Licensee's Access Rights. Licensee and Licensee's invitees, agents, employees, heirs and assigns shall have the right to enter upon the License Area solely for the purposes set forth in this Agreement. 4. Licensor's Rights of Use. Licensor shall have the right to use the License Area for any and all purposes not inconsistent with the rights granted herein to Licensee. 5. Maintenance. Licensee shall provide for the maintenance, repair and restoration of the License Area at Licensee's sole cost and expense. Licensee shall replace or restore the License Area and any portion of the Licensor's Property that is damaged, disturbed or destroyed by reason of the activities of Licensee and Licensee's invitees, agents, employees, heirs and assigns, to its original condition. 6. Park Area and Trees. The parties agree that some existing trees on Licensor's property will need to be removed in order for the infrastructure improvements to be License Agreement Page 2 of 6 installed by Licensee on Licensee's property. Licensor is interested in ensuring that new trees be planted on Licensor's property to fill in canopy gaps that may exist now or will exist once the existing trees are removed from Licensor's property. Licensee shall plant new trees in locations on Licensor's property to be reviewed and approved by Licensor, specifically the Parks and Facilities Manager. Licensor shall also review and approve species selection; in general the new species should be of like kind to the trees removed, or that exist in the general areas of planting. Size of new trees shall also be approved by the Parks and Facilities Manager,but will generally be no small than three-year-old seedlings and no larger than one-inch caliper. Total caliper inches of new trees planted will not exceed the total caliper inches of trees removed by Licensee. 7. Obstruction. The Parties shall not place any object or structure over or upon the License Area, except as may be temporarily required for construction, repair, or maintenance, without the prior written approval of the other party. 8. Conditions Precedent to License and Easements. The Parties acknowledge that the grant of the License and subsequent easements shall be subject to Licensee's fulfillment of annexation of Brentwood Estates to the City of Tigard. It is agreed by the Parties that the failure of Licensee to fully complete such annexation to the City by the Termination Date or any extension thereof set forth in Section 11. herein will constitute Licensee's default under this Agreement and Licensor shall be entitled to the remedies set forth herein. 9. Construction Authoritv and Permitting. Licensee shall perform the Infrastructure work across Licensor's Property,under the authority and permitting of Washington County and/or Clean Water Services, and or the City of Tigard. 10. Construction of Walking Path. Solely as consideration for Licensee's use and disturbance of Licensor's property in order for Licensee to gain access to public infrastructure provided by Licensor, Licensee shall construct a six-foot wide wood chip walking path, a minimum depth of three (3) inches. The wood chips must not be imported from outside the Portland metro area in order to avoid a known risk of foreign oak disease. on Licensor's Property in an alignment approved by Licensor. The timing of the construction of such path shall be determined by Licensor in his sole discretion. It is understood and agreed that the walking path construction is unrelated to the annexation process and not required for annexation approval. 11. Termination. Except as may be extended or earlier terminated as set forth herein, in the event that the conditions precedent set forth in Section 8 are not satisfied on or before October 30, 2008 (the"Termination Date"), this Agreement and the Licenses granted herein shall automatically terminate. Upon Licensor's written consent, which is within Licensor's sole discretion, Licensee may extend the time for Licensee to satisfy the conditions precedent set forth in Section 8 one time only, for an additional sixty(60) days, to December 31, 2008. Licensee shall request such an extension by sending written notice to Licensor. Said written notice shall provide a detailed explanation for the need to extend the term and shall be received by Licensor no later than thirty(30) days prior to the Termination Date. Licensor shall then have twenty(20) days from receipt of the written License Agreement Page 3 of 6 L—I A 1/ Z notice in which to provide its written consent or a written explanation to Licensee for withholding its consent. If Licensor does not respond, the extension is deemed disapproved. 1.1.1 Unless terminated earlier asset forth herein, the License granted herein shall automatically terminate upon Grantee's completion of the construction of the Infrastructure, and restoration of Licensor's Property as set forth herein, at which time the permanent easements shall be established and recorded as provided in Paragraphs 1 and 23 of this Agreement. 12. Insurance. During the term of this License, Licensee shall maintain not less than $1,000,000 of"combined single limit" liability insurance. Licensee's insurance coverage shall include claims arising from the use of the License Areas by Licensee, its employees, agents, guests and invitees and shall name the City of Tigard as an Additional Insured. 13. Indemnification. Licensee agrees to indemnify, hold harmless and defend Licensor from any loss, claim or liability of Licensor arising out of or related in any manner to the use of the License Area by Licensee, its guests, invitees, agents, employees, heirs and assigns. Licensee assumes all risk arising out of Licensee's use of the License Area, and Licensor shall have no liability to Licensee or others using the License Area by or through Licensee. Licensee's duty of indemnity includes the duty to defend Licensor from such loss, claim or liability by counsel reasonably acceptable to Licensor, at the expense of Licensee. 14. Time. TIME IS OF THE ESSENCE of this Agreement. 15. Notice. All notices to be given under this Agreement shall be in writing and shall be effective when actually delivered. If mailed, notice shall be deemed effective 48 hours after mailing as registered or certified mail, postage prepaid, directed to the other party at the address set forth below or such other address as the party may indicate by prior written notice to the other: LICENSOR: LICENSEE: Craig Prosser, City Manager SunRidge Builder Inc. The Parties acknowledge that the uses provided by this Agreement are unique in that money damages alone for breach of this Agreement may be inadequate. Any party aggrieved by a breach of the provisions hereof may bring an action at law or a suit in equity to obtain relief, including specific performance, injunctive relief and any other available equitable remedy. This Agreement and the burdens and benefits of the Licensor's Property and the Licensee's Property run with the land, and are binding upon and inure to the benefit of the Parties hereto, and their respective invitees, agents, employees, heirs and assigns. 18. Attornevs I Fees. In the event suit or action, including action pursuant to bankruptcy laws, is instituted to interpret or enforce the terms of this Agreement, the prevailing party shall be entitled to recover from the other party such sums as the court may adjudge reasonable as attorneys' fees at trial and on appeal and review of such suit or action, in addition to all other relief that may be available. 19. Severabilitv. Nothing contained herein shall be construed so as to require the commission of any act contrary to law, and wherever there is any conflict between any provisions contained herein and any present or future statute, law, ordinance or regulation contrary to which the parties have no legal right to contract, the latter shall prevail; but the provision of this License which is affected shall be curtailed and limited only to the extent necessary to bring it within the requirements of the law. 20. Modification or Amendments. No amendment, change or modification of this License shall be valid, unless in writing and signed by the Parties hereto. 21. Waiver. Failure of either of the Parties at any time to require performance of any provision of this License shall not limit either or both Parties' right to enforce the provision, nor shall any waiver of any breach of any provision be a waiver of any succeeding breach of the provision or a waiver of the provision itself or any other provision. 22. Preparation of License. This Agreement has been prepared by Jordan Schrader Ramis PC, acting as counsel for Licensor This Agreement shall not be construed against Licensee by reason of such preparation. 23. Excuse for Nonperformance. Either party shall be excused from performing any obligation,or undertaking provided for in this License in the event and/or so long as the performance of such obligation is prevented or delayed, retarded or hindered by act of God, fire, earthquake, flood, explosion, interruption, action of the elements, war, invasion, insurrection, riot, mob violence, sabotage, strike, lockout, action of labor unions, or any other cause, similar to the preceding causes, not within the reasonable control of such party. 24. Recording. Subject to the other provisions of this Agreement, upon substantial completion of the construction of said infrastructure improvements, the Brentwood Estates plat may be recorded. Upon said completion, and restoration of the Licensor's property to Licensor's satisfaction, within thirty (30) days Licensor shall convey to the public, permanent non-exclusive easements for utilities and storm drainage. Recording of these documents shall be in the Real Property Records of Washington County, Oregon. License Agreement Page 5 of 6 L_k �iI,Z 25. Entire Agreement. This Agreement constitutes the entire agreement between and among the parties, integrates all of the terms and conditions mentioned herein or incidental hereto, and supersedes all negotiations or previous agreements between the parties or their predecessors in interest with respect to all or any part of the subject matter hereof.
