Article 3 Interpretation and Intent 3.1 The Contract Documents are intended to permit the parties to complete the Work and all obligations required by the contract documents within the Contract Time for the Contract Price. The Contract Documents are intended to be complementary and interpreted in harmony so as to avoid conflict, with words and phrases interpreted in a manner consistent with construction and design industry standards. In the event of any inconsistency, conflict, or ambiguity between or among the Contract Documents, the Contract Documents shall take precedence in the order in which they are listed in Section 2.1 hereof. 3.2 Terms, words and phrases used in the Contract Documents, including this Agreement, shall have the meanings given them in the General Conditions of the Contract. 2 6/19/2012 ,SUBCONTRACT PT .003 3.3 The Contract Documents form the entire agreement between Contractor and Subcontractor and by Incorporation herein are as fully binding on the parties except as specifically stated in the Contract Documents. Article 4 Price and Payment The CONTRACTOR, for the full, complete and faithful performance of this Subcontract, agrees to pay to the SUBCONTRACTOR FIFTEEN THOUSAND EIGHT HUNDRED FIFTY FIVE DOLLARS AND 00/100 ($15,855.00) in accordance with the following terms: SUBCONTRACTOR shall submit to the CONTRACTOR monthly Applications for Payment on or before the 20th day of each month by 8:00 AM in an amount equal to 100% of the value of material and labor Incorporated into the Project by SUBCONTRACTOR prorated to the 30 day of the current month to enable the CONTRACTOR to apply for payment therefore from the OWNER. Applications for Payment for labor and materials shall be allocated in accord with the requirements of CONTRACTOR'S Project Manager. SUBCONTRACTOR hereby expressly consents to the terms of this section, and agrees to fully cooperate with contractor to effectuate payment to third parties as required to maintain the project lien and claim free, and on schedule. SECURITY. If required, the SUBCONTRACTOR shall furnish a performance bond and a payment bond each in the amount of 100% of this Subcontract, or such other guarantees or security for performance as may be required by CONTRACTOR, in its sole discretion. B. TIME OF COMPLETION. SUBCONTRACTOR'S work shall commence on or before The date as prescribe in the Construction Schedule and attached as Exhibit "B " or as directed by the Curt Faus Corporation Site Supervisor through publication of three week production schedules. Petco Tigard , must be substantially completed no later than 7/27/12 unless otherwise adjusted by Change Order approved by both the OWNER and CONTRACTOR. The SUBCONTRACTOR is aware of the fast-track nature of this project and agrees that it has included any and all required overtime, and • resources in its price to meet and achieve this time frame. 7. ADDITIONAL WORK. SUBCONTRACTOR shall perform work, in addition to that described herein, at direction of CONTRACTOR. Said direction must be in writing in the form of either a Directive or Change Order signed by CONTRACTOR'S Project Manager. All work performed by the SUBCONTRACTOR without written Authorization shall be at the SUBCONTRACTOR'S RISK. 8. LAWS, REGULATIONS, PERMITS TAXES, ETC. The work shall strictly comply with all federal, state, local, municipal, and any and all other governing laws, rules, regulations, statutes, ordinances and directives. The SUBCONTRACTOR shall pay all Federal and State Payroll Taxes, Use Taxes, Licenses upon the material and labor furnished under this contract, as required by the U.S. Government and State within which this work is performed. 4 6/19/2012 SUBCONTRACT PT -003 9. SAFETY: SUBCONTRACTOR shall comply with all Federal and State OSHA guidelines at all times. Necessary safety equipment as pertains to each trade is required at all times. All subcontractors and suppliers are to furnish their employees with the necessary equipment for protection. Damaged or defective personal protective equipment (PPE) shall not be used. 10. Consumption of alcoholic beverages and/or use of illegal drugs or controlled substances is Absolutely Forbidden on the lob site and /or during working hours. 11. DISPUTES WITH OTHERS. SUBCONTRACTOR shall not be excused from performance of any obligation hereunder by reason of any disputes it may have with other contractors, subcontractors, with its employees, any union, or with any employees of the Owner or Tenants. All disputes with others will be settled by CONTRACTOR in its sole discretion, and any cost incurred by CONTRACTOR as a result of any such dispute shall be backcharged to SUBCONTRACTOR in the event of any disruption in the Work as a result of the conduct of any SUBCONTRACTOR employee, CONTRACTOR may direct SUBCONTRACTOR to remove any of SUBCONTRACTOR'S employees from the jobsite, or any related jobsite of the CONTRACTOR. 12. INSURANCE AND INDEMNIFICATION. CONTRACTOR shall not be liable for any loss or casualty incurred or caused by SUBCONTRACTOR. SUBCONTRACTOR shall maintain full and complete insurance on all materials supplied by SUBCONTRACTOR until the materials are permanently installed and become part of the completed work. General liability insurance including SUBCONTRACTOR'S protective liability and contractual liability insurance shall.be procured and maintained until the Work has been completed and accepted by the Owner, Commercial General Liability coverage with combined single limits of $1,000,000 per occurrence. The policy must include Subcontractor's protective Liability Insurance and Completed Operations Coverage. (b) Worker's Compensation insurance coverage shall be at the Statutory limit and showing Employer's Liability coverage with a limit of $1,000,000. (c) Automobile liability (comprehensive coverage) of $1,000,000 per occurrence. (d) Other insurance as may be required by law, the Prime Contract or CONTRACTOR. Such coverage may be provided by naming Contractor and Owner and their affiliates as additional insureds, the policy shall contain a Separation of insureds Clause and the certificate must so indicate. No policy of insurance so provided may permit cancellation without thirty (30) days prior written notice of cancellation to CONTRACTOR. Failure of SUBCONTRACTOR to maintain complete insurance may be deemed a material breach allowing CONTRACTOR to either terminate this Subcontract or to procure such insurance at SUBCONTRACTOR'S sole expense. SUBCONTRACTOR waives all rights against CONTRACTOR and Owner and their agents, officers, directors and employees for recovery of damages to the extent these damages are covered by commercial general liability, commercial umbrella liability, business auto liability or workers compensation and employers liability insurance maintained per the requirements stated above. 5 6/19/2012 SUBCONTRACT PT -003 To the fullest extent permitted by law, SUBCONTRACTOR hereby agrees to defend, hold CONTRACTOR harmless from, and indemnify CONTRACTOR against any and all liabilities, costs, and damages of any kind, attorney fees, and expenses from any claims or causes of action arising out of or relating to the Project, or relating to performance of this Subcontract of the work. 13. ATTORNEY FEES. In the event of any controversy, claim or action being filed or instituted between the parties to this Agreement to enforce the terms of this Agreement or arising from the breach of any provision hereof, the prevailing party will be entitled to receive from the other party all reasonable costs, damages, expenses and attorney's fees, incurred by the prevailing party, 14. GUARANTEE. SUBCONTRACTOR agrees to guarantee and warranty its work against all defects of materials or workmanship, as called for in the Prime Contract, or if no guarantee or warranty is called for, then for a period of ONE (1) years from the date of completion of the Prime Contract and final acceptance by OWNER of the work performed hereunder. SUBCONTRACTOR shall remove, replace and /or repair at its own expense and at the convenience of OWNER any workmanship, materials and equipment found to be deficient as supplied by The SUBCONTRACTOR. PRICE: This quotation is valid for a period of 25 days. NOTE: Any OCIP charges have NOT been included with Jacobs pricing. Charges will be additional. Being Included in an OCIP policy, Jacobs will not be responsible for any deductibles, charges, fees of costs related to claims from project. BILLING TERMS: In accordance with item checked below. ❑ Our invoice, covering the percentage of work completed through the end of the calendar month, will be submitted by the 25th of each month, due and payable by the 10th of the following month. ❑ Other WARRANTY: Factory warranties on all equipment. A one (1) year warranty from date of start up on defective workmanship or materials. This warranty covers only the equipment and ductwork provided by Jacobs Heating and Air Conditioning and does not cover any existing systems, equipment or ductwork. This warranty does not cover damage to equipment or ductwork caused by abuse, negligence, lack of scheduled service, or acts of God. This warranty is good during normal forty-hour workweek excluding weekends and holidays.
