RESOLUTION NO.00-07
RESOLUTION AUTHORIZING THE FINANCE DIRECTOR TO SIGN A DISCLOSURE AND WAIVER
OF POTENTIAL CONFLICT OF INTEREST FORM WITH THE CITY'S BOND COUNSEL,PRESTON,
GATES,AND ELLJS,LLP.
WHEREAS,Preston,Gates,and Ellis currently represents the City of Tigard on municipal finance and bond issues,
and
WHEREAS,Ramis,Crew,Corrigan,and Bachrach LLP,represent the City of Tigard on general municipal legal
issues,including the granting of franchises,and
WHEREAS,Preston,Gates,and Ellis have been retained by the firm RCN to represent them in cable franchise
negotiations with The MetropolitanAsea Communications Commission and the City of Tigard,and
NVHERE a c_ the Oregon Code of professionni Responsibility-rid Professional Rules prohibit an attorney from
representing clients whose"objective personal,business,or property interests...are adverse"and further requires
that an attorney may not oppose a current client,even on an unrelated matter,without frill disclosure and consent,
and
WHEREAS,the City council finds that the work done by Preston,Gates,and Ellis for the City of Tigard is separate
and apart from any franchise negotiations,and

IERFHEREAS,the City of Tigard wishes to continue using the services of Preston,Gates,and Ellis on municipal
finance and bond related matters,and
WHEREAS,the City of Tigard consents to waive any potential conflict of interest in the representation of RCN by
Preston,Gates,and Ellis in cable franchise negotiations and the representation of the City by the same firm in
municipal finance and bond related matters,
NOW,THEREFORE,BE IT RESOLVED by the Tigard City Council that the City of Tigard Finance Director is
authorized to sign the Disclosure and Waiver of Potential Conflict by the firm of Yr n,Gates,and Ellis,LLP.
