Washington County - Public Works Service Exchange ACREDIENT THIS AGREEMENT, made and entered into this,? -aday of 19814 by and between Washington .Oounty, .Oregon, a political subdivision of the State of Oregon, and other municipal corporations located within Washington county, Oregon. WITNESSETH: WHEREAS, all of the parties to this agreement maintain a deparbnent with equipment and personnel responsible for the maintaining of their respective streets and appurtenances thereto, and, WHEREAS, the parties heretofore have inforrrally exchanged maintenance services performed on streets and appurtenances thereto which are the legal responsibility of another party; and.. WHEREAS, the parties are desirous of continuing to exchange maintenance services to be performed on such streets and appurtenances which are the legal responsibility of another party but under the provisions of a formalized agree- ment, and, SAS, the parties are agreeable to exchange of such services on the conditions as hereinafter set forth; and WHEI;EAS, it would be in the best interest of the parties to enter into such an agreement to avoid duplication of efforts, and to minimize personnel costs, to improve service to the public and to provide greater convenience to all parties, as authorized and provided by the provisions of ORS 190.010 through 190.030; NOW THEPEFOM, in consideration of mutual promise and convenants herein contained, it is mutually agreed as follows: 1. The parties agree to provide, to the extent and in the manner requested and hereinafter set forth, other parties with maintenance services, including -2- road paint stripping, road steeping, maintenance of traffic signals (excluding controls) and other services which might be feasibly performed on behalf of each other. Such services shall be performed upon request, at times mutually convenient and in equal exchange for services computed on a man-hour basis. Said exchange of services shall be in amounts reasonably foreseen to be recip- rocated within the same fiscal year. Any unreciproc-.ated time at the end of each fiscal year shall be minimized by the parties insofar as possible and shall be carried over into the next fiscal year. 2. Whenever equipment is necessary for the performance of maintenance work the owner's operator shall accompany that piece of equipment and only that operator shall operate it. 3. The parties agree to provide storage space, without charge, for storage of another party's equipment upon request whenever such a storage accomodation is mutually convenient. 4. For the purposes of providing the services referred to in Paragraph 1, the party providing such services shall supply all necessary labor, super- vision, equipment and supplies necessary to provide the service, unless other- wise agreed upon by both parties. 5. In the vendition of the services referred to in Paragraph 1, Stan- dards of performance, discipline of personnel and other matters incident to the performance of such services, control of personnel shall remain with the party which is providing the service. 6. Each party covenants and agrees to hold and save harmless other parties, and all officers, agents and employees of other parties, from all claims whatsoever that may arise against the benefited party, its officers, agents and employees, by reason of any act of the performing party in Pro- viding services under Paragraph 1. � . 6�.• :• -3- 7. All persons employed in the performance of services under this agree- went shall be the eRployees of the performing party, and no person performing such services shall receive pensions, salary or other status or rights inci- dent to employment by the benefited party. 8. No benefited party shall be called upon to assume liability for the direct payment of any salaries, wages, or other compensation to personnel performing services pursuant to this agreement, except as otherwise herein specified, no benefited party shall be liable for compensation of indemnity to any employee of a performing party for any injury or sickness arising out of his employment. Related Prior Resolution or Minute Order Number Agency/Department: Brief Description of Action Desired and Justification (Attach Supporting Documents/Justification if Necessary) In cooperation with the cities of Tigard, Cornelius and with the Wolf Creek Highway Water District, Washington County, through its Public Works Department, would like to enter into an agreement providing for the exchange of services where practical and economical to do so. Meetings have been held with the various cities' and agencies' representatives and details have been worked out as to implementation of such an agreement. Because of the economics of being able to share in the use of specialized equipment or services without having to absorb the cost of continued ownership, we feel that this agreement would greatly benefit Washington County. Your Board previously approved agreements with the cities of Beaverton, Forest Grove, Hillsboro and Tualatin and with the Tualatin Hills Park and Recreation District on May 11 , 1982. Please review this agreement and if you approve of the form, pre- sent it to your governing body for their approval and signature. We would like to have a signed copy for presentation to the County Board of Coumissioners for their signatures prior to the .next scheduled.city/county meeting, Dec. 9, 1981. I wish also to confirm that the next scheduled meeting is Dec. 9th, 11:30 AM to 1:00 PM at the Kings Table, next to the Beaverton K-Mart, at Murray and Tualatin Valley Hwy. We expect to have representative from APWA to discuss possibilities for leasing equipment to purchase as a means of financing equipment purchases at our next meeting. We also hope to have some discus- sion on the results of the .RALU4L tests conducted by the county.
