Contracts & Agreements No. 11299 COOPERATIVE IMPROVEMENT AGREEMENT PRELIMINARY ENGINEERING AND CONSTRUCTION FINANCE THIS AGREEMENT is made. and entered into by and between the STATE OF OREGON, acting by and through its Department of Transportation, Highway Division, hereinafter referred to as "State" ; WASHINGTON COUNTY, a political subdivision of the State of Oregon, acting by and through its Board of Commissioners, hereinafter referred to as "County" ; CITY OF BEAVERTON, a municipal corporation of the State of Oregon, acting by and through its City Officials, hereinafter referred to as "Beaverton" ; and CITY OF TIGARD, a municipal corporation of the State of Oregon, acting by and through its City Officials, hereinafter referred to as "Tigard" . W I T N E S S E T H RECITALS 1 . Scholls Highway (State Highway No. 143) , is part of the State highway system under the jurisdiction and control of the Oregon Transportation Commission, (a portion of which passes through Tigard, Beaverton and Washington Co. jurisdiction) . Cascade Blvd. is a city street under the. jurisdiction of the City of. Beaverton and Cascade Ave. is a continuance of that same city street under the jurisdiction of the City of Tigard. 2. By the authority granted in 366.770 and 366. 775, State may enter into cooperative agreements with the counties and cities for the performance of work on certain types of improvement projects with the allocation of costs on terms and conditions mutually agreeable to the contracting parties. 3. Under such authority, State is planning to construct the SPRR Xing - Beaverton/ Tigard Hwy. section of Scholls Highway. The construction will include widening of Scholls Hwy. , Cascade Ave:/Blvd, and the S.B. on and off ramps to Hwy.. 217; upgrade and interconnect the traffic signals at the intersections of Cascade Blvd./Ave. and Scholls Hwy. , and the 217 SB on and off ramps at Scholls Hwy. , hereinafter referred to as "Project" . The location of project is approximately as shown on the sketch map attacheu here'Lo, r"arked Exhibit A, and by LI,.irs reference made a part hereof. Project will be financed 100 percent by State. B3192001/Key # 03908 • w 4 .M C & A :No. 11299 WASHINGTON COUNTY, CITY OF BEAVERTON AND CITY OF TIGARD 4. By .authority granted in ORS 810. 210,, State is authorized to determine the :character or type of traffic control signals .to be used, and to place or erect them upon State highways at places where State deems necessary for the safe and expeditious control of traffic. No traffic control signals shall be erected or maintained upon any State `highway by any authority other than State, except with its written approval . Traffic signal work on the project shall conform to the current State standards and specifications. 5. State and County have previously entered into agreement No. 6975, on April 20, 1979, covering construction, power costs, and maintenance responsibilities. It has been determined that the responsibilities for powe'r .and maintenance costs as previously defined shall be superseded by this agreement. All other , provisions that previous agreement shall remain in full force and effect. 6. State, County and City of Beaverton are currently entering into agreement No. 10832 which transfers signal maintenance responsibilities to City of Beaverton. NOW THEREFORE., the premises being in general as stated in the foregoing RECITALS, it is .agreed by and between the parties hereto as follows: STATE OBLIGATIONS 1 . State shall identify and obtain or issue the required permits; perform all design work required to produce final plans, specifications and estimates; advertise, let and award the contract; furnish all construction engineering, material testing, technical inspection and project manager services for administration of the contract. 2. State shall annually reimburse Beaverton for 100 percent of maintenance costs of traffic control signals in accordance with agreement No. 10832 and will provide power at its own expense for the signal at the intersection of Scholls Hwy. and the on and off ramps to Hwy.. 217. 3. ..State shall annually reimburse Beaverton for 100 percent of the costs of maintaining the signals at the intersection of Scholls Hwy. and Cascade Blvd:/Ave. State. will. provide power for this signal and will bill City of Beaverton annually for its share (50 percent) , and City of Tigard annually for its share (50 percent) B3192001/Key #03908 - 2 - M C & A NO. 11299 WASHINGTON COUNTY, CITY OF BEAVERTON AND CITY OF 'TIGARD BEAVERTON OBLIGATIONS 1 . Beaverton hereby grants State the right to enter onto and occupy city' s right-of.-way for theconstruction of the project and possible or emergency maintenance of the traffic signal equipment, including vehicle detector loops. .. 2. Beaverton shall maintain the project signals in accordance with agreement No. 10832 . and bill State annually for 100 percent of maintenance costs. 3. Beaverton shall annually reimburse State for its share (50 percent) , of all power necessary for the operation of traffic signals at the intersection of Scholls Hwy. and Cascade Blvd./Ave. 4. ' Beaverton shall. provide the necessary right-:of-way and easements on Cascade Blvd. for any roadwork-and for installation and possible or emergency maintenance .-of the traffic signal equipment, including advance detector loops. 5. Beaverton shall upon completion of project, continue to maintain Cascade-Blvd. 'and maintain the pavement surrounding the vehicle detector loops installed in its city street in such a manner-ac t_-c -provide adequat-e protection for said detector loops, and shall adequately maintain the _pavement markings and signing installed on its right-of-way in accordance with the ' plans and specifications. 6. Beaverton shall authorize execution of this agreement during a. regularly convened session of its City Council . TIGARD OBLIGATIONS 1 . Tigard hereby grants State and Beaverton the right to enter onto and occupy city' s right-of-way for the construction of the project and necessary maintenance. of the traffic signal equipment, including vehicle detector loops. 2. Tigard shall annually reimburse State. for its 'share (50 percent) , of all power necessary for the operation of traffic signals at the intersection of Scholls Hwy., and Cascade Blvd./Ave. 3. Tigard shall provide the necessary right-of-way and easements on Cascade Ave. for any roadwork and for installation and maintenance of the traffic signal equipment, including advance detector loops by State and RPAvorton. Tigard shall upon completion of project, continue to maintain Cascade Ave. and maintain the pavement surrounding the vehicle detector loops installed in its city street in such a manner as to provide adequate protection for said detector loops, and shall adequately maintain the pavement markings and signing installed on its right-of-way in accordance with the plans and specifications. 5., Tigard shall authorize execution of this agreement during a regularly convened session of its City Council . COUNTY OBLIGATIONS 1 . County hereby grants State the right, to enter .onto and occupy county right-of-way for the construction of the project: 2.. County shall provide the necessary county right-of-way and easements for any roadwork for construction of the project. 3. County shall enter into and execute this agreement during a duly authorized session of its Board of Commissioners. GENERAL PROVISIONS 1 . State, County, City' of Beaverton and City of Tigard agree _ and understand that a mutual review of the project .plars and specifications will be conducted prior to advertisement for construction bid proposals..,-,. 2. The contractor, its subcontractors, if any, and .al.l employers working under this agreement are subject employers under the Oregon Workers' Compensation Law and shall comply with ORS 656.017, which requires them to provide .workers compensation coverage for all their subject workers. OF TIGARD IN WITNESS WHEREOF, the parties hereto have set their hands and . affixed their seals as of the day and year hereinafter written. The. SPRR Xing-Beaverton/Tigard Highway section of Scholls Highway was approved by the Oregon Transportation Commission on July 21, 1992 as part of the Six Year Transportation Improvement Programa The Oregon Transportation Commission, by a duly adopted delegation order, authorized the State Highway Engineer to sign this agreement for and on behalf of the Commission. Said authority is set forth in the Minutes of the Oregon Transportation Commission.
