OTAK, Inc., Architects - Tigard Triangle Plan CITY OF TIGARD, OREGON CONTRACT FOR PERSONAL SERVICES CONTRACT TITLE;: Tigard -Triangle Specific Area Plan CONTRACT NO This Contract, made and entered into this �� day of f:i95JUA A Jt-`e 1993 , by and between the City of Tigard, a municipal corporation of the State of Oregon, hereinafter called "City" and (full name and address of person or firm) OTAK, Incorporated Architects, P.C. hereinafter called "Contractor", duly authorized to perform such services in Oregon. W I T N E S S E T H: WHEREAS, the City requires services which Contractor is capable of providing, under terms and conditions hereinafter described; and WHEREAS, Contractor is able and prepared to provide such services as City does hereinafter require, under those terms and conditions set forth; now, therefore, IN CONSIDERATION of those mutual promises and the terms and conditions set forth hereafter, the parties agree as follows: 1. Project Description. Contractor's services under this Agreement shall consist of the following: A. Contractor shall perform personal services, as outlined in the Scope of Services dated the 15th day of January, 1993 , as amended .by Scope of Services paper dated January 29, 1993 and letter of February 9, 1993 a copy of which is attached hereto and incorporated herein by reference. The project for which services are to be provided is known as Tigard Triangle Specific Area Plan. 2. Compensation A. The City agrees to pay Contractor $ 50,000 for performance of those services provided herein, which payment shall be based upon the following applicable terms: B. City will withhold 5 percent of each monthly payment with the retained amounts to be paid to the contractor upon satisfactory completion of the project. C. Payment by the City shall release the City from any further obligation for payment to Contractor for service or services performed or expenses incurred as of the date of the statement of services. Payment shall not be considered acceptance or approval of any work or waiver of any defects therein. CONTRACT FOR PERSONAL SERVICES - PAGE 1 ♦ �i D. City certifies that sufficient funds are available and authorized for expenditure to finance costs of this contract. 3. Contractor Identification Contractor shall furnish to the City the Contractor's employer identification number, as designated by the Internal Revenue Service, or Contractor's Social Security number, as City deems applicable. 4. City's Representative For purposes hereof, the City's authorized representative will be the Associate Planner, 13125 SW Hall Blvd. , P.O. Box 23397, Tigard, Oregon 97223: (503) 639-4171. 5. Contractor's Representative For purposes hereof, the Contractor's authorized representative will be Ralph Tahran, President OTAK, 17355 S.W. Boones Ferry Road, Lake Oswego, Oregon 97035, 6. City's Obligations. In order to facilitate the work of the Contractor as above outlined, the City shall furnish to the Contractor access to all existing information which is in the City's possession concerning the location of sewer and water lines and other utilities or structures which affect the planning and construction of the proposed improvements. 7. Contractor Is Independent Contractor A. Contractor's services shall be provided under the general supervision of City's project director or his or her designee, but Contractor shall be an independent contractor for all purposes and shall be entitled to no compensation other than the compensation provided for under paragraph 4 of this Agreement. B. In the event Contractor is to perform the services described in this Agreement without the assistance of others, Contractor hereby agrees . to file a joint declaration with City to the effect that Contractor's services are those of an independent contractor, as provided under Chapter 864 Oregon Laws 1979. C. Contractor acknowledges that for all purposes related to this agreement, Contractor is and shall be deemed to be. an independent contractor and not an employee of City, shall not be entitled to benefits of any kind to which an employee of the City is entitled and shall be solely responsible for all payments and taxes required by law; and furthermore in the event that Contractor is found by a court of law or an administrative agency to be an employee of the City for any purpose, City shall be entitled to offset_compensation due to demand repayment of any amounts paid to Contractor under the CONTRACT FOR PERSONAL SERVICES - PAGE 2 l� e terms of the agreement, to the full extent of any benefits or other renumeration Contractor receives (from City or third party) as as result of said finding and to the full extent of any payments that City is required to make (to Contractor or to a third party) as a result of said finding. D. The undersigned Contractor hereby represents that no employee of the City of Tigard., or any partnership or corporation in which a City employee has an interest, has or will receive any remuneration of any description from the Contractor, either directly or indirectly, in connection with the letting or performance of this contract, except as specifically declared in writing. . 8. Subcontracts - Assignment & Delegation A. Contractor shall submit a list of subcontractors for approval by the City, and Contractor shall be fully responsible for the acts or omissions of any subcontractors and of all persons employed by them, and neither the approval by City of any subcontractor nor anything contained herein shall be deemed to create any contractual relation between the subcontractor and City. B. This agreement, and all of the covenants and conditions hereof, shall inure to the benefit of and be binding upon the City and the Contractor respectively and their legal representatives. Contractor shall not assign any rights nor delegate any duties incurred by this contract, or any part hereof without the written consent of City, and any assignment or delegation in violation hereof shall be void. 9. Contractor's Employees Medical Payments The Contractor agrees to pay promptly as due, to any person, copartnership, association or corporation furnishing medical, surgical, and hospital care or other needed care and attention incident to sickness or injury to the Contractor's employees, all sums which the Contractor agreed to pay for such services and all monies and sums which the Contractor collected or deducted from employee wages pursuant to any law, contract or agreement for providing or paying for such service. 10. Early Termination A. This Agreement may be terminated without cause prior to the expiration of the agreed upon term by mutual written consent of the parties and for the following reasons authorized by ORS 279.326. 1. If work under the Contract is suspended by an order of a public agency for any reason considered to be in the public interest other than by a labor dispute or by reason of any third party judicial proceeding relating to the work other than a suite or action filed in regard to a labor dispute; or CONTRACT FOR PERSONAL SERVICES - PAGE 3 2. If the circumstances or conditions are such that it is impracticable within a reasonable time to proceed with a substantial portion of the Contract. B. Payment of Contractor shall be as provided by ORS 279. 330 and shall be prorated to and include the day of termination and shall be in full satisfaction of all claims by Contractor against City under this Agreement. C. Termination under any provision of this paragraph shall not affect any right, obligation, or liability of Contractor or City which accrued prior to such termination. 11. Cancellation for Cause City may cancel all or any part of this Contract if Contractor breaches any of the terms hereof or in the event of any of the following: Insolvency of Contractor; voluntary or involuntary petition in bankruptcy by or against Contractor; appointment of a receiver or trustee for Contractor, or an assignment for benefit of creditors of Contractor. Damages for breach shall be those allowed by Oregon law, reasonable and necessary attorney's fees, and other costs of litigation at trial and upon appeal. 12. Access to Records City shall have access to such books, documents, papers and records of Contractor as are directly pertinent to this. Agreement for the purpose of making audit, examination, excerpts and transcripts. 13. Force Majeure Neither City nor Contactor shall be considered in default because of any delays in completion of responsibilities hereunder due to causes beyond the control and without fault or negligence on the part of the party so disenabled, including, but not restricted to, an act of God or of a public enemy, volcano, earthquake, fire, flood, epidemic, quarantine, restriction, area-wide strike, freight embargo, unusually severe weather or delay of subcontractor or suppliers due to such cause; provided that the party so disenabled shall within ten (10) days from the beginning of such delay notify the other party in writing of the causes of delay and its probably extent. Such notification shall not be the basis for a claim for additional compensation. 14. Nonwaiver The failure of the City to insist upon or enforce strict performance by Contractor of any of the terms of this contract or to exercise any rights hereunder shall not be construed as a waiver or relinquishment to any extent of its right to assert or rely upon such terms or rights on any future occasion. Attorney's Fees In case suit or action is instituted to enforce the provisions of this contract, the parties agree that the losing party shall pay such sum as the Court may adjudge reasonable attorney's fees and court costs including attorney's fees and court costs on appeal to appellate courts. 17. Applicable Law This contract will be governed by the laws of the State of Oregon. 18. Conflict Between Terms It is further expressly agreed by and between the parties hereto that should there be any conflict between the terms of this instrument and the proposal of the contractor, this instrument shall control and nothing herein shall be considered as an acceptance of the said terms of said proposal conflicting herewith. 19. Indemnification Contractor agrees to indemnify and to hold harmless the City, its Officers, Employees and Agents against and from any and all loss, claims, actions, suits, including costs and attorney's fees, for or on account of injury, bodily or otherwise, to, or death of persons, damage to or destruction of property belonging to City, Contractor or others, resulting from arising out of, or in any way connected with Contractor's sole negligence. 20. Insurance Prior to starting work hereunder, Contractor, at Contractor's cost, shall secure and continue to carry during the term of this Contract, with an insurance company acceptable to City, the following insurance: A. Public Liability and Property Damage insurance with limits of not less than $500,000 for person injury, $500,000 for damage to property, $500,000 for comprehensive automobile liability and $250,00.0 for broad form property damage coverage. Such insurance shall cover all risks arising directly or indirectly out of Contractor's activities or work hereunder, including the operations of its subcontractors of any tier. Such insurance shall include CONTRACT FOR PERSONAL SERVICES - PAGE 5 provisions or endorsements naming City, its Officers, Employees and Representatives as additional insureds, provisions that such insurance is primary insurance with respect to the interests of the City and that any other insurance maintained by City is excess and not contributory insurance with the insurance. required hereunder; cross-liability or severability of interest clause; and provisions that such policies shall not be cancelled or its limits of . liability reduce without thirty (30) days prior notice to City. A copy of each insurance policy, certified as a true copy by an authorized representative of the issuing insurance company, or at the discretion of City, in lieu thereof, a certificate in form satisfactory to City certifying to the issuance of such insurance shall be furnished to City. B. Workers' Compensation from the State Accident Insurance Fund or from a responsible private carrier. Private insurance shall provide the schedule of employee benefits required by law. . C. Professional Liability Insurance. The Contractor shall have in force a policy of Professional Liability Insurance in an amount of of not less than $500,000. The Contractor shall keep such policy in force and current during the term of this contract. D. Adequacy of Performance. Any insurance bearing on adequacy of performance shall be maintained after completion of project. Should such insurance be cancelled before the end of the guarantee period and the Contractor fails immediately to procure other insurance as specified, the City reserve the right to procure such insurance and to charge the cost thereof to the Contractor. 21. Complete Agreement This contract and any referenced attachments constitute the complete agreement between he City and Contractor and supercedes all prior written or oral discussions or agreements. We will provide the appropriate professional services depending on the expertise needed at each meeting. We have budgeted a total of seven meetings at two hours each. LAND USE PLAN ( Task 1: Review Existing Materials/Site Inventory lWe will begin the Land Use Analysis element by reviewing all relevant background materials with City Staff and develop a summary of all relevant issues. We propose a site I walk with Staff to prepare an overall Site Analysis and Vicinity Analysis map. The maps will be overlays on an Autocad base map prepared by OTAK. An OTAK wetlands specialist will review the City's wetland information and do a field reconnaissance to verify the information for our base mapping. Task 2: Land Use Workshop We.propose an initial workshop with the City and the Steering Committee to establish the final plan area boundary. As a group, we will prepare an opportunity and constraint diagram to establish the realities of the site area. The diagram will be an overlay on the f Site Analysis base map to demonstrate how the physical characteristics of the site I) influence the proposed land uses:of.the plan. We will.overlay existing and proposed Collector and Arterial Routes to emphasize how areas connect, create links and nodes. This workshop must end with a clear understanding of the overall goals and expectations of the specific development plan by all parties. ,I 1 SCOPE OF SERVICES SPECmaARFA PLAN FoR TSE nc;mw TRI NGLE Task 3: Refinement/Prepare Recommendations In this task, our team will develop several development schemes from the input received at the initial workshop. We anticipate a design charette with City Staff and OTAK team members to graphically study design options for the development area. We will decide at the end of the session which options deserve further study to present to the Land Use Workshop. The options will recommend specific residential densities, forecast total square footages for commercial areas and outline what building types are necessary to accomplish the forecasted land uses to get an idea of the overall scale and urban design character. i Transportation alternatives will be outlined to describe the overall system necessary to service the development options. In our design developments, we will explore Neo- Traditional Planning design concepts, transit oriented design concepts, and site integrated 1 design concepts. Task 4: Land Use Workshop 2 We will present the design alternatives for discussion to the City and the Steering Committee, and anyone else the City feels would be appropriate at this review. This session is to compare alternatives, mark up the plans, and recommend an alternative for I final development. URBAN DESIGN f Task 1: Design Charette { Our design team will participate in the design.charette following the Land.Use Workshop 1 to discuss and outline design concepts,building scale, character, streetscape concepts, street hierarchy, and land use interface relationships. Task 2: Develop Design Guideline Sketches From the land use diagrams, we will begin to outline appropriate standards in graphic 1 form. We will produce sketches that illustrate setback relationships, parking standards, i landscape coverage and themes, density, and building heights to illustrate the character that the Land Use Plan calls for. We will illustrate the guidelines that must be enforced to achieve continuity, a logical circulation system, and a strong urban form. . Task 3: Land Use Workshop 2. 1 Urban design concepts and illustrations will be presented for discussion and'comment on an area-by-area basis. We will receive input to continue the development of the Design Guidelines. Task 4: Urban Design Framework Plan Refinement We will have a work session with City Staff to agree on the final direction and magnitude of the Design Guidelines to be implemented. We will prepare a final plan for presentation to the Steering Committee, City, developers, and property owners. Task b: Urban Design Guidelines Document Prepare written standards and illustrative sketches to accommodate the Land Use Plan and Urban Design Plan. TRANSPORTATION PLAN Task 1: Inventory Transportation System DKS Associates would collect all available data at the outset of the-study and will provide a summary of conditions which will be used in team meetings regarding the Triangle plan area. Key sources of-information already exist including recent traffic counts on 99W, ( past traffic studies in the area (particularly previous work in the Triangle and the I- 5/Kruse Way interchange studies), ODOT ramp counts, bicycle facilities, initial LRT studies of the Barbur corridor and Tri-Met transit route data. However, limited I information is available regarding pedestrian access and land use in the Triangle area. Using assessor and Metro records, a detailed land use inventory can be prepared quickly which can provide the planning team quantifiable measures to test the land use/transportation linkage in developing alternatives. This material will be summarized 1 in a source book of transportation information to be used in guiding land use and urban design plans for the Triangle. 1 Task 2: Development of Transportation Plan Guidelines Circulation and access in the Triangle area will be analyzed to develop a set of transportation guidelines. Based upon DKS Associates experience in development of Specific Plans, plan guidelines can be developed early in the process to test potential plan alternatives. A series of guidelines can be developed outlining, graphically, a set of roadway cross sections, potential street programs and circulation needs for all modes of I transportation (pedestrians, bicyclists, transit as well as:auto). While significant planning discussion has focused on concepts of transit-oriented development (TOD), pedestrian pockets, and neo-traditional grids,based on our working experience with these plans, the Triangle area will need a unique blend of transportation to be successful. Desire line analysis, which focuses on pedestrian access first, is performed to assure key linkages can be served. Street plans will be developed which focus of serving needs of users rather than concepts. Pedestrian and vehicle access needs must be served, which may include review of grids and limited auto-access passageways. Opportunities for key arterials to serve as key transit streets can be assessed. This may include changes in the urban design characteristic of these corridors and opportunities to reduce parking requirements. Potential access to transit stations will be reviewed, not only for potential LRT, but also for park-and-ride station opportunities which can jointly serve transit and pedestrian access. Primary access linkages into and out of the Triangle area will be studied to check if adequate capacity can be maintained. Key points along 99W, Haines Street, and ORE i217 will be reviewed. Most of this material will be developed at brainstorming sessions with the planning team. The development of guidelines will be summarized in a section of the specific plan, focusing on graphical mapping of circulation by mode and cross section typicals. Key intersections and links will be analyzed using available information } from past studies, Metro model data and background assessments. Specific tests in other areas will be performed, such as with parking. The provision of parking and the possible need for structures will be tested against land values. A transportation action plan will be developed based upon the testing which outlines key implementation measures. The plan will be summarized graphically with a tabular action list. lN. Once the areas are calculated, we will meet with the Parks Director to outline the types of parks and discuss funding sources and mechanisms. Anticipated conditions will also be outlined for significant market factors such as: Residential Uses: • Single versus multifamily • Size of unit Demographics of market (e.g. age and income) • Financing considerations { • Absorption Commercial Uses: i O Commercial office, retail and related business park absorption trends • Type and size of development Access and infrastructure l • Financing considerations This market overview will be summarized in a technical memorandum provided to the Iconsultant team and client. SCOPE OF SERVICES ISPECIFIC AREA PLAN Folt T IE TIGARD TRIANGLE Task 2: Inventory of Financing and Property Acquisition Mechanisms E.D. Hovee& Company will assist in preparation of an action plan --with focus on financing mechanisms and property acquisitions. Financing'and property acquisition techniques available to the City of Tigard and/or other appropriate public agencies will be inventoried. The analysis will cover implications of the I post-Measure 5 era and recent restrictions on tax increment financing. Comparative advantages and disadvantages will be discussed for each of the implementation measures evaluated. Recommendations will focus on measures that are both achievable and consistent with master plan objectives. I. Task 3: Action Plan Recommendations Subsequent to review of the Step A analysis, a more detailed action plan will be prepared. T-he-action-plan-vill-be-prepared. The action plan will detail recommended financing and property mechanisms pertinent to implementation of the master,plan. For each specific project activity, implementation responsibilities, cost and source of funding, and a suggested schedule will be identified. VI. Item IV - Task 2 Randy McCourt, DKS Associates, has reviewed your request and discussed it with Carol Landsman, Transportation Planner, and has agreed to add the items listed as discussed with Carol. Item IV - Task 3 Randy McCourt, DKS Associates, has agreed to your request as discussed with Carol Landsman. Item VI - Task 2 and 3 Per your request, we will eliminate Task 2 and portions of Task 3 that addressed "Inventory of Financing and Property Acquisition Mechanisms," and add more emphasis to providing you with an analysis of implementation measures available within the Oregon Land Use System and make detailed recommendations. Mr. Joe Dills, AICP, will take a lead role in that analysis. Meetings As discussed, we intend to be a resource to the City for meetings. At the workshops, we intend to be the lead to present ideas. I will be at all meetings and will bring the appropriate professionals for the subjects being discussed. Scheduling for Urban Design Component Although Urban Design Recommendations are not solidified until later in the process, Urban Design Concepts must be explored at the earliest stages of analysis. The Urban Design has to complement the Land Use Plan and the overall urban form has to be understood at the conceptual level. Design Charette We anticipate the design charette to be a four hour work session in our office with City staff and our lead team members to explore design options from input gained at the Land Use Workshops. The design ideas will be discussed and analyzed for K their impacts on transportation, wetlands and open space, major development ' parcel potential, building types, and overall urban design character. Several alternatives will be prepared for discussion and presentation to the Steering Committee. John, I hope this outline addresses the issues we discussed.
