PUBLIC AFFAIRS: FACILITIES INFRASTRUCTURE
AMENDMENT #1
The Agreement between the City of Tigard, a municipal corporation of the State of Oregon, hereinafter called
City, and PT3, Inc., dba Pac/West Communications, hereinafter referred to as Contractor, is hereby amended
as follows:
1. ASSIGNMENT/DELEGATION
Section 7 of the contract allows for the contractor to transfer any interest or duty under the agreement with
written consent. PT3, Inc., dba Pac/West Communications has restructured their business and is assigning
the agreement to Pac/West Resources Corporation as agreed upon in Exhibit A. Any reference to PT3, Inc.,
dba Pac/West Communications in the original agreement will be updated to Pac/West Resources
Corporation.
2. Except as expressly provided in this contract amendment, all other terms remain unchanged.
IN WITNESS WHEREOF, City has caused this Amendment to be executed by its duly authorized
undersigned officer and Contractor has executed this Amendment upon signature and date listed below.

Re: Personal Service Contract – Infrastructure Needs – Community and Public Outreach
Dear Kathy:
PT3, Inc., dba Pac/West Communications is restructuring our businesses with the goal of providing seamless services
to our valued clients. As part of these ongoing efforts, on or about January 1, 2024 (the “Effective Date”),
employees and projects of Pac/West Communications will be transferred to Pac/West Resources Corporation, a
State of Oregon corporation.
Please be assured that the trusted relationship with your current project manager and project team will remain in
place. Chris West is the owner of Pac/West Resources, and the existing staff will be working for him too. I, Paul
Phillips, will still be involved under the agreement with Pac/West Resources.
To accomplish this from a client contract perspective, as of the Effective Date, all rights, obligations and
liabilities of PT3, Inc., dba Pac/West Communications (under its current name or any of its former names),
pertaining to the referenced Agreement, as well as any ancillary agreements between the parties relating to the
Agreement (e.g., nondisclosure agreement, site access agreement), will be assigned to and assumed by, Pac/West
Resources.
Accordingly, after the January 1, 2024, the Effective Date of the assignment, please make all payments to
Pac/West Resources for services provided under the Agreement.
Attached is a W-9 for Pac/West Resources.
Please acknowledge your consent to this assignment of the Agreement by executing where indicated below and
return a copy to Pac/West.
