ThepolicyorpoliciesofinsurancemaintainedbytheContractorshallprovideatleastthefollowinglimits andcoverages:  A.CommercialGeneralLiabilityInsurance Contractorshallobtain,atcontractor’sexpense,andkeepineffectduringthetermofthiscontract, ComprehensiveGeneralLiabilityInsurancecoveringBodilyInjuryandPropertyDamageonan “occurrence”form(CG20101185orequivalent). ThiscoverageshallincludeContractual Liabilityinsurancefortheindemnityprovidedunderthiscontract.Thefollowinginsurancewill becarried:  CoverageLimit GeneralAggregate2,000,000 Products-CompletedOperationsAggregate1,000,000 Personal&AdvertisingInjury1,000,000 EachOccurrence1,000,000 FireDamage(anyonefire)50,000  B.CommercialAutomobileInsurance Contractorshallalsoobtain,atcontractor’sexpense,andkeepineffectduringthetermofthe contract,CommercialAutomobileLiabilitycoverageincludingcoverageforallowned,hired,and non-ownedvehiclesonan“occurrence”form.TheCombinedSingleLimitperoccurrenceshallnot belessthan$2,000,000.  IfContractorusesapersonally-ownedvehicleforbusinessuseunderthiscontract,theContractor shallobtain,atContractor’sexpense,andkeepineffectduringthetermofthecontract,business automobileliabilitycoverageforallownedvehiclesonan“occurrence”form.TheCombinedSingle Limitperoccurrenceshallnotbelessthan$2,000,000.  C.Workers’CompensationInsurance Thecontractor,itsSubcontractors,ifany,andallemployersprovidingwork,labor,ormaterials underthisContractthataresubjectemployersundertheOregonWorkers'CompensationLaw shallcomplywithORS656.017,whichrequiresthemtoprovideworkers'compensationcoverage thatsatisfiesOregonlawforalltheirsubjectworkers.Out-of-stateemployersmustprovide Oregonworkers'compensationcoveragefortheirworkerswhoworkatasinglelocationwithin  5|P a g e  Oregonformorethan30daysinacalendaryear.Contractorswhoperformworkwithoutthe assistanceorlaborofanyemployeeneednotobtainworkers’compensationcoverage.Allnon- exemptemployersshallprovideEmployer'sLiabilityInsurancewithcoveragelimitsofnotless than$1,000,000eachaccident.  D.AdditionalInsuredProvision Allpoliciesaforementioned,otherthanWorkers’CompensationandProfessionalLiability,shall includetheCityitsofficers,employees,agentsandrepresentativesasadditionalinsuredswith respecttothiscontract.  E.InsuranceCarrierRating CoveragesprovidedbytheContractormustbeunderwrittenbyaninsurancecompanydeemed acceptablebytheCity.AllpoliciesofinsurancemustbewrittenbycompanieshavinganA.M. Bestratingof"A-VII"orbetter,orequivalent.TheCityreservestherighttorejectallorany insurancecarrier(s)withanunacceptablefinancialrating.  F.Self-Insurance TheCityunderstandsthatsomeContractorsmayself-insureforbusinessrisksandtheCitywill considerwhethersuchself-insuranceisacceptableifitmeetstheminimuminsurancerequirements forthetypeofcoveragerequired.IftheContractorisself-insuredforcommercialgeneralliability orautomobileliabilityinsurancetheContractormustprovideevidenceofsuchself-insurance. TheContractormustprovideaCertificateofInsuranceshowingevidenceofthecoverage amountsonaformacceptabletotheCity.TheCityreservestherightinitssolediscretionto determinewhetherself-insuranceisadequate.  G.CertificatesofInsurance Asevidenceoftheinsurancecoveragerequiredbythecontract,theContractorshallfurnisha CertificateofInsurancetotheCity.NocontractshallbeeffectiveuntiltherequiredCertificates ofInsurancehavebeenreceivedandapprovedbytheCity.Thecertificatewillspecifyand documentallprovisionswithinthiscontractandincludeacopyofAdditionalInsured Endorsement.Arenewalcertificatewillbesenttothebelowaddresspriortocoverageexpiration.  H.IndependentContractorStatus Theserviceorservicestoberenderedunderthiscontractarethoseofanindependentcontractor. Contractorisnotanofficer,employeeoragentoftheCityasthosetermsareusedinORS30.265.  I.PrimaryCoverageClarification ThepartiesagreethatContractor’scoverageshallbeprimarytotheextentpermittedbylaw.The partiesfurtheragreethatotherinsurancemaintainedbytheCityisexcessandnotcontributory insurancewiththeinsurancerequiredinthissection.  J.Cross-LiabilityClause Across-liabilityclauseorseparationofinsuredsclausewillbeincludedinallgeneralliability, professionalliability,pollutionanderrorsandomissionspoliciesrequiredbythiscontract. Suchpoliciesorcertificatesmustbedeliveredpriortocommencementofthework.Theprocuringof suchrequiredinsuranceshallnotbeconstruedtolimitcontractor’sliabilityhereunder.Notwithstanding saidinsurance,Contractorshallbeobligatedforthetotalamountofanydamage,injury,orlosscaused bynegligenceorneglectconnectedwiththiscontract.  12.ATTORNEY'SFEES Incasesuitoractionisinstitutedtoenforcetheprovisionsofthiscontract,thepartiesagreethatthe losingpartyshallpaysuchsumasthecourtmayadjudgereasonableattorneyfeesandcourtcosts, includingwitnessfees(expertandnon-expert),attorney'sfeesandcourtcostsonappeal.  13.COMPLIANCEWITHSTATEANDFEDERALLAWS/RULES Contractorshallcomplywithallapplicablefederal,stateandlocallaws,rulesandregulations, including,butnotlimitedto,therequirementsconcerningworkinghours,overtime,medicalcare, workerscompensationinsurance,healthcarepayments,paymentstoemployeesandsubcontractors andincometaxwithholdingcontainedinORSChapters279A,279B,and279C,theprovisionsof whichareherebymadeapartofthisagreement.  14.CHOICEOFLAW,VENUE TheprovisionsofthisAgreementaregovernedbyOregonLaw.VenuewillbetheStateofOregon CircuitCourtinWashingtonCountyortheUSDistrictCourtforOregon,Portland.  15.HAZARDOUSMATERIALS ContractorwillcomplywithallfederalOccupationalSafetyandHealthAdministration(OSHA) requirementsandallOregonsafetyandhealthrequirements.InaccordancewithOSHAandOregon OSHAHazardCommunicationRules,ifanygoodsorservicesprovidedunderthisAgreementmay release,orotherwiseresultinanexposureto,ahazardouschemicalundernormalconditionsofuse (forexample,employeesofaconstructioncontractorworkingon-site),itistheresponsibilityof ContractortoprovidetheCitywiththefollowinginformation:allapplicableSafetyDataSheets,the identityofthechemical/s,howContractorwillinformemployeesaboutanyprecautionsnecessary, anexplanationofanylabelingsystem,andthesafeworkpracticestopreventexposure.Inaddition, Contractormustlabel,tag,ormarksuchgoods  16.CONFLICTBETWEENTERMS Intheeventofaconflictbetween thetermsofthisAgreementandContractor’sproposal,this Agreementwillcontrol.IntheeventofconflictbetweenaprovisioninthemainbodyoftheAgreement andaprovisionintheExhibits,theprovisioninthemainbodyoftheAgreementwillcontrol.Inthe eventofaninconsistencybetweenExhibitAandExhibitB,ExhibitAwillcontrol.   7|P a g e   17.EXTRA(CHANGES)WORK OnlytheCity’sProjectManagerforthisAgreementmaychangeorauthorizeadditionalwork.Failure ofContractortosecureauthorizationforextraworkconstitutesawaiverofallrighttoadjustthe contractpriceorcontracttimeduetosuchunauthorizedextraworkandContractorwillnotbeentitled tocompensationfortheperformanceofunauthorizedwork.  18.SEVERABILITY IntheeventanyprovisionorportionofthisAgreementisheldtobeunenforceableorinvalidbyany courtofcompetentjurisdiction,thevalidityoftheremainingtermsandprovisionsshallnotbeaffected totheextentthatitdidnotmateriallyaffecttheintentofthepartieswhentheyenteredintotheagreement.  19.REPRESENTATIONSANDWARRANTIES ContractorrepresentsandwarrantstotheCitythat:  A.ContractorhasthepowerandauthoritytoenterintoandperformthisAgreement.  B.ThisAgreement,whenexecutedanddelivered,isavalidandbindingobligationofContractor, enforceableinaccordancewithitsterms.  C.Contractor(tothebestofContractor’sknowledge,afterdueinquiry),foraperiodofnofewerthan sixcalendaryears(orsincethefirm’sinceptioniflessthanthat)precedingtheeffectivedateof thisAgreement,faithfullyhascompliedwith:  1)Alltaxlawsofthisstate,includingbutnotlimitedtoORS305.620andORSchapters316, 317,and318; 2)AnytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedtoContractor, toContractor’sproperty,operations,receipts,orincome,ortoContractor’sperformanceof orcompensationforanyworkperformedbyContractor; 3)AnytaxprovisionsimposedbyapoliticalsubdivisionofthisstatethatappliedtoContractor, ortogoods,services,orproperty,whethertangibleorintangible,providedbyContractor;and 4)Anyrules,regulations,charterprovisions,orordinancesthatimplementedorenforcedanyof theforegoingtaxlawsorprovisions.  D.AnyintellectualpropertyrightsorsuchdeliveredtotheCityunderthisAgreement,and Contractor’sservicesrenderedintheperformanceofContractor’sobligationsunderthis Agreement,shallbeprovidedtotheCityfreeandclearofanyandallrestrictionsonorconditions ofuse,transfer,modification,orassignment,andshallbefreeandclearofanyandallliens,claims, mortgages,securityinterests,liabilities,charges,andencumbrancesofanykind.  20.COMPLIANCEWITHTAXLAWS A.Contractormust,throughoutthedurationofthisAgreementandanyextensions,complywithall taxlawsofthisstateandallapplicabletaxlawsofanypoliticalsubdivisionoftheStateofOregon. Block will be set over a 6" of compacted 3/4 minus gravel and backfilled with the same material. A perforated drainpipe will also be installed behind the wall to insure proper drainage. 4,200.00 Install 100facial sqft of retaining wall along the fence line of the home on the opposite side of the lot to retain the existing soil and portion of the existing fence line. Block will be set over a 6" of compacted 3/4 minus gravel and backfilled with the same material.
