Discussion of Public Information Campaign. • Tigard Blast • "Fact Sheets" New Tigard Library Construction Committee Meeting Notes Monday July 9, 2001 The meeting convened at 6:30 p.m. The Committee members present were: Joyce Patton, Sue Carver, Kathy Sleeger, David Chapman, Jim Funk, Curtis Tigard, George Burgess and Elaine Heras. Also present was Gary Larson BML Architects. Staff present were Bill Monahan, Gus Duenas and Margaret Barnes. Chairperson David Chapman asked the Committee to review the meeting notes from the June 11 committee meeting. A motion was made by Patton and a second by George Burgess. The Committee approved the notes. Chairperson Chapman invited Gary Larson to discuss the idea of a model with the Committee. Gary stated the purpose of a model is to represent the idea of a new library to the public. He also stated the model would be a way to represent a two-story structure and the site, once it is determined. The model is also a way to demonstrate the relationship between the functionality and architectural design of a building. Gary had two different examples of models that he presented to the Committee. One was constructed out of wood, the other out of paper and plastic. A wood model is typically more abstract, it conveys the sense of shape of a structure without specifics. A paper/plastic model will convey the idea of the structure to the public. With the paper/plastic model it is possible to show examples of the interior, highlight significant spaces and have the ability to select colors. Gary stated the cost of a paper/plastic model is typically 25% less than a wood model. The Committee thought the model would be an effective tool to represent this project to the community. The Committee examined both models and discussed the merits of each. Councilors Patton favored the paper/plastic model because it gives a realistic view of a structure. Gus Duenas asked how stable and durable the paper/plastic model would be. After some additional discussion the Committee agreed by consensus to recommend to the City Councilor the construction of a paper/plastic model of the proposed new library. City Manager, Bill Monahan and City Engineer, Gus Duenas provided additional information to the Committee about Site D and Site E. The Committee then discussed their presentation to Council. George Burgess volunteered to present information about the model, Sue Carver volunteered to present information about the public information campaign, Bill Monahan volunteered to present updated information about Site D and Site E. The Committee discussed the development of the "fact sheets" to be distributed to the community. The "fact sheets" will also be posted on the City Webpage. Councilor Patton suggested that the "fact sheets" focus on the advantages that the library provides and the positive things the library is currently doing. The "fact sheets" could also inform people about what the library could do with a new larger facility. The "fact sheets" are also a way to inform the community about current successful programs like the programs that are provided for children. Curtis Tigard mentioned the importance of the Summerfield neighborhood and also the need to stress to that community what the library currently provides in the way of service and what it could provide in the future with a new building. As Dom's memo shows, the Albertson's site is apparently on a long-term lease to a tenant which does not have plans to move. The same is true of the Rite-Aid property. According to information available to our city attorneys, the leases on the properties extend more than 20 years. Thus, acquisition of the property would involve both buying the land and buildings and also paying for the remaining term of the lease as well as relocation. This information indicates that the property is not presently available and if the city should pursue acquisition substantial obstacles are present. In addition, the cost is unknown and the time frame in which the properties would be available is uncertain. Pursuant to your request, this office has undertaken an investigation into the current ownership and potential availability of the referenced properties (the"Properties")for development and use as the Tigard City Library. As you are aware from your own inquiries, the ownership of the Properties presents a difficult and muddled legal picture. Accordingly, we have focused our efforts on identification of persons or entities possessing ownership or control interests in the Properties, and determining the status of leases through which the Properties are currently occupied by Value Village and Rite. Aid, respectively. Our investigation initially led us down some blind alleys. Albertson'-s alue Village Property("Property 111) The current record ownership of the Albertson's/Value Village property("Property 1") is held by an entity identified as the Jasue Trust, having an address of P.O. Box 20, Boise, Idaho. Checks of the records of the Secretaries of State of Oregon and Idaho failed to reveal any further information regarding Jasue, but it is interesting that the letters 7', "A" and"S" are the same as the first letters of"Joe Albertson's Supermarket", a tag line that has been prominently used in Albertson's advertising over the years, and that the listed address is in Boise,the same city in which Albertson's headquarters is located. JUL 23 '01 08:19AM RAMIS CREW CORRIGAN P.3 I contacted by telephone Ken Elliott, a former partner of this firm and now an in-house attorney for Albertson's. Ken advised that Albertson's sold many of their stores to one or. more entities, and then performed a lease back for cash flow and tax reasons. Property 1 is in this category, but Ken confirmed that under the terms of the lease back arrangement, Albertson's actually has substantial control over Property 1. He also confirmed that Property 1 had been subleased to TVI, Inc.,which operates a Value Village store on the site. This information was confirmed by conversations with Mr. Shaun Graeer of Albertson's, who confirmed that Albertson's had subleased Property 1 to TVI, Inc.,which is apparently a property holding company for the Value Village and Savers chains of stores. According to Mr. Graeer, the current Value Village sublease has options which could be exercised by TVI to extend the sublease term for approximately 30 more years. A copy of this sublease has been requested, but we are uncertain whether we will receive the document. Contact regarding Property 1 has also been made with Mr.Robert Coron of John Galt Corporation, which organization is located in Pennsylvania and is the real estatelproperty management entity for TVI. He described the store in question as being"active" and stated that it was not likely that TVI would close the store in the immediate future. While we have not been able to confirm with specificity the potential term of the Value Village store sublease, it seems unlikely that this portion of the Properties would be for We, and the existence of an active commercial lease on Property 1 would have a substantial impact on the condemnation value of Property 1, and that tenant relocation benefits would also likely be awardable in an eminent domain proceeding. Rite-Aid ProRerty ("Property 2111 Rite-Aid(formerly Thrifty/Payless)has apparently also engaged in a We leaseback arrangement affecting Property 2. In this case, the current owner is described by representatives of Rite-Aid as being: Charles M. Scimecca, attorney-in-fact for Edward.Granville-Smite, Jr. 250 S.E. Mizner Boulevard, Suite 503 Boca Raton, Florida_ The foregoing information was provided by Ms. Tracey Verastegui, director of store development in the Pacific Northwest for Rite-Aid. Ms. Verastegui is located in Costa Mesa, California. She advises that Rite-Aid has options which could extend the term of its lease.for 27 more years, and that Rite-Aid had no plans to close the store. Based on this information, it appears that Property 2 would also be a very difficult acquisition. We have stressed that the model is the best way for the public to envision the building and become boosters for it. And the sooner the model can be seen by the community, the better, in terms of having adequate time to reach everyone and thoroughly spread the message about the new Library. The following are some of the issues that need to be addressed in the discussions with Mr. Fields: • Price • Price for option • Purchase Price • Payment schedule • Definition of City purchase versus what area Metro is interested in for greenspaces • What process needs to continue forward for Mr. Fields to be receptive to the purchase • Continue to pursue the approval for the extension of Wall Street(removal of spur track, two railroad crossings,plus crossing of the wetlands to connect to Hall Boulevard). • What obligations would we have as we move forward in this regard? • Zone Change or t,anguage Change—The property is now zoned R12. We would need to either change the zoning or amend the language to include cultural or civic facilities in an R12 zone. We need to make sure Mr. Fields does not oppose either approach during the option period. • Signs identifying the site as potential future home of the new library. We need to get his approval to place these signs. • Phase 1 Environmental Study with other phases to follow if needed. • Period of the Option • Execute option by September 2001 • Purchase by July 1, 2002 at the earliest, or at the latest by December 31, 2002 (dependent upon passage of the proposed bond issue). • Disposition of the current tenants in the existing houses. We would prefer to buy a property with vacant buildings. We could then at our option rent them out until the project begins in earnest. Attached as requested is information on the property that was available to the Library Construction Committee during the site selection process. The information is based on the Tax Assessor's data and merely provides a starting point for negotiations. We would obviously need to obtain an appraisal on the property for more accurate and up-to-date information. There are probably some other issues that need to be brought up in the discussions with Mr. Fields. If you can think of any,please add them to the list. You probably need to be aware of what actions we have taken to date in pursuing the proposed extension of Wall Street. I'll discuss that with you at a mutually convenient time. As we discussed,Mr. William Eadie of Metro is interested in working with us on this matter. Metro is interested in purchasing greenspaces in that area. He has volunteered to negotiate with Mr. Fields on our behalf. I am providing him a copy of this memo and the information I am providing to you.
