PROFESSIONAL SERVICES AGREEMENT
ON-CALL ENVIRONMENTAL PERMITTING SUPPORT SERVICES
THIS AGREEMENT, made and entered into this 9`s day of January, 2019, by and between the City of
Tigard, a municipal corporation, hereinafter referred to as the "City," and Wood Environment &
Infrastructure Solutions, Inc,hereinafter referred to as the "Consultant."
RECITALS
WHEREAS,the City's Fiscal Year 2018-2019 budget provides for on call environmental permitting support
services for various projects;and
WHEREAS, the accomplishment of the work and services described in this Agreement is necessary and
essential to the program of the City; and
WHEREAS, the City desires to engage the Consultant to render professional on call environmental
permitting support services for the various on call projects, and the Consultant is willing and qualified to
perform such services;
THEREFORE,in consideration of the promises and covenants contained herein, the parties hereby agree
as follows:
1. Consultant's Scope of Services
The Consultant shall perform professional on call environmental services relevant to the Project in
accordance with the terms and conditions set forth herein,and as provided in Exhibit A,which is attached
hereto and by this reference made a part of this Agreement.
2. Effective Date and Duration
This agreement shall become effective upon the date of execution, and shall expire, unless otherwise
terminated or extended,on completion of the work or January 31,2021 whichever comes first. All work
under this Agreement shall be completed prior to the expiration of this Agreement.
3. Consultant's Fee
A. Basic Fee
1) As compensation for Basic Services as described in Exhibit A of this Agreement, and for
services required in the fulfillment of Paragraph 1, the Consultant shall be paid on an hourly
rate based upon the"Schedule of Rates"in Exhibit B of this agreement,which shall constitute
full and complete payment for said services and all expenditures which may be made and
expenses incurred, except as otherwise expressly provided in this Agreement. No task order
assigned under this Agreement may exceed One Hundred Thousand and No/100 Dollars
($100,000.00) at any point,including all change orders assigned to that particular task order.
2) The Parties hereto do expressly agree that the Basic Fee is based upon the Scope of Services
to be provided by the Consultant and is not necessarily related to the estimated construction
cost of the Project. In the event that the actual construction cost differs from the estimated
construction cost, the Consultant's compensation will not be adjusted unless the Scope of
Services to be provided by the Consultant changes and is authorized and accepted by the City.

B. Payment Schedule for Basic Fee
Payments shall be made upon receipt of billings based on the work completed. Billings shall be
submitted by the Consultant periodically,but notmore frequently than monthly. Payment by the
City shall release the City from any further obligation for payment to the Consultant for service
or services performed or expenses incurred as of the date of the statement of services. Payment
shall be made only for work actually completed as of the date of invoice. Payment shall not be
considered acceptance or approval of any work or waiver of any defects therein.
C. Payment for Special Services
Only when directed in writing by the City,the Consultant shall furnish or acquire for the City the
professional and technical services based on the hourly rate schedule as described in Exhibit B of
this contract for minor project additions and/or alterations.
D. Certified Cost Records
The Consultant shall furnish certified cost records for all billings pertaining to other than lump
sum fees to substantiate all charges. For such purposes, the books of account of the Consultant
shall be subject to audit by the City. The Consultant shall complete work and cost records for all
billings on such forms and in such manner as will be satisfactory to the City.
E. Contract Identification
The Consultant shall furnish to the City its employer identification number, as designated by the
Internal Revenue Service,or social securiq,number,as the City deems applicable.
F. Payment—General
1) Consultant shall pay to the Department of Revenue all sums withheld from employees
pursuant to ORS 316.167.
2) Consultant shall pay employees at least time and a half pay for all overtime worked in excess
of 40 hours in any one week except for individuals under the contract who are excluded under
ORS 653.010 to 653.261 or under 29 USC sections 201 to 209 from receiving overtime.
3) Consultant shall promptly, as due, make payment to any person, co-partnership, association
or corporation, furnishing medical, surgical and hospital care or other needed care and
attention incident to sickness or injury to the employees of Consultant or all sums which
Consultant agrees to pay for such services and all moneys and sums which Consultant
collected or deducted from the wages of employees pursuant to any law,contract or agreement
for the purpose of providing or paying for such service.
4) The City certifies that sufficient funds are available and authorized for expenditure to finance
costs of this contract.
5) Consultant shall make payments promptly, as due, to all persons supplying services or
materials for work covered under this contract. Consultant shall not permit any lien or claim
to be filed or prosecuted against the City on any account of any service or materials furnished.
6) If Consultant fails, neglects or refuses to make prompt payment of any claim for labor,
materials, or services furnished to Consultant, sub-consultant or subcontractor by any person
as such claim becomes due, City may pay such claim and charge the amount of the payment
against funds due or to become due to the Consultant. The payment of the claim in this
manner shall not relieve Consultant or their surety from obligation with respect to any unpaid
claims.

4. Ownership of Plans and Documents: Records
A. The field notes, design notes, and original drau.-ings of the construction plans, as instruments of
service,are and shall remain,the property of the Consultant;however,the City shall be furnished,
at no additional cost, one set of previously approved reproducible drawings, on 3 mil minimum
thickness mylar as well as diskette in "DWG" or "DXF" format, of the original drawings of the
work. The City shall have unlimited authority to use the materials received from the Consultant
in any way the City deems necessary.
B. The City shall make copies, for the use of and without cost to the Consultant, of all of its maps,
records,laboratory tests, or other data pertinent to the work to be performed by the Consultant
pursuant to this Agreement, and also make available any other maps, records, or other materials
available to the City from any other public agency or body.
C. The Consultant shall furnish to the City, copies of all maps, records, field notes, and soil tests
which were developed in the course of work for the City and for which compensation has been
received by the Consultant at no additional expense to the City except as provided elsewhere in
this Agreement.
5. Assignment/Delegation
Neither parry shall assign, sublet or transfer any interest in or duty under this Agreement without the
written consent of the other and no assignment shall be of any force or effect whatsoever unless and until
the other party has so consented. If City agrees to assignment of tasks to a subcontract,Consultant shall
be fully responsible for the acts or omissions of any subcontractors and of all persons employed by them,
and neither the approval by City of any subcontractor nor anything contained herein shall be deemed to
create any contractual relation between the subcontractor and City.
6. Consultant is Independent Contractor
A. The City's project director,or designee,shall be responsible for determining whether Consultant's
work product is satisfactory and consistent with this agreement,but Consultant is not subject to
the direction and control of the City. Consultant shall be an independent contractor for all
purposes and shall be entitled to no compensation other than the compensation provided for
under Section 3 of this Agreement.
B. Consultant is an independent contractor and not an employee of City. Consultant acknowledges
Consultant's status as an independent contractor and acknowledges that Consultant is not an
employee of the City for purposes of workers compensation law,public employee benefits law,or
any other law. All persons retained by Consultant to provide services under this contract are
employees of Consultant and not of City. Consultant acknowledges that it is not entitled to
benefits of any kind to which a City employee is entitled and that it shall be solely responsible for
workers compensation coverage for its employees and all other payments and taxes required by
law. Furthermore, in the event that Consultant is found by a court of law or an administrative
agency to be an employee of the City for any purpose,City shall be entitled to offset compensation
due, or to demand repayment of any amounts paid to Consultant under the terms of the
agreement,to the full extent of any benefits or other remuneration Consultant receives (from City
or third party) as a result of said finding and to the full extent of any payments that City is required
to make (to Consultant or to a third party) as a result of said finding.

C. The undersigned Consultant hereby represents that no employee of the City or any partnership or
corporation in which a City employee has an interest,has or will receive any remuneration of any
description from the Consultant, either directly or indirectly, in connection with the letting or
performance of this Agreement,except as specifically declared in writing.
D. If this payment is to be charged against Federal funds, Consultant certifies that he/she is not
currently employed by the Federal Government and the amount charged dots not exceed his/her
normal charge for the type of service provided.
E. Consultant and its employees, if any, are not active members of the Oregon Public Employees
Retirement System and are not employed for a total of 600 hours or more in the calendar year by
any public employer participating in the Retirement System.
F. Consultant shall obtain, prior to the execution of any performance under this Agreement, a City
of Tigard Business License. The Tigard Business License is based on a calendar year with a
December 31 st expiration date. New businesses operating in Tigard after June 30th of the current
year will pay a pro-rated fee though the end of the calendar year.
G. Consultant is not an officer,employee,or agent of the City as those terms are used in ORS 30.265.
7. Indemnity
A. The City has relied upon the professional ability and training of the Consultant as a material
inducement to enter into this Agreement. Consultant represents to the City that the work under
this contract will be performed in accordance with the professional standards of skill and care
ordinarily exercised by members of the Consultant's profession under similar conditions and
circumstances as well as the requirements of applicable federal, state and local laws, it being
understood that acceptance of an Consultant's work by the City shall not operate as a waiver or
release. Acceptance of documents by City does not relieve Consultant of any responsibility for
design deficiencies, errors or omissions.
B. Claims for other than Professional Liability. Consultant agrees,and shall indemnify, defend, save
and hold harmless the City of Tigard,its officers, employees, agents, and representatives from all
claims, suits, or actions and all expenses incidental to the investigation and defense thereof, of
,vhatsoever nature, including intentional acts resulting from or arising out of the activities of
Consultant or its subcontractors, sub-consultants, agents or employees in performance of this
contract at both trial and appeal level,whether or not a trial or appeal ever takes place including
any hearing before federal or state administrative agencies.. If any aspect of this indemnity shall
be found to be illegal or invalid for any reason whatsoever, such illegality or invalidity shall not
affect the validity of the remainder of this indemnification.
C. Claims for Professional Liability. Consultant agrees and shall indemnify, defend, save and hold
harmless the City of Tigard, its officers, employees, agents, and representatives from all claims,
suits,or actions and all expenses incidental to the investigation and defense thereof, arising out of
the professional negligent acts, errors or omissions of Consultant or its subcontractors, sub-
consultants, agents or employees in performance of professional services under this agreement.
Any work by Consultant that results in a design of a facility that is not readily accessible to and

usable by individuals with disabilities shall be considered a professionally negligent act, error or
omission.
D. As used in subsections B and C of this section, a claim for professional responsibility is a claim
made against the City in which the City's alleged liability results directly or indirectly,in whole or
in part,from the quality of the professional services provided by Consultant,regardless of the type
of claim made against the City in performance of this contract. A claim for other than professional
responsibility is a claim made against the City in which the City's alleged liability results from an
act or omission by Consultant unrelated to the quality of professional services provided by
Consultant in performance of this contract.
S. Insurance
Consultant and its subcontractors shall maintain insurance acceptable to City in full force and effect
throughout the term of this contract. Such insurance shall cover risks arising directly orindirectly out of
Consultant's activities or work hereunder,including the operations of its subcontractors of any tier. Such
insurance shall include provisions that such insurance is primary insurance with respect to the interests
of City and that any other insurance maintained by City is excess and not contributory insurance with the
insurance required hereunder.
The policy or policies of insurance maintained by the Consultant and its subcontractors shall provide at
least the following limits and coverages:
A. Commercial General Liability Insurance
Consultant shall obtain,at Consultant's expense, and keep in effect during the term of this contract,
Comprehensive General Liability Insurance covering Bodily Injury and Property Damage on an
"occurrence" form (CG 2010 1185 or equivalent). This coverage shall include Contractual Liability
insurance for the indemnity provided under this contract. The following insurance will be carried:

B. Professional Liability
Consultant shall obtain,at Consultant's expense,and keep in effect during the term of this contract,
Professional Liability Insurance covering any damages caused by any actual or alleged negligent act,
error or omission in the rendering of or failure to render Professional Services.Combined single limit
per claim shall not be less than$2,000,000,or the equivalent. Annual aggregate limit shall not be less
than$3,000,000 and filed on a"claims-made" form.
C. Commercial Automobile Insurance
Consultant shall also obtain, at Consultant's expense, and keep in effect during the term of the
contract(Symbol 1 or Symbols 8 and 9 as applicable) Commercial Automobile Liability coverage on
an "occurrence" form including coverage for all owned, hired, and non-owned vehicles. The
Combined Single Limit per occurrence shall not be less than$2,000,000.

If Contractor operates a personally-owned vehicle for business use under this contract,the Contractor
shall obtain, at Contractor's expense, and keep in effect during the term of the contract, business
automobile liability coverage for all owned vehicles on an"occurrence"form. The Combined Single
Limit per occurrence shall not be less than$2,000,000.
A Workers' Compensation Insurance
The Consultant,its subcontractors,if any,and all employers providing work,labor or materials under
this Contract are subject employers under the Oregon Workers'Compensation Law and shall comply
with ORS 656.017, which requires them to provide workers' compensation coverage that satisfies
Oregon law for all their subject workers. Out-of-state employers must provide Oregon workers'
compensation coverage for their workers who work at a single location within Oregon for more than
30 days in a calendar year. Consultants who perform work without the assistance or labor of any
employee need not obtain such coverage. This shall include Employer's Liability Insurance with
coverage limits of not less than$1,000,000 each accident
E. Additional Insured Provision
All policies aforementioned, other than Workers' Compensation and Professional Liability, shall
include the City its officers,employees,agents and representatives as additional insureds with respect
to this contract. Coverage will be endorsed to provide a"per project" aggregate.
F. Extended Reporting Coverage
If any of the aforementioned liability insurance is arranged on a "claims-made" basis, Extended
Reporting coverage will be required at the completion of this contract to a duration of 24 months or
the maximum time period the Consultant's insurer will provide such if less than 24 months.
Consultant will be responsible for furnishing certification of Extended Reporting coverage as
described or continuous "claims-made" liability coverage for 24 months following contract
completion. Continuous "claims-made" coverage will be acceptable in lieu of Extended Reporting
coverage,provided its retroactive date is on or before the effective date of this contract. Coverage
will be endorsed to provide a"per project"aggregate.
G. Insurance Carrier Rating
Coverage provided by the Consultant must be underwritten by an insurance company deemed
acceptable by the City. All policies of insurance must be written by companies having an A.M. Best
rating of"A-VII" or better, or equivalent. The City reserves the right to reject all or any insurance
carrier(s)with an unacceptable financial rating.
H. Self-Insurance
The City understands that some Contractors may self-insure for business risks and the City will
consider whether such self-insurance is acceptable if it meets the minimum insurance requirements
for the type of coverage required. If the Contractor is self-insured for commercial general liability or
automobile liability insurance the Contractor must provide evidence of such self-insurance. The
Contractor must provide a Certificate of Insurance showing evidence of the coverage amounts on a
form acceptable to the City. 'Me City reserves the right in its sole discretion to determine whether
self-insurance is adequate.

I. Certificates of Insurance
As evidence of the insurance coverage required by the contract, the Consultant shall furnish a
Certificate of Insurance to the City. No contract shall be effective until the required Certificates of
Insurance have been received and approved by the City. The certificate will specify and document
all provisions within this contract and include a copy of Additional Insured Endorsement. A renewal
certificate will be sent to the address below prior to coverage expiration.
J. Independent Contractor Status
The service or services to be rendered under this contract are those of an independent contractor.
Contractor is not an officer,employee or agent of the City as those terms are used in ORS 30.265.
K. P--gry Coverage Clarification
The parties agree that Consultant's coverage shall be primary to the extent permitted by law. The
parties further agree that other insurance maintained by the City is excess and not contributory
insurance with the insurance required in this section.
L. Cross-Liability Clause
A cross-liability clause or separation of insureds clause will be included in all general liability and
commercial automobile policies required by this contract.
A certificate in form satisfactory to the City certif-,ing to the issuance of such insurance will be
forwarded to:

At the discretion of the City, a copy of each insurance policy, certified as a true copy by an authorized
representative of the issuing insurance company may be required to be forwarded to the above address.
Such policies or certificates must be delivered prior to commencement of the work.
The procuring of such required insurance shall not be construed to limit Consultant's liability hereunder.
Notwithstanding said insurance,Consultant shall be obligated for the total amount of any damage,injury,
or loss caused by negligence or neglect connected with this contract.
9. Termination Without Cause
At any time and without cause,City shall have the right in its sole discretion,to terminate this Agreement
by giving notice to Consultant. If City terminates the contract pursuant to this paragraph,it shall pay
Consultant for services rendered to the date of termination.
10. Termination With Cause
A. City may terminate this Agreement effective upon delivery of written notice to Consultant,or at such
later date as may be established by City,under any of the following conditions:
1) If City funding from federal, state, local, or other sources is not obtained and continued at
levels sufficient to allow for the purchase of the indicated quantity of services. This Agreement

may be modified to accommodate a reduction in funds.
2) If Federal or State regulations or guidelines are modified, changed, or interpreted in such a
way that the services are no longer allowable or appropriate for purchase under this
Agreement.
3) If any license or certificate required by law or regulation to be held by Consultant, its
subcontractors, agents, and employees to provide the services required by this Agreement is
for any reason denied,revoked, or not renewed.
4) If Consultant becomes insolvent,if voluntary or involuntary petition in bankruptcy is filed by
or against Consultant, if a receiver or trustee is appointed for Consultant, or if there is an
assignment for the benefit of creditors of Consultant.
Any such termination of this agreement under paragraph (A) shall be without prejudice to any
obligations or liabilities of either party already accrued prior to such termination.
B. City,by written notice of default (including breach of contract) to Consultant,may terminate the
whole or any part of this Agreement:
1) If Consultant fails to provide services called for by this agreement within the time specified
herein or any extension thereof,or
2) If Consultant fails to perform any of the other provisions of this Agreement, or so fails to
pursue the work as to endanger performance of this agreement in accordance with its terms,
and after receipt of written notice from City, fails to correct such failures within ten days or
such other period as City may authorize.
3) If Consultant fails to eliminate a conflict as described in Section 14 of this agreement.
The rights and remedies of City provided in the above clause related to defaults (including breach of
contract) by Consultant shall not be exclusive and are in addition to any other rights and remedies
provided by law or under this Agreement.
If City terminates this Agreement under paragraph (B), Consultant shall be entitled to receive as
full payment for all services satisfactorily rendered and expenses incurred,an amount which bears
the same ratio to the total fees specified in this Agreement as the services satisfactorily rendered
by Consultant bear to the total services otherwise required to be performed for such total fee;
provided,that there shall be deducted from such amount the amount of damages,if any,sustained
by City due to breach of contract by Consultant. Damages for breach of contract shall be those
allowed by Oregon law,reasonable and necessary attorney fees,and other costs of litigation at trial
and upon appeal.
11. Non-Waiver
The failure of City to insist upon or enforce strict performance by Consultant of any of the terms of
this Agreement or to exercise any rights hereunder, should not be construed as a waiver or
relinquishment to any extent of its rights to assert or rely upon such terms or rights on any future
occasion.

12. Method and Place of Giving Notice, Submitting Bills and Making Payments
All notices,bills and payments shall be made in writing and may be given by personal delivery,mail, or
by fax. Payments may be made by personal delivery,mail,or electronic transfer. The following addresses
shall be used to transmit notices,bills,payments,and other information:

and when so addressed, shall be deemedgiven upon deposit in the United States mail,postage prepaid,
or when so faxed, shall be deemed given upon successful fax. In all other instances, notices, bills and
payments shall be deemed given at the time of actual delivery. Changes may be made in the names and
addresses of the person to who notices, bills and payments are to be given by giving written notice
pursuant to this paragraph.
13. Merger
This writing is intended both as a final expression of the Agreement between the parties with respect to
the included terms and as a complete and exclusive statement of the terms of the Agreement. No
modification of this Agreement shall be effective unless and until it is made in writing and signed by
both parties.
14. Professional Services
The City requires that services provided pursuant to this agreement shall be provided to the City by an
Consultant,which does not represent clients on matters contrary to City interests. Further, Consultant
shall not engage services of an Consultant and/or other professional who individually, or through
members of his/her same firm,represents clients on matters contrary to City-interests.
Should the Consultant represent clients on matters contrary to City interests or engage the services of
an Consultant and/or other professional who individually, or through members of his/her same firm,
represents clients on matters contrary to City interests, Consultant shall consult with the appropriate
City representative regarding the conflict.
After such consultation, the Consultant shall have seven (7) days to eliminate the conflict to the
satisfaction of the City. If such conflict is not eliminated within the specified time period,the agreement
may be terminated pursuant to Section 10 (B -3) of this agreement.
15. Force Majeure
Neither City not Consultant shall be considered in default because of any delays in completion and
responsibilities hereunder due to causes beyond the control and without fault or negligence on the part
of the parties so disenabled, including but not restricted to, an act of God or of a public enemy, civil
unrest, volcano, earthquake, fire, flood, epidemic, quarantine restriction, area-wide strike, freight
embargo, unusually severe weather or delay of subcontractor or supplies due to such cause; provided
that the parties so disenabled shall within ten days from the beginning of such delay, notify the other

parry in writing of the cause of delay and its probable extent. Such notification shall not be the basis for
a claim for additional compensation. Each parry shall,however,make all reasonable efforts to remove
or eliminate such a cause of delay or default and shall, upon cessation of the cause, diligently pursue
performance of its obligation under the Agreement.
16. Non-Discrimination
Consultant agrees to comphy with all applicable requirements of federal and state civil rights and
rehabilitation statues, rules, and regulations. Consultant also shall comply with the Americans with
Disabilities Act of 1990,ORS 659A.142,and all regulations and administrative rules established pursuant
to those laws. All facilities designed by Consultant under this contract shall be designed to be readily
accessible to and usable by individuals with disabilities as required by the Americans with Disabilities
Act.
17. Errors
Consultant shall perform such additional work as may be necessary to correct errors in the work required
under this Agreement without undue delays and without additional cost.
18. Extra (Changes) Work
Only the City's Project Manager may authorize extra (and/or change) work. Failure of Consultant to
secure authorization for extra work shall constitute a waiver of all right to adjustment in the contract
price or contract time due to such unauthorized extra work and Consultant thereafter shall be entitled
to no compensation whatsoever for the performance of such work.
19. Governing Law
The provisions of this Agreement shall be construed in accordance with the provisions of the laws of
the State of Oregon. Any action or suits involving any question arising under this Agreement must be
brought in the appropriate court of the State of Oregon.
20. Choice of Law,Venue
The provisions of this Agreement are governed by Oregon Law. Venue will be the State of Oregon
Circuit Court in Washington County or the US District Court for Oregon,Portland.
21. Compliance With Applicable Law
Consultant shall comply with all federal, state, and local laws and ordinances applicable to the work
under this Agreement,including those set forth in ORS 279A,279B,and 279C.
22. Conflict Between Terms
It is further expressly agreed by and between the parties hereto that should there be any conflict between
the terms of this instrument in the proposal of the contract, this instrument shall control and nothing
herein shall be considered as an acceptance of the said terms of said proposal conflicting herewith.
23. Access to Records
City shall have access to such books, documents, papers and records of Consultant as are directly
pertinent to this Agreement for the purpose of making audit,examination, excerpts and transcripts.

24. Audit
Consultant shall maintain records to assure conformance with the terms and conditions of this
Agreement,and to assure adequate performance and accurate expenditures within the contract period.
Consultant agrees to permit City,the State of Oregon,the federal government, or their duly authorized
representatives to audit all records pertaining to this Agreement to assure the accurate expenditure of
fiinds.
25. Severability
In the event any provision or portion of this Agreement is held to be unenforceable or invalid by any
court of competent jurisdiction,the validity of the remaining terms and provisions shall not be affected
to the extent that it did not materially affect the intent of the parties when they entered into the
agreement.
26. Representations and Warranties
Consultant represents and warrants to the City that:
A. Consultant has the power and authority to enter into and perform this Agreement.
B. This Agreement, when executed and delivered, is a valid and binding obligation of Consultant,
enforceable in accordance with its terms.
C. Consultant (to the best of Consultant's knowledge, after due inquiry), for a period of no fewer
than six calendar years (or since the firm's inception if less than that) preceding the effective date
of this Agreement, faithfully has complied with:
1) All tax laws of this state, including but not limited to ORS 305.620 and ORS chapters 316,
317, and 318;
2) Any tax provisions imposed by a political subdivision of this state that applied to Consultant,
to Consultant's property, operations, receipts, or income, or to Consultant's performance of
or compensation for any work performed by Consultant;
3) Any tax provisions imposed by a political subdivision of this state that applied to Consultant,
or to goods, services,or property,whether tangible or intangible,provided by Consultant;and
4) Any rules,regulations,charter provisions, or ordinances that implemented or enforced any of
the foregoing tax laws or provisions.
D. Any intellectual property rights or such delivered to the City under this Agreement, and
Consultant's services rendered in the performance of Consultant's obligations under this
Agreement,shall be provided to the City free and clear of any and all restrictions on or conditions
of use,transfer,modification,or assignment,and shall be free and clear of any and all liens,claims,
mortgages, security interests,liabilities, charges, and encumbrances of any kind.
27. Compliance with Tax Laws
A. Consultant must, throughout the duration of this Agreement and any extensions, comply with all
tax laws of this state and all applicable tax laws of any political subdivision of the State of Oregon.
For the purposes of this Section,"tax laws"includes all the provisions described in subsection 25.C.
1) through 4) of this Agreement.
B. Any violation of subsection A of this section shall constitute a material breach of this Agreement.
Further, any violation of Consultant's warranty, in subsection 25.0 of this Agreement, that the
Consultant has complied with the tax laws of the State of Oregon and the applicable tax laws of any
political subdivision of this state also shall constitute a material breach of this Agreement. Any
violation shall entitle the City to terminate this Agreement,to pursue and recover any and all damages
that arise from the breach and the termination of this Agreement, and to pursue any or all of the
remedies available under this Agreement,at law,or in equity,including but not limited to:
1) Termination of this Agreement,in whole or in part;
2) Exercise of the right of setoff, and withholding of amounts otherwise due and owing to
Consultant,in an amount equal to State's setoff right,without penalty; and
3) Initiation of an action or proceeding for damages, specific performance, declaratory or
injunctive relief. The City shall be entitled to recover any and all damages suffered as the result
of Consultant's breach of this Agreement, including but not limited to direct, indirect,
incidental and consequential damages, costs of cure, and costs incurred in securing a
replacement Consultant.
These remedies are cumulative to the extent the remedies are not inconsistent,and the City may pursue
any remedy or remedies singly, collectively, successively,or in any order whatsoever.
28. Complete Agreement
This Agreement,including the exhibits,is intended both as a final expression of the agreement between
the Parties and as a complete and exclusive statement of the terms. In the event of an inconsistency
between a provision in the main body of the Agreement and a provision in the Exhibits,the provision in
the main body of the Agreement shall control. In the event of an inconsistency between Exhibit A and
Exhibit B,Exhibit A shall control.
No waiver, consent, modification, or change of terms of this Agreement shall bind either party unless
in writing and signed by both parties. Such waiver, consent, modification, or change if made, shall be
effective only in specific instances and for the specific purpose given. There are no understandings,
agreements, or representations, oral or written, not specified herein regarding this Agreement.
Consultant,by the signature of its authorized representative,hereby acknowledges that he/she has read
this Agreement,understands it and agrees to be bound by its terms and conditions.
IN WITNESS WHEREOF,City has caused this Agreement to be executed by its duly authorized undersigned
officer and Consultant has executed this Agreement on the date hereinabove first written. Awarded by Tigard's

SCOPE OF SERVICES
The Consultant shall render professional environmental permitting support services including: Corp of
Engineers /Department of State Lands wetland removal and fill permits Qoint Permit Applications),wetland
delineations, Compensatory Wetland Mitigation Plans,Clean Water Services Vegetated Corridor assessments
and mitigation plans, Wetland and Stream Monitoring Plans and yearly reports, archaeological and cultural
resource studies,wildlife studies,hazardous materials studies,rare and noxious plants studies and/or biological
assessments. All work shall be as described below,which demonstrate the broad and diverse range of services
the City may contract for,not the scope of a typical Task Order.
A. Project Management
1. Work Scope and proposal development assistance for a particular task order.
2. Prepare and maintain the project schedule, and manage consultant staff and subconsultants to meet
schedule project milestones.
3. Schedule and conduct project meetings and prepare agendas and meeting notes.
4. Prepare monthly progress reports,invoices, and cost versus budget vs percent complete reports.
B. Concept Planning
1. Research"as-built"records and other historical data.
2. Perform technical evaluations,literature research,field investigations,mathematical analyses,computer
modeling, permitting agency coordination, and/or other work to determine current conditions and
potential constraints and fatal flaws affecting the permitting or construction of a future project.
3. Identify and evaluate concept level project alternatives and prepare conceptual designs and cost
estimates for future projects.
4. Create project design criteria and/or performance criteria for future projects.
5. Update existing utility master plans.
6. Participate/Lead public meetings to forward conceptual design and solicit public input.
C. Preliminary and Final Design
1. Participate in preliminary (30%, 60%) and final (90%, Final) project designs, drawings, and
specifications based upon City Standards, ODOT Standards, Clean Water Services Standards and/or
other standards, including preparing supplemental general conditions and special provisions. Prepare
Consultants Estimates and Bid Documents.
2. Perform specialized field investigations such as soil borings and other geotechnical investigations,water
quality sampling,open channel flow measurements,pavement management surveys,pipeline condition
assessments and leak studies,traffic and pedestrian studies,speed studies,and signal timing evaluations.
3. Conduct design review meetings, document and distribute review comments, and revise designs,

welcome the opportunity to continue collaborating and supporting the City. Formerly known as Amec
Foster Wheeler, our company changed its name to Wood on April 16, 2018, maintaining the existing
organizational structure and services you are accustomed to.
Wood is your local team, and our heritage of working for Tigard means we have no hurdles in
coordination or communications, and we can respond when issues arise with experts who understand
your goals and can meet aggressive schedules.In the Pacific Northwest,Wood currently holds more
than 60 on-call support contracts for environmental and engineering services, and we have staffing
resources and management systems in place to deliver when you need support.
Serving Oregon,we have a team of environmental scientists and technical specialists, a certified
professional wetlands scientist, 17 water and natural resources professionals, 22 registered
professional engineers, two certified water rights examiners, and 16 registered geologists and

Permit document preparation and submittals, including support for the preparation of permit
documentation to comply with administrative requirements of national and regional authorities.

resources and commitment to healthy streams, we regularly provide steam monitoring plans and

solutions, stream restoration and support for low impact solutions, and managed compliance
reporting during construction projects. In support of construction and design projects, we provide
archaeological and cultural resource surveys, GIS support, and flood studies.
Natural resource management, including field assessments, scientific studies and eco-system
monitoring to actively manage and protect natural resources and sensitive species, while
maintaining business and resident access. We have delivered wildlife and vegetation studies,
hazardous materials studies, and ecological and biological assessments for Tigard and other local
clients. Erin Hale, PW.S has led these efforts, including wetland delineation, monitoring plans,
studies, mitigation, design, and permitting.

We have reviewed all the insurance and indemnification requirements outlined in your
Professional Services Agreement Template provided with the RFP. In the past decade, we have
delivered on 27 contracts for the City of Tigard and are confident in our ability to execute a

Because we understand your programs and goals, policies and structure, we know you need a
consulting firm that will work collaboratively with you. Consider us a local extension of your

We will have a dedicated single point of contact to make task order assignment easy.Jennifer
Kuiper, RG,will be the project manager for this contract, bringing more than 25 years of
environmental support experience to bear, gained working with a wide variety of local, regional,
and tribal governments, non-profit and for-profit entities, commercial, and industrial clients. She
will meet with when the need arises to build an understanding of your needs for a particular
task, and work with you to assign the best local team to deliver those services.
Because we service many on-call contracts with public agencies in Oregon, our project
management systems are optimized to respond on an as-needed basis, even in emergency
situations, or on fast-track schedules. Our technical and project support staff represent more
than 2,500 total available hours per week. Typically, our weekly utilization rate is 70%which
means we have at least 30% of time (750 hours available) on a weekly basis to support Tigard

our personnel will be available at that higher percentage as project needs dictate.
We forecast staffing and availability against backlog and forecasted work on a weekly basis,

needs and schedule.

Description: From 2015 to 2018, Wood assisted the City of Tigard with implementation of their
two US Environmental Protection Agency (EPA) Clean Water Act (CWA) Grants, totaling
$400,000. In 2015, we developed a brownfields inventory of 200 sites located within Tigard's
downtown core and facilitated a series of public outreach events whereby the community
helped develop priority evaluation criteria and rank the sites for assessment.We have since
performed Phase I and II ESAs on 12 of the inventoried properties. Assessment involved:
geophysical surveys for tanks and utilities, including underground injection control (UIC), video
surveys of sewer lines, sampling of soil/soil-gas/groundwater using hand augers and drilling rigs
(geoprobe, hollow-stem, and sonic), and sampling of indoor/outdoor air using SUMMA
canisters. We installed temporary and permanent soil-gas and groundwater monitoring wells.
In addition to facilitating property redevelopment, our involvement has provided additional
value by: 1) securing additional cleanup funds (approximately $200,000 from DEQ) to address
significant/acute contamination at an active dry cleaner facility in downtown Tigard; and 2)
providing education and career opportunities for Oregon Tradeswomen, Portland Community
College, and local disadvantaged populations, through a series of field trips, classroom training
(OSHA HAZWOPER 40-hour and 8-hour certifications), and on-call employment.
In a related project at the Former Tigard
Public Works Yard,Wood conducted a

Fanno Creek Slope Stabilization near SUV Arthur Court, Tigard, OR

Description:Wood was retained in 2012 by the City of Tigard to design three bank stabilization
projects at 1) Fanno Creek near SW Arthur Court, 2) Copper Creek near SW Copper Creek Drive
and 3) Krueger Creek near SW Gallin Court. We completed designs and obtained permits for
both the Fanno Creek and Copper Creek sites, and construction is awaiting allocation of City
funds. The purpose of the projects is to stabilize the banks to reduce the risk of bank failure
along the Fanno Creek near sewer and stormwater infrastructure, the Fanno Creek Regional
Trail, and single and multi-family housing located behind the top of bank. We performed a
preliminary engineering design, topographic surveys, geotechnical investigations, wetland
delineation, biological assessment, permitting, and mitigation services. Preliminary design
involved three strategies: stabilizing the bank, roughening the channel with large wood debris,
and providing high flow to bypass the oxbow.
Wood conducted a wetland delineation and prepared a wetland delineation report for submittal
to DSL and the USACE, completed a site assessment and tier 2 analysis for submittal to Clean
Water Services (CWS), and a completed a joint permit application (JPA) including a biological
assessment for submittal to DSL and the USACE.We conducted pre-application meetings with
the DSL, the Oregon Department of Fish and Wildlife, and NOAA National Marine Fisheries to
identify permit constraints early on for the bank stabilization project. Wood's engineers,
landscape architects, and biologists coordinated with the City's revegetation specialist and
engineers and oversaw preparation of stream and riparian revegetation plans.

Copper Creek Bank Stabilization, Tigard, OR

Description: Similar scope was performed for Copper Creek. The purpose of the project is to
stabilize an over-steepened bank that resulted from inadequate energy dissipation on a 36-inch
storm discharge into Copper Creek. Preliminary design included the use of a bubbler-type
manhole to appropriately dissipate excess energy and construction of a stilling basin.The slope
will then be stabilized using a plantable modular-type geotechnical grid system. Wood
conducted wetland surveys, habitat surveys, and vegetated corridor assessment to support
future permitting at the site. We completed permit applications for submittal to the USACE,
ODSL, and CWS for approval. All applications are complete and approval has been granted.

Description:Wood assisted with brownfield assessment, purchase support, and environmental
cleanup of a former industrial property on Main Street at Fanno Creek between 2012 and 2018.
We assisted the City in negotiating a PPA with the DEQ, prepared an analysis of brownfields
cleanup alternatives for submittal to EPA, and supported the City in the public outreach process.
We then assisted with the grant-application process, and the City was awarded two EPA

Brownfield Cleanup Grants totaling $400,000 in 2016, and a Business Oregon Assessment Grant
for $15,000 in 2017.In 2017 we prepared a series of work plans to allow for the site cleanup
which included: HASP, SAP, QAPP, RAP, demolition plans &specifications, stormwater
management plan,turbidity monitoring plan, and an inadvertent discovery plan (in case cultural
and/or archeological items were unearthed during the demolition/remediation process).
We acquired a 401-water quality permit from tUSACE for work over Fanno Creek, prepared
engineering estimates, conducted contractor bid walks, assisted in contractor selection,
monitored construction/demolition/remediation activities, and prepared reports for DEQ.We
assisted the City in leading a field trip to the site for the Oregon Brownfields Coalition, and led
additional field trips during the active portion of the remediation for Oregon Tradeswomen and
Portland Community College. Site remediation was completed in October 2017, and the final
Closeout Report submitted to EPA and DEQ in January 2018.

The goal of the project was to treat as much watershed Springfield ProjecteJons, CityManag
runoff volume as possible. The continuous hydrologic
modelling employed by Amec Foster Wheeler quantified treatment time as a percentage of total
runoff volume in an average year. The largest pond evaluated at the 30% design stage treated
20 percent of all runoff for 10 days or more,40%of all runoff for nearly two days or more with
about 39% of flow bypassed in a 1400-foot bypass channel. This type of flow quantification is
only possible using continuous hydrologic methods, which Wood specializes in.
The final design included a wet detention pond, and bioswale to enhance stormwater that
drained from 117-acre urban drainage basin that included the core of downtown Springfield.
Additional elements included a trailhead and multi-use path, bridge crossing, access road
construction, educational and park amenities, utility corridor and site restoration.Amec Foster
Wheeler provided design support services during construction, and the project was delivered
under budget and on schedule,with completion in December 2016.
Services included a wetland delineation and report for DSL and USACE, a site assessment for
submittal to CWS, a JPA, and biological assessment.

Columbia Creek Landslide & Stream Restoration, Washington County, OR

Description:Wood recently completed construction support services, and analysis and design
of measures to stabilize a landslide in Columbia Creek and ground above the slide that
threatened an 8" inch water main. Designs were completed within an emergency schedule, due
to imminent risk of additional slope failures and de-vegetated bank erosion.Wood
responsibilities included: analysis of geotechnical concerns, determining lack of wetlands
presence, and addressing hydrologic effects of bare-earth above slide and potential injection of
water runoff from roof drains. Permitting efforts included interface with Clean Water Services,
USACE Nationwide 401Water Quality Certification (WQC), Joint Permit Application (JPA), and city
approvals. The project aimed to correct stream bank incising of a near-vertical slope, and
protect an 8-inch water main and the accompanying gabion structure that crosses Columbia
Creek from further instability. The water main provides the only available water services to 30
homes in the neighborhood. The project repaired the landslide southeast of this water main,
and stabilized the creek channel, successfully overcoming significant schedule and site
constraint challenges.The solution included installation of a cascade step pool system to
buttress the steam channel and protect the water main, burying the majority of the gabion
structure.The cascade step pool system is a cascade, pool and riffle system to dissipate the
steam flow velocities. Free draining gravel was placed on the case of the creek channel, capped
by a terraced channel composed of rip rap, boulders, and cobbles to create pools and cascading
flow to dissipate erosive forces while providing a naturalized setting that supports natural
functions of the stream corridor, including healthy habitats. Construction was completed during
a seasonal window with minimal flow, and utilized a gravity creek bypass system consisting of a
sand bag coffer dam, bypass pipe, and energy dissipation apron with bio-filter bags to redirect
flows around the work site and minimize sediment transport.Temporary erosion control
measures were employed during construction, including installation of reinforced plastic
sheeting, roped sandbags, and disconnection and rerouting of building roof downspouts.

V Jason Erlich is a biologist with more than 10 years of experience in environmental
consulting with a background in wildlife ecology, habitat restoration, and GIS.. He has
participated in habitat assessments for sensitive species and vegetation mapping efforts,
including regional-scale biological surveys for birds, small mammals, amphibians, reptiles,
insects, and plants. Mr. Erlich has also performed identification and mapping of noxious
weeds on more than 14,941 acres of Navy and US BLM owned lands. He is skilled at
performing qualitative and quantitative vegetation monitoring for wetland, riparian, and
upland habitat restoration projects. As a GIS Analyst, Mr. Erlich is skilled at using GIS
technologies for a range of applications including natural resource management and
environmental planning. Mr. Erlich has created, updated, and maintained several
geodatabases and geographic datasets for a variety of projects. He is experienced in
vegetation and habitat mapping as well as aerial photograph interpretation. Mr. Erlich is also
skilled in collecting and processing data using the latest global positioning system (GPS)
technologies, and has been responsible for creating high quality map figures for fieldwork,
presentations, and project reports.
Diana Hailiday is a biologist with more than 15 years of experience providing environmental
services, including natural resource surveys, wetland monitoring, regulatory compliance,
water quality systems management, and surface and groundwater monitoring. Her
experience includes research assignments with the U.S. Forest Service addressing issues
associated with the Endangered Species Act and baseline wildlife, habitat, and invasive
species surveys. She also has performed environmental compliance and water quality
management tasks for other projects, including wetland mitigation site construction and
stormwater management. She holds a certificate in Wetland Science and Management.
Tyle-, ey, PE has five years of experience providing environmental support for water

2007—2009.Ms. Kuiper provided senior oversight and project management for reviews of properties,

locations. Pesticide contamination in a drainage ditch and pond located in an area planned for the
downtown redevelopment project were identified and plans are being made to address the contamination
and possibly negotiate a Prospective Purchaser Agreement (PPA)with the Oregon DEQ. Ms. Kuiper
managed all aspects of the project, including meetings with the City and negotiations between DEQ and

Environmental Permitting Support: Main Street at Fanno Creek,City of Tigard,OR, 2012—2018.As
part of Wood's work providing brownfields assessment, purchase support, and cleanup, Ms. Kuiper
assisted with environmental assessment of this high-profile brownfield site.The site is the location of a
former mill property and has been occupied by various business for approximately 100 years. Ms. Kuiper
provided phase I/II ESAs; and environmental permitting support, including cultural resources natural
resources coordination (EPA, USACE,Tribes, and SHPO), beneficial water use determination (BWUD), and
acquiring a 401-water quality permit from the US Army Corps of Engineers for work over Fanno Creek.
Environmental Permitting Support: Fanno Creek Stabilization at Arthur Court,City of Tigard, OR,
2012-Present.Wood is providing environmental consulting services to support bank stabilization of
Fanno Creek near sewer and stormwater infrastructure, the Fanno Creek Regional Trail, and housing. Ms.
Kuiper is providing natural resource permitting support for this bank stabilization project on Fanno Creek
at Arthur Court in Tigard. Ms. Kuiper assisted Erin Hale in conducting a field update of a wetland
determination and then prepared a Request for Reissuance of Jurisdictional Determination for DSL review
and approval.
Environmental Permitting Support: Columbia Creek Slide&Stream Restoration,Tualatin Valley
Water District on behalf of Valley View Water District,Washington County,OR 2017-2018. Ms.
Kuiper provided environmental support to the project by assisting with Wetland Determination Report

Environmental Support: Frontier Leather Brownfield Project,City of Sherwood, OR, 2015 - 2017.
The City of Sherwood was awarded an EPA Site-Specific Brownfields Grant in 2014 to conduct assessment
and cleanup planning of a former tannery property.Wood assisted with a supplemental remedial site
investigation to assess soil and groundwater conditions, including a survey and sampling. Ms. Kuiper
assisted with wetland delineations, Clean Water Services Vegetated Corridor assessment and mitigation
plans. Our risk assessment identified and characterized potential risks to human health and the local

In support of the City of Tigard's grant application to the Economic Development Administration (EDA),
Ms. Hale prepared an Environmental Narrative to be used by the EDA for their NEPA Compliant
Environmental Assessment. Ms. Hale conducted reconnaissance level surveys to document the
presence/absence of wetlands, general habitat types, and whether or not habitat to support threatened
and/or endangered species may occur on the property. Using information obtained through the field
reconnaissance combined with a desktop review, Ms. Hale prepared an Environmental Narrative detailing
the affected environment of the following resource areas: geology/soils,wetlands,floodplains,vegetation

Springfield Mill Race Creek and Trailhead Projects, Springfield,OR
Ms. Hale completed wetland and waters delineations and permitting to support the development of a
new stormwater facility and a parks trail.Wetland determinations and delineations were conducted at the
chosen stormwater facility location and along a proposed 3-mile trail alignment and adjacent stream (i.e.
Mill Race). Ms. Hale completed an evaluation of the Mill Race to include habitat type(s), species
assessment,substrate assessment, and impact assessment.Additionally, Ms. Hale prepared the USACE
Section 404 and Oregon Department of State Lands (DSL)joint permit application and supporting
documentation (i.e. Biological Assessment and Compensatory Mitigation Plan)The project was
successfully permitted and construction was completed in October 2016.

Ms. Hale completed a wetland and other waters delineations and Ordinary High Water Assessment at a
brownfields property in Sherwood Oregon. Delineations were completed according to Federal and State
guidelines and the wetland and other waters report is currently in review with the DSL.
Beaverton Creek/Little Peoples Park,City of Beaverton, OR
To support the City of Beaverton's plans to restore the Little People's Park Regional Stormwater
Management Facility on Beaverton Creek Ms. Hale completed wetland, habitat, and stream assessment
services. Ms. Hale documented stream habitat and characteristics, met with agency staff including the
Oregon Department of Fish and Wildlife and provided design and mitigation input for the project.
Additionally, Ms. Hale prepared, submitted, and successfully obtained permits from Federal, State, and
local agencies to restore the facility.
Springwater Trailhead,ODOT and the City of Gresham,Gresham, OR
Ms. Hale was the task lead on the biological resource task for a road and parking improvement project for
at Main Park located in downtown Gresham,OR. Ms. Hale prepared the Endangered Species Act-No Effect
Memorandum for NEPA compliance in support of the road improvement project.In addition, Ms. Hale
coordinated field staff to complete a biological resource survey and noxious weed survey for this project.

Ms. Hale was the task lead on the biological resource task for a road improvement project on SE Stark
Street. Ms. Hale prepared the Endangered Species Act-No Effect Memorandum for NEPA compliance, in
support of the road improvement project.In addition, Ms. Hale coordinated field staff to complete a
biological resource survey and noxious weed survey for this project.
Environmental Permitting Services, Portland General Electric, Clatskanie,OR
Ms. Hale served as a permit specialist supporting the Port Westward Generating Plant(PWGP) Energy
Facility Siting Council (EFSC) Site Certificate,Amendment No.7 Preparation,Clatskanie, OR. Client:
Portland General Electric (PGE).As assistant project manager, Ms. Hale provided environmental permitting
services to PGE as part of a site certificate amendment application to the Oregon EFSC. PGE intends to
increase the capacity of an existing power generation plant in Clatskanie, Oregon,with the addition of a
second power generation unit.To comply with the Energy Siting Standards,and in accordance with the
Oregon Department of Fish and Wildlife protocols for habitat categorization and mitigation, Ms. Hale was
responsible for completing a wetland determination, habitat characterization survey, invasive species
survey, and preparing desktop studies and reporting related to wetlands,wildlife, special-status species,
and other natural resources.
Portland General Electric, Multnomah County,OR
Ms. Hale served as assistant project manager, and performed mitigation monitoring at the 2-acre site
located in Multnomah County, OR. Mitigation goals for this site included increasing habitat diversity and
lowering the prevalence of invasive species.The site is functioning as intended and PGE has been released
from their compensatory wetland mitigation permit obligations.
Portland General Electric, Clatskanie,OR
In 2012 as project manager Ms. Hale completed a wetland survey and wetland determination and
delineation services to PGE to support installation of a new utility line. Ms. Hale worked with PGE
engineers to identify a location with the least environmental impact. Ms. Hale was responsible for
completing the wetland survey in all areas being evaluated for development, a wetland determination in
the preferred alternative location, and a wetland determination and delineation report suitable to support
future permitting efforts with the Oregon Department of State Lands (DSL) and U.S.Army Corps of
Engineers (USACE).
Ecological Risk Assessment, Confidential Client,Tigard,OR
As a biologist from 2008 to 2009, Ms. Hale prepared a Level I ecological risk assessment in support of an
RI/FS being conducted at a 16-acre former lumber equipment manufacturing site.Analysis included
potential risk to habitat,wildlife, and special status species.The ecological risk assessment was prepared
in accordance with DEQ's Guidance for Ecological Risk Assessment(April 1998).A Level II ecological risk
assessment was recommended for the Site based on the evaluation conducted for the Level I ecological
risk assessment.
Cowlitz Tap Wetland Delineation, Function and Value Assessment,and Permit Support Services,
Bonneville Power Administration (BPA), Cowlitz County,WA.
To support the project Ms. Hale completed wetland and waters of the US determinations and delineations
along the 6.5 mile right-of-way(ROW) corridor, associated access roads, and the BPA South Tacoma
Substation and Tacoma Power Cowlitz substation. Ms. Hale performed literature research to document
existing conditions, performed delineations in accordance with USACE guidelines, conducted function and
value assessments for all wetlands and waters identified, prepared the wetland delineation report, and
provided permitting strategy guidance to the BPA project manager.

Regner Creek Stone Ridge Retaining Wall Replacement Project,City of Gresham,OR
Ms. Hale was the assistant project manager for the environmental permitting and wetland project located
in Gresham, OR.As assistant project manager and senior technical lead, Ms. Hale provided oversight to
the wetland team and conducted a technical review of the wetland delineation report and compensatory
wetland mitigation plan for permanent impacts to wetlands and streams associated with road, culvert, and
bridge repair work.In addition, Ms. Hale worked with the project team to successfully obtain a Section
404 permit from the USACE, a removal/fill permit from DSL, a tree removal permit and land use review
from the City of Gresham. Ms. Hale and her team worked with the City to provide alternatives analyses,
plans, and specifications to support the permitting process.
OTIA III Various Projects, DMJM Harris, David Evans and Associates,OR
From 2005 to 2007, Ms. Hale coordinated field teams to complete wetland delineations, habitat
assessments and lead and asbestos assessments on several bridges in Oregon.In addition, Ms. Hale
prepared the environmental preconstruction assessments,the wetland delineation report, and the
function and value assessment in support of the programmatic permit for repair and replacement of
bridges. Ms. Hale also prepared the construction specifications for erosion and sediment control, seeding
and planting and for work performed in and around wetlands and waterways.
Mitigation Monitoring, Clackamas County, OR
Serving as project manager since 2006, Ms. Hale performs mitigation monitoring for several sites within
Clackamas County, Oregon. Monitoring includes stream flow total woody species count, belt transect
sampling method, line-intercept sampling method (to estimate cover of woody and invasive species), and
meter-square quadrat plot sampling method (to estimate total herbaceous cover). Ms. Hale is responsible
for managing all aspects the project under this contract including client communications, project scoping
and budgeting, project execution, report writing and overall management of field personnel.
Biological and Archaeological survey, USCG Astoria Family Housing,Astoria,OR
In 2014, Ms. Hale served as project manager for the biological and archaeological survey project to
support future housing at Astoria OR. Ms. Hale was responsible for conducting threatened and
endangered species surveys, bald eagle nest and species surveys, and migratory bird treaty act nest and
species surveys. Ms. Hale prepared the Biological Inventory report for the project and is responsible for
managing all aspects the project under this contract including client communications, project scoping and
budgeting, project execution, report writing,and overall management of personnel.
Happy Valley Nature Park,Clackamas County, OR
Ms. Hale performed mitigation monitoring at the 5.5-acre Happy Valley Nature Park within Clackamas
County,Oregon. Mitigation goals for this site were to enhance wildlife habitat values and improve

Ms. Hale completed a wetlands determination and delineation for a 35-acre former industrial property
located along the Willamette River to support an EPA Prospective Purchaser Agreement and Agreed
Order on Consent and allow the site to be redeveloped as an extension of the project with a restored
riparian zone. In addition, Ms. Hale has conducted habitat survey on a property to identify potential
permitting constraints and to support the biological assessment being prepared for the Site. Following
completion of the wetland determination and delineation, Ms. Hale and her team completed a wetland
determination and a Wetland Determination Report in support of a closure for the Site.

Wood is providing environmental consulting services to support
bank stabilization of Fanno Creek in the vicinity of sewer and Education
stormwater infrastructure,the Fanno Creek Regional Trail, and Bachelor of Science,
housing.Wood is providing the City of Tigard with engineering Environmental Systems
design,topographic surveys, geotechnical investigations,wetland Engineering, Pennsylvania State
delineation, biological assessment, permitting, mitigation services, +i

project that would allow for increased flood storage, habitat preservation, and riparian improvements for

Project Engineer:Copper Creek Bank Stabilization, City of Tigard, OR, 2012
Wood prepared construction documents to stabilize this over-steepened bank,which was caused by
inadequate energy dissipation on a 36-inch storm discharge into Copper Creek.The bank could fail,
possibly affecting use of lots at the top of the slope.A previous investigation proposed use of a bubbler-
type manhole to appropriately dissipate excess energy and reduce the erosive potential on the slope.The
slope will then be stabilized using a plantable modular geotechnical grid system.Wood will provide
engineering, landscape,topographic survey and possibly right-of-way acquisition services.
Project Engineer:Streambank Failure at Gatlin Court, City of Tigard,Oregon
The City asked Wood to evaluate a landslide involving private property on Benchview Creek,which drains
portions of Bull Mountain and has a relatively steep bank.Wood performed a field reconnaissance to
determine the causes of the streambank failure and if other areas might fail as well. Based on record
information it was determined that the creek had incised on average about six inches per year over a
period of 10 years,which caused the bank failure.Working with the City and Wood's local fluvial
geomorphologist, Dr. Matin, Ms.Schall supported development of a bypass concept to remove high flow
from the stream and convey it safely to the base of slope,thus eliminating the causes of the erosion.

Project Engineer:Columbia Creek Slide&Stream Restoration,Tualatin Valley Water District on
behalf of Valley View Water District,Washington County,OR,2017 - 2018
Mr. Schall lead design and analysis of measures to stabilize a landslide and ground above the slide that
threatened a private home. Designs were completed within an emergency schedule, due to imminent risk
of additional slope failures and de-vegetated bank erosion. His responsibilities included: analysis of
geotechnical concerns, and addressing hydrologic effects of bare-earth above slide and potential injection
of water runoff from roof drains. Permitting efforts included interface with Clean Water Services, USACE
Nationwide 401Water Quality Certification (WQC),Joint Permit Application (JPA), and city approvals.The
project also aimed to correct stream bank incising of a near-vertical slope, and protect an 8-inch water
main from further instability. Mr.Schall led design efforts to repair the landslide southeast of this water
main, and stabilize the creek channel, successfully overcoming significant schedule and site constraint
challenges. He also provided support services during construction,which was completed in October.
Project Manager/Engineer: Mill Race Stormwater Facility,City of Springfield, OR, 2014- 2017
As the project manager and project engineer, Mr.Schall was responsible for feasibility study, design and
construction oversight for a new large stormwater treatment facility on a 14-acre site.The project aimed
to preserve and enhance fish habitat by improving ecosystem function of the water channel.Initial work
included: an environmental survey, geotechnical analysis, inflow characterization, and wetland survey, plus
hydrologic and hydraulic design services,which were Mr. Schall's focus. Design included a detention
pond, and bioswale to enhance stormwater from an urban drainage basin.Additional elements included a
multi-use path, bridge,trailhead and park amenities, a utility corridor, and site restoration.
Project Engineer: Detention Pond Restoration at Little Peoples Park,City of Beaverton,OR, 2013
To restore a regional stormwater detention facility on Beaverton Creek at Little Peoples Park,Wood
provided site investigation, analysis, and design. The facility had accumulated a ridge of silt along the
creek banks blocking flow from entering and reducing its effectiveness.In addition,the facility had
become overgrown with invasive plant species which decreased its habitat value. Mr. Schall's restoration
design plan included cutting the creek banks down to ordinary high water with sediment forebays
attached to shallow swales. Landscape elements included the use of appropriate wetland species as well
as significant maintenance activities within the protected, high value vegetation areas. Natural resources
permitting services were provided to implement the restoration. Because the project was to restore an
existing facility it was necessary to obtain agreement from regulatory authorities regarding the scope and
function of the original facility.As a result,the project can be constructed under a nationwide permit.
Triangle Park Brownfield Project, University of Portland, Portland,OR, (06/25/2012 -current)
Triangle Park is a 35-acre former industrial property on the Willamette River Hazardous substances were
detected in soil, groundwater, and river sediments, requiring discussions with the USEPA regarding a Bona
Fide Prospective Purchaser Agreement (BFPPA).To satisfy EPA's BFPPA requirements,Wood accomplished
complex investigations of the site and worked closely with the EPA on a removal action work plan,which
included a Oregon Department of Environmental Quality(DEQ) 2005 Record of Decision. Mr.Schall was
the on-site engineer for implementation work,working closely with the construction contractor,
regulatory agencies, and client to address and resolve issues during the construction.
Project Manager:Amtrak Union Station - NPDES Stormwater Permit Compliance, National Railroad
Passenger Corp., Portland, OR, (11/12/2005 - ongoing)
Mr. Schall has updated and revised the Stormwater Pollution Control Plan (SWPCP) for the existing facility
and performed monthly inspections for Stormwater Discharge General Permit, No. 1200-Z compliance.In
addition, Mr. Schall has collected stormwater compliance samples, prepared annual stormwater permit
compliance reports, and assisted the client in communication with Oregon DEQ.
