Between the
City of Tigard
and Proud Ground
This Memorandum of Understanding("MOU") entered into this I"day of May,2018 is by and between
the City of Tigard,an Oregon municipal corporation (the"Cite'),and Proud Ground,an Oregon
nonprofit corporation ("Proud Ground'') (collectively the"Parties').
A. Recitals
1. The City has an interest in providing equitable and affordable housing to its residents,in
accordance with the Tigard Comprehensive Plan. Goal 10.1 of the plan is to provide
opportunities for a variety of housing types at a range of prices levels to meet the diverse
housing needs of current and future City residents.
2. Proud Ground is a nonprofit corporation devoted to the provision of permanently
affordable homes through the Community Land'frust("CLT") model.
3. The Southwest Corridor is home to more than 10 percent of the Portland region's
population,stretching from downtown Portland out to'Tigard,Tualatin and Sherwood and
has a huge impact on the rest of the region.The Corridor is expected to grow by another
75,000 residents by 2040 and will include a planned light rail corridor from downtown
Portland to Bridgeport Village.
4. The City and Proud Ground are partnering on a series of grants to support their common
goal of providing permanently affordable homeownershipoptions as an anti-displacement
and equitable housing strategy in the Southwest Corridor.These grants include a Metro 2040
Planning and Development Grant and a Meyer Memorial Trust Housing Opportunities
Grant
5. Proud Ground has also been awarded a Metro Southwest Equitable Development Strategies
("SWEDS'� Grant that will provide capacity for expanding their Community Land Trust
model into the Southwest Corridor.
6. The Southwest Equitable Housing Strategy is a draft policy document created by a
collaborative including the City of'T i�ard,the City of Portland,the Portland Housing Bureau
with support from a Metro Community Planning and Development Grant,This policy
document includes the following goals:
i. Commit early financial resources to address the near-term housing crisis and long-
term needs;
ii. Prevent residential and cultural displacement;and
iii. Increase choices for new homes for all household types and incomes.
7. The Southwest Equitable Housing Strategy also includes actions for implementing these
goals,including the following-
i.
ollowingz. Recruit a community land trust to the corridor;and
ii. Adopt middle housing tools and policies that work for low-income households.
8. The Parties agree that proactive planning and collaboration will be essential to an anti-
displacement and equitable and affordable housing strategy in the Southwest Corridor.
9. The Parties agree that the CLT model of permanently affordable housing provision and
equity-building through ownership is a crucial part of an equitable housing strategy in the
Southwest Corridor.
10.The Parties agree that"missing middle"housing types such as cottage clusters are needed in
order to fill gaps in the diversity and affordability of housing stock in the Southwest
Corridor.
11.The Patties desire to work together to plan for,promote,and facilitate the implementation
of equitable housing using the CLT model.This MOU sets out a general framework by
which the Parties agree to collaborate.
B. Responsibilities
1. City.of Tigard
t. The City will act as project manager on a Metro 2040 Planning and Development
Grant In this role,the City will act as fiscal agent and manage all consultants.The
City will coordinate with Proud Ground during each phase of the grant to ensure
that the work program is mutually supportive.
ii. The Citv will act as a project partner on a Meyer Memorial Trust Grant led by Proud
Ground In this role,the City will provide staff capacity and consulting to help
ensure that the work program for the grant is mutually supportive.The City will
provide in-kind match in the form of staff time and contribute$5,000 to the
project's implementation.
iii. The City will act as a project partner on the SWT-DS Metro Grant led by Proud
Ground. In this tole,the City will provide consulting to help ensure that the work
program for the grant is mutually supportive.
iv. The City v-ill work to develop future grant proposals with Proud Ground to fund the
implementation of a missing muddle housing development to be managed by Proud
Ground under the CLT model.
2. Proud Ground
i. Proud Ground will act as project manager on a Meyer Memorial Trust Grant. In this
role,Proud Ground will act as fiscal agent and manage all consultants.Proud
Ground will coordinate with the City during each phase of the grant to ensure that
the work program is mutually supportive.
ii. Proud Ground will act as project manager on the SW EDS Metro Grant.In this role,
Proud Ground will act as fiscal agent and manage all consultants. Proud Ground will
coordinate with the City during each phase of the grant to ensure that the work
program is mutually supportive.
iii. Proud Ground will act as a project partner on a Metro 2040 Planning and
Development Grant led by the City In this tole,Proud Ground will provide staff
capacity and consulting to ensure that the work program for the grant is mutually
supportive.Proud Ground will provide in-kind match in the form of staff time.
iv. Proud Ground will work to develop future grant proposals with the City to fund the
implementation of a missing middle housing development to be managed by Proud
Ground under the CLT model.
C. Coordination
The Parties agree to establish an ongoing structure for staff-level coordination of their mutual
endeavors.
D. Collaboration with Other Community Partners.
A variety of organizations have been:involved as stakeholders in the Southwest Equitable Housing
Strategy.This includes affordable housing providers and funders,market rate developers,private
philanthropic organizations orggaanizations representing renters and communities of color,among
others. The Parties agree coordinated,meaningful engagement with these organizations will be
essential to the success and replicability of their efforts.
E. Nature o 'this agreement
The Patties agree and understand that the development of equitable housing in the Southwest
Corridor will be essential to meet the needs of the region's residents and employers and to support
transit use.This MOU is a statement of cooperation between the Parties,setting out the Parties'
intent to act together to achieve the goals set out herein. However,this MOU does not create a
binding agreement between the Parties and may not be relied upon as a basis for a contract by
estoppel or be the basis for a claire based on detrimental reliance or any other theory.
