This Memorandum of Understanding(MOU) is made and entered into by and between the City of
Tigard(City) and Tigard Tualatin School District(TTSD).. The entities listed above may
collectively be ref6rred to as the parties to this MOU.

The purpose of this MOU is to document a framework of cooperation in the Safe Bicycle Routes to:
School Program(SBRP)that is being developed and run by the parties to this MOU for the benefit of
ther youth and the community to insure educational knowledge is provided to all economic levels and.to
provide a.safer environment while youth.are bicycling to and from school,through education and
training..
Exhibits.to this MOU may be added,revised or deleted by the consent of both parties to this MOU.
H. STATEMENT OF MUTUAL BENEFIT AND INTEREST:
The-parties-to this.MOU have individually agreed to the responsibilities as outlined and will cooperate in.
maintenance, scheduling, securing.and protecting all equipment owned and operated by the City for this
program including but are not limited to:
• Maintaining equipment and personnel for the purpose ofproviding quality education and safety
training.for proper bike usages;
• Administering programs involving in the SDRP;
• Making recommendations for any future needs or improvements; and
The parties agreethat it is to their mutual benefit and interest to-work cooperatively to inventory.,
monitor,control, and prevent damage to or loss of any equipment used in this program.. This
cooperative effort will achieve safer bike routes and educate kids.and parents.WWe improving working
relationships between the parties and the public.
III. EACH PARTY SHALL:
A. Agree to follow the training curriculum provided by the City for all training sessions.
B.. Agree to establish aprocess for scheduling equipment and session for instruction.
C. Agree to evaluate the:program on an annual basis through the parties' Risk Management
Departments to provide expertise and oversight to manage activities withinthe program.

D. Designate a key contact or arepresontative to serve on the.SBRP Steering Committee, which will
consist of each party's risk-management.representative,the program coordinator from the City,
and other persons as required.
E. Work through their Steering Committee representative to providenecessary information to:
• Revise or delete the Exhibits to this MOU;
• Establish integrated plans.or additions to the.program;and
• Review, develop, and implement an annual review process.
F. Agree that the program will have goals,objectives,and actions that.are aligned with the objectives of
the program. Such plan will describe the goals and objectives for the SBRP and will be a guiding
document for the management of the program.
G. Recognize that each party to this MOU retains primary responsibility and management discretion for
the program under their jurisdiction..
H_ Agree to-coordinate priorities,actions, and resources.for the continued efforts of the program..
N.IT IS MUTUALLY AGREED AND UNDERSTOOD BY AND BETWEEN THE PARTIES
THAT9-
A. INSURANCE AND HOLD HARMLESS.Each party will provide their own insurance for Auto,
General Liability,and Workers.Compensation, which will cover-that party for any-claims-that might
arise out of the SBRP project or training. Additionally,that each party is responsible for its own sole
negligence,and each will hold the other party harmless from any and all other claims that might
arise-excepting-those in which one party is solely negligent.
B. DAMAGE TO PROPERTY.
The-trailer and equipment used for the SBRP will be the property of the City(See attached
schedule).. The City will insure this property from covered causes of loss at'all times. However,
individual'logse8 concerning items damaged, stolen or misplaced under the City"s property
deductible of$1;000 will he the responsibility of the patty in control of the equipment at the time of
the less.
Additionally,while TTSD is transporting the trailer and equipment to fiwn different.locations, any
damage to the trailer or equipment will.be reimbursed to the Cityincluding the cost of deductibles,
after insurance claims have been resolved to make the City whole and reimburse the City's insurer
regardless of fault..
C. PRINCIPAL CONTACTS. The principal contacts for this MOU is the City's,SBRP Coordinator.

D. MODIFICATION. Modifications to this MOU shall be made by mutual consent of parties,ley
the issuance of a written modification, signed and-dated by all parties,prior to.any changes being
performed.

E. TERMINATION. Any party,in writing,may terminate their participation in-this.MOU in whole,or
in part, at any time provided 60 days" written notice has been provided to the other party,
F. In the-interest of efficiency,this MOU will be distributed electronically for signature. Signatory
officials should initially respond with-their electronic signature to the email addresslisted below,
followed by mailing-their original hard copy signature to:

G. COMMENCEMENTIMMIRATIOIS N DATE-This MOU" executed as of the date of the last
-signature and is effective through July 1,2022 at which timeit will expire.
