NOW, THEREFORE, in consideration of each party's granting to the other an easement hereinafter
described, and other valuable consideration each to the other in hand paid, the receipt of which is hereby
acknowledged:
FIRST: First party conveys to second party a perpetual easement for motor vehicle driveway purposes to
use in conjunction with any lawful use along and upon that portion of first party's property described as
follows, to wit: See Exhibit A attached
SECOND: Second party conveys to the first party a perpetual easement for motor vehicle purposes for use
in conjunction with any lawful use along and upon that portion of second party's property described as
follows,to wit:
None
THIRD: It is mutually agreed that each party may use in common with the other party, the whole of said
motor vehicle driveway, including that portion thereof situated on the property of the other party for ingress
and egress of motor vehicle,pedestrians,and uses incidental to any lawful use of the property.
FOURTH: This agreement should bind and inure to the benefit of, as the circumstance may require, not
only the immediate parties hereto, but also to their respective heirs, executors, administrators, and
successors in interest as well.
FIFTH: (Optional) The maintenance shall be a shared responsibility of the parties and each of the parties
shall share the cost of maintaining the easement. The obligation to share maintenance costs shall begin
when the driveway is completed.

SIXTH: (Optional) Each of t.. darties shall maintain liability insurance w. -a, at a minimum, meet the
standard in the industry for the particular types of uses for which the properties are used. The insurance

SEVENTH: In construing the foregoing agreement, the plural shall mean and include the singular
whenever the context so requires.

1. A Statutory Warranty Deed ("Warranty Deed") from Seller as grantor to
Purchaser as grantee in the form previously approved by our office, but indicating
that recording is requested by the undersigned and after recording the document is
to be returned to me. The deed shall also convey all of Seller's right, title and
interest in and to that certain driveway easement recorded January 17, 1997 as
Document No. 97005545, as follows:
Together with all of Grantor's right, title and interest in and to that certain
Easement Agreement dated December 10, 1996 and recorded January 17, 1997 as
Document No. 97005545.
2. FIRPTA Affidavit.
3. Application for an ALTA Standard Form Owner's Policy of title insurance in favor
of Purchaser in the amount of$77,000.00. The cost of the ALTA Standard Form
Owner's Policy of title insurance shall be paid by Purchaser.
4. A commitment from First American Title Insurance Company of Oregon, pursuant
to Supplemental Preliminary Title Report No. 883913 prepared August 24, 1999,
for the issuance of a policy of title insurance in favor of Purchaser in the amount
and form described above, dated as of the date of recording of the deed, and
subject only to exceptions 1, 3 (as amended to read as follows), and 4 (as amended

associated with compliance with state escrow regulations, are utilized
to offset the need for higher escrow rates. As escrow agent, you are

8. Current real property taxes will be due and payable by November
15th of this year. If you have not received your tax billing before
that time, you will need to contact the county assessor's office to
obtain your tax payment information and to avoid any delinquent

However, First American expressly disclaims any liability resulting from date field related computer
processing errors, including without limitation "Year 2000" errors of third parties upon whom First
American depends in processing escrows and/or titles and over which First American has no control.

by written demand and authorization satisfactory to you and in accordance with the laws of the
State of Oregon.
These instructions may be signed in counterparts. When all counterparts have been duly executed

These instructions are effective until thirty days from the date hereof, and thereafter unless revoked
by written demand and authorization satisfactory to you and in accordance with the laws of the
State of Oregon.
These instructions may be signed in counterparts. When all counterparts have been duly executed
and have been received by you, they will be deemed to comprise one single instruction.
The parties herein understand and direct escrow to charge a service fee of$8.50 per month on any
funds remaining in the escrow file due to uncashed checks. Said service fee will begin six (6)
mouths after the check has been issued.
IT IS UNDERSTOOD BY THE PARTIES SIGNING THE ABOVE OR ATTACHED ESCROW
INSTRUCTIONS THAT SUCH INSTRUCTIONS CONSTITUTE THE WHOLE AGREEMENT
BETWEEN THIS FIRM AS AN ESCROW AGENT AND YOU AS A PRINCIPAL TO THE
ESCROW TRANSACTION. THESE INSTRUCTIONS MAY NOT INCLUDE ALL THE TERMS
OF THE AGREEMENT WHICH IS THE SUBJECT OF THIS ESCROW. PLEASE READ THESE
INSTRUCTIONS CAREFULLY, AND DO NOT SIGN THEM UNLESS THEY ARE
ACCEPTABLE TO YOU.
ANY AND ALL AMENDED/SUPPLEMENTAL INSTRUCTIONS ARE ATTACHED AND MADE
A PART HEREOF.
