I am enclosing a photocopy of the recorded Declaration of Easements
establishing easements linking the hotel property on the south through the
cul -de-sac at the end of future Southwest Redwood Lane, to the cul -de-sac
at the end of Cardinal Drive, including the east/west link from Sequoia
Parkway to the Centennial Bank.
As you and I have discussed, this Declaration of Easements should satisfy
the remaining access requirements for occupancy of buildings 238, 240, 241
and the requirements of easements necessary to obtain the permit for the
hotel .

I am enclosing a Declaration of Easements for Pacific Corporate Center
which allows traffic to circulate from the hotel site at the south end of
Pacific Corporate Center, through to the culdesac end at Cardinal Lane,
next to Home Depot's site. The easement and exhibits are a total of 18
pages, two of which are the Exhibit C map, showing the specific location
and configuration of the easement areas.
Please cause this Declaration of Easements to be recorded in the records
of Washington County, Oregon, and have the original recorded easement
returned to me at this office, along with your bill for recording fees and
services.
Please obtain the recording information and a copy of the recorded
document as soon as possible as we are required to demonstrate to the City
of Tigard that the Declaration of Easement is in effect, so we can obtain
certain building and occupancy permits.

DECLARATION OF EASEMENTS

THIS DECLARATION OF EASEMENTS (the "Declaration") is made this 2.0--day of March,
1995 by PACIFIC REALTY ASSOCIATES, L.P., a Delaware limited partnership ("Declarant").
RECITALS
A. Declarant is the owner of the real property described on the attached Exhibit A as
Parcels A, B, C, D, E and F (each of which is sometimes hereinafter singly referred to as the
"Parcel" or all of which are jointly referred to as the "Parcels").
B. Declarant wishes to establish non-exclusive easements for the benefit of each
Parcel as specifically described below.
DECLARATION
NOW, THEREFORE, Declarant does hereby establish in favor of and grants to the owners
and occupants of the Parcels, a nonexclusive easement which shall run with, benefit and burden
the Parcels and shall be binding on all parties having or acquiring any right, title and interest in
any Parcel or Parcels or any part thereof and shall inure to the benefit of any successor of
Declarant in the ownership thereof:
1 . Easement Benefiting All Parcels.
1 .1 The real estate subject to the nonexclusive easement for the benefit of each
Parcel is described in Exhibit B and is referred to herein as the "Easement Area".
1 .2 The Parcels shall each have a perpetual, nonexclusive right-of-way and
easement to go upon and use the Easement Area for pedestrian and vehicular ingress and
egress and for vehicle maneuvering into and out of each Parcel (the "Easement"). The Easement
granted in this paragraph by each Parcel shall be appurtenant to all other Parcels.
1 .3 The cost of maintaining the Easement shall be determined as specified in
Paragraph 2.
1 .4 No owner of a Parcel shall erect or allow any building, structure, fence or any
other impediment in the Easement Area.
2. Maintenance and Repair.
2.1 The owner of each Parcel shall be responsible for maintaining and repairing
the paved areas within the Easement Area to the extent such areas are located on such owner's
Parcel.

2.2 In the event the owner of a Parcel fails to accomplish the maintenance and
repair required of such owner under the preceding paragraph within a reasonable time after
notice from an owner of another Parcel affected by this Declaration, the owner of such other
Parcel may perform the work
and obtain reimbursement from the responsible owner of the cost of such work.
3. Arbitration.
If the owners of the Parcels are unable to agree on matters relating to maintenance
and repair of the Easement Area, such disputes shall be settled by arbitration by an arbitrator
appointed by the Presiding Judge of the Washington County Circuit Court upon the petition of
any owner of a Parcel. The arbitration shall proceed in accordance with the rules of the
American Arbitration Association. The decision of the arbitrator shall be final and binding on
the parties, and the prevailing party or parties shall be entitled to recover from the losing party
or parties all reasonable costs, fees and attorneys' fees in connection with such proceedings.
4. Liens: Indemnity: Liability.
The owner of each Parcel shall defend, indemnify, and hold each other owner of a
Parcel harmless from any claim, loss, or liability arising out of or in any way connected with use
of the Easement Area on the owning party's Parcel. In the event of any litigation or proceeding
brought against any owner and arising out of or in any way connected with any of the above
events or claims, against which any owner has agreed to indemnify another owner, the
indemnifying owner shall, upon notice from the other, vigorously resist and defend such actions
or proceedings through legal counsel reasonably satisfactory to the other owner, at the
indemnifying owner's expense, and pay any amount awarded against the other owner which
said other owner is otherwise required to pay.
5. General Provisions.
5.1 In the event of any breach of the provisions of this Declaration other than the
provisions of Paragraph 2 hereof, the aggrieved owner shall be entitled to exercise any
remedies permitted by law or equity, including the remedies of injunction and/or specific
performance. In the event litigation is commenced to enforce or interpret the provisions of this
Declaration, including any appeal therefrom,the prevailing owner shall recover from the losing
owner, in addition to all other costs and damages, reasonable attorneys' fees as determined by
the judge at trial or upon any appeal.
5.2 Any notice to be given under this Declaration shall be in writing and shall be
effective when actually delivered or, if mailed, three (3) days following deposit, postage prepaid,
in United States Postal Service certified or registered mail. Mail shall be directed to the address
of the record owner of the subject Parcel or to such other address as an owner may specify by
notice to the other owner.
5.3 A map showing the location of the Easement Area is attached to this
Declaration as Exhibit C.
5.4 Each Easement contained herein shall be appurtenant to and for the benefit of
each Parcel and shall be a burden thereon for the benefit of all other Parcels and shall run with
the land.
5.5 This Declaration may not be modified in any respect whatsoever, or rescinded,
in whole or in part, except with the consent of all owners of the Parcels, and then only by a
written instrument duly executed and acknowledged by such owners.

5.6 Nothing herein contained shall be deemed to be a gift or dedication of any
portion of any Parcel to the general public or for the general public or for any public purposes
whatsoever, it being the intention of Declarant that this Declaration shall be strictly limited to
and for the purposes herein expressed.
5.7 No breach of this Declaration shall entitle any owner to cancel, rescind or
otherwise terminate this Declaration, but such limitation shall not affect in any matter any other
rights or remedies which such owner may have hereunder by reason of any breach of this
Declaration.
