85-045401 ~ Burnham Street 85045401 ACCESS EASEMENT KNOW ALL MEN BY THESE PRESENTS THAT GENERAL TELEPHONE COMPANY OF THE NORTHWEST, INC., hereinafter called the GRANTOR, for valuable consideration, including all construction costs associated with widening the roadway which is subject to this Easement and costs of altering the landscaping and the traffic patterns in GRANTOR'S parking lot, placing of traffic control signs, installation of gates, and walkways, all as shown on the attached drawing, marked EXHIBIT "B", attached hereto and incorporated herein as if fully set forth, from the city of Tigard, hereinafter called GRANTEE, grants and conveys unto the city of Tigard an Easement for the construction, maintenance and repair of, and free access to, a roadway, on the following described parcel of land, situat- ed in the city of Tigard, Washington County, state of Oregon: SEE EXHIBIT "A", attached hereto and incorporated herein by reference. IT IS EXPRESSLY UNDERSTOOD that this Easement does not convey any right, title, or interest except those expressly stated in this Easement, nor otherwise prevent GRANTOR from the full use and dominion thereover; provided, however, that such use shall not interfere with maintenance and repair of, and access to, such easement. IT IS FURTHER UNDERSTOOD AND AGREED that GRANTEE shall hold GRANTOR harmless for any damage to persons or property, for any reasons, arising out of the use of the easement by GRANTEE, or its employees, unless GRANTOR acknowledges liability for such damages. The maintenance shall be a shared responsibility of the parties and each of the parties shall share equally the cost of maintaining the easement. The obligation to share maintenance costs shall begin when the driveway is completed, and Grantor shall have sole discretion to decide when such maintenance is required. .Each of the parties shall maintain liability insurance which, at a minimum, meets the standard in the industry for the particular types of uses for which the properties are used. The insurance policies shall name the owner of the adjoining parcel as an additional insured in connection with the use of the easement. After the passage of five (5) years from this date, Grantor shall have the right to terminate this Easement upon written notice to Grantee, given one (1) year prior to such termination. IN CONSIDERATION of the premises, Grantee agrees that if said Grantee, its successors or assigns should cause said easement to be vacated, the rights of Grantee in the above-described easement will be forfeited and shall immediately revert to Grantor, its successors and assigns in the case of such event. ! -5 4i, 4110 Grantor does hereby covenant to and with the city of Tigard, that it is the owner in fee simple of said premises; that the above-described property is free from all encumbrances, and that it will warrant and defend the same from all lawful claims whatsoever. My letter of January 23, 1989 requested you provide an action plan to alleviate the ongoing problems and safety hazards created by both city and public vehicles using our driveway. Your response, dated February 28, 1989, requested the opportunity of trying verbal persuasion to solve the situation rather than construction of any type of barrier to restrict traffic. Because we are still experiencing the same problems stated in our original complaint, which include marked city vehicles and city employees entering our property from the north side to access the city parking lots, CIE Northwest Incorporated is proposing the City install an exit barrier and post "one way" signs, as shown on the attached drawing. This obstruction would limit access and vehicular traffic by City employees and the public, eliminate the probability of ingress by non GTE employees, and greatly reduce the chances of future mishaps. We feel the above steps are a logical solution to resolve the continued violations of the intent of the original contract without resorting to drastic measures. W. Burnham Street in Tigard. As we have advised you in the past there have been numerous problems arising from continued use by unauthorized vehicular traffic using this exit, various city and private vehicles using the GTE entrance to access the City Center, disregard for the posted speed limit signs by both City Police vehicles and private vehicles, and disregard for observance of the stop sign to name a few. Needless to say, excessive speed through this property certainly contributed to the recent auto accident, and poses a serious safety hazard to the personnel and property of our any. Our agreement with the City of Tigard was for the egress only of emergency police vehicles and authorized City traffic, not a public access. Hopefully the City will find a way to rectify this problem by restricting their traffic as promised when your request for this ease- ment was initiated. Since the liability factors involved here are so great for our company we will have no choice but to reluctantly exer- cise our right to terminate this easement in accordance with the terms of our contract if a satisfactory solution cannot be enacted and enforced . Your request was forwarded to my attention for review . The telephone company has a policy of cooperating with local government when possible . However , your request is patently unreasonable . There is no consideration flowing to the telephone company. The City has not offered to pay any comGensPtion for the encumbered property. The proposed use by the City will substantially increase the traffic on the driveway . The City offered to share maintenance when over 90% of the traffic will be the City ' s , not the telephone company ' s . The increase in traffic will increase the potential liability to the telephone company . The City offered to hold the telephone company harmless for damages arising out of its use , but not the publics . This is not acceptable . W. Burnham Street, in 1985. My letter of January 23, 1989 requested you provide an action plan to alleviate the ongoing problems and safety hazards created by both city and public vehicles using our driveway. Your response, dated February 28, 1989, requested the opportunity of trying verbal persuasion to solve the situation rather than construction of any type of barrier to restrict traffic. Because we are still experiencing the same problems stated in our original complaint, which include marked city vehicles and city employees entering aur property from the north side to access the city parking lots, v1E Northwest Incorporated is proposing the City install an exit barrier and post "one way" signs, as shown on the attached drawing. Box 23397 Tigard, Oregon 97223 Dear Mr. Riley: TIGARD CENTRAL OFFICE AND SUPPORT CENTER EASEMENT PARCEL # 5460Z01 This letter is in regards to the easement til; Northwest Incorporated granted in 1985 to the City of Tigard for egress of emergency police vehicles via our driveway at our Tigard Central Office and Support Center at 8840 S. W. Burnham Street in Tigard. As we have advised you in the past there have been numerous problems arising from continued use by unauthorized vehicular traffic using this exit, various city and private vehicles using the GTE entrance to access the City Center, disregard for the posted speed limit signs by both City Police vehicles and private vehicles, and disregard for observance of the stop sign to name a few. Needless to say, excessive speed through this property certainly contributed to the recent auto accident, and poses a serious safety hazard to the personnel and property of our may- Our agreement with the City of Tigard was for the egress only of emergency police vehicles and authorized City traffic, not a public access. Hopefully the City will find a way to rectify this problem by restricting their traffic as promised when your request for this ease- ment was initiated. Since the liability factors involved here are so great for our company we will have no choice but to reluctantly exer- cise our right to terminate this easement in accordance with the terms of our contract if a satisfactory solution cannot be enacted and enforced . After reviewing this matter please advise me of the action the City plans to initiate for solving these problems. Please discuss with your personnel the use of the easement--there is a stop sign at each entrance to the easement area and the speed limit in the easement is 10 MPH. SUBJECT: Tigard Civic Center Requested Easement A Dear Mr. the VT - _ ._ - On behalf of the City, I want to thank you and your staff for your attention -and- assistance in resolving our easement request for the--new Civic Center. -- ` Mr. Cale Lewis and I met last week- to review the -Architect's drawing which --- shows both the G.T.E. and City sites as they relate to our earlier easement - request. I believe that per the information in the rest of this letter, we may now have elements of a joint use access easement workable to both parties. First, let me clarify some earlier misunderstandings between City and G.T.E. staff regarding our easement-request. = o - As to consideration;--since_ the access is needed for G.T.E. access and does not take away any of that use, and since the City proposes to _ enhance the access and offset some other G.T.E. costs, it was hoped ' that direct compensation per se might not be necessary. V o As to traffic volumes, this is a rear site access envisioned only for emergency police vehicles and authorized City traffic, not public - access: _The Main site access is off Hall Boulevard. The 24-hour per day nature of- City traffic,- mostly police, adds about 25% to existing volumes (based on our discussions with your staff). The added Police ` presence may actually increase the security of G.T.E. property. o The City clearly intends to share in maintenance costs. The proposed _ improvements should however, make maintenance in the near future truly insignificant and minimal over time. o The City has agreed to co-insure and assume liability in a manner agreeable to G.T.E. and City legal counsel. Further, as the Architect's drawing shows; o The City's request does not require any relocation of the cooling tower, transfoLwer of ground well systems. o The relocation and installation of needed new fencing is all at City cost and seems acceptable to Cale Lewis. That G.T.E. grant a secondary Civic Center access easement to the City, limited to Police and authorized City traffic only, no public use. 2. The City will, at full City cost, widen the existing driveway to the East to a 24 foot width, re-landscape, relocate and add any fencing or gates, add entry signs and speed limit signs as needed (eg. NO PUBLIC ACCESS, AUTHORIZED VEHICLES ONLY and 10 MPH), at G.T.E. request within one year to re-stripe entire G.T.E. parking area, and add a 3 foot sidewalk from the G.T.E. building to the parking areas. 3. The City further agrees to develop- a 50/50 shared maintenance cost- agreement and a coordinated liability insurance agreement per approval of G.T.E. and City attorneys. In conclusion, I hope you will agree that the Civic Center can be a good neighbor, and that at no functional loss to G.T.E. the needed joint access agreement can be of benefit to both the City and G.T.E. I also believe that the design as proposed, with right angle vs. odd angle access points, is a major safety-improvement over alternative designs.- -The increased- frequency-of Police patrol should also prove to be a security advantage. All current costs of the easement are at City expense and G.T.E. future costs should be reduced by the joint use agreement. Thank you again for your assistance on this matter. Ken Elliott was the attorney that originally dealt with the GTE Access Easement. He called today and said that the easement has not end. The way the agreement reads is that if within the first five years they want to cancel, they need to give us 1 year notice. He suggested that we write a letter to GTE advising them that according to the terms of the original easement, there is no extension required and if at any time they feel, or we feel the need to cut off the easement, then a one year notification would be required by either party.
