Per your request, this letter will clarify the Citys' position regarding the driveway approach constructed by
your builder, Jeff Odell Construction, at the above address.
On 12-12-95 i received a request for inspection of the driveway approach at the above address. When I
arrived on site I found that there had been work completed in the right of way which did not meet City
standards. The existing ditch frontage of the site had been filled in with rock, and the existing culvert pipe
on either side of the work area had not begin connected to or extended through tie work area by the
builder, as per City standard requirements. Also, the approach had been paved. This inspection was
rejected The reasons for the rejection, as explained above, were noted on the inspection slip and left at
the site for the builder The builder, Jeff Odell, contacted me by phone the next day and also came in to
City Hall to inquire aborit what was needed in order for him to get a passing inspection. He was told that
he needed to remove the sub-standard work completed in the Right of Way, and obtain a Street Opening
Permit issued by the City of Tigard Engineering Department. He would then be required to connect to jnd
extend the existing culvert pipe in the ditchline along the site frontage, then tie could backfill with 1 112"
rock and repave the approach. He was given the correct form to complete along with a City stanoa:d
detail (coPe attached) at this time.
Mr. Odell has contacted me h� phone a couple of times after our initial meeting, wanting the same
information, but has never obtained the necessary permit or made any effr„i io complete the work.

Dear Ms. Miller:
On December 14, 1995, my wife and I met you at your office and signed closing documents
relating to the sale of 15200 SW 81st Avenue, Tigard, Oregon 97224- Mr. Jeffrey Odell was
the seller and Jill K. Sims and I were the buyers. To avoid confusion in this letter, I will
refer to Mr. Jeffrey Odell as "Seller" and my wife and I as "Buyers." Also, The Equity
Group real estate agent who purportedly represented both Buyers and Seller, Dody Taylor,
will be referred to as "Realtor."
During the course of the closing escrow, Buyers signed documents entitled, "Escrow
Instructions" and "Supplemental Escrow Instructions." Copies of these documents are
attached. The Supplemental Escrow Instructions page was signed by Robert P. Odell and
Charlotte A. Odell on December 12, 1995. A portion of this document reads, "First American
Title Insurance Company of Oregon will retain in escrow the amount of 5% of the sales
prices for the "75 lien period as requested by the f cing parties, Charlotte A. Odell and
Robert P. Odell."
Pursuant to the terms, conditions and provisions set forth in the Escrow Insmictiuns,
Supplemental Escrow Instructions, Sales and Earnest Money Agreement, and verbal
agreements made by Seller and Realtor to Buyers before the close of escrow, Buyers hereby
N notify you that they are placing a Demand to Escrow for the remaining balance of funds held
by First American Title Insurance Company of Oregon in escrow account to. 95052019.

Demand to Escrow is made, in part, for Sellers failure to perform as outline,] below:
1) On October 7, 1995, Realtor prepared the initial sales documents at T}„_ Equity
Group office- During this meeting, Realtor stated that she would
simultaneously represent the ir'l.rests of Buyers, and her acknowledged
boyfriend, Mr. Jeffrey Odell, er. Realtor prepared and signed a document
acknowledging this assernon. Realtor also expressly stated that Buvers'

contingency requiring a construction inspection (as set forth in the initial
Owner's Sale Agreement and Earnest Money Receipt - attached) was not
necessary du? to property being warranted for one year after construction.
No mention to the shop being sold in "as-is" condition was ever expressed or
implied, Moreover, upon receiving the same Buyer's sale agreement, Realtor
stated that she would not present Buyer's written offer because Seller would
find the agreement insulting and duplicative when compared to the standard
realtor's form. Realtor thtri prepared a handwritten, greatly edited, version
which was later tendered to ;;eller. Although Realtor, on behalf of The Equity
Group, purported to fairly represent both Seller and Buyers, it has become
apparent that she made material misrepresentations during the course of this
transaction.
2) Approximately one hour before the close of escrow (12/14/95), Buyers
conducted a walk-through of the property with Seller and Realtor. Although an
Occupancy Permit for the property was issued by Washington County earlier in
the day, the apparent need for numerous repairs was discussed with Seller and
Realtor. Specific repairs discussed during this conversation which have not
been resolved include: 1) the landscaping of the front yard had not begun; 2)
that walls in several rooms and hallways were cracked/gouged and needed to be
filled and re-painted; 3) the living quarters in the workshop building was to be
re-painted, walls repaired and the carpets cleaned by December 16, 1995, and;
4) The City of Tigard required that a storm drain be placed underneath the
driveway near the street. Buyers expressed their concerns regarding these
unresolved issuas, however, both Seller and Realtor assuzed Buyers that they
could be trusted and that they had nothing to worry about.
3) Buyers attempted to move into their home on the morning of Del ember 16,
two days after the close of escrow At approximately 10:00 a rr, , Buyers found
both Realt-r and Seller's cars parked in Buyers' driveway. Believing that
Realtor and SE11er were inside Seller's Rqg living quarters located in the shop
building, Buyers left their property. During a telephone conversation with
Realtor later the same day, Realtor acknowledged that she and Seller spent the
previous Evening in Buyers' home_ Realtor also acknowledged that Buyers
were justified in being upset that they could not move into their home and
assured them that Realtor and Seller would move out later the following day.
Buyers were denied use of their home two days following the close of escrow.
4) The Owner's Counter Offer form signed by Jeffrey Odell October R, 1995,
reads, "Owner to have additional 2 weeks after closing to remove tools from
shop." Seller's tools, wi)ich filled the entire shop, were not removed until the
night of January 16, 1996. As a result, Buyers were denied access and use of
this space for an additional 17 days.

5) Since the close of escrow, Seller has stored two work trailers on Buycrs'
property without Buyers' permission. As a result, Buyers were denied use of
this area_
6) On January 6, 1996, Seller (at the request of Buyers) met with Buyers and
again made assurances that all of their concerns regarding repairs on the
property would be addressed, including the removal of three trees which fell
during the recent ice storm. Since then, a neighbor has removed most of the
usable wood, however, the three stumps remain.
7) After Seller removed all equipment from Buyers' shop on January 16, 1996,
Buyers inspected this area for the first time on January 20, 1996. The area was
previously inaccessible. During this inspection, several sizeable leaks were
observed in the roof, apparently causing water damage to the walls and living
quarters inside. This matter was brought to the attention of Seller through
Realtor, who now live together, on the morning of January 21, 1996. Realtor
assured Buyers that Seller would meet with Buyers later the same day. That
evening, Realtor called Buyers and stated that the shop was sold in "as-is"
condition. Furthermore, Realtor stated that she was now the agent for ate
Seller who does not want to have any future contact with Buyers.
For the reasons set forth above, Buyers believe they have extended every conceivable courtesy
to satisfy the contractual obligations made by Seller and Realtor_ Unfortunately, assurances
made by both Seller and Realtor have resulted in minimal progress to date. Base upon
Realtor's most recent statements as set forth in subparagraph #7 above, it is clear that Seller
and Realtor have no intend^: of fulfilling the terms of their contractual obligations. As a
result, Buyers are now left with no other alternative than to have all remaining work
completed by independent contractors. Buyers will pursue all legal remedies available to
ensure that the cost of these expenses are satisfied in the appropriate manner.
