JOINT VENTURE AGREEMENT

PRIME DEVELOPMENT ( Prime) hereinafter referred to as The Parties.
--� WHEREAS, The Parties to this Agreement are separately
developing properties sharing a common boundary which intersects
owith S. W. Durham Road in Washington County, City of Tigard, at

WHEREAS, The Parties want to share costs of construction and
L" maintenance of a common driveway traversing said boundary north
C-7to south, excluding any and all driveways extending east or west.
This common driveway is more particularly described in Plan No.
8911, 8925, Sheet C-1 dated 4/15/89, Arctic Designers, Durham
Estates/Colling Firs, Kenneth A. Paulsen, Architect.
In consideration of the mutual promises herein contained,
Col-ling and Prime agree as follows:
1 . To share equally ( 50% to Colling, 50% to Prime) the
costs of construction and maintenance of said common driveway.
2. Once initial construction is completed any new capital
construction on said driveway shall, require unanimous consent of
The Parties.
3. To grant to each other perpetual reciprocal mutual
easements and right to use said driveway for normal tenant
automobile purposes, ingress and egress and uses incidental
thereto.
4. If a party sells a pErcel, they agree to execute any

easement documents required to complete the intent of this
Agreement and perfection of said perpetual recipro^al mutual
easements for said common driveway.

EASEMENT POR INGRESS, EGRESS AND UTILITY PURPOSES
A twenty (20) foot strip of land being situated in the southwest
quarter of the southwest quarter cf Section 12, Township 2 South,
Range 1 West, i^?illametre Meridian, City of Tigard, Washington County,
Oregon. Said twenty-•foot strip of land being more particularly
described as follows .
The easterly twenty (20) feet of that tract of land described in Book
1160, Page 370, Washington County Deed Records . The easi. line of said
tract being described as commencing at the southwest corner of said
Section 12; thence South 89056' 56" East a distance of 359 feet to the
southeast corner of said tract; thence North 00°30' 3011 West a distance
of 417 .7 feet to the northeast corner thereof.
Said twenty foot strip may be used for ingress, egress and utility
