Bond to assure continued maintenance and freedom from defects;

INFORMATION SUMMARY
1 . The City & Southern Pacific e, �cuted an agreement dated Jan, 7, 1983
whereby the City could proceed to have a sanitary sewer line installed
which crossed the railroad spur track on SW 72nd Avenue (near
Pre-Delivery Company) . This work was intended to be done at the time of
improvement of 72nd Ave; but wasn't.
2. The original agreement expired on January 7, 1994, Now, with
development of adjacent properties, it is necessary to have the sewer
crossing work done; and subsequently, "railroad staff and City staff"
have determined that the most expedient means of accomplishing th4t is
to provide for an extension of the original agreement time limit.
3 . Therefore, City staff recommends that the Council authorize execution DI'
the Agreement Amendment to facilitate installation of a necessary
sanitary sewerage line crossing the railroad' s right-of-way .
4. 'The line will be installed by a private contractor at the expense of a
private developer (Beaver Balt Co. ) in accordance with City reviewed and
approved construction plans .
ALTERNATIVES CONSIDERED
SUGGESTED ACTION
Staff recommends Council approve the resolution amending an agreement with the
Southern Pacific Transportation Company for the 72nd Avenue mainline sewer
crossing, extending the expiration date thereof.

A RESOLUTION OF THE TIGARD CITY COUNCIL APPROVING AMENDING AN AGREEMENT WITH
THE SOUTHERN PACIFIC TRANSPORTATION COMPANY FOR THE 72nd AVENUE MAINLINE SEWER
CROSSING, EXTENDING THE EXPIRATION DATE THEREOF.
WHEREAS, this Council' s desire is tG LI.-aerate in construction of railroad
crossing sewer facilities by amending an agreement with the Southerr Pacific
Transportation Company to provide for an extension of time for completion of
work.
SOW, THEREFORE, BE IT RESOLVED by the Tigard City Council that:
1 . The Mayor and City Recorder are hereby authorized to execute said
agreement amendment with the Southern Pacific Transportation Company
on behalf of the City of Tigard.

by and between SOUTHERN PACIFIC TRANSPORTATION COMPANY, a Delaware corpo-
ration, herein termed "Railroad, " and CITY OF TIGARD, a municipal corpora-
tion of the State of Oregon, address: P. O. Box 23397 , Tigard , Oregon
97223, herein termed "Grantee" ;
RECITALS:
By indenture dated January 7 , 1983 , Railroad granted
to Grantee the right to construct , reconstruct , maintain
and operate an eight (8) inch sewer pipeline , thereinafter
termed "structure, " in, upon, along, across and beneath the
property and tracks of Railroad, at or near Cook (Tigard) ,
in the County of Washington, State of Oregon , in the loca-
tion more particularly shown or described in said indenture.
It is desired by this instru.nent to extend the time
in which Grantee is to commence construction of said structure .
AGREEMENT:
1 . Section 5 of said indenture is hereby amended to read as follows:
"5 . The rights herein granted to Grantee shall lapse
and become void if the construction of said str.uctiire upon
said property is not commenced on or before the 1st day of
July, 1986 . "
2 . Section 9 of said indenture is hereby amended to read as follows:
As part consideration, Grantee agrees to pay Rail-
roa(r an amount equal to any and all assessments which tray be
levied by order of any authorized lawful body against the
property of Railroad (and which may have been paid by Railroad)
to defray any part of the cost or expense incurred in connec-
tion with the construction of said structure upon said property
commenced on or before the 1st day of July, 1986 . "
3 . Except as herein otherwise provided, all of the terms , covenants
and conditions contained in said indenture dated January 7 , 1983 , shall

1. This easement conveyance is for the purpose of installation of a publi,-

2. Construction plans for *he work are approvable and all required fees have
been paid. Work will be performed by the developer, namely -- "Beaver
Bolt, Inc."
3 . This easement is necessary to facilitate connection of other parcels to a
public 'line and to facilitate ongoing maintenance thereof.

SUGGESTED ACTION
Accept the easement provided by BBI Investments and authorize the City

We have received from Pacific Western Bank, a loan commitment in the
amount of $12,000.00 to finance a street improvement located in the City
of Tigard, being commonly known as S.W. 72nd Avenue. This loan commit-
ment is specifically for construction purposes for: public streets, including
driveways, aprons, sidewalks and sanitary sewers. All such improvements
a:e to be completed in conformity with City approved construction plans
and the street improvement complian,.e agreement.
We have agreed that disbursements of the $12,000.00 will be made in
accordance with the following schedule upon completion of each, or all,
item(s); but not including the hold-back described below:
Concrete Curb $1 ,000.00
Sanitary Sewers $10,000.00
Concrete Sidewalk &
Driveway Aprons $1 ,000.00
TOTAL $12,000.00
We have entered into a Street Improvement Compliance Agreement
whereby we have agreed to install all improvements in accordance with
the requirements of the City of TiCard. We are hereby authorizing Pacific
Vestern Bank, to withhold the above-stated funds to pay !hem to us only
when the following has been adhered tu:
That the City of Tigard has provided certification
acknowledging completion of any or all work pursuant
to the above itemized schedule of improvements.
Pursuant to the above schedule, 202 of the commitment funds (i.e. $2,400)
will be deposited into a time certificate of deposit with Pacific Western
Bank in the name of B.B.I. Investments and the City of Tigard for a period
of one (:) year or tntil sinal City acceptance of the project takes place
to assure continued freedom from defects and maintenance, during the
guarantee period.
Concurrent with the final release of these funds, establishment proceeding
will be instituted.

commitment that the City of Tigard shall have first claim and priority to
the sum of $12,000.00 less disbursements approved by the City of Tigard,

It is further understood and agreed that the aforesaid priority of claim is
paramount to all parties including the lending institution making the loan
and that the lending institution has covenanted and agreed that the sum of
$12,000.00 less disbursements approved by the City of Tigard shall be held
available io satisfy any aforementioned claim by the City notwithstanding
default on loan by borrowing party or termination of loan by lending institution.

and related facilities on property zoned I-L_ (Light Industrial) and located on
the w-st side of 72nd Avenue, approximately 800 feet north of Kable Street.
(Wash. Co. Tax Map 2S1 12AC, Tax Lot 1800) .
DECISION: Notice is hereby given that the Planning Director for the City of
Tigard has APPROVE=D the abode described application subject to certain
conditions . The findings and conclusions on which the Director based his
decision are as noted below.
A FINDING OF FACT
1 Background
Site Development Review (SDR 26- 04) approval was granted by the
City in October, 1984 for an industrial building and related
facilities which would utilize the entire property . An L.I.D.
(District #21) was formed for 72nd Avenue and the street was
improved except for sidewalks . The subject property has an
outstanding assessment of $14,629. 28 as of December 10, 1984 .
A Minor Land Partition (MLN 3-85) was approved in April , 1985, but
the conditions of approval (including payment of Lh:Q above
assessment) have not. been met at. this time and the property
remains as one legal parcel .
2 . Vicinity Information
All of the surrounding properties are zoned I--L. The Southern
Pacific. Railroad tracks are immediately west and south, 72nd
Avenue lies to the east, and an indus:.rial use borders the subject.

3 Site Information and Proposal Description
The property is currently vacant, consisting of a grass field and
three mature trees . The applicant is proposing an 11 ,900 square:
foot warehouse/office buiIdirig uit.hin the bourioaries of Lhe
northern parcel that was proposed in MIP 3 85.
The building is intended to have a 3-foot setback from the
northern property line A common dri.vQ to serve this building and
future development. to the south is . nntempl-ated on the south gide
of the building find a parking area will be located between the
building and 72nd Avenue. Loading and storage space will be
provided on the sough and west sides of the building.

The Engineering Division has the following comments:
a. An easement and work permit from Southern Pacific Railroad
will be necessary to facilitate the extension of a sanitary
sewer line underneath the railroad spur that crosses 72nd
Avenue.
b. Half--street improvements will be necessary along the
property frontage.
The Building Inspection Office nates that permission may be
necessary to discharge storm water onto the railrnad right-of-way .
11 ANALYSIS AND CONCLUSION
The proposed development complies with Community Development Code
requirements for setbacks, buildi-ig haight, parking (20 spaces provided,
1.2 required) , :and access . The Code requires that. 157 of the subject.
property be landscaped. Based upon the size of the parcel for this
building proposed in MLP 3--85, 5,230 square feet of landscaped area
should accompany this project, The site plan indicates that 2,850
square feet of laccdscaping will be. providar' in front of the building
along wi.th 4,660 square fort open area in ttie rear. In order to meet
the landscaped standard, a minimum Of 2,380 square feet of the rear area
must be landscaped .
C. DECISION
The Planning Director approves SDR 6- 85 subject to the following
conditions:

A. FINDING OF FACT
1 . Background
Site Development Review (SDR 26-84) approval was granted by the
City in October, 1984 for an industrrial building and related
facilities utilizing the en',ire property an L.I.D. (District N 21)
was formed for 72nd Avenue and the street has been improved,
excluding sidewalks. The subject property has an outstanding
assessment of $14,629. 28 as of December 10, 1984, This assessment
must be paid in full before a sale, transfer, or division of land
(Ord. 84-55) .
2. Vicinity Information
All of the surrounding r. operties are zoned I—L. The Southern
Pacific Railroad tracts are immediately west and south, 72nd
Avenue lies to the east and an established industrial parcel
borders the subject property to the north.
3 . Site In`ormation and Proposal Description
The property consists of a grass field and three mature trees .
The applicant proposes to divide the property into two parcels of
1.1 and 0.8 acres. The northern 0.8 acre parcel is basically
rectangular in shape with approximately 1.12 feet of frontage on
72nd Avenue. The southern 1 . 1 acre tract constitutes the
remainder of the property .
4, Agency and NPO Comments

B. ANAI_Y^IS AND CONCLUSION
The proposed partition is consistent with the relevant criteria in I-L
cone far minimum lot sire (no requirement), lot width (50 feet), and
adequate space is available to meet relevant setback and landscaping
requirements. Right-of-way dedication is required as part of the
partition approval and remaining street improyements, such as sidewalk,
will be required in conjunction with the development of the two parcels.
C. DECISION
The Planning Director has approved MLP 3-85 subject to the following
conditions :

near 72nd Avenue shall remain within a landscaped buffer between
the building and the street. .
4 . Agency and NPO Comments
The Engineering Division has the following comments :
a. The remaining half street improvements shall be installed
along the 72nd Avenue frontage.
b. Stormwater runoff may not be able to directly enter the
public system in 72nd Avenue. should be made to
allow for drainage onto the r-milroad right-of--way .

1 c. It is recommended that the customer parking area be curbed
to ensure vehicle containment.
d. The two trees adjacent to 72nd Avenue should be trimmed to
allow for pedestrian use of the sidewalk and to improve

The Building Inspection Office indicates that wood milling
activities usually require lat=e employee parking areas.
The Tualatin Rural Fire Protection District and NPO # 5 have not
submitted written comments .
f� ANALYSIS AND CONCLUSION
The proposed use conforms with the requirements of the I-L zone related
to the use to be established, building height, and setbacks. Several
modifications will be necessary to bring the development into full
conformance with City requirements.
1 . Landscaping
The Code requires that at least 15% of the lot area in the I-Lr
none be devoted to landscaping. The site plan submitted indicates
that 8-10% of the project will be landscaped. Street trees with
spacing of 20-40 feet, depending upon tree size, is required along
the 72nd Avenue frontage, Trees are shown in the northeast
section of the property . but additional trees are necessary along
the remaining street frontage. Finally, landscaped buffers
between the street and parking area and the provision of trees
within the parking lot are also required. The landscaping element.
of the plan should be revised to conform with the Code. The
relevant sections of the Code are enclosed.
2 . Parking
The site plan contains 27 parking places for employees and
customers . The Code calls for one parking space per !!mpinyep of
the largest shift or one space per 1,000 square feet cf floor
space. No information was submitted regarding the number of
employees Based upon the square footage formula, two additional
spaces are necessary , The site plan should be revised to include
the additional parking or the proposed parking arrangement should
be justified in terms of the number of employees present during
the lamest shift.
3 Street right-of--way
Right-of-way dedication totaling 30 feet from the centerline
should have been dedicated as part of the 72nd Avenue L.i .O.
project. However, the Assessor' s records indicated than only 25
feet of right -of--way exists along the subject property.
Verification of full right-of-way should be provided or the
additioral street right--of-way should be dedicated as a condition
of this approval .

It should be noted that depending upon the location of the street
right-of-way line, the building may have to be shifted to the west
to maintain the required 30 foot front yard setback. Any
alternatives to right-of-way dedications (eg. public easement)
must be approved by the Public Works Director.
C. DECISION
Based upon the findings and conclusion above the Planninc; Director
APPROVES SDR 26-84 subject to the following conditions:
1. UNLESS OTHERWISE NOTED, ALL. CONDITIONS SHALL_ BE MET PRIOR 1'0
ISSUANCE OF BUILDING PERMITS.
2. Standard half-street improvement including 5' wide sidewalks,
street lights, and driveway aprons shal.l. be provided along the SW
72nd Avenue frontage prior to v..cupancy.
3. Five (5) sets of plan--profiles public improvement construction
plans and one (1) itemized construction cost estimate, stamped by
a registered civil engineer, detailing all proposed public
improvements shall be submitted to the City' s Engineering Division
for approval .
4. Storm arA sanitary sewer details shall be provided as part of the
public improvement plans.
5. Construction of t, � proposes public improvements shall not
commence until after the Engineering Division has issued approv••d
public improvement plans (the Division will. require posting of a
100% performance bond), the payment of a permit fee and a
streetlight deposit. Also, the execution of a street opening

12. Railroad shall furnish all necessary labor, materials ,
tools and equipment to install and shall install two (2) flashing
light grade crossing signals equipped with automatic gate arms ,
together with necessary actuating and operating circuits and adequate
in:.trument housing, hereinafter collectively referred to as "signals , "
at said highway crossings . Said signals shall be located approxi-
mntely as shown on the print of Railroad's Oregon Division Drawing
D-1930 dated July 3 , 1981 , revised November 22 , 1982 , attached and
made a part hereof . Installation of arid all materials for said signals
shall be in accordance with Railroad's usual standards and in
compliance with the Oregon Public Utility Commissioner's Standard
Nos . 2 and 4 of Order No. 44783 .
13. Upon receipt by Railroad of a final order from the
Oregon Public Utility Commissioner , Railroad shall order necessary
materials and , upon receipt of such materials and availability of
labor, shall proceed with installation herein contemplated.
Grantee agrees to reimburse Railroad for one hundred
percent ( 1000) of the cost and expense incurred by Railroad in
connection with the furnishing of materials and performing woik of
installing said signals .
14 . Railroad , at its expense, shall remove the existing
crossings , prepare track, including installation of engineering fabric ,
and install AC paving through the existing crossing areas .
15. Railroad, at Grantee 's expense , shall install AC
paving through the Widened portion of the crossing areas . Grantee
agrees to reimburse Railroad for all cost and expense incurred by
Railroad in connection therewith.
16 . The parties intend that the promises and obligations
of this indenture shall constitute covenants running with the land
so as to bind and benefit their respective successors and assigns .

done at such times and in such manner as not to interfere in any way
whatsoever with the operations of Railroad. The plans for and the con-
struction or reconstruction of said structure shall be subject to t}.s
approval of Railroad.
Grantee aorees to reimburse Railroad for the cost and expense to
F.-1il.road of furnishing any materials or performing any labor in connec-
tion with the construction , reconstruction , maintenance and renoval of
said structure, including , but not limited to, the installation and
removal of such f3lsework and otn�r protection beneath or along Railroad' s
tracks , and the furnishing of such watchmen , flagmen and inspectors ac
Railroad deems necessary.
7 . In the event Railroad shall. at any time so require , Grantee , at
Grantee' s expense , shall reconstruct , alter , r„akes changes in the loca-
tion of said structure or otherwise improve said structure upon receipt
of written notice from Railroad so to co.

B. Grantee shall , at its expense , compl;1 with all applicable laws ,
regulations , rules and orders , regardless of when thev become or became
effective , including without limitation those relating to health, safety ,
noise, environmental protection , waste disposal , and water ane. air
quality , and .furnish satisfactory evidence of such compliance open re-
quest of Railroad .
Snould any discharge , leakage , spillage , emission , or pollution of
any type occur upon or from the premises due to Grantee' s use and occu-
pancy thereof. , Grantee , at its expense, shall be obligated to clean
the premises to the satisfaction of Railroad and any governmental body
having jurisdiction thereover.
Grantee agrees to indemnify , hold harmless and defend Railroad against
ali liability , cost and expense (includi,i7 without limitation any fines ,
penalties , jud,4ments , litigation costs acid attorney fees) incurred by I
Railroad as a result of Grantee' s breach of this section , or as a result i
of any such discharge , leaks e, spillage, emission or pollution, regard-
less of whether such liability, cost or expense arises during the life
of this indenture unless such liability , cost or expense is proximately
caused solely by the active negligence of Railroad .
9 . As part consideration , Grantee agrees to pay Railroad an amount
equal to any and all assessments which may be levied by oraer of any
authorized lawful body against the property of Railroad land which may
have been paid by Railroa!3) to defray any part of the cost or expense
incurred in connection with the construction of said structure upon said
property commences' within one ( 1) year from the date first herein written .
10 . Grantee , its agents and employees subject to provisions hereof ,
Shall have the privilege of entry on said property for the purpose of
constructing , reconstructing, maintaining and making necessary repairs
to said structure. Grantee agrees to give Railroad five_ (5) days' ..;rit-
ten notice prior to commencement of any work on said structure, except
emergency repairs , in which event Grantee shall notify Railroad' s author-
ized representative by phone. Grantee agrees to :keep said property and
said structure in good and safe condition, free from waste , so far as
affected by Grantee' s operations , to the satisfaction of Railroad. If.
Grantee `.ails to :keep said property and said structure in a good and safe
condition , free from waste, then Railroad may perfo m the necessary work
at the expense of Grantee , which expense Grantee agrees to pay to Railroad
upon demand .
11. In th, event any work upon or in connection with sai'i structure
or its appurtenances , to be done upon or adjacent to the tracks and prop-
erty of Railroad, should be let to a contractor by Grantee , such work
shall not be begun until such contractor shall 1,ave first entered into
an agreement with Railroad , satisfactory to Railroad , and indemnifyina
Railroad from ani against all claims , liability, cost and expense growing
out of the nt?rformance of the work to be done by such contractor .

12 . Insofar as it lawfully may, Grantee aq:ees to release and in-
demnify Railroad , its officers , employees , agents, successors and assigns ,
from all claims , liability, cost and expense howsoever same may be
caused, including reasonable attorney fees , for loss of or damage to
property and for injuries to or death of persons arising out of the
construction, reconstruction, maintenance, presence, use or removal of
said structure, regardless of any negligence or alleged negligence on
the part of Railroad employees.
The word "Railroad, " as used in this section, shall be construed
to include, in addition to Railroad, the successors, assigns and affili-
ated companies of Railroad and any other railroad company that may be
lawfully operating upon and over the tracks crossing or adjacent to
said structure, and the officers and employees thereof.
13. Should Grantee, its successors or assigns, at any time abandon
the use of said property, or any part thereof , or fail at any time to
use the same for the purpose contemplated herein for a continuous period
of one (1) year, the 'right hereby given shall cease to the extent of the
use so abandoned or discontinued, and Pailroad shall at once have the
right, in addition to, but not in qualification of , the rights herein-
above reserved, to resume exclusive possession of said property or the
part thereof the use of which is so discontinueO or abandoned.
Upon termination of the right;3 and privileges hereby granted, Gran-
tee , at its own cost and expense, agrees ;:o remove said structure from
said property and restoLe said property as neaily as practicable to the
same state and conditior.. in which it existed prior to the construction
of said structure. :Mould Grantee in such event fail , neglect or refuse
to remove said structure and restore said property, such removal and
restoration may be performed by Railroad, st the expense of Grantee ,
which expense Grantee agrees to pay to Railroad upon demand , or Rai.iroad
may, at its option, assume ownership of said structure.
14 . This indenture shall inure to the beciefit of and be binding
upon the successors and assigns of the parties hereto.
IN WITNESS WHEREOF , the parties hereto have caused these present
to be executed in aupli.cate the day and year fi=st herein written.
