Off LICY ISSUE INFORMATION SUMMARY 1 . Tigard Christian Church, located on the corner of SW Hall Blvd. and SW O'Mara Street, extended and hooked up to the public sanitary sewer system. To provide for upstream properties doing likewise, the church created a public sewer c-aseuKont (through their site) running southerly to O'Mara Street and provided for another, adjacent parcel, connection. 2. All of the required sewer installation work has been satisfactorily completed and has withstood the usual guarantee period. All of the required easements, and nun--remonstrance agreement, have been satisfactorily executed and recorded. 3 . Therofore, it is recommended that the City Council accept the public sanitary sewer facility and authorize release of the church' s assurance bund. ALTERNATIVES CONSIDERED None, since the City Council previously indicated it' s willingness to accept the sewer line if the church installed it to City standards; the church has done so. FISCAL IMPACT City assumptioli of operation and maintenance responsibility for a three hundred foot lung 8" sanitary sewer line, said line having been installed to City standards. NOW, THEREFORE, in consideration of the foregoing premise and the covenants and agreements to be kept and performed by the petitioner and petitioners surety, IT IS HEREBY AGREED AS FOLLOWS: 1 . Petitioner shall proceed to complete all public improvements shown on the improvement plan, approved by the City of Tigard and prepared by Thomas H. Burton Engineering & Surveying (Tigard, Oregon) dated May 2.2, 1.986; said improvement to be completed no later than one (1) year from the date of this agreement and Petitioner hereby agrees to comply with all rules, regulations and specifications set forth by the City and, to use only such materials and to follow such designs as is required to conform thereto. Petitioner shall provide certification of installation conformance and one as—built mylar, both stamped by a registered civil engineer, to th,- City prior to City inspection of petitioners improvement work for City tentative acceptknce consideration. 2 . To assure compliance with the City' s requirements and the pros,,isions thereof, Petitioner agrees to obtain, provide and tender to the City, a surety bond(s) in form approved by the City, with liability in an amount equal to the contract price of $6, 150.00 prior to City issuance of a permit or, approved construction plans for cor:struction of said improvements; Petitioner's contractor shall be licensed, bonded and insured . 3 . In the event that the Petitioner shall fail, neglect or refuse to proceed with the work in an orderly and progressive manner to assure completion within the time specified, upon ten (10) days notice by the City to the Petitioner and the Petitioner' s surety, and such default and failure to proceed continuing thereafter the City may at its option proceed to have the work completed and charge the costs thereof again3t th,a Petitioner and the Petitioner' s surety and in the event the same be not paid, bring an action on said bond to recover the amount thereof, In the event that such action be bought, the Petitioner and the Petitioner's surety shall be required to promise and agree to pay, in addition to the amounts accruing and allowable, such sum as the court shall adjudge reasonable as attorney's fees and cost incurred by the City, both in the Trial Court and Appellate Court, if any, or the City may at i,:s option bring proceedings to enforce against the Petitioner and/or Petitioner' s surety, specific performance of the contract and compliance with the standards adopted by the City of Tigard, and in any event, in a like manner, the City shall be entitled to recover such sums as Zhe court may adjudge reasonable for the City attorney' s fees and cost, both in the Trial Court and and Appellate Court, if any. 4. A connection permit: fee to cover the cost of processing building connection permit applications and performing inspection of building connectior.(s) . Said fee to be determined, levied, and paid prior to connection of building sew,-rs to (this) public mainline sewer. C. A surch, -ge to connect directly or indirectly (strike inapplicable word) to an existing PL,blic mainline sanitary sewer which was installed with3ut cost to the Petitioner. Said surcharge to be determined, levied, and paid (by the Petitioner) in accord l.+ith terms of agreement between the City and N/A. A monthly sewer service charge for use of the public sanitary sewer system. 5. While the City agrees to make periodic inspections as in the City's judgment: is necessary to assure compliance, the Petitioner agrees to provide certification that the improvement has been installed in accord with C''ty standards and the approved improvement plan; said certification to be gned by a registered civil et.;4nver. 6. The Petitioner agrees to provide the City with 48 hour advance notice of commencement of construction and, also, 12 hour advance notice of requested fir.ld inspections . 7. The Petitioner agrees to insure that Petitioner's engineer obtains accurate as-built (field) construction records of said sewer installation and, also, agrees to insure that: the City is furnished with one accurate as-built mylar thereof and, further, with accurai—, legal descriptions of all necessary easements . -2- R . At such time as all public improvements have been completed in accordance with the City' s requirements, Petitioner shall submit a "certificate of installation conformance" to the City to notify the City of readiness for acceptance inspectio.i and, then, upon notification by the Department of Community Development that the requirements of the City have been met, the Petitioner will submit to the City a good and sufficient guarantee bond, if not already provided with tha performance bond, form approved by the City, to provide for correction of any defective work or ,maintenance becoming apparent or arising within one (1) year after tentative —rq ptance of the public improvements by the City, 9. Upon receipt of certification from the Department of Development Ser•v_ces that all requirements have been met, and a one year Maintenance Bond, the City Council agrees to accept the public improvements subject to of Petitioner's cor•re •tion of deficiencies, and maintenance, for a period of one year. 10. Burton Engineering & Surveying (Tigard , Oregon) dated May 22, 1986, said improvement to be completed no later than one (1) year from the date of this agreement and Petitioner hereby L3rees to comply with all rules, regulations and specifications set forth by the City and, to use only such materials and to follow such designs as is required to conform thereto. Petitioner shall provide certification of installation conformance and one as built mylar, bath stamped by a registered civil engineer, to the City prior to City inspection of petitioners improvement work for City tentative acceptance consideration. 2 To assure compliance with tho City' s r9quirements and the provisions thereof, Petitioner agrees to eb'.ain, provide and tendpr- to the City, a surety bond(s) in form approved by the City, with liability in an amount equal to the contract price of $6, 150.00 prior to City issuance of a permit or app .)v,-.d construction plans for construction of said improvements; Petitioner' s contractor shc-ll be licen%ed, bonded and insured . - 1 3 . In the event that the Petitioner shall fail, neglect or refuse to proceed with the work in an orderly and progressive manner to assure completion within chi tilTie specified, upon ten (10) days notice by the•: City to the Petitioner and the Petitioner' s surety, and such default and fai.liire to proceed continuing thereafter, the City may at its option proceed to have the work completed and charge the costs thereof against the Petitioner and the Petitioner' s surety and in the event the same be riot paid, bring an action on said bond to recover the amount thereof. In the event that such action be brought, the Petitioner arid the Petitioner' s surety shall be required to promise and agree. to pay, in addition to the amounts accruing and allowable, such sum as the court shall adjudge reasonable as attorney' s fees and cost incurred by the City, both in the Trial Court and Appellate Court, if any, or the City inay at its option bring proceedings to enforce against the Petitioner and/or Petitioner' s surety, specific performance of the contract and compliance with the standards adopted by the City of Tigard, and in any event, in a like manner, the City shall be entitled to recover such sums as the court may adjudge reasonable for the City attorney' s fees and cost, both in the Trial Court and and Appellate Court, if any. 4. Petitioner-, concurrent with the execution hereof, agrees to pay the following fees and charges : a. A plan check and inspection fee to cover the cost of City review of public mainline construction plans and, in the City' s interest, periodic inspection of mainlirip construction (except building connections) in the amount of $26.00. b. A connection permit fee to cover the cost of processing building connection permit applications and performing inspection of building connection(s) . Said fee to be determined, levied, and paid prior to connection of building sewers to (this) public mainline sewer. C . A surcharge to connect directly or indirectly (strike inapplicable word) to an existing public mainline sanitary sewer which was installed without cost to the Petitioner. Said surcharge to be determined, levied, and paid (by the Petitioner) in accord with terms of agreement between the City and N/A. d . A monthly sewer service charge for use of the public sanitary sewer- system. S While the City agrees to make periodic inspections as in the City' s judgment. is necessary to assure compliance, the Petitioner, agrees to provide certification that the improvement has been installed in accord with City standards and the approved improvement plan; said certification to be signed by a registered civil engineer. 6. The Petitioner, agrees to provide the City with 48 hour advance notice of commencement of construction and, also, 12 hour advance notice of requested field inspections. 7 The Petitioner agrees to insure that Petitioner' s engineer obtains accurate as-built (field) construction records of said sewer installation and, also, agrees to insure that the City is furnished with onk arcur.ate as--built mylar thereof arid, further, with accur•at,e legal descriptions of R11 necessary easements . 8 . At such time as all public improvements have been completed in accordance with the City' s requirements, Petitioner shall submit a "certificate of installation conformance" to the City to notify the City of readiness for acceptance inspection and, then, upon notification by the Department of Community Development that the requirements of the City have been met, the Petitioner will submit to the City a good and sufficient guarantee bond, if riot already provided with the performance bond, form approved by the City, to provide for correction of any defective work or maintenance becoming apparent or arising within one (1) year after tentative acceptance of the public improvements by the City . 9. Upon receipt of certification from the Department of Development Services that all requirements have been met, and a one year Maintenance Bond, the City Council agrees to accept the public improvements subject to of Petitioner' s correction of deficiencies, and maintenance, for a period of one year. 10. That Petitioner, in consideration of City approval of the application to construct a public sanitary mainline sewer within the boundaries of easements held by or to be held by the City, does hereby covenant and agree to save, hold harmless and indemnify the City, its officers, agents and employees, for and from all claims, demands, damages, and each and every other obligation that can or could arise from the neglect of Petitioner, his officers, agents, contractors and employees, or from trespass upon property outside of the zasement area, including attorney' s fees and costs, if any, necessarily incurred by the City in defending against such claims, with the intent and purpose that the City shall be made whole with respect to any amounts it may be required to pay or, be hold liable for in connection with exercise of real or assumed privileges afforded Petitioner for sewer construction purposes . Your item 1) and 3) deal with Section 4 of the agreement on page 3 (Easement). Ken Elliot. (City Attorneys Office) and I feel we need to make seve7-al changes here that should answer your questions. The original intent was ro provide for the legal description of the easement area in Exhibit "C" and co illustrate the easement form to be itsed in Exhibit "D". After further study I discovered the legal description shown in Exhibit "C" is inappropriate and should only describe the easement area, not the complete church property. The easement should be 15 feet in width and extend from your southerly property line to where the sewer extension intersects your westerly property line. Without knowing this intersection point its impossible to prepare this legal description. We would propose to eliminate one of the Exhibits and re-write section 4 to read as follows: 4. The Church agrees to execute and record in favor of the City, and in a form suitable to the City (Exhibit "C"), a permanent sanitary sewer easement across rhe westerly 15 feet of the Church property. Said easement extending from the Church's southerly property line, northerly to the intersec-:ion of the proposed sewer extension. The exact location of said intersection to be determined by field survey. By this easenent, the Church shall permit the City to enter onto the Church's property at such time or times as the City deems necessary for the purpose of excavation, construction, maintenance, inspection or extension of the public sanitary sewer line and any extensions thereto within the easement. I will prepare the above legal description once we have approved construction plans. With respect to item 2) of your letter, it will be necessary for the Church to bond the project both at the performznce and maintenance stages. Page 3 paragraph 4 we ' need the width of the easement required by the City in order to prepare Exhibit C which is the legal description. 2. As we discussed, the last paragraph of section 6 on page 5, is agreeable to the church. 3. Exhibit B, you must include in the budget, the cost of a registered civil engineer. 4. Exhibit B paragraphs 2 and 8, in the proposed budget for the church construction, there were not any funds allocated for bonding. I would suggest that the City of Tigard may be willing to accept an Indemnity agreement signed by the church and approved by its Boards that the church will indemnify and agree to hold the City harmless to meet the requirements of paragraph 2 and agree to pay any and all costs as required by paragraph 8 in regards to the maintenance bond. The church is certainly going to be around for a number of years and most of its membership are local citizens. Since the bond costs were not included in your loan request to Benjamin Franklin, I would believe that. the City may entertain acceptance of some sort of indemnity agreement to fulfill the requirements of paragraphs 2 and 8 on Exhibit B. 5. Exhibit D needs a legal description. It is the same as item 1 as regarding the description of the easement in terms of width of the strip of land. If you have any questions, please advise me. Richard Sturgis , granting all neces- sary access , easement , and connection rights to allow Sturgis to extend a private sanitary sewer line across Church property to con- nect with the Church ' s private sanitary sewer line . The Gity agrees to grant a right of entry to the Church, allow- ing the Church or its agent to enter upon the Tigard Senior Center property descrihed in Exhibit "A" for the purpose of excavating, constructing , completing, and inspecting said sewer line . Said right of entry shall expire upon final acceptance of the public sanitary sewer extension by the Tigard City Council , or upon termination of this agreement , whichever shall occur first . I .D. which is required to finance the construction, excavation, or extension of said public sewer line. s Not withstanding the language contained L.Arein above, the Church and City agree that prior to commencement of construction, engineers from the Church and City shall jointly evaluate the projected future capacity requ`.rements of any sewer line extension to nearby properties . The engineers shall reach an agreement as to the sewer line size required to serve projected needs in the event the line is extended in *he future. If the engineers representing the Church and the City are unable to reach an agreement on the required sewer line diameter, then each shall select one licensed engineer; the two engineers s:, selected shall name a third engineer . The three engineers selected -hall study all available data and determine the sizing required to serve projected needs , which determination will be binding on the Churc'�, and City. The Church shall install entirely at Church expense a sewer line of the agreed upon diameter to accommodate these projected needs . If the Church and City or their designated engineers determine that future sewer requirements will exceed the capacity of an 8 inch sewer line, and if the Church thereafter refuses or fails to construct and install a sewer line of the agreed upon diameter, then the non- participation terms contained iii this section shall be null and void and the City may requi-e the Church to participate in and contribute to future public sewer L. I .D.s . However, if the Church constructs a line of the agreed upon diameter to serve projected needs and it is later determined that actual needs require a larger line, the Church shall not be required to participate in or contribute to any L. I .D. formed for the purpose of constructing, extending, or expanding public sanitary sewer lines through, around, or near the _'hi,rch property. If this section is deemed null and void as described herein, all other sections of this agreement shall nonetheless remain �►alid and In full for,-:e. At torney'_s_Fees . In case suit or action is instituted to enforce 'tie provisions of this cor.tract , the City and Church agree that the losing party shall pay such sum as the Court may adjudge reasonable attorney 's fees and court costs, including attorney' s fees and court costs on appeal . 9 . Appl_icabl.e__Law. This contract shall be governed by the laws of the State of Oregon. 10. Complete_Agreement . This agreement and any referenced attachments constitute the complete agreement between the City and the Church and supersede any and all prior written or oral discussions or agreements . Petitioner shall proceed to complete all public improvements shown on the Improvement plan, approved by the City of Tigard and prepared by dated _ said improvement to be completed no later than one (1) year from the date of this agreement and Petitioner hereby agrees to comply with all rules , regulations and specifications set forth by the City and, to use only such materials and to follow such designs as is required to conform thereto. Petitioner, via a registered civil engineer, shall provide certification of installation conformance, to the City prior to City inspection of netitioners improvement work for initial City acceptance. 2. To assure compliance with the City's requirements and ttie provisions thereof, Petitioner agrees to obtain, provide and tender to the Citlr, a surety bond(s) in form approved by the City, with liability In an amount equal to the contract price of $ prior to City issuance of a permit or approved construction plans for construction of said improvements; Petitioner's contractor shall be licensed, bonded, and Insured. 3. In the event that the Petitioner shall fail , neglect or refuse to proceed with the work in an orderly and progressive manner to assure completion within the time specified, upon ten (10) days notice by the City to the Petitioner and the Petitioner's surety, and such default and failure to proceed continuing therea.:11r, the City may at its option proceed to have the work completed and charge the costs thereof against the Petitioner and the Petitioner's surety and in the event the same be not paid, bring an action on raid bond to recover the amount thereof. In the event that such action be brought, the Petitioner and the Petitioner's surety shall be req,.,ired to promise and agree to pay, in addition to the amounts accruing .,nj allowable, such sum as the court shall adjudge reasonable as attorney's fees ano cost incurred by the City, both in the rrial Court and Appellate Court , if any, or the City may at its option bring proceedings to enforce against the Petitioner and/or Petitioner's surety, specific performance of the contract and compliance with the standards adopted by the City of Tigard, and in any event, in a like manner, the City shall be entitled to recover such sums as the court may adjudge reasonable for the City attorney's fees and cost, both in the Trial Court and and Appellate Court, if any. 4. Petitioner, concurrent with the execution hereof, agrees to pay the following fees and charges: a. A plan check and Inspection fee to cover the dist of City review of public mainline construction plans and, in the City'E interest, periodic inspection of mainline construction (except building connections) in the amount of $ _ b. A connection permit fee to cover the cost of processing building connection permit applications and performinE, inspection of building connection(s). Said fee to be determined, levied, and paid prior to connection of building sewers to (this) public mainline sewer. C. A surcharge to connect directly or indirectly (strike inapplicable word) to an existing public mainline sanitary sewer which was installed without cost to the Petitioner. Said surcharge tc be determined, levied, and paid (by the Petitioner) in accord with terms of agreement between the City and d. A morthly sewer service charge for use of the public sanitary sewer system. 5. While the City agrees to make periodic inspections as, in the City's judgment , is necessary to assure compliance, the Petf.tioner agrees to provide certification that the improvement has been installed in accord with City standards and the approved improvement plan; said certification to be signed by a registered civil engineer. 6. The Petitioner agrees to prov!de the City with 48 hour advance notice of commencement of constructlro and, also, 12 hour advance notice of requested field inspections. 7. The church would sign a non-remonstrance agreement providing for: a) Participation in a future L. I .D. if one developes using the public line we are building. j) The cost of the Tigard Christian Church constructed public line to be included in the L. I .D. project costs. c) The cost of the public line (in b above) would be credited against the church' s assessment for its share of the L. I .D. 4. Should an L. J .D. form using a different connection t^ the main sewer (such as from the properties east of Hall ) then Tigard Christian Church would not be required ) participate in such an L.
