This is sent to acknowledge receipt of your letter dated April 7th, 1986
wherein Southern Pacific Industrial Development Company agrees to certain
conditions relative to the termination of service to the pre% ious mobile park .
For the record, to clarify use of the term "owner" in item M2 of yuur letter,
the City is the legal owner of the sewer (main line) ;.hough it is meant that
Southern Pacific Industrial Development Corriiany shall necessarily bear the
cost of re--activating the line in the future should such action be necessary .
We view this "plugging" as a temporary termination of service to the site, not
as an abandonment of the public sewer line.
Notice is being transmitted to your contractor authorizing him to proceed with
the proposal work .
Upon completion and after our inspection thereof, we will send notice of
service termination for the mobile park site to our accounting office.

Please refer to your April 4 letter regarding insertion if an
8-inch plug at Manhole 0+60 50 in the City of Tigard to terminate
sanitary service to above referenced mobile home park.
1. Southern Pacific Industrial Development Company, owner of the
former Terrace Heights Mobile Home Park, hereby states that no other
parcels or buildings will be impacted by terminating said sanitarl,
service in the manner proposed. Owner further states that it shall holy
City and its employees harmless in the event. such is otherwise the case.
2 In the event said public sanitary sewer line is to be
reactivated in the future, owner will bear full responsibility for
costs associated with said reactivation of line
Please proceed with notification to our contractor, so that
he may proceed with "plugging" operation.
As I indicated to you by telephone on Friday, the park ceased
operation December 31, 1985. Upon completion of work, I would
appreciate your notifying the City's sanitary sewet billing department.

This is sent to you to acknowledge our conditional approval to have your
contractor (Mr. Jim Smith) proceed to insert an 8" plug into Manhole 0+60.50
and, then, to grout over the plug to terminate service to said Mobile Park.
Conditions relative to the work are as follows and must be satisfied prior to
proceeding with the work:
1. A letter shall be provided to the City, from the principal, staging
that no other parcels or buildings are to be, impacted by terminating
service in the manner proposed and that the principal shall hold the
City and its employees harmless in the event such is otherwise 'ne
case and will bear full. responsibility thereinregard.
2. Further, in the event it is ever desirably to re--activato the line
that the principal will perforin all necessary work and bear the full
cost thereof, upon notification by the City .
3 . Finally, that the principals contractor shall notify the City that he
is proceeding to perform the task at some given time +►od date
Notification shall proceed commencement of work by not less than
twenty four hours.
Acknowledgement of the principals acceptance of the aforesaid conditions can
be submitted to this office in the form of a letter address0fq Items K1 6 2
above We will in turn acknowledge (our) acceptance of said letter, in
writing. Then, the contractor may proceed as described in Item N3 above
Upon completion of his work and upon verification thereof by our inspector, we
will notify our sewer billing office that the principals monthly billings are
to be terminated.

According to Agency information, the sewer line sere ng Terrace
Heights is a pu!)lic sewer. Enclosed is an as-built cupy of the 72nd
Avenue Local Improvement District (LID) showing this sewer line; the
as-builts of the Rosewood and 72nd Avenue LID were sent to the City
of Tigard on August 28, 1986. Also enclosed is a copy of the sewer
easement for this line granted by Southarn Pacific Railroad.
According to the contract between the Agency and the City, this
8-inch sewer line became the property of the City of Tigard upon
annexation. Whether you allow the plug in this public line is up to
the City of Tigard since it is your line.

of the State of Delaware, herein termed "Railroad" , and UNIFIED
SEWERAGE AGENCY OF WASHINGTON COUNTY, a corporation and County Services

District, address: Hillsboro, Cregon 97123, herein termed "Agency" ;
WITNESSETH:
1. Railroad hereby grants to Agency, subject to the reservations
covenants and conditions herein contained, the right to construct , re-
construct, maintain and operate approximately 1390.5 feet of eight (8)
inch sewer pipe and two (2) 100-foot pipe crossings and appurtenances,
hereinafter collectively referred to as "structure" , in, upon, along,
across and beneath the property of Railroad, at or near Cook , in the
County of Washington, State of Oregon, opposite Mile Post 749.00, in
the location shown and designated "proposed 20" sewer easement" on the
print of Rni]_road's Oregon Division Drawing D1711 dated December 17,
1976, attached and made a part hereofl as more particularly described
in the attached Exhibit "A". In addition, Railroad hereby grants to
Agency a temporary construction easement upon, over and across the
premises of Railroad described in the attached Exhibit "li". The use
of said area shall be temporary and will terminate upon completion by
Agency of construction of said sewer. Agency agrees to notify Rail-
road when use of the said temporary construction area is no longer
required.
2. This grant is made subject and subordinate to the prior and
continuing right and obligation of Railroad, its successors and
assigns, to use all the property described herein in the performance
of its duty as n common carrier, and for that purpose the-e is re-
served unto Railroad, its successors and assigns, the right (consisten
with the rights herein granted) to consiruct., reconstruct , maintain
and use existing and future railroad tracks, facilities and appurte-
nances and existing and future transportation, communication and pipe-
line facilities and appurtenances in, upon, over, under, across and
along said Property.

3. This grant is made subject to all lfcenses easements,
restrictions, conditions, covenants, encumbrances, lies �,nd
claims of title which may affect said property, and the word
"grant" , as used herein; shall not be construed as a covenant
against the existence of any thereof.
4. The rights herein granted to Agency shall lapse and be-
come void if the construction of said structure upon said property
is not commenced within one (1) year from the date first herein
written.
5. Agency shall bear the entire cost and expense of recon-
structing and maintaining said structure upon said property.
Agency agrees that all work upon or in connection with said struc-
ture shall be done at such times and in such manner as not to `
interfere in any way whatsoever with the operations of Railroad. t
The plans for the construction or reconstruction of said structure
shall be provided to Railroad prior to said construction or re-
construction. Agency agrees to give Railroad five (5) days' written
notice prior to commencement of any work of construction or recon•-
structi.on.
6. Agency , its agents and employees, shall have the privilege
of entry on said property for the purpose of constructing, recon-
structing, maintaining and making necessary repairs to said structure.
Ag(-,ncy agrees to keep said property and said structure in good and
safe condition, free from waste, so far as affected by Agency 's
operations, to the satisfaction of Railroad. If Agency fails to
keep said property and said structure in a good and safe condition,
free from war.,te, then Railroad may perform the necessary work at the
expense of Agency , which expense Agency agrees to pay to RailroFd
upon demand.
7. Insofar as it lawfully may, Agency agrees to indemnify and
save harmless Railroad, its officers, employees, agents, successors
and assigns, from all claims, liability , cost and expense caused
by negligence of Agency or its contractor, including reasonable
attorney fees, for loss of or damage to property and for injuries to
or death of persons arising out of the construction, reconstruction,
maintenance, presence, use or removal of said structure, except when
due to the sole negligence of Railroad.
fhe word "Railroad" , as used in this section, shall be construed
to include, in addition to Railroad, the successors, assigns and
affiliated companies of Railroad and any other railroad company which
may be lawfully operating upon and over the tracks crossings said
structure, and the officers and employees thereof.
8. Should Agency , itr, successors or assigns, at any time abandon
the use of said property or any part thereof, or fail at any time to
use the same for the purpose contemplated herein for a continuous

period of one (1) year, the right hereby given shall cease to the
extent of the use so abandoned or discontinued, and Railread shall ,
at once have the right, in addition to, but not in qualification of
the rights hereinabove reserved, to resume exclusive possession of
said property or the part thereof the use of which is so discontinued
or abandoned.

9. This indenture shall inure to the benefit of and be binding
upon the successors and assigns of the parties hereto.
