Gentlemen : SUBJECT: SUMMERF'IELD TRUNK SEWER This is in response to your December 29 , 1981 , correspondence regarding your cr,nc?rn about the lack of progress on the Summerfield Trunk sewer. You should be advised that pursuant to a request from Tualatin Development Corporation (TDC) , the Board of Directors of the Unified Sewerage Agency did on January 5 , 1982 , approve a one-year extension to the contract between the Agency and TDC that causes them to construct. this sewer. In their deliberation, and ultimate decision , the Board recognized the difficult economic times that we are currently in and based their decision to extend this contract on that condition . In your corr-9 pondence you State that the City of Tigard and USA hold a contract with TDC , however, I should like to correct what appears to be a slight misunderstanding* regarding that contract . The contract is between the Agency and TDC and its expiration date i.s based on the final acceptance date of the Upper Tualatin River Interceptor which was December 9 , 1980. Therefore , the one-year extension would expire on December 9 , 1982. During a recent mr:.eLiisg with TDC and the City of Tigard repre- sentatives , there was considerable discussion held regarding the possibility of forming a local improvement district to assist in the financing of the construction of the sewer. I would strongly recommend that you and your client contact Mr. Frank Currie with the City of Tigard and explore the possibility of assisting in the efforts to organize this process . I Mr. Gary Kramer, Director Unified Sewerage Agency 150 North First Avenue Hillsboro, Oregon 97123 Subject: Tualatin Development Company (Summerfield) Gravity Sewer Dear Cary: As we discuosed, the Tualatin Development Company (TDC) has approached the City regarding its agreement with U.S.A. to replace the existing Summerfield pump station with a gravity line. TDC contends that the contract refers to a pay— back agreement from U.S.A. to TDC for bearing the double line costs. TDC also feels that the delay in the U.S.A. interceptor schedule caused a large: inflation cost to TDC. The present course will certainly lead to litigation. The City, as an interested third party, would like to assist in finding a non-- litigation solution satisfactory to all concerned. One possible such solution might be the formation of a City Local Improvement District (LID) to construct the gravity line and assess the benefitted properties, TDC inclueed. Mutually, we may be able to develop other solutions. In order to decide and implement a new agreement, an extension to the current contract needs to be tiegotigated. 1 would like to suggest a meeting at Tigard City 11all between the City, U.S.A. and TDC to negotiate the elements of any contract extension and amendment. The Agency does not have a capacity problem at this time a'- the Summerfield Pump Station. We also have a contract with Tualatin Development Company stating that they will remove the pump station within one year of the date of acceptance of the Upper Tualatin Interceptor by us. Tualatin Devflopment Company is now ,, .irking on the plans and is anticipating construction of this line to remove the pu►.p station during the 1930 construction season. King City Treatment Plant be made, and it is 'anticipated by the parties that the King City Treatment Plant will be phased out, and that sewage now treated there will eventually be diverted for treatment at the Durham Treatment Plant or other plants operated by the Unified Sewerage Agency of Washington County. For that reason, TDC has, now made plans to install a pump station and construct such a collection and deli✓ery system as may be necessary to divert wastewater from Sl.►nmerf.ield to the Durham Treatment Pla::t. (5) TDC shall prepare and de_livet to the City a list of the names, addresses and other relevant information concerning those sewer accounts in the Summerfield development presently served by the King City Treatment Plant that will_, after con- struction of facilities that are the subject of this Agreement, be served by the Durham Treatment Plant and shall cooperate with the City in accumulating information necessary for the establishment of the new accounts represented by the units under construction or to be built within Summerfield. TDC further agrees that it will. notify the present users of the King City Treatment Plant whose accounts will be transferred to the City of Tigard pursuant 'L--o this Ache-ment that: such a transfer will be made, and the notice- shall contain the 1'age 3 - Agreement f effective date of the transfer and a description of the rates the users will be charged after the transfer. (6) It is agreed by the parties that when the Tualatin River Interceptor referred' to in the April 1.0, 1973 agreement between TDC and the Unified Sewerage Agency of Washington County has been constructed, TDC shall connect to the Tualatin River Interceptor all of the residential units described in this Agreement and any units to be const.-ucted in the future within the area which, in the judgmont of the Unified Sewerage Agencv, the interceptor is designed to serve. (7) The City agrees that the connections lesc;ribed in this Agreement may be made without any charge except that identified in Paragraph (1) above and the ordinary monthly user fee as established by the Unified Sewerage Agency; that is, there shall be no additional hook-up charge for the 382 units connected before August 26, 1977 . (8) The City agrees to impose and to collect and to pay over to the Tualatin Development Company a $100. 00-per--connection surcharge for each connection to the gravity sanitary sewer system that will use the pump station and pressure line described by this Agreement. It is understood th.,cthe total capacity of the pressure lane and pump station is 672 residential units, and that 382 r_esidenti.al units are connected at the time of this Agreement, leaving a balance of 290 available connections. Pursuant to that agreement of April 10, 1973 , TDC constructed the facilities necessary to deliver wastewater from that portion of Summerfield lying west of 98th Street to the ',ing City Sewage Treatment Plant. Quality of the State of Oregon ' has directed. that no new connections to the King City Treatment Plant be made, and it is anticipated by the parties that the King City Treatment ' Plant will be phased out, and that sewage now treated there will eventually be diverted for treatment at the Durham Treatment Plant or other plants operated by the Unified Sewerage Agency of Washington County . I do i,ot see anything in the agreement that would permit TDC to shift the existing Summc-rfi_eld flow away :from the King Ci-'Ly Plant to the Durham taut or hook -the new units up to the! Durham plant without paying the regular hookup charge that USA collects. Every- one agrees that we are talking about a lot of mrne'y. if what TDC has in mind is that it will pay some number of hooAup charges less than the number of units to be delivered to the Durham plant, you should make some arrangements to discuss the matter with USA. Mayor ATTEST: RESOLUTION NO. 81- C 1GREE:1EINT The parties -to THIS AGREEMENT, made and entered into this day of December, 1977, are the CITY OF TIGARD, hereafter "City,°' TEE UNIFIED SEWERAGE AGENCY OF WASHINGTON COUNTY, hereafter "Agency," and TUALATIN DEVELOPMENT COMPANY, INC. , hereafter "TDC." The parties - enter into this agreement for the purpose of identifying and resolving issues presented by the proposed development by TDC of certain land within the City of Tigard. It is the intention of the parties to set forth the rights and duties of the parties with respect to the construction, use, operation, and ownership of facilities for the transportation of wastewater from a portion of the City of Tigard that ?.ncludes the lots to be developed by TDC to the Durham Treatment Plant operated by the Agency. This Agreement is entered into following conferences between representatives of the City, TUC and the Agency. At the time this Agreement is executed TDC has commenced. the construction of residential dwelling units in a subdivision within the City of Tigard known as "Summerfield. " TDC has previously developed approximately � -Lk ,.,denti.al dweilinq units nearby within the Summerfield subdivision. In order to facilitate the development of the units in Summerfieid, TDC and the Agency entered into an agreement dated April 10, 1973 . A copy of that agreement is attached to this Agreement as an exhibit. Pursuant to that agreement of April 10, 1973 , TDC constructed the ;`_aciLi.ties necessary to deliver wastcwxter from that portion of Summerfield lying west of 98th Street to the King City Sewage Treatment Plant. The facilities at 'Che King Page 1 - Agreement City Treatment Plant are not capable of accepting new connections. The Department of Environmental Quality of the St,te of Oregon has.. directed that no new connections to the King City Treatment Plant be made, and it is anticipated by the parties that the King City Treatment Plant will be phased out, and that sewage now treated there will eventually be diverted for treatment at the Durham Treatment Plant or other plants operated by the Unified Sewerage Agency of Washington County. For that reason, TDC has now made plans to install a pump - station and construct such a collection and delive:_y• system as may be necessary to divert wastewater from Summerfield to the Durham Treatment Plant. In order to facilitate the plans of TDC and to protect the City and the Agency in the performance of their obligations with regard to the development of land in the area affected by the construction of the ,ollection and delivery facilities referred to and in the performance of their obligations with regard to the collection of connection fees ("hook-up fres") and service fees ("monthly user fees") , the parties agree as -ol.lows : (1) The Tualatin Development Company, Inc. , will connect its existing units in the Summerfield _subdivision plus all units now under construction or to be constructed within the Summerfield development to the Unified Sewerage Agency's Durham Treatment Plant, paying the prevailing per-unit connection fee set by the Unified Sewerage Agency at the time of connection for all connc ' -ic,ns made after. August 26, 1977 . (2) TDC will construct to Agency 5tandards a pressure line and such appurtenant facilities as may be required to deliver all sewage from that portion of Surnterfie.ld West of. S. W. 98th Avenue to Page 2 - Agreement the Durham Treatment Plant, using the City of Tigard gravity sewer line in S. t9. Durham Road. When the pressure line described above is operational TDC will allow, and make no charge for, connections to and extensions of the then existing Summerfield sewage collection system to serve properties outside the Summerfield developm .nz, with the understanding that TDC will not be responsible for any costs � t . incurred for such connections, extensions or modifications to the then existing pump station that may be required due to increased flow from areas outside the Stummerfi.eld development. (3) The City shall assume maintenance responsibility for the lines within Summerfield, consistent with its contract with the Agency dated September 8, 1970. (4) The Agency shall become the owner of the pump station and pressure line as soon as their, construction and installation have been approved by the Agency, and the Agency shall thereafter be . (5) TDC shall prepare and deliver to the City a list of the names, addresses and other relevant information concerning those sewer accounts in the Sumnerfi.eld dnavelopment presently served by the Ring City Treatment Plant that, will, after construction of facilities that are the subject of this agreement, be served by the Durham Treatment Plant and shall cooperate with the City ir accumulating information nF .essary for the establishment of the new accounts represented by the units under construction or to be built within Summerfield. (6) The City agrees to impose and to collect and to pay over to the Tualatin Development Company a $100. 00-per-connection surcharge for each connection to the gravity sanitary sewer system that will use the pump station and pressure line described by this Agreement. It is understood that the total capacity of the pressure line and pump station is 672 residential units, and that 382 residential units are connected at the time of this Agreement, leaving a balance of. 290 available connections. The parties enter into this agreement for the purpose of identifying and resolving issues presented by the proposed development by TDC of certain land within the City of Tigard by construction of buildings on previously undeveloped land and Particularly the rights and duties of the parties with respect to the construction, use, operation, and ownership of facilities for the transportation of sewerage from a portion of the City of Tigard that includes the lots to be developed by TDC to the Durham 'Treatment Plant operated by the Unified Sewerage Agency of Washington County. This Agreement is entered into following conferences between representatives of the City of Tigard, TDC and the Unified Sewerage Agency of Washington County. At the time this Agreement is executed, TUC has commenced the construction of 182 residential dwelling units in a sub- divisicn within the City of Tigard known as "Summerfield." TDC has previously developed approximately 435 residential dwelling units nearby within the Summerfield subdivision. In order to facilitate the development of the 435 units in Summerfield, TDC and the Unified Sewerage Agency entered into an agreement dated April 10, 1973. A copy of that agreement is attached to this Agreement as an exhibit. Pursuant to that agreement of April 10, 1973, TDC constructed the facilities necessary to deliver sewerage from that portion of. Summerfield lying west of 98th Street to the King City Sewerage Treatment Plant. The facilities at the King City Treatment Plant are not capable of accepting new connections. The Department of Environmental Quality of the State of Oregon has directed that no new connections to the King City Treatment Plant be made, and it .is anticipated by the -1- parties that the King City Treatment Plant will be phased out, arid that sewerage now treated there will eventually be diverted for treatment at the Durham 'Treatment Plant or other plants operated by the Unified Sewerage Agency of Washinycnr, County. For that reason, TDC has now made plans to install a pump station and construct such a collection and delivery system as may be necessary to divert sewerage from Summerfield to the Durham Treatment Plant. In order to facilitate the plans of TDC and to protect the City of Tigard in the performance of its obliga- tions with regard to the development of land in the area of the City affected by the construction of the collection and delivery facilities referred to and its obligatiors with regard to the collection of connection fees and service fees, the parties agree as follows: (1) The Tualatin Development Company, Inc. will connect its 435 existing units in the Summerfield subdivision plus all units now under construction or to be constructed to the Unified Sewerage Agency's Durham Treatment. Plant, paying the prevailing per-unit connection fee set by the Unified Sewerage Agency at the time of connection for all connections made to any system delivering to any sewerage treatment facility after. August- 26, 1977. (2) TDC will install a pump station and such collection and delivery piping and other facilities as may be necessary to make feasible the delivery of all sewerage from the i Summerfield subdivision and any other future development within the City nf •rigard to the Durham Treatment Plant of I the Unified Sewerage Agency of Washington County. TDC shall be relieved of any part of this obligation which the Unified Sewerage Agency of Wasli_ngton County agrees to undertake. TDC agrees that additional sewerage connections shall be allowed within the area that %-,an practically be served by .he collection and delivery _2.. lines and pump station, whether such hookups are for the purpose of serving land developed by TDC, or land developed or occupied by others. TDC agrees that it will make no charges for such connections. (3) TDC will prepare and deliver to the City of Tigard a list of the names, addresses and other relevant information con- cerning those sewer accounts presently served by the King City Treatment Plant that will, after construction of facilities that are the subject of this agreement, be served by the Durham Treatment Plant and that it will cooperate with the City in accumulating information necessary for the establishment of the new accounts represented by the units under construction or to be built within Summerfield. TDC further agrees that it will notify the present users of the King City Treatment Plant whose accounts will be transferred to the City of Tigard pursuant to this Agreement that such a transfer will be made, and the notice shall contain a description of the rates the users will. be charged after the tiansfer and the effective date of the trans- fer. ' (4) It is agrees by the parties that when the Tualatin River Interceptor referred to in the April 10, 1973 agreement between TDC and the Unified Sewerage Agency of Washington County has been constructed, TDC shall connect all of the res'.deniJal units described in this Agreement and ary units to he constructed in the future within the area which, in the judgment of the Unified Sewerage Agency, the interceptor as designed to serve. (5) The City agrees that the connections described in this Agreement may be made without any charge except that identified in Paragraph (—I—) above and the ordinary monthly service charge, that is, there shall he no additional charge for the use by the 435 units connected before August 26, 1977 of the collection and -3- delivery system within the City of Tigard.
