FIRST(1s)MODIFICATION OF LEASE
THIS FIRST(Is)MODIFICATION OF LEASE(this"Modification"),effective as of the date set
forth on the Execution page of this Modification (the"Execution Date"), is by and between DOLAN &
COMPANY LLC,an Oregon limited liability company("Landlord") and COMPLETE DISTRIBUTION
SERVICES, an Oregon corporation("Tenant").
RECITALS
A. Landlord and Tenant entered into a Lease dated October 5,2015 for the lease of
approximately 2406 rentable square feet-RSF(2092 usable square feet-USF)of office space(the
"Premises")at the office building(the"Building")located at 12540 SW Main Street,Tigard, OR(the
"Property"). The commencement date of the lease 30 days following the date Landlord acquires an
Occupancy Permit and work has been substantially completed.
B. Landlord and Tenant desire to modify the Lease as shown below.
TERMS AND CONDITIONS
The Lease is modified as follows:
1. Recitals. The above Recitals are true and correct.
2. Defined Terms. Capitalized terms not defined herein have the meanings given them in
the Lease.
3. The following Sections of the lease shall be modified as follows:
a. Section 1.1 B—Change the Zip Code from 97030 to 97223
b. Section 1.1 F—BUILDING AREA—Should be: Unless Landlord is able to determine
a more equitable arrangement regarding utility usage costs,the following shall be
implemented. For real property tax increases, water sewer,storm water,and trash
disposal purposes,the total building area shall be(1)28,976 sf. For electricity and
natural gas costs covering the 2A floor tenants total area shall be(2)7086 sf.
c. Section 1.1 G—TENANT'S PROPORTIONATE SHARE—Should be: Tenant's
proportionate share shall be as follows: For those charges noted in Section 1.1 F,
Tenant's pro rata share for(1)shall be 8.31%. Tenant's pro rata share for(2)shall be
33.96%
d. Section LI H—TENANT'S PERMITTED USE OF PREMISES: Add the following:
Normal Business Hours are defined as Monday through Friday, 5:30 am to 7 pm and
8 am to 3 pm Saturdays. Tenant must notify Landlord regarding any change in
Normal Business Hours with at least 48 hours written notice so that Landlord can
reasonably apportion the utilities consumed by Tenant for those hours outside
Normal Business Hours.
e. Section 1.1 M-PARKING: Delete present language for the following: The entire
parking area serving 2 buildings on the real property shall be divided by a painted flat
demarcation line so that the building of which the premises is a part has first access
to 42 vehicular stalls as shown on Exhibit A and Tenants of the adjacent building on
the real property have first access to the other side of such demarcation line. Parking
for the building of which the premises is a part is non-exclusive. Business owners of
Tenant and their employees shall not park next to either of the on-site 2 buildings
located on the real property nor past the demarcation line.
f. Section 4.3 —Signs and Other Installations: Add the following at the end of the
Section: Tenant has submitted to Landlord for approval an exterior sign as shown on
Exhibit E attached hereto. The installation and electrical charges shall be the
responsibility of Tenant. Landlord hereby approves such signage subject to approval
by the appropriate authorities.
g. Section 4.4—Parking: Add the following after .....and employees: "as well as all
other tenants of the building in which the premises is a part in which.......such use
h. Section 19.1 —Additional Rent: Tax Adjustment: Change the date in the 3`d line
from "July"to"January".
i. List of Exhibits on Lease execution page'No. 15: Change the List of Exhibits to the
following:
Exhibit A—Site Plan outlining Premises and parking demarcation line. (See attached
replacement).

4. Representations.Each party hereby covenants and warrants that:
a. The party has duly authorized this I st Modification, and the person signing on behalf of
the party has full right and authority to enter into this 2nd Modification;
b. The party has not transferred its interest in the Lease,the Premises or the Property,except
as provided herein ;
C. The parties have no known claims of any kind or nature arising from or under the Lease;
d. There are no agreements between Landlord and Tenant relating to the Premises other
than the Lease, and this I"Modification.
e. Other than the noted modifications herein, all other terms of the lease shall remain in full
force and effect.

5. Miscellaneous.
a. The Lease as modified herein remains in full force and effect and is hereby ratified by
Landlord and Tenant. In the event of any conflict between any other part of the Lease and this Ist
Modification,the terms and conditions of this Modification shall control.
b. To the extent that this I st Modification may have been executed following any effective
dates set forth herein, said execution date noted hereinbelow is hereby ratified, confirmed and approved.
C. This I st Modification contains the entire agreement of Landlord and Tenant with respect
to the Modification of Lease,and may not be amended or modified except by an instrument executed in
writing by Landlord and Tenant.
