PURCHASE AGREEMENT
BETWEEN: Annette Allison and Tom S. Duncan (collectively, "Seller")
And: City of Tigard, an Oregon municipal
corporation ("City")

RECITALS
A. Seller is the record owner of a parcel of real property located in the City of Tigard,
Oregon, legally described in Exhibit A, attached and incorporated herein (the "Property").
B. City desires to acquire from Seller and Seller desires to convey to City a dedicated
Right-of-Way ("Right-of-Way") for the area described and depicted on the attached and incorporated
Exhibit B.
C. The Seller is willing to convey the Right-of-Way to the City on the terms and
conditions set forth in this Agreement.
AGREEMENT
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the parties hereto agree as set forth below.
1. Right-of-Way. Seller shall grant to City a dedicated Right-of-Way by executing the
Dedication Deed attached and incorporated as Exhibit C.
2. Compensation. City shall pay to Seller the sum of Six Thousand Two Hundred Five
Dollars ($6,205.00) (formula— 1241 sq/ft x $5 per sq/ft) as full and complete just compensation for the
Right-of-Way.
3. Closing. Closing shall occur outside of escrow at the office of Jordan Ramis, P.C., Two
Centerpointe Drive, 6th Floor, Lake Oswego, OR 97035. Seller shall deliver to Jordan Ramis: i) a
signed copy this Purchase Agreement; and ii) the duly executed and acknowledged original of the
Right-of-Way deed, including Exhibits, in exchange for a check issued by City in the full amount of
the compensation. City shall be responsible for recording the'Right-of-Way deed at its expense.
Closing shall occur within ten(10) calendar days of execution of this Agreement.
4. Attorney's Fees. Each party shall be solely responsible for any attorney fees incurred
related to negotiation and execution of this Agreement. If any action is instituted between Seller and
City in connection with this Agreement, the party prevailing in such action shall be entitled to recover
from the other party all of its costs of action, including, without limitation, attorneys' fees and costs as
fixed by the court therein, at trial and on any appeal.
5. Construction of Agreement. This Agreement shall not be construed in favor of or
against either party, but shall be construed as if both parties prepared this Agreement.

6. Entire Agreement. This Agreement constitutes the entire agreement between the
parties hereto pertaining to the subject matter hereof and all prior and contemporaneous agreements,
representations, negotiations and understandings of the parties hereto, oral or written, are hereby
superseded and merged herein. The foregoing sentence shall in no way affect the validity of any
instruments executed by the parties in the form of the exhibits attached to this Agreement.
7. Governing Law. This Agreement shall be governed by and construed under the laws
of the State of Oregon.
8. Modification. No modification, waiver, amendment, discharge, or change of this
Agreement shall be valid unless the same is in writing and signed by all signatories hereto.
9. Real Estate Brokerage Commission. Seller and City represent and warrant that no
real estate agent or broker representing either of them was involved in negotiating the transaction
contemplated herein. In the event any claims for real estate commissions, fees or compensation arise
in connection with this transaction, the party so incurring or causing such claims shall indemnify,
defend and hold harmless the other party from any loss or damage, including attorneys' fees that said
other party suffers because of said claims. The obligations of the parties in the prior sentence shall
survive Closing or the termination of this Agreement.
10. Time is of the Essence. Time is of the essence with regard to each section of this
Agreement.
11. Statutory Disclaimer. THE PROPERTY DESCRIBED IN THIS INSTRUMENT
MAY NOT BE WITHIN A FIRE PROTECTION DISTRICT PROTECTING STRUCTURES. THE
PROPERTY IS SUBJECT TO LAND USE LAWS AND REGULATIONS THAT, IN FARM OR
FOREST ZONES, MAY NOT AUTHORIZE CONSTRUCTION OR SITING OF A RESIDENCE
AND THAT LIMIT LAWSUITS AGAINST FARMING OR FOREST PRACTICES, AS DEFINED
IN ORS 30.930, IN ALL ZONES. BEFORE SIGNING OR ACCEPTING THIS INSTRUMENT,
THE PERSON TRANSFERRING FEE TITLE SHOULD INQUIRE ABOUT THE PERSON'S

That tract of land in Section 35, Township 1 South, Range 1 West, of the Willamette Meridian,
in the CIty of Tigard, County of Washington and State of Oregon, more particularly described
as follows:
A strip of land 50 feet in width being 25 feet in width on each side of and parallel with the
centerline of the main track of the Oregon Electric Railway Company's railroad as the same
was staked out and located over and across the former lands of H. Metzger and Josephine
Metzger, his wife, situated in Washington County, State of Oregon, said centerline being more
particularly described as follows:
Beginning at a point on the South boundary of H. Metzger's tract as described in Book 34,
Page 314, Deed Records, Washington County, Oregon, in the David C. Graham Donation Land
Claim No. 52 where the same is intersected by a three degree curve to the left (radius 1,910.1
feet) said points of intersection being 560 feet West of the Southeast corner of said H. Metzger
tract; thence following said three degree curve to its intersection with the centerline of vacated
Maple Street, which was vacated by Ordinance 72-240, filed October 31, 1972, and as also
