Consultant has completed a number of stormwater implementation tasks identified in the River Terrace
Stormwater Master Plan. The outcome from these activities is best documented through revision of the
Master Plan document, so the changes can be formally presented to the City Council for their consideration
to adopt.
Scope of Work

Task 19.0: Stormwater Master Plan Updates
The purpose of this task is to provide project management, engineering, and stakeholder communication
support to the City during the preparation and adoption of an updated version of the Final River Terrace
Stormwater Master Plan.
The Consultant shall:
1. Provide project management,regular communication, and monthly project status reports.
2. Prepare a preliminary updated version of the River Terrace Stormwater Master Plan (September 5, 2014)
for review by City staff, with sections revised according to the Assumptions shown below, and
incorporating stormwater implementation planning work completed subsequent to September 2014,
including the following:
a. River Terrace Stormwater Master Plan Updates Memorandum Qune 2015)
b. Existing Conditions for Seven Tributaries to the Tualatin River on West Bull Mountain, OR: Draft
Technical Report Quly 2015)
c. Public Improvement Design Standard for River Terrace Stormwater Facility Design Quly 2015)
d. River Terrace Area High Flow Conveyance Alternatives (August 2015)
e. Life Cycle Cost Analysis Memorandum Quly 2015)
3. Incorporate comments received from the City and prepare a Draft updated version of the River Terrace
Stormwater Master Plan for presentation to Stakeholders,the Public, City Council.
4. Attend up to two (2) one-hour meetings at the City of Tigard with City staff regarding review and
comments on the Master Plan update.
5. Attend one (1) two-hour meetings with the Public and/or Stakeholders at the City of Tigard to help the
City present the Master Plan Updates.
6. Incorporate comments received from the City and prepare a Final updated version of the River Terrace
Stormwater Master Plan for adoption by City Council.
7. Assist the City with (up to 8 hours) developing a response to proposals from the public for other
alternatives.

SCOPE OF WORD
UNDERSTANDING
The City Council adopted the River Terrace Stormwater Master Plan. The Master Plan identifies a
few implementation steps that need to occur quickly, because they are necessary before the City can
approve development applications. The Purpose of this contract amendment is to include scope
and budget to describe the extra effort required to finish the Storinwater Master Plan and to provide
Stormwater Implementation Planning (SWIP) services identified in the River Terrace Stormwater
Master Plan, and described in detail in the following amendments to the scope of work.

AMEND SCOPE OF WORK FOR TASK 5 TO INCLUDE THE FOLLOWING:
Task 5.0: Stormwater Master Plan
The purpose of this task is to provide project management, engineering, and stakeholder
communication support to the City during the preparation and adoption of the Final River Terrace
Stormwater Master Plan. The Consultant shall:
1. Write an expanded implementation section for the Draft Stormwater Management Plan to
incorporate City comments.
2. Update Figures in the Stormwater Master Plan to incorporate changes to the Final document
and incorporate comments received during following presentation to City Council and Funding
Strategy meetings.
3. Present Final Stormwater Management Plan to City Council
4. Attend a two-hour Risk Management meeting at office of the City attorney
5. Incorporate comments received on the Stormwater Master Plan following presentation to City
Council and publish Final Master Plan document for adoption
6. Attend two,4-hour Funding strategy meetings at City of Tigard

TASK 10: SWIP PROJECT MANAGEMENT
The purpose of this task is to manage the project team in delivery of a technically sound work
product completed on time and within budget. Project management activities shall include planning,
scheduling, communication, coordination, quality control, budget/status reports and invoicing. The
Consultant shall:
1. Coordinate and attend a project kick-off meeting with City Project Management Staff to discuss
Project goals,work plan, schedule, and deliverables as well as Project elements. City will provide
Consultant copies of available information, as requested by Consultant.
2. Develop a schedule identifying critical tasks necessary to meet Project timelines. The schedule
shall be updated as requested and reflect the resources required to meet the completion date.
3. Conduct regular phone updates
4. Prepare and submit monthly invoices, Monthly Project status Reports. Progress status reports
list activities completed Project challenges, proposed solutions to challenges, a current schedule,
goals for the coming month, and budgetary information. Any changes in Project scope that
occur during the reporting period that may influence Project budget or schedule shall be
identified and described in the report. Invoices shall detail charges by task, personnel, and
hourly rate. List each direct cost separately,with back-up documentation.

business days before/following meeting

TASK 11.0: NEW WATER QUANTITY STANDARDS
The City of Tigard has proposed to require stormwater quantity controls for all of the River Terrace
Area and to adopt a flow-duration based design standard to match pre- and post-development flow
duration curves, anticipated to be 1/2 the 2-year through the 10-year discharges, as well as snatch the
25-pear peak flow. It is yet to be decided if the pre-development condition refers to land use
conditions at the time of development application or a land use condition from the past (e.g.-at time
of application, forested,another point in time).
The purpose of this task is to write the River Terrace specific design standard language for the City
that can be incorporated into their Engineering Department Public Improvements Design
Standards. The Consultant shall:
1. Review available design standard language from other jurisdictions and prepare a recommended
design standard requiring sizing of water quantity management facilities to meet a flow duration
based performance standard. The upper and lower thresholds for flow duration will be used by

6. Compile results of the meeting into a draft narrative offering design guidelines for facility
aesthetics.

TASK 13.0: MINIMUM FACILITY SIZE ANALYSIS /LIFE CYCLE COST COMPARISON
The purpose of this task is to develop guidance for a minimum facility size and to evaluate
economies of scale with respect to facility size, and number within a given drainage area. There is
assumed to be a minimum facility size for water quantity management that is difficult to maintain
because the orifice size is too small and prone to clogging. The City will also use the results of this
analysis to inform their decision to allow the construction of interim (or temporar) stormwater
facilities for situations where neither the Regional Facility nor a facility meeting the minimum facility
size standard can be implemented. The minimum orifice size will be discussed with City and Clean
Water Services,but is anticipated to be approximately 2-inches. The Consultant shall:
1. Coordinate with staff to use the TRUST to design up to thirty representative combinations of
basin size,percent impervious area, existing conditions soils and vegetation, and pond
geometries resulting in a minimum 2-inch orifice size.
2. Meet with the City to review the range of conditions that produce a minimum 2-inch orifice size
and discuss commonalities that could be used to define a minimum facility size requirement
(e.g.-minimum basin,minimum facility depth, etc.)
3. Develop recommended draft guidance with respect to minimum facility size
4. Develop recommended draft guidance with respect to the use of interim facilities.
5. Develop recommended final guidance for both minimum facility size and the use of interim
facilities based upon comments from the City.
6. Request and review cost data ftom Clean Water Services and the City of Tigard regarding past
maintenance of vegetated stormwater facilities.

7. Perform preliminary sizing calculations for the T3-2a drainage basin in River Terrace to utilize
three facilities to manage water quality and quantity. This will be considered Alternative A.
Preliminary design calculations will be performed following the same methods applied in the
River Terrace Master Plan.
8. Perform preliminary sizing calculations for the T3-2a drainage basin in River Terrace to utilize
five or more facilities to manage water quality and quantity. This will be considered Alternative
B. Preliminary design calculations will be performed following the same methods applied in the
River Terrace Master Plan.
9. Prepare Draft Life Cycle Cost Estimates for the base case,Alternative A, and Alternative B. The
regional facility proposed in the River Terrace Master Plan will be utilized as the base case for
comparison. The Life Cycle cost estimate will be for 50 years,it will include cost to construct
and cost to maintain. Maintenance will have annual maintenance as well as major
maintenance/rehabilitation at longer intervals (10 —25 years). Costs will all be in current dollars.
10. Prepare a Draft Life Cycle Cost Comparison Technical Memorandum to document the sources
of the data used in the estimates and to present conclusions.
11. Coordinate review of the draft document, compile review conn-vents provided by the City and
other involved parties, and provide a proposed response to each comment in a comment-
response log. The City will provide one set of review comments on the Draft document.
12. Revise Life Cycle Cost Estimates to incorporate comments and questions provided by the City
following their review.

The purpose of this task is to develop alternative design concepts and cost estimates for the high
flow conveyance solutions proposed in the Stormwater Master Plan. Describe and compare the two
alternatives against each other using evaluation criteria developed with the City for this alternative
analysis. The Consultant shall:
1. Attend 1-how- meeting at City of Tigard with staff to develop Evaluation Criteria for
comparison of alternatives. Evaluation ctiteria should consider City needs, cost, land use
permitting of utilities outside the UGB, and environmental permitting for work in jurisdictional
waterways and wetlands.
2. Prepare conceptual roadway and/or trail design along route of proposed high flow conveyance
solutions to establish assumptions for grading that will inform the design of the high flow
conveyance solutions and illustrate the resulting infrastructure solutions.
3. Develop a High Flow Bypass Design Concept (Alternative A) plan and profile for each of the
three high flow conveyance segments (T8,T9-North, and T9-South).
4. Develop Stream Restoration Design Concept (Alternative B) plan and profile for each of the

TASK 18.0: SUPPLEMENTAL SURVEY
The purpose of this task is to collect topographic survey data (longitudinal profile and/or cross-
section) using total stations in areas that were not accessible to GPS Satellites during the Existing
Conditions Downstream Analysis (Task 7.0) and are determined to be important to complete other
work performed under this contract. The Consultant shall:
1. Record topographic data points in the T8 and T9 drainages using a total station unit for 6 or 7
days (up to 60 hours) to supplement the data previously collected using a GPS unit in areas that

PERSONAL SERVICES CONTRACT
RIVER TERRACE COMMUNITY PLAN
THIS AGREEMENT made and entered into this 5`" day of August,2013 by and between the City of
Tigard, a municipal corporation of the State of Oregon, hereinafter called City, and Otak, Inc.,
hereinafter called Consultant.
RECITALS
WHEREAS, the City's 2013-2014 fiscal year budget provides for professional services related to
development of a community plan for the River Terrace community;and
WHEREAS, City has need for the services of a company with a particular training,ability, knowledge,
and experience possessed by Consultant,and
WHEREAS, City has determined that Consultant is qualified and capable of performing the
professional services as City does hereinafter require,under those terms and conditions set forth,
THEREFORE,the Parties agree as follows:
1. SERVICES TO BE PROVIDED
Consultant shall initiate services immediately upon receipt of City's notice to proceed together
with an executed copy of this Agreement. Consultant agrees to complete work that is detailed
in Exhibit A and by this reference made a part hereof Any and all work assigned by the City
will be contained in subsequent scope of work as needed
2. EFFECTIVE DATE AND DURATION
This Agreement shall become effective upon the date of execution, and shall expire, unless
' otherwise terminated or extended,on December 31,2014. All work under this Agreement shall
be completed prior to the expiration of this Agreement.
3. COMPENSATION
The City agrees to pay Consultant in accordance with the fee schedule outlined in Exhibit A for
performance of those services described herein and in any subsequent agreements that arise
from the work under this Agreement. The total amount paid to the Consultant by the City shall
not exceed Four Hundred Sixty Three Thousand Five Hundred and No/100 Dollars
($463,500.00) if all tasks, including those detailed as contingent tasks, are completed. Any and
all payments made to the Consultant shall be based upon the following applicable terms:
A. Payment by City to Consultant for performance of services under this Agreement
includes all expenses incurred by Consultant, with the exception of expenses, if any
identified in this Agreement as separately reimbursable.
B. Payment will be made in installments based on Consultant's invoice, subject to the
approval of the City Manager, or designee, and not more frequently than monthly.
Payment shall be made only for work actually completed as of the date of invoice.
C. Payment by City shall release City from any further obligation for payment to
Consultant, for services performed or expenses incurred as of the date of the
invoice. Payment shall not be considered acceptance or approval of any work or
waiver of any defects therein.
D. Consultant shall make payments promptly, as due, to all persons supplying labor or
materials for the prosecution of this work.
E. Consultant shall not permit any lien or claim to be filed or prosecuted against the City
on any account of any labor or material furnished.
F. Consultant shall pay to the Department of Revenue all sums withheld from employees
pursuant to ORS 316.167.
G. If Consultant fails, neglects or refuses to make prompt payment of any claim for labor
or services furnished to Consultant or a subcontractor by any person as such claim
becomes due,City's Finance Director may pay such claim and charge the amount of the
payment against funds due or to become due the Consultant. The payment of the
claim in this manner shall not relieve Consultant or their surety from obligation with
respect to any unpaid claims.
H. Consultant shall pay employees at least time and a half pay for all overtime worked in
excess of 40 hours in any one week except for individuals under the contract who are
excluded under ORS 653.010 to 653.261 or under 29 USC sections 201 to 209 from
receiving overtime.
1. Consultant shall promptly, as due, make payment to any person, co-partnership,
association or corporation, furnishing medical, surgical and hospital care or other
needed care and attention incident to sickness or injury to the employees of Consultant
or all sums which Consultant agrees to pay for such services and all moneys and suns
which Consultant collected or deducted from the wages of employees pursuant to any
law,contract or agreement for the purpose of providing or paying for such service.
J. The City certifies that sufficient funds are available and authorized for expenditure to
finance costs of this contract during the current fiscal year. Funding during future fiscal
years shall be subject to budget approval by Tigard's City Council.
K. The City and Consultant recognize that specific funds related to this agreement are
contingent upon the City's receipt of grant monies. The City and Consultant agree that
if the funds from the grant fail to materialize, the Parties will need to reevaluate this
project and downsize the scope of work to meet available funding.
4. OWNERSHIP OF WORK PRODUCT
City shall be the owner of and shall be entitled to possession of any and all work products of
Consultant which result from this Agreement, including any computations, plans,
correspondence or pertinent data and information gathered by or computed by Consultant
prior to termination of this Agreement by Consultant or upon completion of the work pursuant

to this Agreement. Any reuse or modification of the work product without the prior written
consent of the Consultant shall be at the sole risk of the City.
5. ASSIGNMENT/DELEGATION
Neither party shall assign, sublet or transfer any interest in or duty under this Agreement
without the written consent of the other and no assignment shall be of any force or effect
whatsoever unless and until the other party has so consented. If City agrees to assignment of
tasks to a subcontract, Consultant shall be fully responsible for the acts or omissions of any
subcontractors and of all persons employed by them, and neither the approval by City of any
subcontractor nor anything contained herein shall be deemed to create any contractual relation
between the subcontractor and City.
6. STATUS OF CONSULTANT AS INDEPENDENT CONSULTANT
Consultant certifies that:
A. Consultant acknowledges that for all purposes related to this Agreement, Consultant is
and shall be deemed to be an independent Consultant as defined by ORS 670.600 and
not an employee of City, shall not be entitled to benefits of any kind to which an
employee of City is entitled and shall be solely responsible for all payments and taxes
required by law. Furthermore, in the event that Consultant is found by a court of law
or any administrative agency to be an employee of City for any purpose, City shall be
entitled to offset compensation due, or to demand repayment of any amounts paid to
Consultant under the terms of this Agreement, to the full extent of any benefits or
other remuneration Consultant receives (from City or third party) as a result of said
finding and to the full extent of any payments that City is required to make (to
Consultant or to a third party) as a result of said finding.
B. The undersigned Consultant hereby represents that no employee of the City, or any
partnership or corporation in which a City employee has an interest, has or will receive
any remuneration of any description from Consultant, either directly or indirectly, in
connection with the letting or performance of this Agreement, except as specifically
declared in writing.
If this payment is to be charged against Federal funds, Consultant certifies that he/she
is not currently employed by the Federal Government and the amount charged does
not exceed his or her normal charge for the type of service provided.
Consultant and its employees, if any, are not active members of the Oregon Public
Employees Retirement System and are not employed for a total of 600 hours or more
in the calendar year by any public employer participating in the Retirement System.
C. Consultant certifies that it currently has a City business license or will obtain one prior
to delivering services under this Agreement.
D. Consultant is not an officer, employee, or agent of the City as those terms are used in
ORS 30.265.

7. INDEMNIFICATION
A. The City has relied upon the professional ability and training of the Consultant as a
material inducement to enter into this Agreement. Consultant represents to the City
that the work under this contract will be performed in accordance with the professional
standards of skill and care ordinarily exercised by members of the Consultant's
profession under similar conditions and circumstances as well as the requirements of
applicable federal, state and local laws, it being understood that acceptance of a
Consultant's work by the City shall not operate as a waiver or release. Acceptance of
documents by City does not relieve Consultant of any responsibility for design
deficiencies,errors or omissions.
B. Claims for other than Professional Liability. Consultant shall defend, save and hold
harmless the City of Tigard,its officers, agents, and employees from all claims, suits, or
actions and all expenses incidental to the investigation and defense thereof, of
whatsoever nature, including intentional acts resulting from or arising out of the
activities of Consultant or its subcontractors, sub-consultants, agents or employees
under this contract. If any aspect of this indemnity shall be found to be illegal or invalid
for any reason whatsoever, such illegality or invalidity shall not affect the validity of the
remainder of this indemnification.
C. Claims for Professional Liability. Consultant shall defend, save and hold harmless the
City of Tigard, its officers, agents, and employees from all claims, suits, or actions and
all expenses incidental to the investigation and defense thereof, arising out of the
professional negligent acts,errors or omissions of Consultant or its subcontractors, sub-
consultants, agents or employees in performance of professional services under this
agreement. Any design work by Consultant that results in a design of a facility that is
not readily accessible to and usable by individuals with disabilities shall be considered a
professionally negligent act, error or omission.
D. As used in subsections B and C of this section, a claim for professional responsibility is
a claim made against the City in which the City's alleged liability results directly or
indirectly, in whole or in part, from the quality of the professional services provided by
Consultant, regardless of the type of claim made against the City. A claim for other
than professional responsibility is a claim made against the City in which the City's
alleged liability results from an act or omission by Consultant unrelated to the quality of
professional services provided by Consultant.
8. INSURANCE
Consultant and its subcontractors shall maintain insurance acceptable to City in full force and
effect throughout the term of this contract. Such insurance shall cover allrisks arising directly
or indirectly out of Consultant's activities or work hereunder, including the operations of its
subcontractors of any tier.
The policy or policies of insurance maintained by the Consultant and its subcontractor shall
provide at least the following limits and coverages:

A. Commercial General Liability Insurance
Consultant shall obtain, at Consultant's expense, and keep in effect during the term
of this contract, Comprehensive General Liability Insurance covering Bodily Injury
and Property Damage on an "occurrence" form (1996 ISO or equivalent). This
coverage shall include Contractual Liability insurance for the indemnity provided
under this contract. The following insurance will be carried:

B. Professional Liability
Consultant shall obtain, at Consultant's expense, and keep in effect during the term
of this contract, Professional Liability Insurance covering any damages caused by an
error, omission or any negligent acts. Combined single limit per claim shall not be
less than $1,000,000, or the equivalent. Annual aggregate limit shall not be less than
$2,000,000 and filed on a "claims-made" form.
C. Commercial Automobile Insurance
Consultant shall also obtain, at Consultant's expense, and keep in effect during the
term of the contract, Commercial Automobile Liability coverage including coverage
for all owned, hired, and non-owned vehicles. The Combined Single Limit per
occurrence shall not be less than $2,000,000.
D. Workers' Compensation Insurance
The Consultant, its Subcontractors, if any, and all employers providing work, labor, or
materials under this Contract that are subject employers under the Oregon Workers'
Compensation Law shall comply with ORS 656.017, which requires them to provide
workers' compensation coverage that satisfies Oregon law for all their subject workers.
Out-of-state employers must provide Oregon workers' compensation coverage for their
workers who work at a single location within Oregon for more than 30 days in a
calendar year. Consultants who perform work without the assistance or labor of any
employee need not obtain workers'compensation coverage. All non-exempt employers
shall provide Employer's Liability Insurance with coverage limits of not less than
$500,000 each accident.
E. Additional Insured Provision
The Commercial General Liability Insurance and Commercial Automobile Insurance
policies and other policies the City deems necessary shall include the City, its
officers, directors, and employees as additional insureds with respect to this contract.

F. Insurance Carrier Rating
Coverages provided by the Consultant must be underwritten by an insurance
company deemed acceptable by the City. The City reserves the right to reject all or
any insurance carrier(s) with an unacceptable financial rating.
G. Certificates of Insurance
As evidence of the insurance coverage required by the contract, the Consultant shall
furnish a Certificate of Insurance to the City. No contract shall be effected until the
required certificates have been received and approved by the City. The certificate
will specify and document all provisions within this contract. A renewal certificate
will be sent to the above address 10 days prior to coverage expiration.
H. Independent Consultant Status
The service or services to be rendered under this contract are those of an
independent Consultant. Consultant is not an officer, employee or agent of the City
as those terms are used in ORS 30.265.
I. Primary Coverage Clarification
The parties agree that Consultant's coverage shall be primary to the extent permitted
by law. The parties further agree that other insurance maintained by the City is
excess and not contributory insurance with the insurance required in this section.
J. Cross-Liability Clause
A cross-liability clause or separation of insureds clause will be included in all general
liability,professional liability, pollution and errors and omissions policies required by
this contract.
A copy of each insurance policy, certified as a true copy by an authorized representative of the
issuing insurance company, or at the discretion of City, in lieu thereof, a certificate in form
satisfactory to City certifying to the issuance of such insurance shall be forwarded to:

Such policies or certificates must be delivered prior to commencement of the work. The
procuring of such required insurance shall not be construed to limit Consultant's liability
hereunder. Notwithstanding said insurance, Consultant shall be obligated for the total amount
of any damage,injury,or loss caused by negligence or neglect connected with this contract.
9. METHOD &PLACE OF SUBMITTING NOTICE BILLS AND PAYMENTS
All notices, bills and payments shall be made in writing and may be given by personal delivery,
mail or by fax. Payments may be made by personal delivery, mail, or electronic transfer. The

and when so addressed, shall be deemed given upon deposit in the United States mail, postage
prepaid, or when so faxed, shall be deemed given upon successful fax. In all other instances,
notices,bills and payments shall be deemed given at the time of actual delivery. Changes may
be made in the names and addresses of the person to who notices,bills and payments are to be
given by giving written notice pursuant to this paragraph.
10. MERGER
This writing is intended both as a final expression of the Agreement between the parties with
respect to the included terms and as a complete and exclusive statement of the terms of the
Agreement. No modification of this Agreement shall be effective unless and until it is made in
writing and signed by both parties.
11. PROFESSIONAL SERVICES
The City requires that services provided pursuant to this agreement shall be provided to the
City by a Consultant that does not represent clients on matters contrary to City interests.
Further, Consultant shall not engage services of an attorney and/or other professional who
individually, or through members of his/her same firm, represents clients on matters contrary
to City interests.
Should the Consultant represent clients on matters contrary to City interests or engage the
services on an attorney and/or other professional who individually, or through members of
his/her same firm, represents clients on matters contrary to City interests, Consultant shall
consult with the appropriate City representative regarding the conflict.
After such consultation, the Consultant shall have seven (7) days to eliminate the conflict to the
satisfaction of the City. If such conflict is not eliminated within the specified time period, the
agreement may be terminated pursuant to Section 13 (B) (3) of this agreement.
12. TERMINATION WITHOUT CAUSE
At any time and without cause, City shall have the right in its sole discretion, to terminate this
Agreement by giving notice to Consultant. If City- terminates the contract pursuant to this
paragraph,it shall pay Consultant for services rendered to the date of termination.
13. TERMINATION WITH CAUSE
A. City may terminate this Agreement effective upon delivery of written notice to
Consultant, or at such later date as may be established by City, under any of the
following conditions:

1) If City funding from federal, state, local, or other sources is not obtained and
continued at levels sufficient to allow for the purchase of the indicated quantity
of services. This Agreement may be modified to accommodate a reduction in
funds
2) If federal or state regulations or guidelines are modified, changed,or interpreted
in such a way that the services are no longer allowable or appropriate for
purchase under this Agreement.
3) If any license or certificate required by law or regulation to be held by
Consultant, its subcontractors, agents, and employees to provide the services
required by this Agreement is for any reason denied, revoked, or not renewed.
4) If Consultant becomes insolvent, if voluntary or involuntary petition in
bankruptcy is filed by or against Consultant,if a receiver or trustee is appointed
for Consultant, or if there is an assignment for the benefit of creditors of
Consultant.
Any such termination of this agreement under paragraph (a) shall be without prejudice
to any obligations or liabilities of either party already accrued prior to such termination.
B. City, by written notice of default (including breach of contract) to Consultant, may
terminate the whole or any part of this Agreement:
I) If Consultant fails to provide services called for by this agreement within the
time specified herein or any extension thereof,or
2) If Consultant fails to perform any of the other provisions of this Agreement,
or so fails to pursue the work as to endanger performance of this agreement
in accordance with its terms, and after receipt of written notice from City,
fails to correct such failures within ten (10) days or such other period as City
may authorize.
3) If Consultant fails to eliminate a conflict as described in Section 11 of this
agreement.
The rights and remedies of City provided in the above clause related to defaults
(including breach of contract) by Consultant shall not be exclusive and are in addition
to any other rights and remedies provided by law or under this Agreement.
If City terminates this Agreement under paragraph (b), Consultant shall be entitled to
receive as full payment for all services satisfactorily rendered and expenses incurred, an
amount which bears the same ratio to the total fees specified in this Agreement as the
services satisfactorily rendered by Consultant bear to the total services otherwise
required to be performed for such total fee;provided,that there shall be deducted from
such amount the amount of damages,if any, sustained by City due to breach of contract
by Consultant. Damages for breach of contract shall be those allowed by Oregon law,
reasonable and necessary attorney fees, and other costs of litigation at trial and upon
appeal.

14. ACCESS TO RECORDS
City shall have access to such books, documents, papers and records of Consultant as are
directly pertinent to this Agreement for the purpose of making audit, examination,excerpts and
transcripts.
15. FORCE MAJEURE
Neither City not Consultant shall be considered in default because of any delays in completion
and responsibilities hereunder due to causes beyond the control and without fault or negligence
on the part of the parties so disenabled, including but not restricted to, an act of God or of a
public enemy, civil unrest, volcano, earthquake, fire, flood, epidemic, quarantine restriction,
area-wide strike, freight embargo, unusually severe weather or delay of subcontractor or
supplies due to such cause; provided that the parties so disenabled shall within ten (10) days
from the beginning of such delay, noti4r the other party in writing of the cause of delay and its
probable extent. Such notification shall not be the basis for a claim for additional
compensation. Each party shall, however, make all reasonable efforts to remove or eliminate
such a cause of delay or default and shall, upon cessation of the cause, diligently pursue
performance of its obligation under the Agreement.
16. NON-WAIVER
The failure of City to insist upon or enforce strict performance by Consultant of any of the
terms of this Agreement or to exercise any rights hereunder should not be construed as a
waiver or relinquishment to any extent of its rights to assert or rely upon such terms or rights
on any future occasion.
17. NON-DISCRIMINATION
Consultant agrees to comply with all applicable requirements of federal and state civil rights and
rehabilitation statues, rules, and regulations. Consultant also shall comply with the Americans
with Disabilities Act of 1990, ORS 659A.142, and all regulations and administrative rules
established pursuant to those laws.
18. ERRORS
Consultant shall perform such additional work as may be necessary to correct errors in the work
required under this Agreement without undue delays and without additional cost.
19. EXTRA(CHANGES)WORK
Only the City's Project Manager for this Agreement may authorize extra (and/or change) work.
Failure of Consultant to secure authorization for extra work shall constitute a waiver of allright
to adjustment in the contract price or contract time due to such unauthorized extra work and
Consultant thereafter shall be entitled to no compensation whatsoever for the performance of
such work.
20. ATTORNEY'S FEES
In case suit or action is instituted to enforce the provisions of this contract, the parties agree
that the losing party shall pay such sum as the court may adjudge reasonable attorney fees and
court costs,including attorney's fees and court costs on appeal.

21. GOVERNING LAW
The provisions of this Agreement shall be construed in accordance with the provisions of the
laws of the State of Oregon. Any action or suits involving any question arising under this
Agreement must be brought in the appropriate court of the State of Oregon.
22. COMPLIANCE WITH STATE AND FEDERAL LAWS/RULES
Consultant shall comply with all applicable federal, state and local laws, rules and regulations,
including, but not limited to, the requirements concerning working hours, overtime, medical
care, workers compensation insurance, health care payments, payments to employees and
subcontractors and income tax withholding contained in ORS Chapters 279A, 279B and
279C, the provisions of which are hereby made a part of this agreement.
23. CONFLICT BETWEEN TERMS
It is further expressly agreed by and between the parties hereto that should there be any conflict
between the terms of this instrument in the proposal of the contract, this instrument shall
control and nothing herein shall be considered as an acceptance of the said terms of said
proposal conflicting herewith.
24. AUDIT
Consultant shall maintain records to assure conformance with the terms and conditions of this
Agreement, and to assure adequate performance and accurate expenditures within the contract
period. Consultant agrees to permit City, the State of Oregon, the federal government, or their
duly authorized representatives to audit all records pertaining to this Agreement to assure the
accurate expenditure of funds.
25. SEVERABILITY
In the event any provision or portion of this Agreement is held to be unenforceable or invalid
by any court of competent jurisdiction, the validity of the remaining terms and provisions shall
not be affected to the extent that it did not materially affect the intent of the parties when they
entered into the agreement.
26. CONDITIONS OF SUPPLYING A PUBLIC AGENCY
Where applicable, seller must make payment promptly as due to persons supplying Consultant
labor or materials for the execution of the work provided by this order. Consultant must pay all
contributions or amounts due from Consultant to the Industrial Accident Fund incurred in the
performance of this order. Consultant shall not pen-nit any lien or claim to be filed or prosecuted
against Buyer or any subdivision of City on account of any labor or material to be furnished.
Consultant further agrees to pay to the Department of Revenue all sums withheld from employees
pursuant to ORS 316.167.
27. HOURS OF LABOR
If labor is performed under this order, then no person shall be employed for more than eight (8)
hours in any one day, or forty (40) hours in any one week, except in cases of necessity, or
emergency or where the public policy absolutely requires it, and in such cases, except cases of
contracts for personal services as defined in ORS 279A.055,the labor shall be paid at least time and
a half for all overtime in excess of eight (8) hours a day and for all work performed on Saturday
and on any legal holidays as specified in ORS 279C.540. In cases of contracts for personal services

as defined in ORS 279A.055,any labor shall be paid at least time and a half for all hours worked in
excess of forty (40) hours in any one week, except for those individuals excluded under ORS
653.010 to 653.260 or under 29 USC SS 201-209.
28. MEDICAL CARE AND WORKERS'COMPENSATION
Consultant shall promptly, as due, make payment to any person, co-partnership, association or
corporation, furnishing medical, surgical and hospital care or other needed care and attention
incident to sickness or injury, to the employees of such Consultant, of all sums which the
Consultant agrees to pay for such services and all moneys and sums which the Consultant collected
or deducted from the wages of the employees pursuant to any law, Consultant agreement for the
purpose of providing or paying for such service.
29. COMPLETE AGREEMENT
This Agreement and attached exhibits constitutes the entire Agreement between the parties.
No waiver, consent, modification, or change of terms of this Agreement shall bind either party
unless in writing and signed by both parties. Such waiver, consent, modification, or change if
made, shall be effective only in specific instances and for the specific purpose given. There are
no understandings, agreements, or representations, oral or written, not specified herein
regarding this Agreement. Consultant, by the signature of its authorized representative, hereby
acknowledges that he has read this Agreement, understands it and agrees to be bound by its
terms and conditions.
IN WITNESS WHEREOF, City has caused this Agreement to be executed by its duly authorized
undersigned officer and Consultant has executed this Agreement on the date hereinabove first written.

EXHIBIT A
SCOPE OF WORK
PURPOSE
This Consultant team is comprised of four consulting firms that will share responsibility for Master
Plan Updates. Otak shall be the prime consultant and primary-point of contact for the City, project
partners, and stakeholders. Otak will also be responsible for preparation of the Addendum to the
Tigard Park System Master Plan and the River Terrace Stormwater Master Plan, and preparation of
the Public Facility Plan. A subcontractor, DKS and Associates, shall prepare an Addendum to the
Tigard Transportation System Plan. A second subcontractor; Murray, Smith & Associates; shall
prepare the Addendum to the Tigard Water System Master Plan and the Addendum to the Tigard
Sanitary Sewer Master Plan. A third subcontractor, FCS Group, shall prepare a locally preferred
funding strategy for the capital facilities contained in the River Terrace Public Facility Plan.
TASK 1:TIGARD PARK SYSTEM MASTER PLAN UPDATE
This task will provide an update to the city's adopted plan by producing an addendum for the River
Terrace Community Plan area. The effort will use the work created during the WBMCP process and
refine it as necessary to meet the city's needs.
Task 1.1
Consultant shall review and compare the WBMCP parks element and the Tigard Park System Master
Plan. Based on a comparison of the two'plans, including a look at the data assumptions and
analysis, parks standards, need findings, park and trail locations; the consultant shall refine the
WBMCP recommendations as needed. This may include adjustments to:
• Park standards,
• Needs analysis,
• Park locations,
• Trail locations.
Technical memorandum summarizing plan comparison, refinements to the WBMCP
recommendations, and needed adjustments will be submitted to the city for review and comments.
Task 1.2
Consultant shall complete a Tigard Park System Master Plan Addendum to incorporate the River
Terrace area. Consultant shall also update planning level cost estimates for identified River Terrace
park needs including acquisition, development and maintenance. The Addendum shall address the
following Tigard Parks System Master Plan elements:

• Recommendations by park type
• Opportunity area map
o Parks and trails
• Implementation
o Capital projects
o Funding

Consultant shall provide a revised Tigard Park System Master Plan addendum, incorporating

TASK 3: TIGARD TRANSPORTATION SYSTEM PLAN UPDATE
Consultant shall produce a Transportation System Plan (TSP) addendum for the River Terrace
Community Plan area. Consultant shall use the work created during the WBMCP process and refine
it as necessary to meet the city's needs. Consultant shall also assess urban reserve area 6c for the
sizing and location of facilities for River Terrace and key identified intersections outside of the
planning area. The addendum will include findings of consistency and compliance with relevant
plans and rules including the Transportation Planning Rule.
Task 3.1
Consultant shall review and compare WBMCP transportation element and Tigard TSP including
data assumptions and analysis, need findings, circulation, multi-modal access, connectivity, safety
and street design. Consultant shall review WBMCP transportation element and TSP for
compatibility with requirements of the Regional Transportation Plan, Washington County- TSP
(currently being updated), Oregon Highway Plan, and the Transportation Planning Rule. Technical
Memorandum summarizing the plan compatibility review will be submitted to the City for review
and comments.
Task 3.2
Consultant shall coordinate with City and Washington County staff to determine future analysis
assumptions (e.g., land use, transportation projects) and identify appropriate boundaries and up to
twenty five (25) study intersections for analysis. City shall provide land use totals for study area
along with zoning/planned uses. DKS will allocate land uses to transportation analysis zones for
use in transportation analysis.
Task 3.3
Consultant shall perform a multimodal transportation system analysis for the River Terrace
community. Consultant shall perform safety analysis including review of crash history and travel
speed data at up to three (3) locations. Consultant shall perform multimodal access and circulation
analysis including bicycle and pedestrian facilities and access to transit stops, schools and other
attractions. Consultant shall perform traffic analysis including existing and future study intersection
operations and identification of off-site impacts. Intersection traffic operations analysis (LOS and
V/C) will be conducted at up to 25 intersections for existing conditions and two future conditions
scenarios (No-Build — assuming land uses without the proposed development, and Build—assuming

Task 3.4
Consultant shall provide a draft addendum to update the Tigard TSP, incorporating the
transportation analysis findings for River Terrace. The consultant shall refine WBMCP
recommendations including adjustments to street design, standards, needs, system map, and any
recommended off-site improvements. Street standards and design recommendations shall include

consideration of travel speeds, safety and capacity. Consultant shall also update planning-level cost
estimates for transportation improvements. The draft Plan Addendum shall identify a
recommended transportation system, implementation, capital projects, and funding. Financial

calculations for the development.

Following written direction from the City, Consultant shall assist with the establishment of a City
Transportation System Development Charge (SDC). Consultant shall assist with identifying
geographic boundaries, applicable projects, the range of possible charges, and the financial
mechanisms necessary for the administrative system. Consultant shall provide methodology report
and ordinance for a city-wide TSDC that would supplement the current Washington County TDT.
Consultant transportation team will work in concert with the FCS, financing strategies team.

TASK 4: TIGARD SANITARY SEWER SYSTEM MASTER PLAN UPDATE
This task will provide an update to the city's adopted plan by producing an addendum for the River
Terrace Community Plan area. The effort will use the work created during the WBMCP process and
refine it as necessary to meet the city's needs. As part of this task consultant shall also asses urban
reserve area 6c for the sizing and location of facilities for River Terrace.
Task 4.1
Consultant shall review and compare the WBMCP Sanitary Sewer element and the Tigard Sanitary
Sewer System Master Plan. Based on a comparison of the two plans, including a look at the data
assumptions and analysis, planning standards, need findings, CWS and Tigard design standards,
sewer conveyance piping routing, and pump station locations; the consultant shall refine the
WBMCP recommendations as needed. This may include adjustments to:
• Sanitary sewer standards
• Needs
• Seiner conveyance piping routing
Technical memorandum summarizing plan comparison, refinements to the WBMCP
recommendations,and needed adjustments will be submitted to the city for review and comments.
Contingent Task (4.1)
Following written direction from the City, and if ongoing design identifies significant challenges with
the WBMCP sanitary sewer alignments, Consultant shall develop up to two (2) new alignment
options for up to three (3) sanitary sewer elements.
Task 4.2
Consultant shall complete a Tigard Sanitary Sewer System Master Plan Addendum to incorporate
the River Terrace area, and also update planning level cost estimates for identified River Terrace
sanitary sewer system needs.
The consultant shall:
• Update population and demand projections based on latest zoning and planning area maps.
• Assess urban reserve area 6c for the sizing and location of facilities for River Terrace.
o Conduct a site visit to evaluate potential sewer routes and key site barriers relative to
sewer routing such as creeks and topographic challenges.
• Complete a system analysis including analysis criteria, a hydraulic model using CWS's
InfoSWMM.
• Model and evaluate existing system adjacent to planning area and identify required upgrades
and sewer extensions. Model proposed upgrades.
• Develop and evaluate up to three (3) alternatives for up to five (3) key sewer elements.
Alternatives for the Roy Rogers Pump Station will be coordinated with the work being
completed for CWS. Review permitting requirements for alternatives. Review alternatives

5. Clean Water Services began a siting and sizing study for a new pump station west of Roy
Rogers Road to serve much of Cooper Mountain and River Terrace. The Master Plan
Update should provide refined flow projections and sewer routing to the pump station.
Clean Water Services recently converted the system hydraulic model into the Innovyze
InfoSWMM platform, completed calibration to monitored flows and updated service areas
to match Urban Growth and Urban Reserve boundaries.

TASK 5: RIVER TERRACE STORMWATER MASTER PLAN
Consultant shall produce a River Terrace Stormwater Master Plan based upon the previously created
West Bull Mountain Stormwater Infrastructure Plan.
Task 5.1
Consultant shall perform a literature review and summarize changes that need to be made to the
West Bull Mountain Stormwater infrastructure Plan to create the River Terrace Stormwater Master
plan, and the assumptions that need to be reviewed and confirmed or revised by the City. Changes
to the technical memo will be incorporated into the Master Plan.
Task 5.2
Consultant shall review the proposed stormwater management strategy for West Bull Mountain with
City staff to confirm their support for the same strategies in River Terrace; develop hydrologic and
hydraulic system models using XP-SWMM of the drainage system within and upstream of the study
area to simulate hydrographs, peak flows and volumes for existing conditions, full build out
development conditions; and revise available HEC-RAS models to simulate the drainage channels
downstream of the study and assess the need for stormwater detention or downstream conveyance
improvements.
Consultant shall also update the West Bull Mountain Stormwater Infrastructure Plan to reflect land
use assumptions adopted by Tigard City Council and change references made to Washington
County so they align with City of Tigard and the City's requirements; evaluate and adjust the sizes
and locations of regional facilities to reflect changes in land use since West Bull Mountain concept
plan was completed; and prepare updated figures and maps to illustrate the River terrace Stormwater
Management plan as well as an updated cost estimates for the proposed stormwater infrastructure.
Task 5.3
Consultant shall prepare Draft and then Final Adoption-ready River Terrace Stormwater Master
Plan document.
Assumptions
1. All meetings are addressed in Task 8.
2. Unlike the other infrastructure elements which will be addressed with a Master Plan
addendum, Stormwater Management will be addressed in a stand-alone Master Plan.

TASK 8: PROJECT COMMUNICATION AND COORDINATION
Consultant shall maintain regular discussions with City staff and stakeholders regarding the work
tasks. Especially important will be internal coordination between the various work tasks, as well as
outside coordination with local jurisdictions and service providers to ensure compliance with local
regulations. Consultant shall respond to and incorporate, as necessary, feedback from the project's
Technical Advisory Committee and Stakeholder Working Group.
Assumptions
1. Consultant staff at each TAC and SWG meeting will include the Project Manager and the
Respective Infrastructure Technical Lead. For half of the City of Tigard meetings,
Consultants will be in attendance; the other half will be by telephone.
2. Each infrastructure element will be discussed during at least two (2) TAC meetings and two
(2)SWG meetings.

3. Each infrastructure element will be discussed during up to three (3) meetings with City staff.
4. The transportation element, parks and infrastructure financing will both be discussed during
three (3) TAC meetings and three (3) SWG meetings.
S. There will be three (3) Community Meetings, for which boards and other meeting materials
will be developed. The (Otak) Project Manager and PIC, as well as the Finance and
Transportation leads will be in attendance at all Community Meetings. The technical leads
for other infrastructure elements will attend only one (1) Community Meeting where their
infrastructure element is a focus.
6. The City will be responsible for summary minutes for all meetings. These summary minutes
will be reviewed by the Consultant PM.
7. The City will print the necessary copies of the Community Plan for Council and Planning
Commission packets.
8. Consultant will provide support at up to five meetings of the Planning Commission or City
Council.
9. Consultant will support the Stormwater Master Plan through the Planning Commission and
City Council reviews and hearings.
10. Consultant shall timely keep city appraised of any technical or procedural "issues" which
may lead to costs/hours in excess of those budgeted by task. Consultant shall not proceed
with any additional work on these identified tasks until every effort has been made to bring
the task back within budget and approved by the city's project manager.
