I enclose herewith a copy of an agreement for the operation of
the Porteous Sludge Disposal Process and for the acceptance of
sludge from your city.
This agreement has been approved by the Board of Directors of
the Unified Sewerage Agency and has been signed by the Chairman
of the Board. The authority for such signing is as per the
attached Resolution and Order.
Would you please pass this through your local process and, when
complete, r urn the original signed contract to my office.

AGREEMENT '
THIS AGREEMENT, made and entered into as of the 27 day of
April 1971, between the CITY OF TIGARD, a municipal
corporation of the State of Oregon, hereinafter referred to as
"City" , and the .UNIFIED SEWERAGE AGENCY OF WASHINGTON COUNTY, a
municipal corporation, and county service district, hereinafter
referred to as the "Agency
WITNESSETH:
WHEREAS, the Agency was duly formed and organized under
Chapter, 451 ORS for the purpose of providing sewerage treatment
facilities within its boundaries; and
WHEREAS, the Agency does own" and operate a Porteous Process

treatment facilities within the Agency; and
WHEREAS, City finds it useful and in its best interest to process
sewage sludge from its sewage plant in Agency' s plant; and
WHEREAS, it would be in the best interest of Agency and City
to enter into a contract wherein Agency agrees to process City' s
sludge in Agency' s plant;
NOW, THEREFORE, in consideration of the premises and of the
covenants and agreements to be kept and performed by the parties
hereto, .it is covenanted and agreed as follows:
1. The term "sludge" , as used hereinafter, shall mean the
residue found in a sewage treatment plant digester which
remains after raw sewage has been clarified at the plant
and which consists of accumulated, settled solids, separated
from waste water, existing in the form of a semi-liquid mass.
2 . Agency agrees to accept from City an amount of sludge not
to exceed 2 , 000 gallons per calendar week for Porteous
Process treatment at the plant.
3. Delivery of sludge to the. plant shall be at the expense
and by means of transportation furnished by City and shall

be at such reasonable times as are determined by Agency.
4. Agency through its agents at plant site, shall keep an
accurate record of the amount of City' s sludge actually
treated at the plant. Based upon said record, Agency shall
compute the percentage of the total gallonage of sludge
treated at the plant in a thirty-day period which is attributable
to City. Said percentage shall then be applied against the
total operational costs during the same thirty-day period; said
operational costs to include, but not be limited to, personnel
wages and fringe benefits, fuel costs, expendable supplies and
plant amortization. City shall remit, during the normal course
of paying bills for the next succeeding month, said percentage
of operational costs; subject, however, that City shall not pay
less than Seven and fifty one-hundreds dollars ($7 . 50) for each
one thousand (1, 000) gallons of sludge treated in Agency' s
plant during the preceeding thirty-day period.
This agreement shall be effective upon its execution by both
parties hereto and shall continue in effect until terminated by
either party hereto, upon ten days written notice to the other party.
The party effecting the termination of this agreement shall incur
no liability, in law or equity, for electing to and effecting the
termination of this- agreement.
IN WITNESS WHEREOF, this instrument has been executed in duplicate
pursuant to resolutions duly and legally adopted by each of the parties
signatory hereto.

6 The above entitled matter came on regularly before the
7 Board of County Commissioners of Washington County, acting as
8 the governing body of the Unified Sewerage Agency, at its meeting
9 of April 27, 1971; and
10 It appearing to the Board that the Agency owns and operates
11 a porteous process sludge processing plant and that it would be
12 in the best interest of the Agency to share the operational capacity
13 with various cities within the jurisdiction of the Unified Sewerage
14 Agency; and
15 It appearing to the Board that a contract has been prepared
16 whereby the City of Tigard shall have the right to have an amount
17 of sludge from its treatment plant, not to exceed 2 , 000 gallons
18 per calendar week, treated in the porteous process treatment plant
19 of the Agency; and
20 It appearing to the Board that the consideration for this right,
21 as contained in the contract, is that the City of Tigard shall
22 pay its pro rata share of the operational costs of the porteous
} 23 process sludge processing plant for any thirty day period in
