If % - ' : I LAND TRADE AGREEMENT THIS AGREEMENT is made and entered into this day of , 1591, by and between Washington County, a political subdivision of the State of Oregon ("County") and Pacific Realty Associates, L.P. , acting by and through its officers ("PacTrust") . WITNESSETH: RECITALS 1. County owns a certain tract of depleted and partially filled pit property encompassing approximately 9.4 acres, outlined on attached Exhibit A (the "County Property") . 2 . PacTrust owns a 15.5 acre parcel in Washington County, adjacent to the County Property, upon which the I . PacTrust Business Center is located. PacTrust also owns a separate parcel of land in Washington County comprising / approximately 4. 89 acres, more particularly described on attached Exhibit B (the "PacTrust Property") . 3 . County and PacTrust, in their judgment, have deemed it desirable to trade the County Property for the PacTrust Property. The primary benefits of such a trade are a. Allowing the County Property to be developed to its highest and best use in as short a period as possible, thereby increasing County tax revenues earlier than if County continues to fill the County Property and market it in the future. b. Consolidating County's gravel and fill operations, thus increasing operational efficiency and reducing costs. c. Providing to County an additional source of rock for road needs. d. Enhancing the value and increasing the development potential of the property that County owns on both sides of the PacTrust Property ° 4P 4 By the authority granted in ORS 271.310, 271,,340-4. . 350 and 275.100, CoUnty may enter into cooperative agreements , with private parties to transfer properties under terms and , conditions mutually agreeable to the contracting parties and , 1 as provided by laW, 4 4 LAND TRADE AGREEMENT Page 2 5. An independent M.A.I. appraisal has concluded that the properties are of equal value. Further, the Board of County Commissioners conducted a public hearing and concluded that it is in the best interest of the public to exchange • these properties. There was no opposition. NOW, THEREFORE, the premises being in general as stated ; 4 in the foregoing RECITALS, it is agreed by and between the parties hereto as follows: 1. PacTrust agrees to convey to County the property described in Exhibit B hereto in consideration of simultaneous conveyance by County to PacTrust of the property set forth in Exhibit A. 2 . This exchange shall be by bargain and sale deed. . Each property shall be free and clear of all liens and encumbrances excepting only those appearing on the title report and expressly accepted by the receiving party. Real property taxes, if any, shall be prorated as of the closing date. . 3 . Each party shall at closing provide to the other, without expense to the insured, an owner's policy of title insurance in the usual form and in the amount of the value of „ the property, insuring that title is vested in the grantee, subject only to the usual printed exceptions together with any ;c. exceptions accepted by the insured party. All standard and customary closing costs shall be borne equally by the parties. 4. The parties agree that, based on an independent - M.A.I. appraisal, the value of each respective property is $430, 000. 00. • 5. Possession of each property shall be delivered on the closing date, Notwithstanding this provision, however, PacTrust hereby is granted permission to enter upon the County property for the purpose of condudting tests, site analysis, exploratory excavation and preliminary grading, cut and fill. . PacTrust shall obtain any required permits for such work. PacTrust shall provide County with insurance coverage for such work in an amount not less than the tort claim limits. PacTrust shall save hold harmless and defend County against any and all claims whatsoever arising from the actions of PacTrust, its officers, employees and contractors. 6. To the best of each parties knowledge, the property each party is transferring contains no hazardous substanceS * * 1 1r, LAND TRADE AGREEMENT Page 3 regulated by Federal or Oregon statutes. County has provided to PacTrust a copy of the "Durham Quarry Soil and Water Testing" report prepared by Lambier Professional Group dated March 15, 1991. County further has advised PacTrust that the site has been the subject of quarry and fill operations and made available to PacTrust all known County records relating to such operations. County makes no representations whatsoever as to the completeness or accuracy of any such information. PacTrust independently has satisfied itself as to , the condition of the County property and accepts the property AS IS, including latent defects, with no warranties express or implied by County. PacTrust Warrants that it has disclosed any conditions known to it relating to hazardous wastes on its • property. PacTrust has not, however, made any special inquiry • ft or investigation regarding such substances for its property. County has had an opportunity to satisfy itself regarding the • . . property and accepts the same AS XS, including latent defects, except any conditions known by PacTrust and not disclosed, with no warranties express or implied by PacTrust. 7 . Neither party has made any representations whatsoever regardihg the use for which their respective property is suitable, including but not limited to legal ," constraints or site condition. Each party is solely responsible for making such determinations as regards the property it is receiving under this agreement. THIS AGREEMENT WILL NOT ALLOW USE OF THE PROPERTIES DESCRIBED IN THIS • INSTRUMENT IN VIOLATION OP APPLICABLE LAND USE LAWS AND RESTRICTIONS. BEFORE SIGNING OR ACCEPTING THIS INSTRUIUNT, THE PERSON ACQUIRING FEE TITLE TO THE PROPERTY SHOULD CHECK WITH THE APPROPRIATE CITY OR COUNTY PLANNING DEPARTMENT TO VERIPY APPROVED USES. 8 This exchange shall be closed in escrow within 90 days of execution of this Agreement or as soon thereafter as is reasonably practicable. If, on the scheduled date of • closing, either party refuses to fulfill its obligations hereunder, the other party Shall have 90 days from the • scheduled closing date in which to file an action for specific performance or for its cnstS and expenses incurred in preparing fOr this transfer, or both. The proposed site • • for initial development is approximately 3.9 acres. The parcel to the east of Durham Road is approximately 5.6 acres. 0 111 Storm Drainage System: The proposed storm drainage system vvill be designed to facilitate the 25 year peak flow run-off from both the east and west site. The system will use underground . piping systems to convey water to the "natural" infiltration basin located at west end , of the site. A storm sewer crossing will be required across S.W. Durham Road. Based upon our preliminary grading concepts for both sites, it has been determined that a 21" will be required. It is proposed that the storm sevver cross under all existing or proposed utilities in S.W. Durham Road. This basin will provide adequate 1,(1 '0 storage volume and infiltration capacity for the 25 year event while providing the water quality treatment per the "current" water quality guidelines and our understanding of their interpretation. Hydrology: Peak run-off flow rates have been calculated using the rational method. Time of concentration and rainfall intensities are based upon the Washington County Uniform Road Improvement Design Standards. Required storage volumes are also determined 00 from the rational method. Infiltration during the storm event is neglected for storage N calculations. The peak flow from both sites is 19.60 cubic feet per second, and the 1 required storage volume is 11,050 cubic feet An Elevation vs, Storage Volume graph was produced based upon the existing topography of the proposed infiltration I, site, The storage volume only assumes volume capacity "on-site" and does not include excess storage volume provided from the adjacent property to the south, assuming that the property is filled in the future. We are proposing minimal work be done within the basin. To determine the capability of the site in infiltrate run-off, we have utilized the soil classification data from the SCS's Soii Survey of Washington County, Oregon to qualify what type'of soils are present in the area. The particular site of interest is • located in a soil classification zone called "Urban Land". This classification consists • . of "area that have been altered by urban works and structures" which makes identification "not feasible'`. To better understand the soils in the area, we Examined , adjacent lands that have been classified. These soils are classified under hydrologic group B, indicating the existing soils have properties that make the use of infiltration facilities attractive. Infiltration rates for group B range from 0.6 to 2.0 inches/hr. Water Quality• Based of the Surface Water QuaiityFacilities Technician Guidance Handbook for water quality treatment adopted by the City of Tigard, we have determined that the infiltration basin will provide treatment for removal of the required 65 percent of • phosphorous from both sites. The catchment ratio for the entire site is 0.85 percent. Assuming the most conservative case, an infiltration rate of 0.5 in/hr, the infiltration basin is projected to treat 85 percent of flow, We have researched well locations in the area and obtained all available well logs within the section. It appears that some • • wells are located within 500 feet of the proposed 'infiltration basin, but more study must be completed tad to'determine if the wells are still active. Proposed building #165 of the Pactrust Business Center would be 33,000 square feet in size. Building #166 would be 35,750 square feet. Both ' buildings would be 24 feet in height and be of tilt-up construction. Two driveways s off of the ne w portion tion of Durham Road,d , along with an existing driveway along the northern property line, would provide access to a 79 space parking lot and a substantial area of pavement between the buildings for loading dock access. Two designated handicapped parking spaces are proposed. The plan would provide for approximately 22 percent of the site to be landscaped including a fairly large area on the western' portion of the site which would include a ° ' number of existing trees supplemented with native material plantings intended to create a "natural" landscape. Landscaping within the parking areas and along the road would follow the general landscaping theme of .'other Pacific Realty properties to the north. '. 4. ACCESS The site plan proposes two new access points from Durham Road, which would be approximately 130 feet apart. The access points are located with one in the center of the site and the other in the southeastern corner of the site. In addition, this site would have additional access to Durham Road provided,by ',an existing access driveway on another section of the Pactrust Business Park just north of the subject site, approximately 220 f eet to the north of the proposed center access point. While the Community Development Code does not. •. specify any specific minimum distance between access points on a major collector, the Code and Comprehensive Plan an discourage r a g e mu lti le access driveways on driveways. There currently are no public sanitary sewer lines to serve this site, but as mentioned above Washington County has plans for the improvement of Durham Road that include the extension of an , existing public sanitary sewer line to serve this site. Therefore, the proposed buildings should be required to be connected to the extended sanitary sewer line. d. STORM SEWER: Effective December 1, 1991, we are required to comply with a new requirement of the State Environmental Quality Commission (EQC) . The Tualatin Valley Fire and Rescue District has reviewed the proposal and has commented that hydrant ; locations should be coordinated between the applicants, the Fire District, and the Tigard Water District. The Tigard Water District has reviewed the proposal and has noted concerns with the proposed water line size and the proposed location of the backflow prevention assembly. The : applicants are very familiar with the range of uses permitted in the I-P zoning district City staff reviews uses locating within a multi-tenant development through applications for tenant modification building permits and the payment of business taxes. ; The site plan appears to provide an adequate number of parking spaces to, satisfy the Code parking requirements for uses likely to locate i n the proposed buildings. The Code requires that warehouse uses be provided with at least, 1 parking space per 1000 square feet; manufacturing uses be provided with 1 space per employee; and general office uses be provided, with 1 space per 350 square feet) . The applicants anticipate a 60/30/10 percent distribution of these use types in the proposed buildings. The site plan proposes 79 spaces or 1 space per 870 square feet of gross building area. The 79 spaces should therefore be adequate to serve the , % projected uses of these buildings, although the parkin area may need to be expanded slightly in the future if the tenant mix ends up including more office use than is ,,. currently projected. .r The site plan, however, does: not provide for an appropriate number of designated handicapped parking spaces for a 79 space parking lot as required by the Oregon Revised Statutes (3 spaces required; 2 provided) . ,2e he site plan n wi11 therefore need to be revised to add one additional desig na ted handicapped parking space. Community Development Code Chapter 18.108 and the Transportation Chapter of Volume 1 of the Comprehensive Plan encourage limiting the number of access driveways on major collector streets in order to reduce traffic conflict points between through traffic and traffic, related to developments along the collector street. The ' proposed new industrial buildings would appear to be adequately served by the existing driveway just north of the subject parcel and by the proposed driveway in the center of the site's Durham Road frontage, without the proposed driveway in the southeastern corner of the site. Therefore, in order to reduce the potential for traffic conflicts along this stretch of Durham Road, the site plan will need to be revised to eliminate the proposed southeastern driveway. C. STREETS : The site is located at, what is currently, the southeast end of Durham Road, Access to the site is from Durham Road and S.W. 72nd Ave. The owner of T.L. 100 has also applied to the City of Tigard for a Lot Line Adjustment. The Lot Line Adjustment would reduce the size of this pa' cel substantially ' and confine it to the what is the northeast corner of the `. . current parcel . S .W. Durham Road is under the jurisdiction of the City of Tigard. Washington County currently has plans for the construction of Durham Rd. from the current terminus to S .G . 72nd Ave. The plans include grading, paving, striping sanitary sewer, storm sewer, signals, and illumination. The improvements should be completed sometime in mid-1992 . The • County is installing 44 feet of pavement (22 feet each side of centerline) , and curbs on each side of the road, all within 66 feet of right-of-way. Therefore, the only street improvements that the applicant should be required to install is a sidewalk along the frontage of the adjusted lot . 2 . SANITARY SEWER There currently are no mentioned above Washington. County has plans for the i p rovement of Durham Rd. The plans include the extension of an existing public sanitary sewer line which would serve this site. The current schedule for completion of the • Washington County project is mid-1992 . STORM SEWER: . The applicant is proposing to install a water quality facility • in the northwest corner of the site to handle the storm water. It shall also be the responsibility of the applicant to maintain the facility, ' Effective December 1, 1991, we are required to comply with a new requirement of the State Environmental Quality Commission 4 • (EQC) . The EQC is requiring that all new developments, that ' add additional impervious service area, within the Unified Sewerage Agency (USA) must include a water quality treatment facility. Previously, developments without a suitable site for water quality treatment were allowed to pay a fee in lieu of on.-site water quality treatment, with the fees to be used to± construct regional facilities . • i >+ I Recommendations : , 1. The applicant shall install a water quality facility meeting I'• the requirements of Resolution and Order No. 91-47 as approved • and adopted by the Unified Sewerage Agency of Washington County. o 2 . It is the responsibility of the applicant to submit an operation and maintenance plan documenting how the water quality facility will be maintained and a statement as to who will be responsible for assuring the long term compliance with , • the plan. A copy of the operation and maintenance plan shall a be forwarded to the City Engineering department no later than two weeks following construction of the water quality facility. 3 .
