Please consider this letter I`as authorization for MacKenzie Saito to act on

project engineers, they are the ones best suited to handle many of the
concerns that might arise during your review. This authorization is not

intended to preclude input by staff and management of PacTrust.
2. Acknowledgment of Ownershi . I The land upon which the proposed
facilities will be built is being purchased by PacTrust on contract from
Washington County. Attached hereto is a copy of the contract agreement.
Paragraph 5.2 on page 3 of said agreement stipulates the seller's consent
to and approval of our development plans. Due to the fact that this is a
contract of sale, the seller remains the legal owner until such time as the
terms of the contract have been fully satisfied. '
3. Arrangemdnt with County R tardn Proposed New Public Street.
PacTrust has been working wit h the Washington County engineering and public
works staff to establish a road alignment Satisfactory to PacTrust, the

The parking requirement for this site is 99 spaces (office, 14,363 350

site plan shows 194 spaces. After staff review of the site plan, staff
recommends that 5 parking spaces be eliminated and replaced by landscaped

6. 2 In the event any action or proceeding be brought
against Seller by reason of any such claim Buyer
shall, on notice from Seller, resist or defend such
action or proceeding by counsel satisfactory to
Seller.
7. PARTIAL RELEASE. Upon written application of Buyer, Seller ,
will convey to Buyer by bargain and sale deed portions of
the subject property provided that at the time of conveyance •
there has been paid on account of the total purchase price
• an amount equal to $2. 30 multiplied by the number of square
feet to be conveyed and theretofore conveyed by Seller
to Buyer and provided that the configuration of the property
to be released will be such as to not deprive the remainder
of the property of access to a street or to otherwise ad-
versely affect its value.
8. DEFAULT.
8. 1 Time is of the essence of this contract. A default
shall occur if:
a. Buyer fails to make any payment aforerequired
or any of them punctually within 10 days of
the time limited therefor;
b. Buyer fails to perform any other obligation im-
posed by this contract and does not correct or
commence correction of such failure within 15
days after receipt of written notice from Seller
specifying the manner in which Buyer is in
default; or
