Simplex warrants to the Purchaser of new Simplex Products that during the effective period of the warranty such Products shall be free of defects in workmanship and material. This warranty period, for a system or part thereof, shall terminate upon the earlier occurrence of either of the following events: A. The date eighteen months following shipment, or B. The date one year following the final hook -up operation and beneficial use of all or any part of the system. 2. Simplex's sole responsibility under this warranty shall be to repair, adjust or replace at its option, any product which fails during this period provided Purchaser has promptly reported such failure to Simplex in writing. All replaced Products or parts shall become Simplex's property. Services provided under this warranty will be performed during the period of 8:00 a.m. to 5:00 p.m., local time, Monday through Friday, excluding locally observed Simplex Holidays. Purchaser agrees to provide full and free access to the equipment to authorized Simplex employees and any ladders and/or scaffolding, if required. 3. This warranty is contingent on the proper installation and use of the Products. Such warranty will not apply if adjustment, repair or parts replacement is required because of accident, neglect, misuse, user programming errors, failure of electrical power, air conditioning, or humidity control, construction dust, damaging, foreign substances, transportation or causes other than manufacturing defect. Replacement parts provided under warranty of products may contain used parts which are equivalent to new parts when used. Replacement parts will be warranted only for the balance of the equipment warranty. Simplex agrees to continue to honor all of the unexpired express warranties specified above on defective equipment after transfer of the equipment to purchaser's customer, provided purchaser's customer assumes the purchaser's obligations specified above. 4. This warranty does not include: A. Time and material charges for service outside of Simplex's normal business hours. B. Time and material charges for program and/or label changes. C. Time and material charges for failures due to external causes (see paragraph #3). D. Electrical work external to the equipment supplied by Simplex or maintenance of accessories, alterations, attachments or other devices not furnished by Simplex. E. Coverage of equipment classed as water flow monitoring, control device installed in or on water piping. F. Service requested for any reason other than those related in current time and materials then in effect, paragraph two of the aforementioned items. G. Except for the express warranties stated herein, Simplex disclaims all warranties of merchantability and fitness for a particular purpose, and the stated warranties are in lieu of all obligations or liabilities on the part of Simplex arising out of or in connection with the performance of products. The seller shall not be liable for any direct, incidental or consequential loss of damage to the purchaser or user of this equipment arising out of the failure of the equipment to operate in excess of the purchase price of said equipment. Simplex makes no warranty and no warranty shall be deemed to exist, that purchaser holds the goods free of the claim of any third person by way of patent infringement or the like. DEFECTIVE PERIPHERALS If the Technical Representative and /or the Sales Representative finds that prior to system acceptance that a component is defective, that component must be replaced by the warranty replacement procedure. These defective components should then be returned to Headquarters for return to the manufacturer for up- grading. After the Technician has checked out the complete Simplex system, he will provide the contractor with an "Inspection Report" of the system test.
