SERVICE AGREEMENT TERMS AND CONDITIONS
1. Period of Service: Siormwater Management, Inc. (SMI) will commence work within the standard maintenance cycle outlined
by the executed Agreement and will proceed with said work in a diligent manner until completion. SMI will not be responsble for
delays caused by factors beyond SMI's control and will not be responsible for delays caused by factors which could not
reasonably have been foreseen at the time this Agreement was executed.
2. Term of Agreement The term of Agreement shall be eutornatfr renewed for like terms thereafter unites either party
gives written notice 6D days prior to dote of termination via cerliied mai. Upon termination of agreement, any outstanding
invoices and/ of unblled balances for services actually performed will be immediately due and payable.
3. Terms of Payment Fees for Services will be billed upon completion of work performed. If OWNER objects to any invoice
submitted by SMI, OWNER shall so advise SMI In writing, giving reasons therefore, within fourteen days of the date on said
Invoice. tt OWNER tails to mr,ke any pint due SM) for services and expenses within thirty days of the date on the invoice.

5. Payments in Event of Termination: In the event this Agreement is terminated, SMi win oe compensated tor services

Payment provisions. If this Agreement is terminated by OWNER, SMI will also be Compensated for au reasonable costs and
expenses Incurred to assemble and close project files end records,

maintained by other practicing professionals enslaved in the same type of work In the general location of the Project. SM) makes
no other warranty, expressed or Implied. -
7. Limitation of Liabitlty My and all liabiity, claim for damages. cost of defense, or expenses to be levied against SMI will be
limited to a sum not to exceed Ten Thousand Dollars ($10,000.10) or the amount of its fee, whichever is lesser, on eacount of
any injury or damage to persona or property or arising out of any error. omission or professional negligence.
8. Attorney's Fees and Expenses: In the event suit or action is instituted to enforce any of the terms or condiions of the
Agreement, the losing party shall pay to the prevailing party. in addition to the cools'and disbursements allowed by statutes, such
sum as the court may adjudge reasonable as attorneys tees In such cult or action, in bah trial court and appellate courts.
9. Waives: No waiver of a breath of any covenant, term or condition bf this Agreement shall be a waiver of any other or
subsequent breach of the same or arty other covenant, term or condition or a waiver of the Covenant, term or condition itself. •
10. Controlling Law, Jurisdiction and Venue: The lase of the Slate of Oregon shall govern this Agreement. Jurisdiction and
venue of any dispute hereunder shall be in Multnomah County, State of Oregon.
11. Successor: and Assigns: The covenants, agreements and obligations of This Agreement shall extend to and be binding
upon and inure to the benefit of the partners. heirs. personal representatives and ensigns of the parties hereto. Neither OWNER
nor SMI shall assign. Sublet or transfer any rights under or interest in this Agreement without the written consent of the other.

professional associates and consultants, as SMI may deem appropriate to assist in the performance of setvtces hereunder.
