Dear Mr. Thompson:
Pursuant to our Easement Agreement dated June, 1993, you have been granted an Easement for the
installation of a sign panel on McDonald's free standing pole sign on the property referenced above.
This letter confirms the authorization for you to install your sign panel, and electrical line conduit
connecting your sign to your business on the adjacent property provided you agree to the following:
1. That you agree to keep the utility line in good repair and further agree to
maintain the installation on our property at your sole cost and expense.
2. That you perform the ' construction, repair, maintenance of your
installation(s) ( "Grantee's Work ") in such a manner for us to not unduly
disrupt_the_operation_of_the McDonald's restaurant on the property and in
coordination with the owner /operator on the property, and that you install
your electric power line at a location aproved by McDonald's.
3. That after you install your electric power line and whenever you must
undertake any maintenance that you restore the surface of the premises or
other improvements distrubed by your activities, at your sole cost and
expense, to the condition in which the premises existed before the
commence of Grantee's Work.
4. That you further agree to indemnify and hold McDonald's and its
owner /operator harmless against any and all claims or liability and costs
(including, but not limited to reasonable attorneys fees and costs) for any
and all injuries to persons and for any and all damages to property occurring
as a result of your failure to safely and properly maintain your installations
on the premises. Further, you must agree to pay for the cost of all work
performed on the premises at your direction, and keep McDonald's property
free from the claim of any lien for labor and/or materials.
If you are in agreement with the foregoing, please indicate your approval by signing below in the space
provided, and please return the duplicate counterpart of this letter bearing your original signature to my
attention.
