TERMS OF AGREEMENT
1. City shall allow encroachments into the right-of-way dedicated by Property Owner as shown in
the attached Exhibit A.
2. Property Owner, on behalf of Property Owner and all future owners of the underlying
property, agrees to removal of encroachments at Property Owner's expense only if the existing
encroachments are demolished in the future, the properties redevelop requiring, removal of the
encroachments, or the encroachments require removal for any reason whatsoever at the
initiative of Property Owner. Any of die encroachments that do not require removal. are
allowed to remain in place.
3. In die event that the City deteunines that continued occupation of the right -of -way by the
encroachments, or any of there, is inconsistent with the City's tight to use the right -of -way for
street and utility purposes, the City may proceed to remove such encroaehment(s). Any such
removal shall be predicated by written notice to Property Owner at least 30 days in advance,
unless, in the City's sole discretion, City determines that an emergency situation does not allow
the full notice period. Removal of any or all of the encroachments under these circumstances
shall be at City's expense.
4. On demand of the City, Property Owner shall. allow the removal of the encroachments or any
portions thereof, as needed, to allow the City to exercise full use of its tight -of -way. If removal
of the encroachments, or any portion thereof, is at the City's initiative, removal shall be at City's
expense.
5. Property Owner agrees to indemnify and hold harmless the City, and its officers, employees,
and agents, from and against all claims, demands and causes of action and suits of any kind or
nature for personal injury, death or damage to property on account of or arising out of or in any
way resulting from the presence of the encroachment(s) in the right-of-way. Subject to the
Oregon Tort Claims Act (ORS 30.260 through 30.300), City agrees to indemnify and hold
harmless the Property Owner, and its officers, employees, and agents, from and against all
claims, demands and causes of action and suits of any kind or nature for personal injury, death
or damage to property on account of or arising out of or in any way resulting from removal of
any or all of the encroaclunents, except for damages to Property Owner on account of the
removal.
It is covenanted and agreed between the parties hereto that all the covenants and agreements above
expressed shall be held to run with and bind the property described herein, and shall extend to and
include their heirs; assigns, devisees, lessees, and holders of any kind of and under Property Owner..
This paragraph sloes not limit die City's unilateral right to remove any portion of or all. o.f the
encroachment(s) as provided above.
This agreement allows the encroachments as built to retrain, but does not allow any expansion of any
of the encroachments within the right -of -way. if the City undertakes any work that requires removal of
any portion of the encroachments, the City will allow the encroachments to be reconstructed -without
expansion, if consistent with continued operation of the City's facilities in the right -of -way and if
reconstruction is necessary for the functionality of the encroachments. All rights and privileges granted

herein by the City shall terminate upon removal of all of the encroachments or discontinuance of such
use.
