HomeMy WebLinkAboutSaaS Product Terminations #9-#10 - Amendment - Tigard Executedb_Redacted • •••'•• tyler • • technologies AMENDMENT This amendment ("Amendment") is effective as of the date of signature of the last party to sign as indicated below ("Amendment Effective Date"), by and between Tyler Technologies, Inc. with offices at One Tyler Drive,Yarmouth, Maine 04096 ("Tyler") and the City of Tigard, Oregon,with offices at 13125 SW Hall Blvd.,Tigard, Oregon 97223 ("Client"). WHEREAS,Tyler and Client are parties to an agreement dated September 28, 2020 ("Agreement"); and WHEREAS,Tyler and Client desire to amend the terms of the Agreement as provided herein. NOW THEREFORE, in consideration of the mutual promises hereinafter contained,Tyler and Client agree as follows: 1. The following Tyler Software as a Service (SaaS) are hereby removed from the Agreement as of January 1, 2025: a. EnerGov Executive Insights Community Development (includes Business Management Suite) b. Socrata Open Finance c. Socrata Capital Project Explorer 2. As of such date, Client's right to access the above-listed software is terminated, as are Tyler's obligations to maintain, support, host and update such software. 3. Additionally, Client's SaaS fees payment obligation for the above-listed software ends on the same date. 4. Client's annual SaaS fees are hereby reduced as follows: a. EnerGov Executive Insights Community Development (includes Business Management Suite): invoiced quarterly in the amount of$2,580, reducing annual SaaS fees by $10,320 b. Socrata Open Finance: invoiced quarterly in the amount of$3,440, reducing annual SaaS fees by$13,760 c. Socrata Capital Project Explorer: invoiced quarterly in the amount of$1,290, reducing annual SaaS fees by$5,160 Total annual SaaS fees are reduced by$29,240 by removal of the above listed software. 5. The services set forth in the Investment Summary attached hereto as Exhibit 1 are hereby added to the Agreement. Services added to the Agreement pursuant to this Amendment shall be invoiced as provided. 1 6. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Agreement. 7. Except as expressly indicated in this Amendment,all other terms and conditions of the Agreement shall remain in full force and effect.
