AMENDMENT
This amendment ("Amendment") is effective as of the date of signature of the last party to sign as
indicated below("Amendment Effective Date"), by and between Tyler Technologies, Inc. with offices at
One Tyler Drive,Yarmouth, Maine 04096 ("Tyler") and the City of Tigard, Oregon,with offices at 13125
SW Hall Boulevard; Suite A,Tigard, Oregon 97223 ("Client").
WHEREAS,Tyler and Client are parties to an agreement dated September 28, 2020 ("Agreement"); and
WHEREAS,Tyler and Client desire to amend the terms of the Agreement as provided herein.
NOW THEREFORE, in consideration of the mutual promises hereinafter contained,Tyler and Client agree
as follows:
1. Court Online Component.
a. The following Tyler Software as a Service (SaaS) is hereby removed from the Agreement
as of April 1, 2022:

b. As of such date, Client's right to access the above-listed software is terminated, as are
Tyler's obligations to maintain, support, host and update such software.
2. The following unused conversions are hereby removed from the Agreement:
a. Utility Billing-Assessments, at a contract price of: $1,800;
b. Utility Billing- Flat Inventory/Containers, at a contract price of: $4,100;
c. Utility Billing-Service Orders, at a contract price of: $3,100; and
d. Utility Billing- Budget Billing, at a contract price of: $4,100
Client is reallocating the fees for such conversions to implementation services, in accordance
with Section 5 of this Amendment.
3. The items set forth in the sales quotation attached as Exhibit 1 to this Amendment are hereby
added to the Agreement as of April 1, 2022 and, notwithstanding anything to the contrary in
Exhibit 1, ending coterminous with the term as defined in the Agreement. Payment of fees and
costs for such items shall conform to the following terms:
a. Transaction Fees. Unless paid directly by an end user at the time of transaction, per
transaction (call, message, etc.)fees are invoiced on a quarterly basis. Fees are
indicated in the Amendment Investment Summary and may be increased by Tyler upon
notice of no less than thirty(30) days.

4. The SaaS Fee payment terms set forth in Exhibit 1 to the Amendment between the parties dated
January 11, 2021 remain unchanged by the terms of this Amendment.
5. The services set forth in the Investment Summary attached hereto as Exhibit 2 are hereby added
to the Agreement. Services added to the Agreement pursuant to this Amendment, along with
applicable expenses, shall be invoiced as provided and/or incurred, on a monthly basis.
The fees for such implementation services are being reallocated by Client from unused
conversion services being removed from the Agreement, in accordance with Section 2 of this
Amendment, resulting in a $0 increase in the total contract value for such implementation
services.
6. The items set forth in the sales quotation attached as Exhibit 3 to this Amendment are hereby
added to the Agreement as of the first day of the first month following the Amendment
Effective Date and, notwithstanding anything to the contrary in Exhibit 3, ending coterminous
with the term as defined in the Agreement. The annual fee for"Enterprise ERP Interface
Bundle" is hereby waived indefinitely, unless otherwise mutually agreed by the parties in
writing.
7. This Amendment shall be governed by and construed in accordance with the terms and
conditions of the Agreement.
8. Except as expressly indicated in this Amendment, all other terms and conditions of the
Agreement shall remain in full force and effect.
