EFFECTIVE DATE AND DURATION The term of the Agreement is extended to June 13, 2027, in accordance with Amendment No. 30 to State of Oregon Agreement #2574, Exhibit B.1. 2. Page 1 of 5 Amendment No. 30 to Statewide Price Agreement No. 2574 This is Amendment No.30 (Amendment) to Price Agreement No. 2574, effective 6/11/2012, as amended from time to time (Price Agreement), between the State of Oregon, acting by and through its Department of Administrative Services, State Procurement Services (DAS SPS) on behalf of Authorized Purchasers, and ThyssenKrupp Elevator Corporation (Contractor). This Amendment is effective on the date signed by all parties and upon receipt of all approvals necessary for signing (Amendment Effective Date). The parties agree that the Price Agreement is amended as follows: 1.1. Section 1.2.1(a) of the Price Agreement is revised as follows. (new language is indicated by underlining and bold and deleted language is indicated by strikethrough and [brackets]) 1.2.1 Authorized Purchasers mayorderServicesor GoodsduringtheTerm ofthisAgreement using an ordering instrument: a) Authorized Purchasers that are agencies of the State of Oregon under DAS procurement authority may issue ordering instruments under this Price Agreement for any dollar amount without further delegation of procurement authority from DAS. Notwithstanding the foregoing DAS delegation, Authorized Purchasers that are agencies of the State of Oregon must obtain all other necessary approvals, including but not limited to legal sufficiency approval, as may be required. [may use either of the following as ordering instruments: i) the SPO approved purchase order form. Exhibit B is a sample SPO approved purchase order form; or ii) an electronic ordering method when the Authorized Purchaser is using a Small Purchase Order Transaction System (SPOTS) card. Unless expressly authorized by SPO in writing, Contractor shall not accept a different type of ordering instruments from a State agency.] 1.2. Section 1.5.1 Term of Agreement is revised as follows (new language is indicated by underlining and bold and deleted language is indicated by strikethrough and [brackets]): 1.5.1 The Price Agreement is effective as of May 31, 2012, the date this Price Agreement was signed by all parties and all required approvals were obtained (the "Effective Date") and expires on June 12, 2027, unless sooner terminated or extended as provided in this Agreement. The term and all extension terms are collectively the "Term" of this Agreement. [The initial term of this Agreement shall be three (3) years and begins on the date this Agreement has been signed by SPO and Contractor and all required approvals have been obtained (the "Effective Date") and ends on the third anniversary of the Effective Date unless sooner terminated or extended as provided in this Agreement. SPO has the option to extend this Agreement. Section 1.7.3 Amendments is revised as follows (new language is indicated by underlining and bold and deleted language is indicated by strikethrough and [brackets]): 1.7.3 Amendments. This Price Agreement may be amended, modified, or supplemented only by a written amendment signed by DAS SPS and Contractor. Any amendment that provides for additional Services, goods or other services may only provide for Services goods or services directly related to the Scope of Services described in the solicitation, and no amendment will be effective until all requisite signatures and approvals are obtained. Either DAS SPS or Contractor may request a change to this Price Agreement, including all Exhibits hereto, by submitting a written proposal describing the desired change to the other party. [Amendments. All amendments to this Agreement shall comply with applicable statutes and administrative rules and the following provisions. A. Circumstances Requiring Amendments. SPO may request Contractor to provide additional Services to meet SPO program needs. SPO may also request Contractor to provide additional Services that may be required after the expiration date of this Agreement to meet SPO program needs or may determine a need for Contractor to perform additional Services within the scope of the solicitation and to the extent permitted by applicable statutes and administrative rules. Also, SPO may request a change in Exhibits A and E to conform to legislative, administrative rule requirements or to meet an operational or practice change. In addition, SPO may decrease or delete available Services if SPO program needs are less than originally anticipated by SPO, or if legislative action so requires in the exercise of SPO's reasonable administrative discretion. SPO may also increase the rate payable to Contractor to meet legislative action, changes in applicable rules, operations and practice, changes in the market place or increases in SPO standard payment rates. To address the circumstances described in this Section A, the parties may amend this Agreement in accordance with Section B. B. Scope of Amendments. During the term of this Agreement, one or more of the following amendments may be made to this Agreement: 1. Amendments to extend the term of this Agreement for additional periods; 2. Amendments to add additional locations, Elevators or Equipment; 3. Amendments to delete locations, Elevators or Equipment; and 4. Amendments to increase the rate payable to Contractor, but only in the circumstances described in Section A. C. Amendment Process. Upon identification of any of the circumstances set forth in Section A requiring an amendment to this Agreement by either party, the parties may enter into negotiations regarding the proposed amendment to this Agreement.] 1.4. Page 3 of 5 3.2 Contractor Selection: Authorized Purchasers will select a Contractor using a Best Value Analysis (BVA) selection process as determined by the Authorized Purchaser. [Future requests from Authorized Purchasers to add Elevators/ locations will be processed by requesting quotes from existing Price Agreement Awardees . The Authorized Purchaser to make a final determination, utilizing a "Best Value" analysis, from the quotes submitted by awarded Contractors that respond to the request for quote. Authorized Purchasers are responsible to notify the Single Point of Contact to initiate an amendment to add Equipment, new locations or Elevators to an existing Price Agreement.] 1.5. Exhibit A – Service and Goods Pricing (referred to as Attachment C – Pricing) of the Price Agreement is revised to increase pricing by 3%. Exhibit A is replaced with the Revised Exhibit A in the form attached to this Amendment. See Revised Exhibit A: EXHIBIT A – SERVICES AND GOODS PRICING Except as expressly amended above, all other terms and conditions of the Price Agreement, including as previously amended, are still in full force and effect. Contractor certifies that the representations, warranties, and certifications contained in the Price Agreement are true and correct as of the Amendment Effective Date and with the same effect as though made at the time of this Price Agreement. Certifications: Any individual signing on behalf of Contractor has the authority and knowledge to make the following certifications, and hereby certifies under penalty of perjury: 1.1. The number set forth in the Price Agreement is Contractor’s correct taxpayer identification number; and 1.2. Contractor is not subject to backup withholding because: 1.2.1. Contractor is exempt from backup withholding, 1.2.2. Contractor has not been notified by the IRS that Contractor is subject to backup withholding as a result of a failure to report all interest or dividends, or 1.2.3. the IRS has notified Contractor that Contractor is no longer subject to backup withholding. 1.3. For a period of no fewer than six calendar years preceding the Amendment Effective Date, Contractor has faithfully complied with and is not in violation of: 1.3.1. All tax laws of the State of Oregon, including but not limited to those referenced in ORS 305.380(4), ORS 305.620, and ORS chapters 316, 317, and 318; and 1.3.2. Any tax provisions imposed by a political subdivision of this state that applied to Contractor, to Contractor’s property, operations, receipts, or income, or to Contractor’s performance of or compensation for any work performed by the Contractor; and 1.3.3. CONSIDERATION: The City agrees to pay Contractor a sum not to exceed Nineteen Thousand Nine Hundred and No/100 Dollars ($19,900.00) per year for receipt and acceptance of the Services and Goods in accordance with the schedule identified in Attachment C, of the State of Oregon Agreement #2574. Interim payments may be made to the Contractor with the Contractor billing the City on a monthly basis for the total amount worked. Unit price payments are made to Contractor by the City on a monthly basis for the total Product delivered to the City’s specified location and accepted by the City. Acceptance occurs when the City authorizes payment of the invoice. Unit prices will be exclusive of any sales, purchaser, or consumer tax. Tax exemption certificates can be furnished to Contractor upon request. INSURANCE: Contractor and its subcontractors must maintain insurance acceptable to the City in full force and effect through the term of this Agreement. Such insurance must cover risks arising directly or indirectly out of Contractor’s activities or work hereunder, including the operations of its subcontractors of any tier. Additional Insured Provisions: All required insurance policies other than Workers’ Compensation and Professional Liability, must name the City its officers, employees, agents and representatives as additional insureds with respect to this Agreement. Certificates of Insurance: Prior to full execution of this Agreement, contractor will furnish the City with the required Certificate of Insurance referencing this Agreement by number, if known, coverage dates, amount, and type of insurance required by this Agreement. BUSINESS LICENSE: Prior to execution of any performance under this Agreement, contractor must obtain a City of Tigard Business License. HOURS OF LABOR, PAY EQUITY: In accordance with ORS 279B.235, the following are hereby incorporated in full by this reference: Contractor may not employ an individual for more than 10 hours in any one day, or 40 hours in any one week, except as provided by law. For contracts for personal services, as defined in ORS 279A.055, Contractor must pay employees at least time and a half pay for all overtime the employees work in excess of 40 hours in any one week, except for employees who are excluded under ORS 653.010 to 653.261 or under 29 U.S.C. 201 to 209 from receiving overtime. Contractor may not prohibit any of Contractor’s employees from discussing the employee’s rate of wage, salary, benefits or other compensation with another employee or another person and may not retaliate against an employee who discusses the employee’s rate of wage, salary, benefits or other compensation with another employee or another person. Contractor must comply with the pay equity provisions in ORS 652.220. Compliance is a material element of this Agreement and failure to comply will be deemed a breach that entitles City to terminate this Agreement for cause.
