PUBLIC TRAIL EASEMENT For good and valuable consideration, Clean Water Services, which acquired title as Unified Sewerage Agency of Washington County ("Grantor"), hereby grants and conveys unto the City of Tigard, an Oregon municipal corporation("Grantee"), a perpetual nonexclusive public trail easement ("Easement") on, over, across, and under Grantor's real property located in Washington County, Oregon, described and depicted in the attached Exhibit"A" ("Easement Area") relating to tax lots 100 North, 100 South, and 600, pursuant to the following terms and conditions: 1. Effective Date. This Easement shall become effective on the date of the last signature below(the "Effective Date"). 2. Purpose and Scope of the Easement. The purpose of this Easement is for general public access and use on, over, and across the Easement Area, of a public trail for pedestrians, bicycles, and other recreational uses. Grantee, its contractors and agents, (each a"Grantee Party") also shall have the right to use, access, and enter upon the Easement Area to install, construct, use, reconstruct, repair, maintain, and replace the trail, trail-related improvements, and vegetation in the Easement Area. Grantee may use equipment and vehicles deemed appropriate by Grantee for such purposes. 3. Grantor's Use and Restrictions. This Easement shall run with the land and be binding on Grantor's heirs, successors, and assigns. Grantor, its employees, agents and contractors have the right to access the Easement Area at any time and close all or a portion of the trail if necessary to perform routine maintenance, investigate suspected damage, repair, replace and work on existing infrastructure. Grantor may also use the Easement Area for other purposes provided such use does not interfere with Grantee's or the public's rights of use or access, as stated herein, or obstruct the Easement Area in any way. Grantor shall not construct any permanent or temporary structure within the Easement Area. Grantor will provide as much advance notice to Grantee, as is reasonable and practical, of any activity by Grantor that may Page 1 —PUBLIC TRAIL EASEMENT close or impact all or a portion of the trail. Grantee acknowledges that Grantor has no formal notification obligation, and advance notice may not be provided, as in the case of an emergency repair. 4. Restoration,Maintenance, and Repair. Grantee, at its sole cost and expense shall maintain the trail within the Easement Area in good condition and repair and in a manner that is safe for trail use. 5. Effect and Duration of the Easement. Subject to all prior easements or encumbrances of record, the rights, covenants and obligations contained in this Easement shall bind, burden and benefit each party's successors, assigns, invitees and lessees. This Easement shall remain in effect perpetually, unless vacated by Grantee. In such an event, all rights held by Grantee shall be forfeited, and the Easement shall immediately revert to Grantor, its successors, and assigns. 6. Indemnification. Subject to Oregon law, including but not limited to the Oregon Tort Claims Act and the Oregon Constitution, Grantee shall indemnify, defend, and hold harmless Grantor, its officers, agents and employees from and against any injury, expense, including attorney fees, damage, liability, or claim that arises from: 1) any act or omission of Grantee or any Grantee Party, or Grantee's or Grantee Party's use of the Easement Area; 2) work performed by Grantor, its employees, agents or contractors in gaining access to and constructing, operating, maintaining, repairing or replacing Grantor's improvements within the Easement Area except to the extent caused by the negligent acts or willful misconduct of Grantor or any agent, employee or officer of Grantor; or 3) any use of the Easement Area by any member of the public. 7. Insurance. During the term of this Easement, Grantee shall carry, and require its agents and contractors to keep and maintain in force, worker's compensation insurance as required by applicable law, and commercial general liability insurance coverage for injury to or death of any person or persons and for damage to property occasioned by or arising out of any use of the Easement Area by Grantee or any Grantee Party with coverage limits not less than the applicable limits in the Oregon Tort Claims Act. The coverage shall: (i) be written on an occurrence and not a"claims made" basis; (ii) be endorsed to name Grantor as an additional insured or member; (iii) be primary and noncontributory with any insurance held by Grantor; and (iv) shall be issued by an insurer or an equivalent public entity risk pool licensed and in good standing to issue such insurance in the State of Oregon. 8. Encroachment. Portions of the trail identified on Exhibit"B"will encroach on Grantor's reuse water line. Encroachment is defined as being within five feet in any direction of the reuse water line. Any encroachment is subject to the following conditions: a. Grantee agrees to reimburse Grantor for all expenses that would not have been incurred, but for the existence of the trail in the Easement Area. b. Grantee agrees to reimburse Grantor for all expenses incurred due to damage caused by the trail in the Easement Area. Page 2—PUBLIC TRAIL EASEMENT c. Grantee hereby releases, waives, discharges and covenants not to sue Grantor for any and all claims, demands, losses, lost profits, costs, expenses or causes of action arising out of, or connected with Grantee's construction or repair of the trail in the Easement Area. d. At Grantor's request, Grantee will perform any construction, maintenance or repair to the trail located in the Easement Area necessitated by Grantor's need to access and work in the Easement Area. Notwithstanding the foregoing, Grantor will provide as much advance notice to Grantee, as is reasonable and practical, of any activity by Grantor that may result in expenses to be paid by Grantee or any damage to the Trail. Grantee acknowledges that Grantor has no formal notification obligation, and advance notice may not be provided, as in the case of an emergency repair. Said notice is intended to allow good faith coordination between Grantor and Grantee to reduce operational impacts to and costs incurred by both parties, to the maximum extent feasible. 9. Default and Remedies. If either party violates any of the terms, covenants or conditions of this Easement, or fails to perform any of its obligations in this Easement in a timely manner, the other party shall have the right to declare a default by written notice and, if such default is not cured as provided in this paragraph, may seek available legal or equitable remedies, including injunctive relief, in the Circuit Court of the State of Oregon in Washington County. All disputes arising out of this Easement shall be construed in accordance with Oregon law. Notice shall be given as provided for in Section 10 below. The notice shall provide a detailed statement(s) of the alleged default. If the defaulting party fails to cure the default within ten days from the Delivery Date of the notice (as defined below), or if within such ten day period that party has not begun to cure a matter that cannot reasonably be cured in ten days or does not diligently prosecute the cure to completion, then the party asserting the default may pursue the remedies described in this paragraph. Once notice of default has been given, no additional notice shall be required to exercise the remedies provided for in this paragraph. 10. Notices. All notices, approvals, consents or requests given or made pursuant to this Easement shall be deemed delivered: (a) upon receipt by personal delivery when written acknowledgment of receipt thereof is given; (b) if given by United States mail, certified mail, return receipt requested, with postage prepaid, two days after it is deposited in the mail; or (c) if given by a nationally recognized overnight carrier prepaid for next business day delivery, upon the business day delivered ("Delivery Date"). A copy of the notice must also be sent by electronic mail (email). Notwithstanding, email delivery does not change the Delivery Date.
