TRACT B(STORM SEWER,SURFACE WATER DRAINAGE AND DETENTION AREA)AND
TRACT C(OPEN SPACE)
(SUB2019-00002,ADJ2019-00007)
Declarant, CBG 76th Avenue,LLC,an Oregon limited liability company, ("Declarant")is the
owner of the following parcels and Declarant hereby declares as follows:
1. PURPOSE OF AGREEMENT.
The purpose of this Agreement is to provide for the perpetual maintenance of Tract A(private
street),Tract B (storm sewer,surface water drainage and detention area),and Tract C(Open
Space)by the owner of the parcels of property described in Section 2 of this Agreement.
2. LEGAL DESCRIPTION.
The real property subject to this agreement is described as follows:
a. The Tract A(private street)described as Tract A shown on the Subdivision Plat of Eagle
View Estates,a recorded plat in Washington County,approved by the City of Tigard land use
review SUB2019-00002,ADJ2019-00007.
b. The Tract B(storm sewer,surface water drainage and detention area)described as Tract B as
shown on the Subdivision Plat of Eagle View Estates„a recorded plat in Washington County,
approved by the City of Tigard land use review SUB2019-00002,ADJ2019-00007.
c. The Tract C(open space)described as Tract C as shown on the Subdivision Plat of Eagle
View Estates„a recorded plat in Washington County,approved by the City of Tigard land use
review SUB2019-00002,ADJ2019-00007.
d. The lots that jointly own Tract A,Tract B,and Tract C are Lots 1,2,3,4,and 5 as shown on
the Subdivision Plat of Eagle View Estates,a recorded plat in Washington County,approved
by the City of Tigard land use review SUB2019-00002,ADJ2019-00007(the"Subdivision
Plat").
3. DURATION AND NATURE OF AGREEMENT.
This Agreement shall continue in perpetuity. I111 Agreement is intended to and does attach and
run with the land affected herein. This Agreement is binding on the undersigned landowner,

Declarant,and all persons claiming under it. It is the intent of Declarant to create a continuing
obligation and right on the part of it and subsequent owners of the subject real property.
4. OWNERSHIP.
Declarant is the owner of Tract A(private street),Tract B (storm sewer,surface water drainage
and detention area),and Tract C(open space). As Declarant transfers Lots 1,2,3,4,and 5
described in Section 2 of this Agreement to subsequent purchasers, each such purchaser shall
acquire an undivided ownership interest in Tract A(private street)and Tract B,(storm sewer,
surface water drainage and detention area). When Declarant has conveyed all of the parcels
described in Section 2 of this Agreement to others,Declarant's ownership interest shall terminate.
5. iv'ui TrINI NCE.
The owners of Lots 1,2,3,4,and 5 shall be jointly and equally responsible for the maintenance
of the private street known as Tract A,storm sewer,surface water drainage and detention area
known as Tract B,and open space known as Tract C.If,however,the act or omission of any
owner or tenant,guest,invitee,licensee,contractor,or agent of an owner("damaging party")
causes damage to the area within the tracts,the damaging party shall be responsible for the entire
cost of the repair.

repair of asphalt,streetlights, sidewalk,street trees,and storm drainage improvements within the
tract.
Declarant shall be responsible for maintaining Tract B(storm sewer,surface water drainage and
detention area)in compliance with the Clean Water Services Operation and Maintenance Plan and
as approved in land use review SUB2019-00002,ADJ2019-00007,including natural vegetation in
a continuously safe condition.Maintenance shall include,but not be limited to,the removal of
debris,trash or other unsightly or dangerous materials.
Declarant shall be responsible for maintaining Tract C(open space)in compliance with the Clean
Water Services R&O 17-5, Section 2.12.2 and as approved in land use review SUB2019-00002,
ADJ2019-00007,including natural vegetation in a continuously safe condition.Maintenance shall
include,but not be limited to,the removal of debris,trash or other unsightly or dangerous
materials.
6. INDEMNIFICATION.
The Declarant,owner of the Tract A(private Street),Tract B(storm sewer,surface water drainage
and detention area)and Tract C(open space), shall hold harmless,defend and indemnify the City
of Tigard and the City's officers,agents,and employees against all claims,demands,actions and
suits,including attorneys'fees and costs brought against any of them arising out of the failure to
properly maintain the tracts which are subject to this Agreement or for damage to any property
resulting from the failure to maintain the tracts in a safe condition,except to the extent said
claims,demands,actions and suits are caused by the City of Tigard and the City's officers,agents
and employees negligence,violation of law,or willful misconduct. All workers undertaking
maintenance work within the tracts shall have standard liability insurance in a reasonable amount
from a reputable insurance company which protects each owner.

7. ADDITIONALLY CREATED LOTS OR PARCELS.
In the event that any additional lots or parcels are created from the existing properties as a result
of legal divisions of parcels/lots within the Subdivision Plat,the owners of the newly created lots
or parcels shall possess an undivided interest in the Tract A(private Street),Tract B(storm sewer,
surface water drainage and detention area)and Tract C(open space)and shall participate in and
be equally bound by this Agreement.
8. MAINTENANCE OBLIGATIONS AND ARBITRATION.
In the event that additional lots or parcels are created from Lots 1,2,3,4, and 5 pursuant to
Section 7 herein,the owners of the Tract A(private Street),Tract B(storm sewer,surface water
drainage and detention area),and Tract C(open space)shall confer from timetotime regarding
performance of required maintenance under this Agreement. Each lot/parcel shall have one vote.
Where there is more than one(1)owner of a lot/parcel,each owner shall have a proportional share
of one(1)vote. In the event of a disagreement concerning maintenance obligations and payment,
the owners shall agree upon an arbitrator in accordance with the then effective arbitration rules of
the Arbitration Service of Portland,Inc.,or any successor organization,and judgment upon the
award rendered pursuant to such arbitration may be entered in any court having jurisdiction
thereof.The decision of the arbitrator shall be binding on the owners and the fee of the arbitrator
shall be borne in equal percentages by the owners.
9. NOTICE.
Any notice, demand,or report required under this Agreement shall be sent to Declarant as

10. TERMINATION.
Declarant may not amend,withdraw from or dissolve this Agreement without the written approval
of the City of Tigard. If this Agreement is a condition of the approval of a division of property,
the City of Tigard may require such condition to be modified before permitting this agreement to
be dissolved or permitting a party to withdraw from this Agreement.
11. RELEASE.

At such time as the Tract A(private Street),Tract B(storm sewer,surface water drainage and
detention area)and/or Tract C(open space)are accepted by City Council action for maintenance
by the City of Tigard,the owners of it will be released from their maintenance obligation and
from all other obligations under this Agreement.
