THIS MEMORANDUM OF DISPOSITION AND DEVELOPMENT AGREEMENT (the
"Memorandum")is executed as of the 28th day of April,2022 by and between the CITY OF

SENIOR HOUSING LIMITED PARTNERSHIP, an Oregon limited partnership
("Developer").
1. Property. The City and Developer are parties to that certain Disposition and
Development Agreement dated as of December 13, 2020, as assigned to Developer by
0 Northwest Housing Alternatives, Inc. pursuant to that certain Assignment and Assumption
Agreement dated as of April 15, 2022 (as assigned, the "Agreement"), relating to certain
real property located generally at 8815 SW O'Mara Street in Tigard, Oregon, as more
1114 particularly described in Exhibit A attached hereto(the"Property").
2. Agreement. Among other things, the Agreement sets forth the terms and
C gconditions under which the City will convey a leasehold interest in a portion the Property to

3. Definition of Terms.All capitalized terms not otherwise defined herein shall
have the same meaning as set forth in the Agreement.
4. Purpose of Memorandum. This Memorandum is prepared for purposes of
recordation only and does not set forth all of the terms and conditions set forth in the
Agreement. In the event there is any conflict between the terms and conditions of the
Agreement and this Memorandum,the terms of the Agreement shall control.
