WHEREAS, Grantor's predecessor in interest originally conveyed to the Grantee an access easement in 1985, by Document Number 85045401, recorded in the real property records of Washington County, Oregon (the"Easement"). WHEREAS,the Easement currently provides for a 1-year notice for Grantor to terminate the Easement. In consideration for the improvements which Grantee desires to install on the easement area,the Parties now wish to amend that provision. NOW, THEREFORE,the Easement is amended as follows: 1. The sixth paragraph is amended from: After the passage of five(5)years from this date, Grantor shall have the right to terminate this Easement upon written notice to Grantee,given one(1) year prior to such termination. To read as follows: After the passage of three (3)years from the date of execution of this Amendment, Grantor shall have the right to terminate this Easement upon written notice to Grantee, given one(1)year prior to such termination. 2. A new paragraph is added to read as follows: Grantee may make minor improvements to the easement area at Grantee's expense, detailed as follows: An automated security gate installed,maintained, and controlled by the City of Tigard will be located perpendicular across the easement(running east and west) approximately in line with the center of the NW Fiber Central Office building. Activation loops will be installed on the south side of the gate to allow unimpeded egress from the NW Fiber and City of Tigard property. Six-foot fencing(running north and Page 1 of 2 AMENDMENT OF EASEMENT south from existing black chain link) installed on the east side of the gates extending parallel to the easement will create a physical barrier from the north. Such improvements are depicted on Exhibit A. Grantee is solely responsible for maintaining such improvements in good repair. Upon termination of this Easement, Grantee may elect, in consultation with Grantor, to remove the improvements and restore the property to its original condition or leave such improvements in place. 3. Except as expressly provided in this Amendment, the terms and conditions of the Easement remain in full force and effect.
