BOARD OF COMMISSIONERS
RESOLUTION NO. 7-92
A RESOLUTION DECLARING CERTAIN REAL PROPERTY NOT NECESSARY FOR
TIGARD WATER DISTRICT PURPOSES, AND APPROVING THE SALE AND TERMS
OF SALE THEREOF TO THE TUALATIN VALLEY FIRE & RESCUE DISTRICT,
SUBJECT TO EXISTING TENANT LEASE, AND APPROVAL OF PURCHASE FROM
TUALATIN VALLEY FIRE AND RESCUE DISTRICT A PORTION OF ABUTTING
PARCEL.
On the motion made by Commissioner Denis Borman, and seconded by
Commissioner Robert Wyffels, and passed by affirmative action of the Board of
Commissioners, on this 17th day of June, 1992, Tigard Water District adopts the
following resolution:
WHEREAS, Tigard Water District owns fee title to the real property located at
8905 S.W. Burnham Street, Tigard, Oregon, adjacent to Tigard Water District
Operations Center, which is not being used for District operations and has been
leased to a private commercial tenant; and
WHEREAS, the portion of this property legally described on Exhibit A attached
hereto, is found by the Board of Commissioners to be surplus property unneeded for
the purposes of Tigard Water District; and
WHEREAS, based on value and appraisal information received by the Board of
Commissioners, the price of $139,450 offered for the property described on Exhibit A
by the Fire District, represents the fair cash market value of said parcel;
WHEREAS, Tigard Water District needs for storage space and other uses, the
portion of abutting property owned by Tualatin Valley Fire & Rescue District described
on Exhibit B, and has determined that $38,515 is the fair cash market value of said
parcel; and
WHEREAS, the Tigard Water District has, pursuant to ORS 264.210 and ORS
271.300 et seq., authority to sell the parcel described on Exhibit A to the Fire District
and authority to purchase the parcel described on Exhibit B;
NOW, THEREFORE, IT IS HEREBY RESOLVED:
1. That the property described on Exhibit A be sold to Tualatin Valley Fire &
Rescue District for the price of $139,450, subject to the remaining term of the tenant's
lease which shall be assigned to the Buyer, rents and taxes to be prorated as of the
date of closing in escrow at First American Title Insurance Company.

2. That the property described on Exhibit B be purchased from Tualatin Valley
''''o'' Fire & Rescue District for the sum of $38,515.
3. The sale and purchase authorized are dependent transactions, that is,
Tigard Water District will not sell the parcel described on Exhibit A unless Tualatin
Valley Fire & Rescue District contemporaneously sells to Tigard Water District the
parcel described on Exhibit B. The escrow fee, title insurance premium for each
parcel, recording fees, and fee for services of Right of Way Associates shall be shared
one-half by Tigard Water District and one-half by Tualatin Valley Fire & Rescue District.
4. The sale of the property described on Exhibit A shall be subject to there
being a restriction on the land that any buildings to be erected thereon shall be of
similar architectural style and with a brick exterior compatible with that of Tigard Water
District's building on the adjacent property at 8777 S.W. Burnham Street. Said
restriction shall be set forth in the deed to the property and shall be binding so long as
the property is used for fire department purposes.
5. The Administrative Director, is directed and authorized to do all things
necessary to complete said sale and the appropriate District officers are hereby
authorized to execute and deliver appropriate instruments of conveyance, including
deposit of adequate amounts to cover the District's share of closing costs and
expenses, if needed.
